GETTING STARTED: DOWNLOADING
When you purchase the RATECASTER Software you will receive a download link,
together with the password for the link. When you enter the link in your browser
it will take you to MediaFire.com, the file download company that we use for our
downloads. You will see a screen very similar to this:

The image above shows the download page for one of our collections (the
Archangels collection). You have to enter the password, which is supplied with the
link and click on the UNLOCK FILE blue button to start the download. Once the
download is complete you will have a zip file.

NOTE: The size of these .zip files is quite large, several Gigabytes each, as they
have not only the software but all the media for an entire collection, so it might
take some time to download, depending on the speed of your Internet
connection.

You then have to Unzip this zip file, and it will create a regular directory, as
explained below. The image on the next page shows the zip file for the
RATECASTER Archangels collection after download. Once you have your zip file
you can right-click on it and you will get an option to unzip it, in the menu it says
“Extract All”:

Once you click on Extract All you will get this pop-up window:

Click on the “Extract” button. This will create a regular directory. The next image
shows the regular directory that was created by unzipping the installation zip file:

The file called RateCaster_Setup.exe is the setup program for our software, it will
install both the RateCaster software and whatever collection you purchased (all of
our RateCaster collections come with a copy of the RateCaster software).

The next section walks you through the actual setup process, which takes only a
few minutes.

INSTALLATION
Once you have downloaded and unzipped your installation files you are ready to
install the RATECASTER software, along with whatever collection you purchased.

In this example we are installing the RATECASTER Archangels collection, but all
the collections work in exactly the same way. Below is a screenshot of an
installation directory that has been created by unloading and unzipping the files
to a regular directory:

The installation directory contains a setup program called RateCaster_Setup.exe.


Double-click on this setup program to start the installation process.

In most Windows systems the Windows Defender will detect that this is an
executable (.exe) file that has been downloaded from the Internet and it will
show you this screen:

This is normal (windows does this for all executables downloaded from the
Internet). Click on the link that says “More info”:

Finally click on the button that says “Run anyway”. That will start the
RATECASTER Setup Program, as seen in the next image.

NOTE: Our RATECASTER executable is virus-free and does not install anything
else besides our software and whatever collection you purchased.

Please read our License Agreement, as shown in the image above.

You need to select the “I accept the agreement” radio button, as seen in the
image above, in order enable the “Install” button to install the application. Click
on the “Install button and you will see this screen:

Click on “Finish” to close the installation. The Modular Radionics RATECASTER
Software will be installed to this directory in your C: drive:

C:\MODULAR-RADIONICS

There will be a new shortcut in your desktop:

INSTALLATION NOTES
The Modular Radionics Software requires that you run it on a PC or Laptop
running Windows 10 (or Windows 11). Our software is not compatible with
Windows 7, 8, Vista, Mac, Linux or any version of Windows prior to
Windows 10. If you try to install our software on a PC or Laptop running a
version of windows prior to Windows 10 you will see this error message:

Click on “Finish” to exit the installation. If you receive this message our software
will not be installed, and you will have to upgrade your PC or Laptop to Windows
10 (or Windows 11) in order to install it, as that is a requirement for our program
to operate correctly.

You can contact our customer support team by emailing us at support@modular-


radionics.com, but in this case there is very little we can do, other than to advise
you to upgrade your PC or Laptop to Windows 10.

MICROSOFT .NET FRAMEWORK

The Modular Radionics Control Software requires that your PC or Laptop have the
Microsoft .NET Framework version 4.7.2 (or later) installed. Most Windows 10/11
machines will have this version of the MS .NET Framework installed, but not all. If
that is the case you will receive this message:

This issue is easily solved by upgrading your Microsoft .NET Framework to a


current version. For your convenience, we have included a copy of the
Microsoft .NET Framework version 4.8 installer inside our installation download
You will find it in the same directory where you unzipped your files.

MS_FRAMEWORK_4_8_INSTALLER

Inside that directory you will find a single file: ndp48-x86-x64-allos-enu.exe


which is the installer for the MS Framework version 4.8. Otherwise, if you don't
want to use the file that we provide, you can download (the exact same file) from
the Microsoft .NET download page:

NO DATA DIRECTORY

There is a DATA sub-directory in the same installation directory where the


Modular Radionics RATECASTER Setup program is located. This DATA directory is
needed in order to install the software; if it is missing you will see this error
message:

Click “Finish” to exit. If you ever see this error (which would be very unusual) you
need to make sure that you are using the Setup materials that we sent you, as
they have the correct DATA directory required for installation.

THE LICENSE AGREEMENT
The first time you start the Modular Radionics RATECASTER Software you will be
asked to agree to our User Licensing Agreement. This needs to be done only
once; after you agree to the Licensing Agreement you will not be asked again.

Please read the Licensing Agreement. Click on the “I accept the license
agreement” button. That will enable the CONTINUE button and you will be able to
close the agreement and start using our application.

If you do not accept the License Agreement you can press CANCEL, in which case
the application will exit. We do not allow the use of our software unless governed
by the User Licensing Agreement.

REGISTERING YOUR SOFTWARE
When you start up the Modular Radionics RATECASTER program in your PC or
Laptop by clicking on its icon you will see a registration screen like this one:

You need to register your copy of RATECASTER so that we know that you are one
of our customers. Enter your name (the field is all upper case) and your email
address and click on the REGISTER button.

IMPORTANT: You have to register using the exact same email address that you used
when you purchased our software, as that is the only email address that we have on file
for you. If you register using any other email address the software will work for a few
days but we will soon disable access to our Entropy servers, as we do not recognize that
email address as being valid.

OPERATION
When you start up the Modular Radionics RATECASTER program in your PC or
Laptop by clicking on its icon you will see a screen much like this one:

At this point you are ready to start your first Radionics session!

NOTE: When you buy a copy of the RATECASTER software it comes with a
collection of Radionics Programs. The screenshot above shows a RATECASTER
session where the user has installed our Archangels collection. We sell Radionics
Collections for many topics, which you can see in our website and also in our Etsy
store.

THE USER INTERFACE
The User Interface for the Modular Radionics RATECASTER has two principal
areas, the CONTROL PANEL on the right side and the Channel Display on the
left side, as shown in the image below:

The CONTROL PANEL is where you select the Radionics Program that you want
to run. The left side lets you see the program in operation and also allows you to
customize some aspects of the program, such as the target picture.

LOADING A PROGRAM
On the right-hand side of the screen you will find a list of the Radionics Programs
installed in your system. The screenshot below shows a session for a user that
has purchased our Archangels collection, we have several collections available
(with more to be added in the future). To run a Radionics Program please double-
click on the program name.

The CLEAR PROGRAM button below the list of programs clears (i.e., stops) any
Radionics Program that is currently running.

The following page shows the ARCHANGEL BARACHIEL Radionics Program loaded
and running. Notice that for many collections we supply a male and a female
variant; choose whichever one is appropriate for your needs.

Above you see a session where the user has loaded the ARCHANGEL BARACHIEL
program. Every program comes with a narrative text that explains the details of
the Radionics program. You can see this description by clicking on the INFO tab
right above the video.

There are several elements of the program that you can customize for yourself:

1) The TARGET Picture. In Radionics we need a picture of the person that is to


be the target of the operation. We ship the program with a “generic”
picture, but you should always change the picture to be one of the person
(this can be yourself or someone else) that you are running the program
for.

2) The text of the Intent. The area on the bottom-left labeled INTENT has the
text of the Intent, which we have prepared specially for each Radionics
program that we offer. You are allowed to change this, however, if you wish
to customize if for your specific needs.

3) The Text-to-Speech voice. For English-speaking countries Windows ships


with two Text-To-Speech (TTS) voices, a male voice called David and a
female voice called Zira. TTS voices are also available for other languages.

4) The Audio Track (in .mp3 format) that is played when this program runs.
We ship our programs with specially selected audio tracks, but you can use
any .mp3 file you want instead.

5) The Intent Detector data. The Intent Detector is our signature technology.
The Radionics Programs that we sell ship with a “generic” Intent, but the
Intent Detector allows you to create your own Intent data, customized for
your specific situation.

6) The Binaural Tones. Our software comes with a Binaural Tone Generator
included, and we have added carefully selected Binaural tones to our
programs. You are, however, allowed to either disable or modify these
tones.

The next sections of this manual explain how to customize each feature.

SETTING THE TARGET PICTURE
In Radionics we need to designate a TARGET for the operation being performed.
This is done by loading a picture or image of the person. This can be yourself or
someone else. We supply a “generic” target picture with the software, but you
should always replace it. To change the picture please click on the image under
TARGET:

When you do that the program will display the following pop-up window:

Now you have to drag and drop a picture into the image. When you do that the
new picture will replace the generic image; click the SAVE button to confirm your
choice. When you replace the picture this is saved to the program, so that the
next time you run this Radionics Program it will use the new picture.

NOTE: The picture you use looks best if square, with the same width as height, as
the space reserved for the image is square.

SETTING THE INTENT TEXT
Our program includes a way to enter the text of an Intent, and a Text-To-Speech
synthesizer feature that will “speak” the text of the Intent for you. The Intent
Text has been specially crafted for each Radionics Program in our collections, but
you can customize it for your specific needs. The Intent Test is located in the
lower left corner of our program, as seen in the image below:

To change the text of the Intent please click on the EDIT button as seen above.
This will bring up the following pop-up window:

Notice that the text of the Intent is already in the editing window. You can make
whatever changes you want to it, then click on the SAVE button to save it. To
create a pause in the text you can enter three periods: … and that will cause the
Text-To-Speech to insert a small pause in the voice at that point. Note how we
used the periods in the example above to separate each phrase.

SETTING THE TEXT-TO-SPEECH VOICE
Our Radionics Software has a Text-To-Speech feature that can “speak” the text of
your Intent for you. This feature uses the Text-To-Speech voices in Windows 10
(or Windows 11). For English speaking countries Microsoft ships two English TTS
voices, a male voice called Microsoft David and a female voice called Microsoft
Zira. You can also download additional language packs and voices from Microsoft.

You can change the voice used in the program if you want. To do so please click
on the “gear” icon located in the SPEECH SYNTHESIZER section, as seen in the
following image:

When you click on the “gear” icon above the program will display the following
pop-up window:

Notice that in this example our PC has several voices installed, the two default
English voices (David and Zira) plus one Spanish, one Italian and one Portuguese
voice. These voices (and the corresponding language packs) can be downloaded
free from Microsoft.

Above you see the voices installed, a volume control, the text of the Intent that
will be spoken and a button that says PLAY AND SET VOICE. To change the voice
please first select (click on) the voice you want, then (optionally) select the
volume and then click on PLAY AND SET VOICE. When you do this the software
will set the voice and it will begin to “speak” the text of the Intent. When you are
happy you can click on SAVE to exit.

NOTE: To set a voice it is not enough to select it, you have to click on the PLAY
AND SET VOICE button before you click on SAVE, otherwise the voice will not be
selected.

You can make the voice audible (100% volume) or subliminal. Any volume below
10% is almost inaudible, and therefore subliminal.

SETTING THE AUDIO TRACK
Our program include a carefully selected audio track, as a .mp3 file, but you are
free to use your own audio files if you want. To set the Audio Track for a program
click on the icon below the AUDIO label, as seen in the image below:

When you click on the Icon above the program will display the following pop-up
AUDIO SELECTOR window:

NOTE: The image above is from a system that had several collections loaded, so
all the existing soundtracks are shown. Your system will only have the
soundtracks for the program collections that you bought.

From the pop-up window above you can select an audio track by double-clicking
on it, or else by clicking on it and then clicking on the SAVE button. When you
change the audio track your choice is saved, so that the next time you run the
program it will use the new Audio Track. If you prefer not to use audio for your
program you can click on the CLEAR AUDIO button and that will eliminate the
audio from the program and exit.

To use your own audio tracks copy any .mp3 files to this directory:

C:\MODULAR-RADIONICS\AUDIO

Whatever .mp3 files you copy to this directory will appear in the list of files that
you can choose from.

THE INTENT DETECTOR SYSTEM
The Radionics software developed by Modular Radionics feature a unique, patent
pending and extremely powerful technology to set Radionics Frequencies and/or
Radionics Rates in the form of a Quantum Intent Detector.

The Modular Radionics Quantum Intent detector is based on the research done
between 1979 and 2007 at Princeton University by the Princeton Engineering
Anomalies Research (PEAR) Lab. The PEAR Lab carried out a very large
number of experiments—well over 125,000 sessions—to investigate the ability
of human subjects to influence the outcome of future events by just
wishing for the desired outcome.

The PEAR Lab papers and reports, which are still freely available on-line (please
see appendix I of this document for more information) clearly showed that it is,
indeed, possible for a human consciousness to affect the outcome of future
events, which is basically what Radionics is all about.

Our Radionics Software obtain the necessary Entropy from our On-Line Entropy
Server, which is a more advanced version of the exact same type of devices
used in the PEAR Lab experiments, but employing modern, up to date technology
in the form of advanced Microcontroller chips. The Entropy Generator output is
then used by the Intent Detector subsystem code to detect your intents and to
then set the appropriate frequencies or rates based on the collected Entropy.

The following image shows where the Intent Detector is located:

When you click on the Intent Detector icon the system will display the following
pop-up window:

On the left side of the Intent Detector pop-up window you will see a moving
graph. This graph is constructed using the stream of Entropy from our on-line
Entropy Server. Notice that the graph has a horizontal line at zero, and that the
moving (blue) line can go above or below the zero line.

In the middle of the window you will see a dial with the right side colored green
and the left side colored red, and labeled in increments of 20 points. The dial will
move to represent the position of the right-most point if the chart, which will be
either positive (above the zero line) or negative (below the zero line).

In other words, the dial is synchronized with the chart, and both the dial and the
chart are being fed from a continuous stream of Entropy coming from the Modular
Radionics Entropy Server. Notice that there are no units on the dial; this is
because the units are actually a scaled rate of smoothed positive over negative
Entropy readings, so there are really no units to display.

Also below the dial you will see two indicator lights, the right indicator lights up in
green when the dial is in the green zone, and red when the dial is on the red
zone; these indicators are just a visual clue, the indicators themselves are not
clickable.

On the right-hand side of the window you will see a column of statistical
information that is being updated dynamically. We used this stats ourselves
during the development of the Intent Detector software to measure various
important metrics related to the operation of the Entropy Generator, thinking of
leaving it out of the public release, until one of our beta clients saw it and
requested that we leave it there.

Basically, the stats give you the same information as the chart and the dial, but in
a much more detailed, numerical form. The stats are there for informational
purposes only, there is nothing that you need to do with the stats—other than
perhaps to satisfy your curiosity!

IMPORTANT NOTE: The Entropy is being fetched from our on-line Entropy
Server, so you will need to have an Internet connection to use this program.
Also, you will have to have a valid Modular Radionics License to use our software,
as we only serve Entropy to our licensed clients (when you register your copy of
RATECASTER the software will download and install a license).

HOW THE INTENT DETECTOR WORKS
The basic operation of the intent detector is quite simple: YOU THINK AT IT.

This is the exact same protocol as was used by the PEAR Lab in their
experiments: the operator sits in front of the machine and “wishes” for a
particular outcome. In our case, the desired outcome is the Intent, and you are
wishing for this Intent to affect the outcome of future events. Another term for
this type of operation is Manifesting, something that has become popular in
recent times, even though Radionics practitioners have been manifesting for
decades!

You can have both Positive and Negative Intents. Generally, a Positive Intent is
for something that you want to happen, like getting a promotion or improving a
romantic relation. A Negative intent is commonly defined as being something that
you want to avoid. However, it is really up to you to define exactly what positive
or negative means; we have found that other people employ different definitions
and it seems to work for them too.

If you are like the operators at the Princeton University PEAR Lab, all of which
were volunteers, most of them students, and that did not claim to have any ESP
abilities, all of these hundreds of people that ran over a hundred thousand
experiments of this kind, you will find that you can influence the Entropy data
stream to stay consistently above the zero line for a Positive Intent or
consistently below the Zero line for a Negative Intent just by thinking at it.

There is a famous chart, which we have reproduced in Appendix I from one of the
peer-reviewed Journal Papers published by the PEAR Lab showing the cumulative
analysis of 125,000 experiments that basically tells you that it is possible for a
human mind to affect the outcome of events, and that it does so with a better
than 95% percentile confidence level (in the chart is at about the 97-98%
percentile). The 95% percentile confidence level is the threshold used by
scientists to determine if an effect is likely just due to chance or not, and it tells
you that you should be at least 95% confident that it is NOT due to chance ...

Please note that the actual maximum level that the line reaches on the graph
is of absolutely no importance, this is just for your information but it does not
affect the operation of the Intent. The key is to keep the overall line above zero
(i.e., in the green) for a positive Intent, or below zero (in the red) for a negative
Intent; just exactly how high or how low it goes makes no difference
whatsoever, so don't get hung up on that, or sit there waiting for the line to
reach any particular height—that is simply not needed!

As you do this, wishing for an Intent, the Intent Detector system is collecting all
the Entropy data received from the MR400Q device and it is using it to construct
the graph and to drive the dials. This Entropy data will then be used to generate
the actual frequencies and/or rates that will be used in your Radionics session.

Once you have collected enough Entropy, and have a solid green or a solid red
indicator you will then click on the SET POSITIVE or SET NEGATIVE button. This
button will be colored green and say SET POSITIVE when the dial is on the
green, positive side of the dial, and will change to a red SET NEGATIVE value
whenever the dial moves over to the negative side. What you do is to wish for
your Intent, either positive or negative, and once you get the desired outcome
you will click on this button to end the Intent Detector session and use this
Entropy data.

Please note that the Intent Detector system needs to collect at least a minimum
amount of Entropy data; if you try to set it to positive or negative too early,
before it has had a chance to collect enough Entropy data it will show your a pop-
up window telling you that it does not have enough Entropy, as shown in the next
image.

If you get this message just click the OK button and be a little patient, let the
Intent Detector run for a bit longer (while wishing at it for your desired outcome!)
before you click again on the SET POSITIVE or SET NEGATIVE button.

Now, just a few things to consider: first, an Intent is not just one frequency or
just one rate, internally it is a long stream of Entropy, so it actually contains no
less than 500 times more information than a single Radionics frequency or a
single Radionics Rate. Second, this stream of Entropy was collected and the
frequencies or rates constructed as you were operating the Intent Detector, and
therefore wishing for a particular outcome, so it embodies whatever information
you generated by affecting the output of the built-in Entropy Generator in your
MR400Q.

Once you select either a Positive or a Negative intent the pop-up window is closed
and you will see the first Frequency or the first Rate (depending on what
Operation Mode you have selected) set in the dials. From there on, you will see
the frequencies or rates change.

What is happening here is that the software is automatically cycling through the
data it collected using the Intent Detector.

Given that the Intent Detector collects several hundred values per Intent
(actually, it is exactly 512 values) and that these are cycled through so that a 1.5
Hour Radionics Session is just about the minimum needed to cycle the
system through a complete Intent at least once—but longer is better.

Please note that running a Radionics Session does not require you to sit in there
for hours (or days!) on end looking at the equipment—you just set the programs
to run and let it belt out the frequencies and/or rates unattended, while you go do
something else; that is, in fact, how all Radionics programs work.

THE ENTROPY VISUALIZER
One question we kept getting from our beta clients during the development of
this system was “just what is this Entropy thing, anyway?”. Our answer, that
Entropy is both a concept in Physics and in Computer Science, and that in
Information Theory it represents a measure of the amount of information
produced by some process or source, did little to clarify things.

We also offered to explain the math behind it, but oddly enough nobody was
interested—a pity, really, as the math would have told them everything they
needed to know.

So when someone asked “well, can I see this Entropy?” our first reaction was
“you want us to do WHAT????” but then we thought about it a little more and
realized that yes, you can in fact see Entropy at work, but only if you have some
form of visualization that is driven by the Entropy. Enter the Modular Radionics
Entropy Visualizer …

The Entropy Visualizer sits right under the Intent Detector, and it is activated
when you use an Intent to drive the frequencies or rates. It looks like what you
see in the image below.

What is not obvious from the image is that the visualizer is animated, the image
has a distortion effect that is driven by the Entropy source. As the Entropy data is
cycled through the system to produce the Frequencies or Rates it is also used to
operate the visualizer. The images in the visualizer act as a background so that
you can see what it it does.

You can select the background image(s) for the visualizer from a collection of
images that is provided by this purpose. To change the Visualizer background all
you have to do is click on the Entropy image itself and the following window will
pop-up:

You can use the arrows to select an image from the collection, and you can also
set the CYCLE to ON or OFF. If the cycle is set to ON the Visualizer will
automatically cycle through the image collection, showing a new image every 20
seconds.

Now for the kicker: this feature was originally intended simply as a way for our
clients to get a rough idea of what the Intent system was doing with the Entropy
data. However, as they started using it, they noticed that selecting the image that
BEST reflected the Intention from the collection substantially ENHANCED the
operation of the Intent system, and that it did so quite consistently. The next
page shows a few of the images in the Entropy Backgrounds gallery.

SETTING A COLOR
You can set a COLOR for each channel by clicking on the COLOR icon. Once you
do that you will be presented with a Color Wheel selector, as seen in the image
below:

You use your mouse to select the color on the left, and the intensity using the
vertical bar. The right side shows a swath of the selected color. When you are
satisfied with your selection click SAVE to set the color for the channel, or click
CANCEL to exit without selecting any color.

The use of a Color is optional, some practitioners use it, some don't. Feel free to
experiment with this feature, or else to leave it out of your Radionics Programs.

THE SOUND SYNTHESIZER
Version 1.7 of the Modular Radionics software is equipped with an Audio
Synthesizer feature that allows you to add synthetic stereo sounds, including
Binaural and Isochronic Beats to your Radionics Programs. To engage the SOUND
SYNTHESIZER for a channel click the gear icon in the TONE SYNTHESIZER panel:

When you click on the SOUND SYNTHESIZER icon you will see a pop-up window
with the synthesizer controls, as shown in the next figure:

To use the Sound Synthesizer the first thing you have to do is to check box
labeled SYNTHESIZER ENABLED. That will let the system know that you want to
enable the sound synthesis for this channel.

Next, you have to select the frequencies for the Left and Right channels. If you
want to add a simple tone, for example a 200 Hz signal to your audio you would
sent the same tone for both the right and left channels.

You can also create Binaural Beats by selecting two different frequencies for each
channel, so long as the frequencies are set about 40-50 Hz apart a person
listening to the tones on a headphone will also perceive a separate “beat” with
the frequency being the difference (in Hertz) between the left and right channels.

For example, if we select a frequency of 150 Hz for the left channel, and a
frequency of 154.00 Hz for the right channel the result will be a Binaural Beat of 4
Hz (the difference between the two).

When you set up a Binaural Beat you will see an explanation of the frequency
appear on the screen. If the difference between the two channels does not result
in an audible Binaural Beat it will say “BINAURAL: NO”. Otherwise, it will tell you
the type of Binaural Beat you are creating:

1) Delta Waves (Less than 4 Hz). Deep dreamless sleep, loss of body
awareness.

2) Theta Waves (4-7 Hz). Dreams, deep meditation, REM sleep.

3) Alpha Waves. (7-13 Hz). Relaxation (while awake), pre-sleep and pre-wake
drowsiness.

4) Beta Waves. (13 to 40 Hz). Active, busy or anxious thinking and active
concentration, arousal, cognition.

5) Gamma Waves. (Over 40 Hz). Higher mental activity, including perception,

Next, you can set the volume of the beats separately from the volume of any
audio track you are playing in the channel. This allows you to create a “mix” of
the actual track (if any) and the beat. Volume settings above 10 are audible,
settings below 10 (when overlaid on an audio track) will be subliminal.

Finally, you have the option of turning any tone (including Binaural Beats) into an
Isochronic Beat. Regular tones are constant, Isochronic tones have a beat
separated by a silence. You can control the length of the Beat and the Silence

The next image shows the example of a channel that has been set to create a
2 Hz Subliminal Binaural Beat, based on a 150 Hz Frequency note. The volume
setting of 1 (the lowest) makes this Binaural Beat subliminal.

THE AUDIO MONITOR
Once you have set the audio track you can enable the sound on the Control Box
by clicking on the AUDIO MONITOR section of the CONTROL PANEL:

The AUDIO ON/OFF button controls the overall audio. When you click on this
button it will change between AUDIO ON (sound will play) and AUDIO OFF (no
sound).

THE SESSION TIMER
On the bottom right-hand corner of the window you will see a SESSION TIMER
display:

The SESSION TIMER tells you how many hours, minutes and seconds the
current session has lasted. You can use this timer to determine how long a
session needs to run.

Please do remember that if you are using RATES and INTENTS, as described
above, the minimum length of a session should be 2.5 hours in order to cycle a
complete set of entropy intent data through your device at least once.

Agreement, and you expressly agree that you will not use the Website or the

Agreement. Modular Radionics reserves all of rights not expressly granted

Modular Radionics provides you with limited, non-exclusive, non-sublicensable,


non-assignable, revocable, and royalty free license to use the Website and any
Hardware and Software Products you buy from us for its customary and intended
purposes. You are expressly prohibited from reproducing, preparing derivative
works of, distributing copies of, publicly performing, and publicly displaying the
Website, Software and/or hardware.

You cannot copy, modify, distribute or sell any of our Hardware or Software
products without our written authorization. This license only gives you the use of

6. Product Warranty

All the Hardware products sold by Modular Radionics include a limited


manufacturer’s warranty. This warranty is valid only as to the original purchaser
and is not transferable to anyone who subsequently purchases, leases, or
otherwise obtains the product from the original purchaser. Modular Radionics
warrants that its hardware products will be free from defects in materials and
workmanship for a period of one (1) year from the date of purchase (“Limited
Warranty Period”), provided that the defect is not the result of misuse or
inappropriate use. During this Limited Warranty Period, Modular Radionics will, at
its option: (i) repair the product; or (ii) replace the product with the same or a
comparable product. Shipping costs and/or customs fees related to repair or
replacement are not included in this warranty.

7. Shipping

Modular Radionics provides shipping via USPS, UPS, and FEDEX Ground. All prices
are F.O.B. from place of shipment unless specifically provided otherwise.

Any damaged or incorrect shipments must be reported within 48 hours of receipt.


For damaged shipments, the shipment must be refused at the time of delivery
and the original box and packaging must be kept until the carrier/shipper who
delivered claims them unnecessary for any claim purpose. If not reported within
48 hours of receipt, Modular Radionics will consider all claims of damage, defect,
or other error waived. All shipment fees incurring from refused products shall be
paid by you and will not be chargeable to Modular Radionics.

Shipping charges are based on the monetary amount of your order and the
shipping destination. All shipments will be made consistent with Modular
Radionics’ Shipping and Handling policy, which is hereinafter incorporated by

Modular Radionics may provide you with the ability to create a user account,
which may provide you with the ability to view messages, view order status, and
see recently viewed and purchased items through the Website (hereinafter “User

You acknowledge and agree that you control access to your User Account. Your
User Account may only be used by you or by third parties with your express
written consent. Modular Radionics will not be held responsible or liable for any

10. Term and Termination

The term of this Agreement will begin upon your first use of the Product(s), and
for the Website the first date of accessing the Website and will continue until the
earlier of the following: (i) Modular Radionics terminates your access to the
Website; or (ii) you cease using the Website and terminate your User Account.
Modular Radionics reserves the right to terminate the Website or your access to
the Website in its sole and absolute discretion and without prior notice.

Radionics will not provide you with the ability to control Modular Radionics'
defense, and Modular Radionics reserves the right to control its defense, including
its choice of counsel and whether to litigate or settle a claim subject to

14. Choice of Law and Stipulation to Jurisdiction

You agree any and all claims arising out of or related to your use of the Website
and of any Product(s) shall be exclusively brought in Miami-Dade County, Florida
USA. You specifically agree to the exclusive jurisdiction in Miami-Dade County,
Florida. This agreement is to be governed exclusively by Florida law. No other
forum or choice of law is acceptable. In the event Modular Radionics prevails in
any action arising out of or related to this Agreement, Modular Radionics shall be
entitled to its reasonable attorney's fees, court costs, and all other expenses,
whether or not taxable by the court as costs, in addition to any other relief it may
be entitled.

You and Modular Radionics agree that any dispute, claim, or controversy arising
out of or in relation to this Agreement or the applicability, breach, termination,
validity, enforcement, or interpretation thereof, or to the purchase of or use of
products purchased through the Website or from dealers or distributors, will be
settled by binding individual arbitration. If there is a dispute about whether this
arbitration clause can be enforced or applies to the dispute between You and
Modular Radionics, You and Modular Radionics agree that the arbitrator will decide

that any claim related to actual or threatened infringement, misappropriation, or

You and Modular Radionics agree that the Federal Arbitration Act will govern the
interpretation and enforcement of this arbitration provision. The arbitration will be
administered under American Arbitration Association’s most recent Commercial
Arbitration Rules then in effect except where as modified herein. The arbitration
will be conducted in Miami-Dade County, Florida USA and will be decided by a
single arbitrator randomly selected from a list of neutral arbitrators maintained by
the American Arbitration Association. Judgment on any award rendered by the
arbitrator may be entered in any court having jurisdiction. The arbitrator will be
provided with the right to award costs and attorneys’ fees to the prevailing Party.
This arbitration will be held in Miami-Dade County, Florida USA and both Parties
agree that they will be required to be present in Miami-Dade County, Florida USA
for arbitration under the terms of this Agreement and hereby submit to exclusive
personal jurisdiction in Miami-Dade County, Florida USA. The arbitrator will apply
the laws of the State of Florida, USA and the federal laws of the United States in
deciding any controversy or claim pursuant to this arbitration clause.

You and Modular Radionics acknowledge and agree that each are waiving the
right to a trial by jury as to all arbitrable disputes.

You and Modular Radionics acknowledge and agree that, to the fullest extent
permitted under the law, each are waiving the right to participate as a plaintiff or
class member in any class action lawsuit, class arbitration, or private attorney
general action. If this class action waiver is held unenforceable with respect to the
dispute between the Parties, the Parties agree that the entirety of the arbitration
clause will be deemed void with respect to such dispute and the dispute must
proceed in court.

15. Force Majeure

Modular Radionics will not be responsible for any delay or failure in performance
of the Website or its associated Product(s) arising out of any cause beyond
Modular Radionics' control, such as acts of God, war, riots, fire, terrorist attacks,
power outages, severe weather, or other accidents.

16. Survivability

The representations, warranties, duties, and covenants made by you under this
Agreement will survive the termination of this Agreement, your User Account, or

the Website and the use of any Products, including, but not limited to, your duty
to indemnify and defend Modular Radionics.

17. Severability

In the event any term or condition of this Agreement is deemed invalid or


unenforceable, the remaining terms and conditions of this Agreement will remain
in full force and effect.

18. Interpretation

This Agreement will be deemed to have been drafted by both parties, and the
terms and conditions of this Agreement will not be interpreted against its drafter.

19. Assignment

You are expressly prohibited from assigning your rights and duties under this
Agreement. Modular Radionics reserves the right to assign its rights and duties
under this Agreement, including in a sale of Modular Radionics and/or its Website.

20. Waiver, Privacy Policy, and Integration

No term or condition of this Agreement or breach of this Agreement will be


deemed to have been waived or consented to unless said waiver is writing and
signed by the party to be charged. This Agreement is the entire agreement
between the parties and supersedes all previous agreements or representations
between the parties. Modular Radionics incorporates by reference its Privacy
Policy as if fully stated herein.
