10.5 Right of Interpretation
The constituent documents constituting this solicitation document shall be mutually
construed and mutually explanatory; If there is any ambiguity or inconsistency, it
constitutes the composition of the contract documents, which shall be subject to the
content agreed in the contract documents, and the priority order of the contract
documents agreed in the special contract clauses shall be interpreted; Unless
otherwise specified in the solicitation documents, the provisions applicable only to

1.1 Project Overview
1.1.1 According to the provisions of the Indonesian Law on Tendering and Bidding and other relevant
laws, regulations and rules, this bidding project has met the bidding conditions, and the construction of
this tender section is now tendered.

1.4 Bidder Eligibility Requirements
1.4.1 The bidder shall have the qualifications, ability and credibility to undertake the construction of
this tender section.

1.4.2 If the Bidder Notices to the Foregoing Schedule provides for acceptance of a consortium bid,
in addition to meeting the requirements of Section 1.4.1 of this Chapter and the Bidder's Notice to Bidders
Schedule, the following provisions shall be observed:
(1) Each party to the consortium shall sign a consortium agreement in the format provided in the
bidding documents, clarifying the rights and obligations of the consortium leader and each party;
(2) A consortium composed of units of the same profession shall determine the qualification level

according to the unit with a lower qualification level;
(3) Each consortium party shall no longer bid in the same tender in its own name, alone or in the
participation of other consortiums.
1.4.3 Bidders shall not fall under any of the following circumstances:
(1) It is a subsidiary (unit) that does not have independent legal personality of the tenderer;
(2) Provide design or consulting services for the preliminary preparation of this tender section,
except for the general contracting of design and construction;
(3) be the supervisor of this specimen;
(4) Be the agent builder of this specimen;
(5) Provide bidding agency services for this tender section;
(6) The same legal representative as the supervisor or agent of this tender or bidding agency;
(7) Mutual holding or equity participation with the supervisor or agent of the tender section or
the bidding agency;
(8) Holding or working with the supervisor or agent of the tender section or the bidding agency;
(9) is ordered to suspend business;
(10) Suspension or disqualification from bidding;
(11) The property is taken over or frozen;
(12) In the past three years, there has been fraud in winning the bid or serious breach of contract
or major project quality problems.
1.5 Assumption of Costs
Bidders are responsible for the costs incurred in preparing and participating in bidding activities.
1.6 Confidentiality
All parties involved in tendering and bidding activities shall keep confidential the commercial and
technical secrets of the solicitation documents and tender documents, and violators shall bear legal
responsibility for the consequences arising therefrom.
1.7 Language
With the exception of terminology, the language relating to tenders and tenders is Chinese. Where
necessary, terminology should be accompanied by Chinese notes.
1.8 Units of Measurement
All measurements are in units of measurement defined by Indonesian laterite nickel mines.
1.9 Site survey
1.9.1 If the bidder shall organize the site survey as specified in the preceding Schedule, the Tenderer
shall organize the bidder to visit the project site at the time and place specified in the Schedule to the
Tenderer.
1.9.2 The bidder shall bear the expenses incurred in visiting the site.

1.9.3 Except for reasons attributable to the tenderer, the bidder shall be solely responsible for the
casualties and property losses incurred during the survey site.
1.9.4 The project site and related surrounding environment introduced by the tenderer during the site
survey shall be used by the tenderer for reference when preparing the tender documents, and the tenderer
shall not be responsible for the judgment and decision made by the bidder on the basis thereof.
1.10 Preparatory Bidding Meeting
1.10.1 If the Bidders ' Notice to the Preceding Schedule provides for a preliminary meeting for
bidding, the Tenderer shall convene a preliminary meeting for bidding at the time and place specified in
the Schedule to Tenderers to clarify the issues raised by the Bidders.
1.10.2 The Bidder shall communicate the questions raised in writing to the Tenderer at the time
specified in the Schedule prior to the Tenderer's Notice to Tenderers so that the Tenderer may clarify them
during the meeting.
1.10.3 After the Tender Preparatory Meeting, the Tenderer shall notify all Tenderers who have
purchased the Tender Documents in writing of clarifications of the questions raised by the Bidders within
the time specified in the Schedule to Tenderers. This clarification forms an integral part of the solicitation
documents.
1.11 Subcontracting
If the bidder intends to subcontract part of the non-main and non-critical work of the winning
project after winning the bid, it must obtain the consent of the tenderer.
1.12 Deviation
Bidders should note that if the preceding schedule allows the tender documents to deviate from certain
requirements of the solicitation documents, the deviation shall comply with the scope and magnitude of
the deviation specified in the solicitation documents.
2. Tender documents
2.1 Composition of the solicitation documents
This tender document includes:
(1) Tender announcement (or invitation to tender);
(2) Information for bidders;
(3) Bid evaluation methods;
(4) Contract terms and format;
(5) Bill of quantities;
(6) drawings;
(7) Technical standards and requirements;
(8) Tender file format;

(9) Bidders should be aware of other materials specified in the preceding schedule.
Clarifications and modifications to the solicitation documents pursuant to paragraphs 1.10, 2.2 and
2.3 of this chapter form an integral part of the solicitation documents.
2.2 Clarification of Solicitation Documents
2.2.1 The bidder shall carefully read and check the entire contents of the tender documents. If missing
pages or incomplete attachments are found, they shall be submitted to the tenderer in a timely manner so
that they can be completed. In case of doubt, the tenderer shall be requested to clarify the solicitation
documents in writing (including letters, telegrams, facsimile and other forms that can give tangible
expression to the contents contained therein, the same below) before the time specified in the Schedule to
the Tenderer's Notice.
2.2.2 Upon receipt of the clarification, the Bidder shall confirm receipt of the Clarification by
notifying the Tenderer in writing within the time specified in the preceding Schedule to the Tenderer's
Notice.
2.3 Modification of Solicitation Documents
2.3.1 Upon receipt of the amendment, the Bidder shall notify the Tenderer in writing within the time
specified in the Schedule preceding the Notice to the Bidder to confirm receipt of the amendment.
3. Tender documents
3.1 Composition of tender documents
3.1.1 The tender documents shall include the following:
(1) Tender letter and appendix to tender letter;
(2) Proof of identity of the legal representative or power of attorney with proof of identity of the legal
representative;
(3) Bid bond;
(4) List of quantities that has been marked;
(5) Construction organization design;
(6) Qualification examination materials;
(7) Bidders should be aware of other materials specified in the preceding schedule.
3.2 Bid Quotations
3.2.1 Bidders shall complete the corresponding forms as required by Chapter 5 "Bill of Quantities".
3.2.2 The bidder shall amend the total bid price in the tender letter before the tender deadline by
amending the corresponding quotation in Chapter 5 "Bill of Quantities". Such modification is subject to
the relevant requirements of paragraph 4.3 of this Chapter.
3.3 Validity of Tenders
3.3.1 During the validity period of the tender specified in the Schedule to the Tenderer's Notice, the

Bidder shall not request the withdrawal or modification of its tender documents.
3.3.2 If special circumstances arise that require an extension of the validity period of the bid, the
tenderer shall notify all bidders in writing to extend the validity period of the bid. If the bidder agrees to
the extension, it shall extend the validity period of its bid bond accordingly, but shall not require or be
allowed to modify or withdraw its bid documents; If the bidder refuses to extend, its bid becomes invalid,
but the bidder has the right to recover its bid deposit.
3.4 Bid Bonds
3.4.1 When submitting the tender documents, the bidders shall submit the tender bonds in accordance
with the amounts specified in the preceding Schedule, the form of the security and the form of the tender
bond specified in Chapter VIII "Tender Document Format" and form part of its tender documents. If a
consortium bids, the bid deposit shall be submitted by the leader and shall comply with the provisions of
the Schedule before the Instructions to Bidders.
3.4.2 If a bidder fails to submit a bid bond in accordance with the requirements of item 3.4.1 of this
Chapter, its bid documents shall be invalidated.
3.4.3 Within 5 working days after the tenderer signs the contract with the successful bidder, the bid
deposit shall be returned to the unsuccessful bidder and the successful bidder.
3.4.4 The bid deposit will not be refunded under any of the following circumstances:
(1) The bidder revokes or modifies its tender documents within the prescribed period of validity
of the tender;
(2) After receiving the notice of winning the bid, the successful bidder refuses to sign the contract
agreement without justifiable reasons or fails to submit the performance guarantee as stipulated in the
solicitation documents.
3.5 Eligibility Information
3.5.1 The "Basic Information Form of Bidders" shall be accompanied by a copy of the bidder's
business license and a copy of the certificate of passing the annual inspection, a copy of the qualification
certificate and a copy of the safety production license.
3.5.2 The "Statement of Financial Position for Recent Years" shall be accompanied by the financial
and accounting statements audited by the accounting firm or auditing institution, including copies of the
balance sheet, cash flow statement, income statement and financial fact sheet, as required for the specific
year.
3.5.3 The "Situation Table for Similar Projects Completed in Recent Years" shall be accompanied by

3.6 Preparation of tender documents
3.6.1 The tender documents shall be prepared in accordance with Chapter VIII "Tender Document
Format", with additional pages as an integral part of the tender documents, if necessary. Among them, the
appendix to the tender letter may, on the basis of satisfying the substantive requirements of the solicitation
documents, set forth a commitment that is more favorable to the tenderer than the requirements of the
solicitation documents.
3.6.2 The tender documents shall respond to the substantive contents of the tender documents, such
as the construction period, validity period of the tender, quality requirements, technical standards and
requirements, and the scope of the tender.
3.6.3 The tender documents shall be written or printed in non-fading materials and shall be signed
or stamped by the legal representative of the bidder or his authorized agent. If a proxy is entrusted to sign,
the bidding documents shall be accompanied by a power of attorney signed by the legal representative.
Tender documents should, to the extent possible, avoid alterations, interpolations or deletions. If the above
situation occurs, the change shall be affixed with the unit seal or signed by the legal representative of the
bidder or its authorized agent. Specific requirements for signatures or seals are set out in the Instructions
to Bidders Schedule.
3.6.4 One original tender document, the number of copies of which is shown in the Appendix
before the Bidder's Notice. The cover of the original and copy should be clearly marked with the words
"original" or "copy". In the event of inconsistency between the copy and the original, the original shall
prevail.
3.6.5 The original and copy of the tender documents shall be bound separately and a catalogue shall
be compiled, and the specific binding requirements shall be specified in the Appendix before the
Tenderer's Notice.
4. Bidding
4.1 Sealing and marking of tender documents
4.1.1 The original and copy of the tender documents shall be packed separately, affixed with a seal
and affixed with the bidder's unit seal on the seal of the envelope.
4.1.2 The envelope of the tender documents shall be clearly marked with the words "original" or

4.3 Modification and withdrawal of tender documents

amend or withdraw the tender documents submitted by giving written notice to the Tenderer.
4.3.2 The written notice by the bidder of amending or withdrawing the submitted tender documents
shall be in accordance with Article 3 of this Chapter7.3 Signature or seal required. After receiving the
written notice, the tenderer shall issue a receipt voucher to the bidder.
4.3.3 The amendments shall be an integral part of the tender documents. Revised tender documents
shall be prepared, sealed, marked and submitted in accordance with articles 3 and 4 of this chapter and
marked with the word "amended".
5. Opening of bids
5.1 Time and Place of Bid Opening
The tenderer shall open tenders at the deadline for tendering (the opening time) specified in
subparagraph 2.2.2 of this Chapter and at the place specified in the preceding Schedule to the Notice to
Tenderers. The bidder's legal representative (holding the original legal person certificate and the original
valid identity document) or its authorized agent (holding the original power of attorney of the legal
representative and the original valid identity document) shall participate on time.
5.2 Tender Opening Procedures
The moderator opens the tenders according to the following procedure:
(1) Announcement of discipline for opening tenders;
(2) Publish the name of the bidder who submitted the bidding documents before the bidding deadline,
and confirm by name whether the bidder sent someone to the scene;
(3) Announce the names of relevant personnel such as the person who opened the bid, the person who
recorded the bid, the recorder, and the person who monitored the bid;
(4) Check the sealing of the tender documents in accordance with the provisions of the Schedule

before the Instructions to Bidders;
(5) Determine and announce the order of opening of tender documents in accordance with the
provisions of the Appendix to Bidders;
(6) Open bids in public in accordance with the announced order of opening bids, and publish the
name of the bidder, the name of the bidding section, the submission of the bid deposit, the bidding
quotation, the quality objective, the construction period and other contents, and record them;
(7) Representatives of bidders, representatives of tenderers, supervisors, recorders and other relevant
personnel sign and confirm on the bid opening record;
(8) End of bid opening.
6. Evaluation of bids
6.1 Tender Evaluation Committee
6.1.1 The evaluation of bids shall be the responsibility of the bid evaluation committee established
by the tenderer in accordance with the law. The bid evaluation committee is composed of representatives
of the tenderer or the tendering agency entrusted by it who are familiar with the relevant business, as well
as experts in relevant technical and economic aspects. The number of members of the bid evaluation
committee and the manner in which technical, economic and other experts are determined are set out in
the attached table before the instructions to bidders.
6.1.2 A member of the bid evaluation committee shall recuse himself or herself under any of the
following circumstances:
(1) close relatives of the tenderer or the principal responsible person of the bidder;
(2) Personnel of the competent department of the project or the administrative supervision
department;
(3) There is an economic interest relationship with the bidder, which may affect the fair evaluation
of the bid;
(4) Those who have received administrative or criminal punishments for engaging in illegal acts
in bidding, bid evaluation and other activities related to bidding and bidding.
6.2 Principles of Bid Evaluation
The evaluation of bids follows the principles of fairness, impartiality, science and merit.
6.3 Evaluation of Bids
The Bid Evaluation Committee shall evaluate the tender documents in accordance with the methods,
evaluation factors, criteria and procedures set forth in Chapter III "Bid Evaluation Methods". Chapter III
"Bid Evaluation Measures" does not contain prescribed methods, evaluation factors and standards, and
shall not be used as the basis for bid evaluation.

7. Award of Contract
7.1 Calibration method
Except as stipulated in the Schedule to Tenderers to determine the successful bidder directly, the
Tenderer determines the successful bidder on the basis of the successful candidates recommended by the
Bid Evaluation Committee, and the number of successful candidates recommended by the Bid Evaluation
Committee is set out in the Appendix before the Notice to Bidders.
7.2 Notification of Winning Bid
During the validity period of tenders provided for in paragraph 3.3 of this Chapter, the Tenderer shall
notify the successful bidder in writing and at the same time notify the unsuccessful bidder of the result of
the successful bid.
7.3 Performance Guarantees
7.3.1 Before signing the contract, the successful bidder shall submit the performance guarantee to
the tenderer in accordance with the amount specified in the Schedule to the Tenderer, the form of the
security and the form of performance guarantee specified in Chapter 4 "Contract Terms and Format" of
the Tender Documents. If the consortium wins the bid, its performance guarantee shall be submitted by
the lead person and shall meet the requirements for the amount specified in the previous schedule to the
bidder, the form of the guarantee and the form of the performance guarantee stipulated in Chapter IV
"Contract Terms and Format" of the tender documents.
7.3.2 If the successful bidder fails to submit a performance guarantee in accordance with the
requirements of item 7.3.1 of this Chapter, it shall be deemed to have abandoned the successful bid, its
bid deposit shall not be refunded, and if the loss caused to the tenderer exceeds the amount of the bid
bond, the successful bidder shall also compensate for the excess amount.
7.4 Conclusion of Contract
7.4.1 The Tenderer and the Successful Bidder shall, within 30 days from the date of issuance of the
Notice of Successful Bidding, conclude a written contract based on the Solicitation Documents and the
Successful Bidder's Tender Documents. If the successful bidder refuses to sign the contract without
justifiable reasons, the tenderer shall be disqualified from winning the bid, and the bid deposit shall not
be refunded; If the losses caused to the tenderer exceed the amount of the bid deposit, the successful
bidder shall also compensate for the excess amount.
7.4.2 If the tenderer refuses to sign the contract without justifiable reasons after the issuance of the
notice of winning the bid, the tenderer shall refund the bid deposit to the successful bidder; If losses are
caused to the successful bidder, the losses shall also be compensated.

8. Re-tendering and non-tendering
8.1 Re-tendering
In any of the following circumstances, the tenderer will re-tender:
(1) There are fewer than 3 bidders as of the bidding deadline;
(2) All bids are rejected after evaluation by the bid evaluation committee.
8.2 No More Tenders
If there are still fewer than three bidders after rebidding or all bids are rejected, it is an engineering
construction project that must be examined or approved, and no bidding will be conducted after approval

3.2.3 Bidder score = A+B+C+D.
3.2.4 If the Bid Evaluation Committee finds that the bidder's quotation is significantly lower than
that of other bids, or when there is a bid, it shall require the bidder to make a written explanation and
provide corresponding supporting materials. If the bidder cannot reasonably explain or fail to provide
corresponding supporting materials, the bid evaluation committee shall determine that the bidder has bid
at a price below cost, and its bid shall be treated as invalid.
3.3 Clarification and Correction of Tender Documents
3.3.1 During the bid evaluation process, the Bid Evaluation Committee may request the bidder in
writing to clarify or explain in writing the unclear contents of the submitted tender documents, or to
