1 General
The target of the contract is, to establish prices and services that need to be considered within the
construction of the extension of the Color Harmonization Store (CHS) inside TOF, The Engineering,
Fabrication, Installation, Commissioning and Startup of the complete project (SOP), can be called off
upon request according to the developing needs of BMW SLP in the all building areas and maintain the
flexibility needed to react according to demand.

1.1 Description of the Bid Procedure


The Bid Procedure will start on 31/05/2022 and end on 03/06/2022.
Please observe the following requisites
- The quotation language is English
- The quote must follow the style and structure described within the RFP documentation
- The proposals need to be complete
- The quote must be sent within the deadline
- All responses should be sent via Coupa to the contacts listed in chapter 6.2
- Compliance with duty of disclosure, which means all issues which are inapplicable, need to be
changed, or deemed to be missing, need to be commented and communicated immediately.
- Acceptance of, and/or approved changes to, services, etc. as they pertain to the tender
documentation, need to be described in the proposal.
- The quote must be binding for two months after the deadline.
The assessment of the received proposals will be done by an internal evaluation team. The conclusion
of the functional and technical evaluation will result in recommendations to the supplier and a
potential awarding of a frame contract that details the working relationship between the two
companies.
These tender documents (and all appendices) may only be made available to those departments of the
contractor’s that are involved in the preparation of the tender. If third party companies are to compile
parts of the tender, it must be agreed in writing with BMW in advance.
This RFP is not a purchase order and BMW does not guarantee that any agreement shall be awarded
because of this RFP. Award of any agreement shall be solely at BMW’s discretion. No commitment is
expressed or implied. In evaluation of responses and proposals, BMW reserves the right to reject or
accept any or all responses and proposals, or to accept any combination of responses and proposals,
and to waive any informality in any response.

BMW reserves the right to negotiate any aspect of this solicitation with any one or all the suppliers, or
to negotiate separately with any source whatsoever and in any manner necessary to best serve the
interests of BMW.
The provider bears all costs related to this RFP, dispatch of documents, on-site visits at BMW or pre-
sales expenses. In no case BMW is responsible for any provider costs in connection with this inquiry.

1.2 Bid Procedure Schedule

BMW reserves the right to change the schedule at any time but shall equally endeavor to maintain as
much stability as possible for the process. Please confirm your intent to, or not to, participate in the
RFP via e-mail, no later than the due date, shown in the timeline below.

2 Current situation
2.1 General description of the objectives
The target of the contract is, to establish defined prices and services that are to be considered within
the provision the construction of the additional conveyor elements and a workstation at the entrance
of the CHS inside TOF. Engineering, fabrication, installation, commissioning, and startup of the
complete project can be called off upon request according to the developing needs of BMW SLP in all
building areas and maintain the flexibility needed to react according to demand.
Plant 30 SLP currently needs a new workstation for special colors before de CHS, the target of this
RFP is to get a change from actual installation to a completely new areas to the actual system.

Project will be coordinated from supplier and internally by TP-38-M2 planning department. It is
expected that the
supplier can deliver the complete system and fully functional.

3 Objectives and requirements


3.1 General description of the objectives
The supplier is the responsible of the full function of the system, 24 months of warranty independently
of the using time shall be provide

This should be reached with following activities:

- General: Include a complete Engineering:


- General and specific design drawings
- Media Plans (sub-systems)
- Electronic Drawings and documents.
- General Manuals and relevant information of the components.
- Include all the layouts that are necessary to modify from existing structure.
- Delivery of the E-plan for evaluation (electrical installation) according to the IEC and BMW
standards.
- Designs according to the local laws, local Government regulations and BMW standards.
- Safety layouts, with the safety issues identified.
- Risk assessment of the equipment by the supplier.
- Delivery of the complete information of equipment manuals after the commissioning
phase, in Spanish and English.
- Delivery of the complete information of maintenance plans, spare part list, general
information, lay outs, test results and all the relevant points for the FAC of the project.

3.2 Scope of Work

3.2.1 Scope

The contractor will provide following e.g. demounting of current equipment, fabrication of new
equipment, delivery material and equipment, Installation, commissioning, and SOP for the new
equipment of the areas that area part of the project.

The Contractor is obligated to follow below Health Safety and Environmental requirements of BMW
SLP and respective Mexican regulations.

The Contractor shall ensure supply chain security and observe legal policies and conditions. The
Contractor must be certified in a WCO-SAFE-recognized Supply Chain Program, such as for instance
AEO F, AEO S in Europe, C-TPAT in the USA or OEA in Mexico and provide copy of such certificate.

BMW reserves the right to request additional documentation from the Contractor (i.e. risk
assessment questionnaires or Security Declarations) and/ or audit and inspect the Contractors
premises for compliance with Supply Chain Programs at any time. Audits and inspections will be
announced by BMW in writing in advance and are not to be declined by the Contractor without
reason.
In case that the supplier doesn’t count with some of these certifications, supplier need to sign a
letter where they confirm are aware of the requirement, will be aligned and/or will obtain the
certification.

The contractor will provide following e.g. demounting of current equipment, fabrication of new
equipment, delivery material and equipment, Installation, commissioning, and SOP for the new
equipment of the areas that area part of the project.

The Contractor is obliged to follow the respective Mexican regulations for Safety, Health,
Environment and risk prevention and the BMW SLP requirements outlined in the contractors APP
(https://bmwslpcontractors.com), must enroll all of their workers. You will not be able to enter the
plant if you have not accredited the requested documentation.

Obey general Environmental Protection rules and regulations of the organization.
Permit BMW to audit its compliance with the Safety and Environment obligations under this
document and provide necessary information. Audits may be performed by an external service
provider duly obliged to confidentiality.

3.2.1.1 Workingstation for Frozen colors

3.2.1.2 General Considerations

3.2.1.3 Requirements

Extension of the CHS.

General Considerations.

- New conveyor with 2x roller beds including the elements for guarantee the full function
according to the spec.
- Workingstation including enclosure added to the actual one for the CHS.
- Lightning as in the specification for workdeck (inspection) is defined.
- Compressed air take points for manual equipment (number according to the final concept.
- 1x speed door to keep the workstation isolated from the CHS.
- Sprinkler system.
- 2x Manual equipment for sanding self dust extractor and the commodities needed for its
operation (1x each side of the workstation).
- New enclosure acording to the new installation, and the connection to the actual one
ensuring the complete dust protection already existing for the CHS.
- Analysis and addequation of the steel structure according to the definitive configuration
after the engineering definition process.
- Steel work needed to complete floor, walls, roof, and relevant windows, doors, and openings
according to the final definition developed by BMW and Supplier.
- The integration must also include the interface with the automated equipment relevant for
the process, in regards of the cycle time, position of the body, and interface for call.
- Design and material according to BMW spec.

- Controll elements and programming for the integration to the actual installation in the
conveyor’s PLC and the control room.
- Development and commissioning of Visualization and Hallensteuerung Software.
- Installation and commissioning without affections to production.

- Delivery and Preassembly of the conveyors
- Assembly on site
- Documentation.
- This document shows the minimum of delivery. The supplier must guarantee the full
function.
- Support for on site for a qick response in case of issues coming from the instalation and/or
commissioning.
- Programming Scope.
- 2 years of warranty independently of the using time after the complete handover.

***Note. The references and standards can be checked on site by the supplier.

Mechanical scope of delivery

- The conveyor´s control will belong to the C51 control and logic structure.
- The equipment and installation must accomplish the BMW control standard for conveyor
technology.
- New equipment according to the BMW standards described on the (Annex B)
- Housin removal and dismantling when apply.
- Closing of the whole conveyor area as defined in the signed concept.
- Install HMI with the BMW standard settings
- All the modification, reinforcement, relocation, or removal about all the interference, will be
previously reviewed by the supplier, and considered in the quotation.

Electrical scope of delivery

- Re-Installation of cable tray with new routes. Without interferences to maintenance


activities.
- Installation of cable tray and cabling for minimum the necessary movifits and associated
sensors, roller beds and cross chain.
- Installation of Switchgear in Cabinet for new power drop to new components and reinforce
the power supply if necessary

- New parallel line between CHS and the wiping station must be able to select the color by a
screen in the applicable control desck and the HS, it must include an automatic function
mode which allow the logic of the conveyor to define the collor tha must be stored.
- Feeding to the wiping station according to priority defined during the engineering phase in
detail, nevertheless the switching between lines must acurr at the end of the bigger batch.
- Grounding measurement. (NOM-022-STPS-2015) and delivery official results.
- LOTO procedure.
- Include the new installation in the Unifilar Diagram (E-plan)
- Add the new electrical installation to the actual panel if is necessary and make necessary
connections or modifications, at the end of the installation the supplier guarantees 20% of
spare in the cabinets
- Include the modification, relocation, or removal of the all the interference (previously
reviewed by the supplier on-site)
- Commissioning of the system.

Safety Interlocks

- The safety device must be protected against an accidental activation. E.g., E-stops located in
the walkway.
- Equipment designed to fail-safe mechanism and interlocks checked and working properly.
(EN-60204 check list procedure and review)
- Safety signs indications of the equipment is according to NOM-026-STPS-1998. Labels are
provided in Spanish & English
- Sprinkler system for the new installation

Conveyors.

- Include the new description in the PLC. Verify the signal in PLC.
- Visualization configuration for the ZENON software.
- Functionality test.
- Labeling conveyor mechanical (QR code) and electrical devices (QR code)

IT

- New functions added to the actual logic of the CHS in the best way to ensure the biggest
color batches.
- Upgrade the existing visu control panels
- Descriptions for controls and maintenance
- Control panel / target selection

Other considerations.

- General cleaning after every day of work. 5s on designated areas for suppliers such as: office,
storage areas, etc.)
- All the materials will be with anticorrosive proprieties.
- Safety signs indications of the equipment is according to NOM-026-STPS-1998. Labels are
provided in Spanish & English
- Follow the color concept (BMW standard)

3.2.1.4 Equipment and Materials

The supplier must provide all necessary equipment and material to perform the activity, include:
- Use of clean anti-static overalls for each person.
- Safety equipment.
- And all the necessary elements for the specific work activities.

All the materials, consumables, etc., will be “silicon free”, without exceptions.

3.2.1.5 Supervision

The supplier will have a designated supervisor who will be responsible to ensure the quality, safety
and the complete coordination of the service provided, according to the established Safety MANUAL
for contractors.
The supervisor will be sending the schedule in detail with all the activities include I the project and one
daily report with the advance and pictures and all the evidence necessary for report the update.
The supplier recognizes this is an active construction and installation site and all equipment and
personnel movements must be coordinated with the contractor in control of the building.

3.2.1.6 Training.

The supplier need provide the general training and other specific components for the current
operation of the equipment’s.

3.2.1.7 Supplier responsibilities

The supplier will also be responsible of providing all the information of the Safety MANUAL for
contractors, according with BMW and legal requirements.
Every chemical must be labelled according to Globally Harmonized System (GHS), it has to be properly
authorized in ZEUS and orange sheets must be available for consultance.
The supplier will be responsible for any damage done from his personal to the installations and/or any
equipment.
The supplier will be allowed to use a small area designated by the BMW inside the building, this area
is temporary for storage and resguarding the material and equipment of the supplier.
BMW will be providing only the electrical power, water, compress air inside the building, and is
responsibility of the supplier the correct connection and the correct use of the BMW installation and
facilities, for any damage the supplier need be repair, change or install the new funcionallity part,
material, or area.
The supplier needs to protect the area against dust or pollution generated by the process of the
installation

3.2.2 Cooperation in creating deliverables

3.2.3 Requirements Project Team

- Knowledge regarding mechanical, electrical and programming installation, fire protection


system, air recirculation (down draft).
- Certification must be provided according to Mexican law (if there are foreigner workers
equivalent or similar document must be provided)
- English language minimum for the supervisors or people in charge.

3.2.4 References
The contractor should present appropriate references in the area of mechanical, electrical and
programming installation, fire protection system, air recirculation (down draft). within its quote
(Customer, Project, Term), according to Mexican law and Standard of the BMW Group.

3.3.1 Contract Term

This Agreement will be effective as of “Contract Start Date”, defined in this document and will end on
FAC date in agreement with the supplier schedule. Thirty (30) days before the standing contract
deadline BMW has the right to extend the contract for one (1) year on the basis of existing terms and
conditions.

4 Acceptance procedure and acceptance criteria

Complete installation and commissioning done according to BMW std and Mexican Norms, equipment
completely functional and able to work with running production, PLC, and visualization according to
BMW std.

5 Structure and return of quotes


The proposals will be evaluated on the basis of price, performance, reliability, vendor experience, and
overall responsiveness and conformance to this RFP.
The RFP response must include:
- The return of the reviewed RFP documentation, appendices, and attachments; completed with
all necessary fields and values filled-in; suggested changes highlighted, dated, and initialed; and
any supported with pertinent information and explanations
- A general summary and short draft of the proposed solution for providing the requested services.

5.1 Suggested Changes, enhancements or deletions


The main evaluation criterion for “approval” will be adherence to BMW’s proposed contract terms,
conditions, processes, procedures, etc.; which means the Provider should request as few changes as
possible. However, in the event the Provider is not in full agreement with the contents of the
documentation and wishes to suggest modifications to the specific language of the requirements,
conditions, or specifications, and/or is seeking to apply an alternative approach to fulfill the
requirements the Provider should give the proposal in the form of comments.

If Provider does not submit any changes as described in this instruction document, BMW assumes the
Provider does not have any suggestions which may impact the BMW requirements or the pricing.

5.2 Calculation basis and payment

The plan quantity is noted in the Price Sheet, but this volume cannot be committed (guaranteed).
These quantities may vary over time, as requirements change.

The prices are to be offered to BMW as presented in the Price Sheet. The provider will deliver prices
in the form of a detailed Price Sheet. These cover all required deliverables and services, described
herein and in the annexes and appendices to the contract. Only deliverables and services which are
explicitly marked as “optional” shall be calculated and listed in the Price Sheet as separate optional
costs. If no cost is mentioned for a certain service, this service is provided at no additional cost. The
provider will integrate and classify all his costs based on the price structure mentioned below and as
defined in the Price Sheet.

The proposals must follow the style and structure as described in the RFP documents and cost
calculations needs to be filled in the price sheet and should be delivered in pdf and xls. The only
exception concerns suggestions by the provider for changes that would enable the BMW to take
advantage of a more attractive offer.
The time for the payment of the remuneration owed shall be defined within the negotiations. This will
be confirmed in the form of a negotiation protocol by BMW.

Should BMW dispute the invoice, payment may be deferred by BMW until the invoice dispute has been
settled. BMW will pay within the determined time for payment, after the invoice dispute has been
settled.

5.2.1 Form of Invoice

Invoices are to be submitted to BMW in written form. They have to be uploaded to


www.bmw.ateb.com.mx. Please include in copy the contact assigned for the technical department, so
they can approve the payment. Invoices, changes to invoices (reissuing of invoices), Electronic invoices
and itemized bill information are provided to BMW free of charge. All invoices will always include the
references given by BMW:

- - The BMW Purchase Order Number

All invoices have to comply with all legal and tax regulations of the country they’re addressed to.
Invoice copies are be delivered upon BMWs request without additional costs. Invoices and all
positions on the invoice always use the discounted prices that were agreed with BMW.

5.2.2 Registration in Supplier Database

There are two different templates you will need to fill in, for registration in our supplier database,
depending on wether you are a local or an international supplier please fill out accordingly (see
appendix). Remember to include your company´s letter head and sign the document as instructed.

Information about the document has to be sent to accountspayableslp@bmw.com. If fail to summit


on time may slow down the payment process.

5.2.3 Tax

The contracting parties agree that the reference prices of this contract and the statutory value added
tax are to be invoiced. The prices are indicated net of tax in the Price Sheet.

Each party is responsible for ensuring compliance with their fiscal duties and/or obligations resulting
from the present contract. If non-compliance with duties and/or obligations should result in damages
or other disadvantages suffered by one of the contracting parties, the other contracting partner shall
exempt him from this.

The contractor bears any taxes, contributions, charges and other fees of any kind whatsoever ("taxes")
- with the exception of the statutory value added tax indicated in the first clause of this regulation -
which the contractor pays in the course of consuming, using or purchasing of goods and services either
at home or abroad and which are necessary to provide the services underpinning this contract. These
taxes are to be incorporated by the contractor as costs in the agreed prices underpinning this contract,
but only if the contractor is not entitled to any refund, discount, rebate and/ or deduction of these
taxes either at home or abroad. The contractor shall in no way invoice BMW for these taxes in addition
to the price underpinning this contract.

5.2.4 Travel Expenses

Costs for preparing offers or offer presentations are not part of the service providers account and BMW
will not compensate providers for any expenses incurred unless explicitly in writing prior to the offer
presentation.

Travel expenses (incl. travel time) for the scope outlines in this RFP are included in the pricing (section
max. travel costs in price sheet). Costs above this allowance, will not be recompensed. Travels on
behalf of BMW have to be approved by BMW in advance and will be charged according to the Business
Trip Policy BMW SLP (see appendix).

5.2.5 Incoterm

The Incoterm for all delivery of goods is as agreed as DDP (Delivered Duty Paid, San Luis Potosi). There
will be no additional costs for BMW with regards to e.g. delivery, packaging and customs.
The contractor has to set up insurance in order to ensure the secure and reliable delivery of the goods
/ services under all circumstances.

6 Administration
6.1 Confidentiality and copyright
This RFP (Request for Proposal) and a response to this RFP, hereafter referred to as the “Tender
Response”, shall be handled as confidential Information. Please bear in mind that all matters relating
to this submission must be kept confidential. They should be shared only between those in your
organization with a need to know and who will participate in this submission. This RFP certainly should
not be made public and may not be used for any purposes other than the preparation of their response
to this RFP. The contractor may not use the Tender for any purpose other than the production of a
tender. The contractor agrees to take all necessary measures to ensure that none of the provided
information is misused.

BMW reserves the right to use all information and data provided by the Contractor in his Tender
Response for Agreement (Contract) negotiations in connection with the tender process. The quote has
to be provided on basis of the contractual conditions defined in this Document and its schedules and
annexes.

The “General Terms and Conditions for the Purchase of Goods and Services of BMW SLP S.A. de C.V.
