SCHOLARSHIP AGREEMENT

YAYASAN UNIVERSITAS PELITA HARAPAN, May, 2014

This Scholarship Agreement (hereinafter referred to as the “Agreement”) is


made and entered into as of this 15th day of May (May Fifteenth, Two
Thousand Fourteen), (15-05-2014 AD), by and between :

1. Hannah Achmadi, Corporate HRD & Scholarship Director of


Yayasan Universitas Pelita Harapan (YUPH), duly organized and
validly existing under and by virtue of the laws of the Republic of
Indonesia, having its principal office at UPH Tower, Lippo Village,
Tangerang, 15811, Indonesia, hereinafter referred to as “YUPH”;

2. Miss Audrinna Sundas, Citizen of Nepal, domiciled at Kathmandu,


hereinafter referred to as the “Student”.

YUPH and the Student collectively are referred to as the “Parties” and
severally as the “Party”.

RECITALS

1. WHEREAS, YUPH is a foundation managing private university


(Universitas Pelita Harapan/UPH), engaging in a scholarship program
for college students willing to develop Christian integrative teaching
principles of international standard, by providing financial support for
the education of Student as suitable future teachers (hereinafter
“Scholarship Program”);

2. WHEREAS, the Student desires to obtain Scholarship Program from


UPH;

3. WHEREAS, YUPH agrees to grant the Student the Scholarship


Program and the Student agrees to accept such Scholarship Program
from YUPH.

NOW, THEREFORE, in consideration of the details above, the Parties hereby agree
to enter into this Agreement under the following terms and conditions:

Article 1

AMOUNT OF SCHOLARSHIP

YUPH agrees to grant a Scholarship with a level of 100% (one hundred percent) as
stipulated in Article 2.2 within Scholarship Period to the Student.
Article 2

SCHOLARSHIP PROGRAM

2.1. The duration of the Scholarship is 3 (three) or 4 (four) academic years,


depending on the academic program, as of the signing date of this Agreement
(hereinafter referred to as “Scholarship Period”);

2.2. YUPH agrees to provide Scholarship to Student including:

1. Tuition fees:
a. Education Development Contribution
b. Fixed Tuition Fee
c. Variable Tuition Fee
d. Orientation Program
e. Registration
f. Thesis/Final Examination/Comprehensive Test
g. Graduation Fee

2. Additional costs provided within the Scholarship Period:


a. Uniform and Jacket
b. Accommodation
c. Meals
d. Transportation (for Student outside Jabodetabek within Indonesia
only):
i. from home at start of course, 1 (one) trip
ii. round trip after 2 (two) years of studies, and
iii. to home at end of course, 1 (one) trip
e. Library and Text book loan
f. Computer access
g. Graduation Gown

3. The Scholarship is divided into three parts:


a. Grant (in exchange for student’s pledge to teach for 3-4 years)
b. Work (in exchange for 5 hours of work on campus each week)
c. Loan (repaid once graduate is employed teaching)

2.3. The amount specified in Article 2.2.2 is subject to change at sole discretion of
YUPH.

2.4. In the event Student cannot stay in the dormitory either by reason of marriage
(application form or copy of Marriage Certificate must be attached) and/or any
other reasons agreed upon by YUPH, then the Student hereby explicitly declares
to release his/her rights on:

1. accommodation cost during Scholarship Period


2. meals during Scholarship Period
3. Transportation from and to UPH Lippo Village, Tangerang, Indonesia
(hereinafter referred to as “Campus”)
Article 3

SUPPORTING COSTS

3.1 When Student has been declared accepted in the Scholarship Program,
parent/guardian hereby agrees to be responsible for all supporting costs:

3.2 The supporting costs include:


1. Rp. 30.500 (Thirty thousand five hundred Rupiah) per month for Health
Insurance Fee, which will be paid in advance for one year.
2. Student personal spending money per month, which depends on the
financial ability of their parent/guardian.

Article 4

CONDITIONS OF SCHOLARSHIP PROGRAM

4.1 The Student agrees to fulfill the following conditions of Academic Performance
within the Scholarship Period:

1. Progress Review at end of each semester based on GPA & Cumulative GPA
2. Probation period of consecutive 3 (three) semesters
3. Study period of maximum 9 (nine) semesters
4. Remain registered as an active UPH student for the duration of Scholarship
Period

4.2 The Student agrees to comply with the following conditions of Personal Growth
within the Scholarship Period:

1. Having a sound physical condition and able to study


2. Willing to be mentored spiritually
3. Involvement in at least one student activity
4. Having an upright behavior and abide by ITC rules and regulations
5. Doing community service of 5 (five) working-hours per week during the
semester within Scholarship Period
6. Complete the study program, meeting the scholarship conditions and
graduate as a teacher

4.3 Within the Scholarship Period, Student may not:


1. Employ any effort or activity that may generate money for personal gain,
unless prior written approval has been obtained from YUPH
2. Do any other activities which can harm his/her success in the Scholarship
Program, unless prior written approval has been obtained from YUPH

4.4 Student must comply with International Teachers College “Residence Life
Policy” (RL), as written in ITC Standards of Conduct, within the Scholarship
Period.
Article 5

SCHOLARSHIP RECIPROCATION

5.1. Scholarship reciprocation is repayment of the scholarship funds as stated in


Article 2.2.3 (repayment of loan).

5.2 Student must reciprocate the scholarship funds depending on the level of
Scholarship as follows:
1. Academic Achievement (Article 4.4.1) and Personal Growth (Article 4.4.2)
2. Completion of requirements for Graduation, and Diploma received
3. Acceptance and Completion of Teacher Placement
4. Satisfactory Performance in Teaching Assignment

5.3 The Student agrees to fulfill a maximum of 3 (three) or 4 (four) years teaching
assignment after graduation as directed by YUPH (hereinafter referred to as
“Teaching Assignment Period”) based on number of years of their
scholarship.

5.4 The assignment policy and the teaching assignment directed by YUPH as stated
in Article 5.5.2 is at the discretion of YUPH in consultation with partner schools
in home countries (designated sponsor from that school signs this contract).
Stipulation pertaining to teaching assignment shall be further regulated in the
“Regulation of Teaching Assignment for Teacher Education Scholarship
Reciprocation.

Article 6

SANCTION

6.1 In the event the prospective student and/or parent/guardian prove to have
provided untruthful information and/or data during the admission process,
YUPH can cancel the agreement.

6.2 In the event that the Student, having agreed and signed the agreement by the
consent of parent/guardian, withdraws from the Scholarship Program prior to
arrival at the campus and before the courses begin, parent/guardian must pay an
administrative sanction of approximately Rp 500,000. (Five hundred thousand
Rupiah)

6.3 If the Student for any reason terminates this Agreement during the Scholarship
Period or before the Teaching Assignment is completed, or assigns part of or all
of its obligations to another party without written approval from YUPH, the
Student is required to repay YUPH for all the scholarship amount incurred
thereto.

6.4 Student is imposed a sanction in accordance with the prevailing regulation at


UPH with respect to violation of provisions in Article 4 (four).
Article 7

MISCELLANEOUS

7.1 Assignment
1. The Student may not assign any part or all of his/her obligations under this
Agreement.

2. If it is deemed prudent and necessary by YUPH, YUPH may assign any part
or all of the obligations specified under this Agreement.

7.2 Confidentiality
Both Parties are responsible to respect the confidentiality and may not disclose
to a third party and/or to the public any confidential and other important
information stipulated in this Agreement to other Party, unless prior written
approval has been obtained for such disclosure.

7.3 Amendment
1. No Provisions in this agreement may be modified, unless written and signed
approval has been obtained from the authorized persons of both parties.

2. Any provisions which have not been regulated or insufficiently regulated


under this Agreement, which are deemed prudent and necessary by YUPH,
will be further regulated in a separate Attachment, as an integral and
inseparable part of this Agreement.

7.4 Notices
Any notification, statement, or request addressed to Student and or
parent/guardian/responsible person in this agreement, shall be made in written
form to be sent to Student via registered mail, fax or email.

7.5 Force Majeure.


1. Force Majeure means any event beyond the reasonable control of the Parties,
as the case may be and which is unavoidable notwithstanding the reasonable
care of the Party affected, such as issuance of any law, order, regulation, or
request of any government having jurisdiction, national emergencies, war,
chaos, floods, earthquake, landscape, and any other causes of like or
different kind arising, caused by acts of God.
2. In such event as specified, the Parties hereto shall in good faith discuss and
seek for the most favorable mutual solution available.

7.6 Applicable Law and Jurisdiction.


1. This Agreement shall be construed and interpreted under the applicable laws
and statutory regulations of the Republic of Indonesia.
2. Any dispute resulting from or differences between the Parties related to the
conditions, performance and execution of this Agreement which cannot be
amicably settled by the Parties, the Parties agree that the dispute shall be
referred to District Court of Tangerang for its settlement.
Article 8

THE EFFECTIVENESS OF THE AGREEMENT

8.1 This agreement shall become fully effective upon official signing by YUPH and
issuance of medical and drug tests, statement by the health authorities
designated by UPH declaring Student passing tests, as specified in the student
enrollment guidebook.

8.2 In the event the Student does not pass the medical and drug tests, YUPH shall
not sign this agreement and therefore YUPH has the right to return the student to
his/her place of origin.

IN WITNESS WHEREOF, such an agreement is made and signed by the Parties in


a conscious state and without coercion from any party whatsoever. This agreement is
made in two original copies, each of which has the same legal force.
