CONFIDENTIALITY AND NON-DISCLOSURE UNDERTAKING

I, ___________Devendra Verma_______________, S/o or D/o____________Mr. Ramkesh verma

__________________ , R/o _____________62-F, Room no. 3, Ber Sarai, near Sai Chemist Shop,
Delhi -110016____________________, (hereinafter referred as “I” or “me”), voluntarily give this
undertaking on this __30__day of ______December__________, 2021 to Lexport, New Delhi, having its
office located at Lexport, K1/114, First Floor, Chittaranjan Park, New Delhi 110019. (hereinafter referred to
as the “Trainee” or “Intern”) for maintaining confidentiality , and non-disclosure of all information
received either directly or indirectly or by any means, in the course of my association with Lexport.

1. CONFIDENTIAL INFORMATION:-

1.1 I undertake that I shall not, directly or indirectly, communicate or disclose to any person(s),
firm(s), corporation(s), company(ies), entity(ies) or agency(ies) or use any such confidential
information, or any other information which came to my knowledge by virtue of being associated
with Lexport, whether or not any of the foregoing information is actually novel or unique, except as
otherwise required by law.

1.2 I undertake that I will not, in the event of my taking up any other employment or association
with any other company/employer/ firm or in the event of venturing into any business whether of
my own or otherwise after cessation of my association with Lexport, use or disclose any information
of Lexport and will not disclose or use or take or copy the information /data/ any documents
belonging to Lexport/ Client’s of Lexport in any manner whatsoever.

1.3 I completely and clearly recognize that Lexport has received from the third parties (who may or may
not be the clients or prospective clients of Lexport), their confidential information subject to a duty
to maintain the confidentiality. I undertake to hold all such confidential or information in the
strictest confidence and not to dispose it to any person, firm, corporate or entity, or to use it for any
purposes or for the purposes of any new employer/ association except as otherwise required by law.

1.6 “Confidential Information” shall include all information related to:

(a) Any information, data, mailing lists, correspondence, client names and details, prospective clients
names, counsels and their details, other details and requirements related to cases dealt by Lexport,
employee data, client data, data relating to third party and other material or information relating to
Lexport.

(b) The absence of reference to any information as Confidential Information shall not affect its
status as Confidential Information. In other words, if the information is the Employers information
or information in possession of Lexport for any reason whatsoever, the same shall be treated as
Confidential Information.

1.7 I understand that “Confidential Information” for this purpose shall mean and include all
information, regardless of the form and whether oral, written, stored in a computer database or any

 other media or otherwise, which has been disclosed by Lexport or any of its employees or promoters
to me or which has been acquired by me due to the association with Lexport.

1.8 Notwithstanding the foregoing, the following information shall not be deemed to be the Confidential
Information:

(a) information which at the time of execution hereof is or thereafter becomes known to
the public through none of my fault;

(b) information disclosed to the receiving Party by a third party who is entitled to disclose it;

(c) information which I am compelled to disclose by a court or tribunal of competent

jurisdiction.

1.9 I hereby undertake that I shall maintain secrecy and confidentiality of all such information or
any part even after the cessation of my association with Lexport. x

2. NON-DISCLOSURE:-x

2.1 I undertake not to remove from Lexport’s premises or disclose Confidential Information to any third
party, except as otherwise required by law.

2.2 I undertake to hold such confidential information in strict confidence and not to give or disclose
Confidential Information to any person, firm or corporation or use Confidential Information
for any purpose whatsoever.

2.3 I undertake to the effect that I shall use at least the same degree of care in safeguarding the
Confidential Information as I use or should use in safeguarding the Confidential Information of my
own and shall take all steps necessary to protect the Confidential Information from any
unauthorized or inadvertent use and/or disclosure.

2.4 I also undertake not to divulge or use, utilize, or share with any Third Parties any information, facts,
documents and any related information about Lexport, which are in the nature of confidential or
proprietary information of Lexport or otherwise and, which I came to know about because of my
association with Lexport, for my own benefit or for the benefit of any Third Parties.

3. I acknowledge that in the event any of the above undertakings provided by me are declared as void,
invalid or unenforceable by an appropriate authority, the same shall be severed and the remaining
undertakings shall prevail.
