Scope of Work: Main Stator Rewind with Overhaul:

1. Receive the Motor from your facility to our Misfah UES Workshop
2. Carry out Fumigation for all the incoming Motors as the COVID19 safety Instruction.
3. Carry out the receiving Inspection of the Motors at our facility.
4. Dismantle, inspect all parts & Check and record mechanical dimensions.
5. Measure all flame proof paths.
6. Measure bearing housings and bearing journals.
7. Perform static tests on stator and record.
8. Strip out existing main stator windings
9. Clean core and slots & carry out core test for hotspots.
10. Completely rewind using all new Class H materials
11. Impregnate using Class H varnish and bake.
12. Supply & Fit New Bearings
13. Clean and paint all parts & Assemble Motors.
14. Carry out No Load Run Test at Rated Voltage with Rated RPM and record parameters.
15. Housing Reclaim as per the EASA Standards to the size
16. Carry out addition protection and install oil seals on shaft
17. Replace the Terminal Blocks
18. Paint and prepare for shipment
19. Issue Final Test Report

Delivery: 21 – 24 Working days from the date of approved and receipt of Final Techno –
Commercial Order Confirmation / LPO

Warranty:
Universal Engineering Services LLC provides warrantee for bad workmanship for a period 12
months from the date of delivery,

The warranty is however, null and void in case of misuse, damage, burnout due to extreme
voltage fluctuations and in case Dismantled & inspected or repairs are carried out without our
prior written approval.

Special Terms:
We Repair and Overhaul the Motors based on IEC 60079 – 19:2019, Under the Clause
No.4.4.1.5.1 as mentioned below.

General the repair facility shall seek to obtain all necessary information/data from the user or
manufacturer for the repair and/or overhaul of the equipment. This may include information relating
to previous repairs, overhauls, or modifications. The repair facility shall also have available and refer
to the relevant explosion-protection standard.

Special Notes: The below activities including all test which are applicable for
LV Motors will be carried out as per EASA Motor Refurbishment practices. The
below tests are carried out as per requirements for the Motors Refurbishment.

The following applicable tests shall be part of the overall tests that will be carried
out on the Alternators / LV / HV / DC Motors.

• Insulation Resistance & Polarization Index (IEEE 43; 2013)


These will be measured for all phases together at 2.5 kV.

• DC Winding Resistance (IEEE 118; 1992)


This will be measured for each phase of the stator & compared to earlier values.

• Surge Comparison Test (IEEE 522; 2004)


This test will be performed by applying DC voltage impulses up to 10 kV between two phases of the
stator sequentially (R‐Y, Y‐B & B‐R). These impulses will be recorded using a digital oscilloscope & the
“Error Area Ratio” will be calculated.

• Polarization‐ Current Analysis (IEEE 43; 2013)


This will be performed at 2.5 kV DC on the stator winding and the following parameters will be measured
to detect ground insulation degradation:

Any additional work beyond above scope shall be subject to approval of variation price.
Standard Terms and conditions as mentioned below.

1. The above cost is based on information received and is applicable for the specific work scope
quoted. We reserve the right to re-quote for any extra work or spares required once the
equipment is received in our workshop and a full inspection is carried out.
2. The above quote does not include any parts other than mentioned above.
3. The above quoted price does not include any additional mechanical works other than
mentioned above
4. All our Rewinding material accessories including anti track varnish are from UK and other
European Countries
5. If Motor goes back to customer without repair, the initial repair inspection and assessment
shall be charged RO 125.000 per Motor (Omani Riyals) or as agreed (Transport charges
additional)

SPECIAL INSTRUCTONS FOR COVID19

Terms and Conditions shall be as per Universal Engineering Terms and Conditions of Sale.
This Proposal is being issued during the global Coronavirus pandemic. Given these highly
unusual and unpredictable circumstances, notwithstanding as otherwise provided in this
Proposal and in addition to any other remedies provided hereunder, Universal Engineering
shall be entitled to any time extension or other reasonable contractual adjustment, if any
consequences whether directly or indirectly resulting out of, or in connection with the
Coronavirus pandemic, lead to delays or other impacts in the delivery of goods or provision of
services, or otherwise affect UES’s contractual obligations or duties hereunder.

Neither Party will be liable for any failure or delay in performing an obligation under this Agreement
that is due to any of the following causes (which events and/or circumstances are hereinafter
referred to as “Force Majeure”), to the extent beyond its reasonable control: acts of God, accident,
riots, war, terrorist act, epidemic, pandemic, quarantine, civil commotion, breakdown of
communication facilities, breakdown of web host, breakdown of internet service provider, natural
catastrophes, governmental acts or omissions, changes in laws or regulations, national strikes, fire,
explosion, generalized lack of availability of raw materials or energy; provided that the parties
stipulate that Force Majeure shall not include the novel coronavirus Covid-19 pandemic which is
ongoing as of the date of the execution of this agreement.

For the avoidance of doubt, Force Majeure shall not include (a) financial distress nor the inability of
either party to make a profit or avoid a financial loss, (b) changes in the market prices or conditions,
or (c) a party's financial inability to perform its obligations hereunder.

GENERALTERMS & CONDITIONS

1. Validity:
Our offer is valid for acceptance for a period of 30 days from the date of this offer and thereafter
subject to our written confirmation.

2. Price Basis:
Price for the above services is exclusive of any taxes and statutory dues.

3. Scope of the Services: Refer our Quote annexure:


Note: The deliverables quoted are as per the current delivery lead-time bulletin of parts that
would be required to carry out the work. We shall be pleased to discuss the detailed delivery
schedule of the Services prior to finalization of the order.

4. Commencement of works will be subject to receipt of local Work order (WO) and confirmation
of the terms and conditions including payment terms as mentioned in our Quote

5. Unless specifically mentioned in the scope of works, any requirement for third party inspection
/ certification shall be treated as excluded from UES scope.

6. Any delays or loss of work force allotted to the client shall be charged accordingly on pro rata
basis.

7. No site work is considered in our scope

8. Although every care will be taken during the execution of our activities, we will not be held
liable for any accidental damages caused to areas or items, therefore no deductions to be
made from the agreed contract price (claims to be resolved between the client and respective
insurance companies).

9. This quotation is subject to our standard terms and conditions of Sale, Contract hire and local
regulations.

10. This quotation is based upon and subject to the availability of resources at the time of receiving
order.

11. UES shall not be held accountable for delays beyond their control

12. UES will not be responsible for the delay due to natural calamities / national Public Holidays
appears in between the scheduled contact which is against the Ministry man power of the
country

13. UES will not be responsible for any delays/losses what so ever due to accident or damage of
equipment is serviced and repaired by UES.

14. UES liability shall be limited to the Warranty Terms specified in the Quotation

15. To claim the warranty, customer should provide Incident Report and with reason for failure
analysis along with services report carried out over the period of one year from the date of
delivery.

16. If the job is not collected within 30 days of completion and completion notification, storage
charges shall applicable

17. Beyond 60 Days from the date of completion and completion notification, if client does not
collect the job, then Client will not have any claim for the items and UES reserves the right to
dispose these items without any further intimation.

18. If the delivery site differs from the original site of the Motor / Alternator, the additional charges
are applicable for the transport

19. All replaced and defective spare parts will be property of M/s. UES.

20. Payment

a. As mentioned above.
b. In case payments are delayed, interest at the rate of 5% per month shall be applicable.
c. In case delivery of the equipment cannot be made due to reason(s) attributable to the buyer,
the payment shall be made on intimation from us that the goods are available for delivery.
d. If the job is substantially delayed / suspended or approval of equipment is delayed due to
reasons not attributable to us, then; price increase shall be applicable on material not
ordered and/or not received.
e. We reserve the right to hold/stop further works in case payments are delayed & shall not be
responsible for any consequence(s) arising out of such an action.

22. Insurance:
We will arrange for the necessary insurances required for the scope involved. However, in the event
we require your support for taking out of any insurances, we will discuss the same with you to arrive at
a mutually acceptable solution.

23. Duties/Exchange Rate:


Our offer is based on the costs of labor & materials and any taxes and levies, including but not
limited to Corporate Tax, Withholding Tax, VAT, Customs Duty etc. prevailing as on date of
submission of our offer and our offer price will be firm for a period of 30 days from the date of
this submission, provided however, in the event of any alterations to any of our costs, charges
or any additional financial impact on us, arising due to or resulting from any change in any
laws / decrees / decisions / regulations /tariffs of Sultanate of Oman (including the introduction
of new Laws and/or repeal or modification of existing Laws) or in the judicial or official
governmental interpretation of the same, made on or after the date of submission of our offer,
the price offered by us shall, notwithstanding anything to the contrary stated in the tender
documents, have to be varied considering the additional cost. Besides, post signing of the
Work Order but before the Work Has been completed and billed, if there is any change in
taxes, statutory fee, levies or such similar cost from any authorities or agencies, same shall be
additionally borne by the Client (in addition to the Price/consideration of the Work as per clause
no…)

24. Cancellation:
In the unlikely event of cancellation of order, either in part or in full for any reason whatsoever
all expenses incurred (including cancellation charges) or 15% shall be Payable against our
invoice for the same, subject always to a minimum of 10% of our contract value.

25. Liquidated Damages / Penalty:


While UES shall endeavor to meet the time commitments made to the buyer, the Parties agree
that no liquidated damages or penalty shall apply.

26. Force Majeure Condition:


All the terms and conditions of our offer are subject to force majeure conditions and we shall
not be responsible for any loss, damages or delay of any kind whatsoever due to any cause
beyond our reasonable control amounting to force majeure such as acts of Government,
strikes, fire, lockouts, explosion, thefts, floods, riots, civil commotion, intended destruction and
acts of God etc.

27. Customer satisfaction:
Should there be any aspect of our quotation either technical or commercial, which is not
acceptable to yourselves, we would welcome the opportunity to discuss the matter with you
with a view to arriving at a mutually acceptable.

28. Limitation of Liability:


Notwithstanding any provision(s) to the contrary elsewhere in the Work Order in no
circumstance whatsoever shall the liability of UES towards the Client under the Work Order for
all acts and defaults of UES exceed the 10% amount paid under the Work Order by the Client
to the UES. These limitations shall apply to all causes of action including, and without limitation
to, breach of contract or warranty, negligence, strict liability, or other actions in tort.

29. Deduction:
The Client does not have any right of set off or make any deduction from our invoice unless
agreed by UES.

30. Termination of Work Order:


In case the Work Order is terminated by the Client for no fault of UES, then Client has to pay
to UES all costs incurred by UES, including any committed costs, along with reasonable mark-
up towards administrative and overheads cost arising out of such termination.
