LICENSE AGREEMENT

SINGAPORE GOVERNMENT SCHOLARSHIP AND STUDY GRANT

THIS AGREEMENT (“Agreement”) is made on ________________________

the laws of Singapore and having its registered office at 500 Lorong 6 Toa Payoh #04-43, HDB Hub
Biz 1, Singapore 310500 (“Licensor”).

Note: The Licensor shall only communicate officially with the official representative whose decision
shall be final.

WHEREAS

The Licensor wishes to appoint the Licensee to provide the following educational services:

1. Assist to apply for Singapore Government Scholarship and Study Grant to study in Singapore.
2. Partner with local schools to conduct Singapore International Education.

To foster better relationship between the students in Singapore and Southeast Asia:

3. Conduct student cultural exchange programmes between Singapore and Indonesia.

AND

The Licensee hereby accepted the appointment.

IT IS HEREBY AGREED as follows:

1) Effective Date and Duration

a. This Agreement shall come into force with effect from the date of this Agreement.

b. This Agreement shall continue in full force on an ongoing basis.

c. The tenure of this Agreement is subject to renew every three (3) years.

d. The Licensee and Licensor shall mutually conduct an annual review of the partnership.

2) Grant Of License

a. The rights herein granted to the Licensee is strictly to the Licensee named herein and the
Licensee shall not have the right to sub-license, transfer or assign any of its rights under this
Agreement to any person or entity without the written consent of the Licensor.

b. The Licensor expressly reserves the rights to grant the rights to other persons and entities in
any part of the world and for any purpose whatsoever.

3) Scope Of License

To provide the following educational services:

a. Assist to apply for Singapore Government Scholarship and Study Grant to study in Singapore.
b. Partnering with local schools in Indonesia cities to conduct Singapore International Education.
c. Conduct student cultural exchange programmes between Singapore and Indonesia

4) Scope of Support by Licensor

a. Offer subjects that are essential for admission to schools abroad.

b. Offer the syllabus that are similar to that of the Singapore Ministry of Education.
c. Provide the curriculum that are similar to that of the Singapore Ministry of Education with
modifications to cater to the learning abilities of the students in the respective city.
d. Advise the teachers on the pedagogy for delivery of lessons.
e. Provide the examination and marking expectations and requirements.
f. Issue certifications annually for graduating students.

Optional Support (at the sole discretion of the Licensor)

a. Offer students preparatory courses for Singapore scholarships and admission to Singapore
schools.
b. Offer teachers’ training courses to improve their competency in teaching.
c. Offer school leadership and management capability building courses.
d. Offer student cultural exchange programmes between Indonesia and Singapore.

5) Obligations of the Licensee

a. The Licensee shall provide all the information for the Licensor to advise on the plan and
preparation. Both Parties will develop the plan for the preparation of the pre-launch and the
launching exercise, as well as the commencement of the classes.
b. The Licensee shall fulfil the obligations as what are required of a good school to ensure that
the project kicks off promptly and grows diligently.

 c. The Licensee shall submit the following documents through the Licensor’s Central
Management System.
i. Student application form
ii. Student registration form
iii. All fees and payment records
iv. Student attendance
v. Any others that are relevant and necessary.

All the above shall be made known and available to both Parties at all times.

6) Targets and Goals

To be discussed and mutually agreed upon.

7) Consideration and Payment

As our prestige Licensee, the Licensor shall grant special concession on:

a. Entrance Fee - The full entrance fee shall be waived.

b. Annual Fee - United States Dollars One Thousand Two Hundred only (US$1,200) per
year including GST to be paid 3 months before the start of the new academic year.

c. Course Fee - United States Dollars Ten only (US$10.00) per subject per student per month
including GST to be paid seven working days before the start of every month.

d. Annual Examination Fee - United States Dollars Thirty only (US$30.00) per subject per
student per year including GST to be paid one month before the commencement of the final
year examinations.

e. Central Management System and Maintenance Fee – Complimentary (US$120.00 per

month)

All payments shall be made to the Licensor’s OCBC Bank Account No. 526-184643-001 unless
otherwise advised by the Licensor.

This privilege will be revoked if the Licensee fails to keep this offer confidential.

8) Purpose of Visits

a. There will be at least one compulsory visit to the school a year. The duration of the visit shall
be up to three working days. Any increase in the number of the visits and the extension of
each visit shall be mutually agreed upon.

b. Only personnel involved in the tasks will be require on-site. (See Appendix A)

c. The Licensor shall pay for the salary and any other expenses of the personnel assigned for
the visit.

d. The Licensee shall provide the 2 return economy class air tickets, transportation for local
working sites, airport transfer and hotel accommodation (preferably with gym facilities and it
is clean, hygenie, safe and conveniently located with eateries, convenient stores and shopping
amenities).

 e. The tasks for the visit shall comprised the following:
i. Recruitment exercise
ii. Annual review of the school
iii. Student award ceremony

9) Taxation

Both parties are responsible for the payments of all relevant taxes to their respective government
authorities promptly and diligently.

10) Confidentiality

a. Both Parties shall not use the confidential information for any other purpose than that
expressly stated hereunder and for the performance of its obligations under this Agreement
and shall not copy, reproduce, study, reverse engineer or in any other way duplicate the
confidential information except with the prior written consent of the other party.

b. The Licensee shall not disclose the confidential information to any third parties whatsoever
except to its employees listed in Appendix A in the implementation of this Agreement provided
that such disclosure is made in confidence and only to the extent necessary to enable to
discharge of duties and responsibilities owed to the Licensee to ensure effective performance
of the Licensee’s obligation under this Agreement.

11) Dispute Resolution

a. Both Parties are to settle any dispute immediately without unnecessary delay and at all times,
keeping the peace and harmony.

b. Objectivity, logic and rationale should prevail in both parties in handling the dispute to come
to a mutual agreement, if not, a compromise.

c. If the above fails, the dispute should be mediated by a neutral third party who is mutually
appointed. Both Parties should avoid bringing the dispute to any other third parties that are of
no concerns in this Agreement that include but not limited to (through the medias, social
medias etc), the public.

d. If all means have been exhausted, both Parties will proceed as with the termination clause as
in the Agreement.

12) Termination

a. This Agreement may be terminated by the Licensor, if the Licensee stops or suspends
payments to the Licensor under this Agreement.

b. Any affected Party may terminate this Agreement unilaterally if:

i. the affecting Party repeatedly fails to fulfil his/her obligations of grievous

consequences.

ii. the affected Party exhausted all means to resolve the dispute.

iii. the affected Party concluded that it is beyond remedy to resolve the dispute.

14) Governed by Singapore Law

This Agreement shall be governed and enforced by the law of the Republic of Singapore.
