CONTRACT OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Contract is made and entered into this 28 November 2022 at

Zone 5, Brgy. Pinili, San Jose City, Nueva Ecija, Philippines, by and
among:

MR. DANILO CLAUR, of legal age, resident of Zone 1,

Brgy. Villa Marina and citizen of the Philippines;

MR. DONATO CLAUR, of legal age, resident of Zone 1,

Brgy. Villa Marina and citizen of the Philippines;

-and-

MR. ARSENIO TOLENTINO, SR., of legal age, resident of

Zone 5, Brgy. Pinili, San Jose City, Nueva Ecija, Philippines;

(Each, a “Party” and, collectively, the “Parties”)

Witnesseth; That:

WHEREAS, the undersigned Parties have on this day voluntarily

associated ourselves together for the purpose of contributing money to a
common fund with the intention of dividing the profits among ourselves
under the following terms and conditions and subject to existing and
applicable laws of the Republic of the Philippines.

WHEREAS, the purpose/s for which this partnership is formed

is/are:

1. The Parties agreed to share capital funds in the

amount of TWO HUNDRED FIFTY THOUSAND
PESOS (Php250,000.00) each for the planting and
harvesting of melon;

2. The Parties also agreed that the lot in which the

melon crops will be planted shall be rented and
the amount for its rental shall form part of the
expenses to be borne by the Parties equally;

3. The Parties also agreed that the salary of the

workers who will plant the melon crops shall form
part of the expenses to be borne by the Parties
equally;

4. The Parties further agreed that the profits,

expenses and losses shall be divided and
distributed equally among themselves.

WHEREAS, all Parties shall be the General Managers who shall be

in charge of the management of the affairs of the business. Each Party

shall have the power to perform such acts as are necessary and expedient
in the management of the business and to carry out its lawful purposes.

WHEREAS, the capital agreed upon by the Parties shall be the

amount of SEVEN HUNDRED FIFTY THOUSAND (Php750,000.00),
Philippine Currency, contributed in cash by the partners in the amount of
TWO HUNDRED FIFTY THOUSAND PESOS (Php250,000.00) each.

WHEREAS, the effectivity of this Agreement commences on 28

November 2022 and shall be terminated upon the time that the profits,
expenses and losses are divided and distributed equally among the
Parties.

IN WITNESS WHEREOF, we have hereunto affixed our signatures this

28 day of November, 2022 at Zone 5, Brgy. Pinili, San Jose City, Nueva Ecija,
