Service Agreement & Statement of Work

The following agreement between [Dris Media Agency,LLC] (hereinafter known as “agency”) and
MMB Skinscare & Spa (hereinafter known as “the Client”) is effective from 01/09/2023
immediately upon signing, or payment for services, whichever occurs first.

This Statement of Work includes the following services and deliverables:

Dris Media Agency monthly service 60 Days Free Trial, then $1,500 per month
retainer for SEO+PPC:

Dris Media Agency setup fee: $500 (waived)

Monthly ad spend: $30 per day (goes directly to Google/Tiktok/IG)

*No refunds will be issued once payment has been processed, unless the guarantee is not
met based on the terms below. Also, to be very clear all ad spend goes directly to
Google/IG/TikTok so that will be directly connected to their platform.

Guarantee (Applicable after the FREE trial)

In the third month of service, which is when this agreement will take into effect, if the Agency
does not generate at least 20 home service client appointments, we will work for $0 retainer
fee for an additional 30 days (1 month) of service, or until we get the appointments, whichever
comes first. If we don’t deliver on the 20 appointments after 30 days, we will give you a full
refund (not including ad spend).

Terms of Guarantee
The guarantee is voided if any of the following occur at any time during the of the
term of this agreement, hindering Agency’s ability to provide best results: The Client requests
changes to their ads or funnel after 24 hours of approval; the Client edits, updates, or makes
any changes to Dris Media Agency; the Client’s profile, page, or ad account is suspended,
deactivated, or disabled by Google/Instagram/Tiktok for longer than 7 days; the Client does not
approve our suggested offers according to proven strategies/ best practice; the Client removes
us from their ad accounts, pixel, business profile/ page, website admin, or revokes any other
necessary permissions for the best possible performance of our services; the Client fails to
provide requested creative content and/ or customer data within 7 business days of the request;
the Client fails to implement suggested changes to their website/ sales funnel within 14
business days of the request; the Client fails to respond to account management- or campaign-
related communications through previously established channels within 24 business hours.

In order to be applicable for the guarantee, the Client must email support@davidahiome.com to
indicate their intention to claim the guarantee no sooner than 7 days and no later than 24
business hours before the end of the 01/11/2023 term of the agreement.
The guarantee is automatically voided once the

Dris Media Agency is committed to providing all participants in the agreement with a positive
experience. Thus, Dris Media Agency may, at its sole discretion, limit, suspend, or terminate this
agreement if the Client becomes disruptive and/ or demonstrates inappropriate or abusive
behavior towards Dris Media Agency and/ or its representatives, fails to follow program
guidelines, or impairs Dris Media Agency’s ability to perform services. [initial]

Liability

Dris Media Agency is not liable if the Client’s ad account, profile, or business page is disabled,
deactivated, or banned by Google/Facebook/Instagram/Tiktok and/ or other web-based
platforms, if that platform does not approve our ads, forces us into the special ads category, or
otherwise prevents us from providing service.

The Client understands that as the account holder, they are responsible for filing appeals with
platform under such circumstances as named in the paragraph above, under Dris Media
Agency’s guidance and advice.

In no event shall either party be liable to the other party, or be deemed to have breached this
agreement, for any failure or delay in performing its obligations under this agreement (except
for any obligations to make payments for services already rendered), if and to the extent such
failure or delay is caused by any circumstances beyond either party's reasonable control,
including but not limited to acts of God, flood, fire, earthquake, explosion, war, terrorism,
invasion, riot or other civil unrest, strikes, labor stoppages or slowdowns or other industrial
disturbances, or passage of law or any action taken by a governmental or public authority,
including imposing an embargo. [initial]

Ad Spend

The Client hereby agrees to invest a minimum of $900 in monthly ad spend. Dris Media Agency
reserves the right to spend less than the entirety of the Client’s approved monthly ad budget, if
we determine it to be in the Client’s best interest according to proven strategies and best
practice. [initial]

Cancellation Policy:

If for any reason the Client chooses not to renew services at the end of the 60-day free trial
term of this agreement, they must submit written email notification of their intent not to
proceed to support@davidahiome.com no later than 7 days before the commencement date.
In addition, the Client agrees to complete our off-boarding form and participate in a 30-minute
exit interview with a Dris Media Agency representative to assist us in improving our service.
Failure to comply with our cancellation policy may result in our inability to deliver a refund if
payment goes through before cancelling. [initial]

Privacy & Confidentiality

No part of the Client’s confidential and proprietary information, ideas, business plans, and trade
secrets (collectively "Confidential Information") shall be shared outside of Agency name without
the Client’s express knowledge and approval. Dris Media Agency has no right and license to
use any of the Client’s data, assets, or materials outside the term of the agreement, and only to
the extent necessary to provide the services to the Client.

The reproduction, distribution, and sale of Dris Media Agency’s strategies, assets, and
materials by anyone but Dris Media Agency is strictly prohibited. The Client shall not infringe
any of Dris Media Agency's copyright, patent, trademark, trade secrets, or other intellectual
property rights. All provided materials, assets, strategies, and Confidential Information shared
by Dris Media Agency and/ or its representatives belong solely and exclusively to Dris Media
Agency, and may only be used by the Client as authorized by Dris Media Agency.

Video and phone calls will be recorded for quality and training purposes. The Client may
request access and view recorded calls at any time during the term of service. Dris Media
Agency reserves the right to distribute excerpts of recorded calls and proof of campaign results
in our internal marketing campaigns for testimonial purposes. [initial]

Terms of Sale

You, the Client, hereby ratify your understanding that all program sales are final,
non-refundable, and waive any right to file a chargeback on your authorized payment with your
debit card processor or bank, depending on your mode of payment.

Upon severance of the relationship between Dris Media Agency and the Client, each party
shall return to the other party all documents and materials tangible and intangible containing,
reflecting, incorporating, or based upon the other party’s Confidential Information, and certify
their compliance with the requirements of this clause in writing to the other party. All ads,
campaigns & intellectual property created by the Dris Media Agency team will be deleted from
the Client’s ad account under circumstances of non-payment as per the terms of this
agreement.

This agreement constitutes the complete and exclusive agreement between Dris Media Agency
and MMB Skincare & Spa, the Client. It supersedes all prior written and/ or oral statements,
conditions, obligations, representations, or warranties.

This agreement will be governed by the laws of Federal Republic of Nigeria, notwithstanding
any principles or conflicts of law which may otherwise require the application of the law of
another jurisdiction. You consent to the exercise of personal jurisdiction by any such court
with respect to any such proceeding. BOTH PARTIES WAIVE THEIR RIGHT TO A JURY

Terms of Payment
I represent and warrant that I am authorized to execute payment authorization for the
purpose of implementing the agreed-upon payment plan. I understand that if any payments
within the agreed-upon payment schedule above should fail to process, the payment
schedule and/or payment amounts would be adjusted to accommodate the recoupment of

I, named and signed below, authorize Dris Media Agency to charge my credit/debit card for the agreed-
upon purchase and payment schedule. I understand that information will be saved to file for future
transactions on my account. I certify that I am an authorized user of this credit/debit card and that I will
not dispute the payment with my bank/financial institution so long as the transaction corresponds to the
terms indicated in this form.

I understand that this credit/debit card authorization will remain in effect for the full term of the contract
and I agree to notify Dris Media Agency in writing of any changes to my account information or the
authorized payment form at least seven (7) days prior to the next billing date.
