This Memorandum of Understanding (MoU) ("Agreement") is made between Arckline Projects

Private Limited, a company incorporated under the laws of India, having its registered address at C/O
A. SINGH NIVARANPUR KAILASH COMPLEX, GROUND FLOOR RANCHI, Ranchi, JH 834002 IN,
hereinafter referred to as "Arckline," and Isbe Globalinfra Private Limited, a company incorporated
under the laws of India, having its registered address at Plot No. GH-03, Sector-100, Noida, Gautam
Buddha Nagar, UP 201301 IN, hereinafter referred to as "Isbe."

WHEREAS, Arckline is engaged in building installation and construction activities, and Isbe specializes
in assisting companies in obtaining construction projects and business development.

WHEREAS, Arckline intends to undertake the following projects:

Railway civil work in CP, Delhi

MES civil work in Gurugram

WHEREAS, Isbe has agreed to assist Arckline in obtaining the aforementioned construction projects.

NOW, THEREFORE, the parties hereby agree as follows:

Project Details: Isbe shall assist Arckline in securing the railway civil work project in CP, Delhi, and the
MES civil work project in Gurugram. The total estimated value of these projects is approximately 4+4
crores INR.

Compensation: In consideration for Isbe's assistance, Arckline shall pay Isbe a monetary payment of
4% of the total project value. The payment terms shall be as follows:

a. Arckline shall pay an amount of 5 lakhs INR to Isbe upon the issuance of the Letter of Intent (LOI)
for the projects.

b. Arckline shall pay an amount of 10 lakhs INR to Isbe upon the mobilization of resources at the
project site.

c. The balance amount shall be paid by Arckline to Isbe in the first two bills raised for the projects.
Project Responsibilities: Arckline shall be responsible for the execution of the construction projects,
including all building installations and related activities. Isbe shall provide support and assistance to
Arckline in obtaining the projects, including liaising with relevant authorities, preparing necessary
documentation, and facilitating the project's progress.

Confidentiality: Both parties agree to maintain the confidentiality of any sensitive information or
trade secrets shared between them during the course of this collaboration. The parties shall not
disclose such information to any third party without the prior written consent of the disclosing party.

Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance
with the laws of India. Any disputes arising out of or in connection with this Agreement shall be
subject to the exclusive jurisdiction of the courts of delhi.

Entire Agreement: This Agreement constitutes the entire understanding between the parties with
respect to the subject matter hereof and supersedes all prior agreements, negotiations, and
understandings, whether oral or written.

IN WITNESS WHEREOF, the parties hereto have executed this Memorandum of Understanding as of
the date first above written.
