Section 1: Agreements and Copyright

1.1 Beat Rights Agreement

This Beat Rights Agreement was made and entered into on 2023-06-06 by and between
Jaredbeatz and SLP Jacob (SLP Records).

1.2 Grant of Rights

Producer hereby grants to Licensee the non-exclusive right to use the instrumental beat titled
Ouagadougou ("Slappzz") for the purpose of recording and distributing a musical composition
("Ouagadougou").

1.3 Ownership and Copyright

Producer retains all rights, title, and interest in the Beat, including all copyrights to the musical
composition underlying the Beat. Licensee acknowledges that the Beat is protected by copyright
law and that Producer retains all rights not expressly granted in this Agreement.

1.4 License Fee

In consideration for the rights granted herein, Licensee agrees to pay the Producer a one-time
license fee of 5 Dollars (5$), payable upon execution of this Agreement.

1.5 Term and Termination

This Agreement shall commence on the date first written above and shall continue in perpetuity,
unless terminated earlier by either party upon thirty (30) days written notice. In the event of
termination, Licensee shall immediately cease all use of the Beat.

1.6 Representations and Warranties

Licensee represents and warrants that:

- The Track will not infringe upon any copyright, trademark, or other intellectual property right of
any third party.
- The Track will not contain any defamatory, obscene, or otherwise unlawful material.
- Licensee has the full right and authority to enter into this Agreement and to grant the rights
granted herein.

1.7 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of
Washington, without giving effect to its conflict of laws provisions.
1.8 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject
matter hereof and supersedes all prior or contemporaneous oral or written agreements or
understandings between the parties.

Section 2: Lease of Track and Unlimited Streams

2.1 The Licensor hereby grants to the Licensee the non-exclusive right to use and exploit the
musical composition Ouagadougou for the purpose of creating and distributing an unlimited
number of streams.

2.2 The Licensee shall have the right to use the Track in any and all media now known or
hereafter devised, including but not limited to, streaming services, social media platforms, and
any other digital distribution channels.

2.3 The Licensee shall have the right to edit, mix, remix, loop, and otherwise modify the Track
as necessary for the creation of derivative works, provided that such use does not violate any
applicable laws or infringe upon any third-party rights.

2.4 The Licensee shall have the right to sublicense the rights granted herein to third parties,
provided that such sublicensees agree to be bound by the terms and conditions of this
Agreement.

2.5 The Licensee shall not have the right to assign or transfer any of its rights or obligations
under this Agreement without the prior written consent of the Licensor.

2.6 The Licensee shall pay the Licensor a one-time fee of $X for the rights granted herein. Such
fee shall be paid within 30 days of the execution of this Agreement.

2.7 This Agreement shall be effective as of the date first written above and shall continue in full
force and effect until terminated by either party upon 30 days' written notice to the other party.
