LEASE TERM AGREEMENT

This Lease Term Agreement (“Agreement”) is made and entered into on the day hereinafter written, by and
between:

Ibarra O. Angon , a Filipino Citizen of legal age with postal address at Bancaan Naic, by virtue of
Special Power of Attorney issued by SPS. Venancio Barrera and Felicisima Barerra, the former
hereinafter referred to as the “LESSOR”;
-and-
ALFAMART TRADING PHILIPPINES, INC., a corporation duly organized and existing under and by virtue
of the laws of the Republic of the Philippines, with principal office address at Alfamart Center, Block 1, Lots 3,
4 And 5, Daiichi Industrial Park Special Economic Zone, Maguyam, Silang, Cavite 4118, represented herein by
its COO, HARVEY T. ONG and hereinafter referred to as the “LESSEE”.

KNOW ALL MEN BY THESE PRESENTS:


The LESSOR hereby offers to lease unto LESSEE and the LESSEE hereby accepts the property described
below under the following terms and conditions:

Purpose / Use : Mixed Commercial / Mini-market/ convenience/ grocery store/ sub-leasing
Term : 20 years from Start of Rent (renewable under mutually agreed upon terms)
Leased Area: 500 sqm
Doc. Turnover Date :
Start of Rent : Upon store opening

It is further agreed that:


1. LESSOR hereby grants consent to Alfamart Trading Philippines, Inc. to collect, verify, share and/or
dispose, whether manually or electronically, the information contained herein and all documents
submitted by the LESSOR for the period allowed under the laws and rules, for whatever legal
purpose that SM Markets, its present company, subsidiaries and affiliates and their authorized
representatives may deem appropriate and necessary.
2. LESSOR shall not solicit offers for the subject property from others upon signing this Agreement.
3. LESSEE shall be the only locator in the Mini Grocery/Convenience store category within one
kilometer from the site address.
4. LESSOR’S shall submit the Legal Requirements specified under Annex “B” on or before the Doc.
Turnover Date.
5. LESSEE shall enter into a Contract of Lease under the above terms subject to the timely completion
of the requirements before the Turnover Date and the sufficiency of the contents of such
documents for the purpose of giving effect to the Contract of Lease.
6. All terms and conditions in this Lease Term Agreement shall apply insofar as they are not modified
or replaced by the stipulations embodied in the Contract of Lease to be executed hereafter
7. No claim shall lie against the LESSEE unless and until, as a condition precedent, the LESSOR shall
have fully complied with all the requirements in turnover of the property.
8. LESSOR respects and honors the LESSEE’S right to conduct due diligence steps in establishing
LESSOR’S rights, duties and obligations, including liens and encumbrances, which said LESSOR may
have with respect to the subject Property.
9. It is hereby understood that all terms and conditions stated herein shall be subject to Lessee’s
acquisition of the above described property and to the formal execution of the Contract of Lease.
Any variances or inconsistencies in this and the COL, the provisions of the COL shall prevail.
The parties hereby agree that the venue for any legal action for the enforcement of this contract shall be in
the courts of competent jurisdiction of Pasay City, to the exclusion of all other courts.

IN WITNESS WHEREOF, the Parties hereto have executed this instrument to be effective the day and year
herein below written.

acknowledged to me that the same is their free and voluntary act and deed as well as that of the corporations
represented herein. This instrument refers to a LEASE TERM AGREEMENT which consists of two (2) pages, including
the page whereon this acknowledgement is written, each and every page of which having been signed by the parties
hereto and their witnesses, and sealed with my notarial seal.
