4.- WHEREAS the SECOND PART: GROUP “A” (11%) y GROUP “B” (9%),
declare that have the proper international contacts to present to the SELLER an offer of buying
trough a real buyer after the compulsory Due Diligence of the package, and of the SELLER, if
necessary, trough Buyer’s authorities.

NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and
other good and valuable considerations, the receipts ofwhich is acknowledged hereby, the parties
hereby agree as follows:

a).- The SELLER through this PROFIT SHARING AGREEMENT agrees and accepts
EXCLUSIVELY the negotiation made by the SECOND PART with the Buyer. This authority is
hereby granted to the buyer, or platform.

b).- The SELLER , hereby, with full personal and legal responsibility, represent, warrant and grants
the immunity of Law enforcement persecution to the SECOND PART involved in the transaction.

In the event that some or any of the said document and/or asset and/or action(s) related/connected
appear not to be LEGITIMATE or of not RELIABLE ORIGIN and therefore FRAUDULENT or being
“FRAUDULENT” the above-mentioned persons –Second Part – are not responsible or guilty for
the said negative appearance and consequently, must be protected from any PERSECUTION or
HARASSMENT by any Law Enforcement Police of any nation(s) of any country(ies) in the world
and named HARASSMENT by the US TREASURY POLICE DEPARTMENT and/orUS CUSTOMS
AGENCY POLICE and/or CIA and/or FBI and/or INTERPOL and/or SCOTLAND YARD and/or from
any other LAW ENFORCEMENT AGENCY(IES) being not listed in this certificate.

c). - The SELLER accepts and agrees fee of 20% at the final sale price payable each time that the
seller receives the payment, to SECOND PART: GROUP “A” y GROUP “B” from the proceed of
the sale of the above-mentioned Historical Asset, with Rolls & Extentions - object from Buyer’s
bank in his nominated bank account. The total of the payment value shall be divided in the
quantities previously established. The corresponding to SECOND PART will be transferred from
sellers assigned paymaster, Bank or Buyer’s Bank, following instructions sent by SELLER,and a

1.- The PARTIES agree to keep the provisions of this Profit-Sharing Agreement
and all further details strictly confidential. Relevant information therefore shall not
be given to any third party except to those persons directly involved with the closing
of the transaction referenced herein.
2.- The PARTIES hereto agree that the rules of Non-Circumvention and Non-
Disclosure (NC/ND) Shall be applied to this transaction ex art 3.3 of General
Conditions, by the rules and principles of law of the Head Office of the International
Chamber of Commerce (ICC) of Paris, France.
3.- Should any dispute and/or disagreement arise between them, the PARTIES
further agree to submit such disputes or disagreements to Arbitration at the
International Chamber of Commerce, Paris, France, according to art. 2.1 of the ICC
General Conditions.
4.- The PARTIES likewise agree that the terms and conditions of this Profit-Sharing
Agreement may not be modified or changed in any way without their prior written
consent. Such consent must be signed by both parties hereto.
