I, ELIAS MULDONG, JR., the duly elected and qualified Secretary

of 4SM SERVICES, INC., a corporation duly organized and existing under
and by virtue of Philippine laws, with offices and principal place of
business at the above-stated address, do hereby certify that at the
special meeting of the Board of Directors of said corporation held at its
office on March 23, 2015 at 5:00 P.M., at which majority of the directors
constituting a quorum were present, the following resolutions were
unanimously adopted, viz:

“RESOLVED, that the Corporation hereby authorizes LUCITA

MULDONG, as she hereby is, authorized and empowered to SIGN
and EXECUTE the service contract with SM Prime, Inc. or to any of
its subsidiaries or with any other entities to which the Corporation
has a service contract and/or contract for supply of manpower as
well as to do and perform acts necessary for the accomplishment of
the said main authority such as the delivery and submission of
paper and documents, deeds, contracts and such other papers as
may be required by the principal pursuant to the said service
contract or contract for supply of manpower.

I hereby further certify that the above resolutions are the true and
correct excerpts of the minutes of the special meeting of the Board of
Directors of said corporation held at the place and on the date heretofore
mentioned; and, that the same are in full force and effect and have never
been amended, altered or repealed.
