1. COMPANY PROFILE
Telestack specialise in the complete design, manufacture, installation and commissioning of
mobile bulk material handling systems. Telestack have a global proven record in a range of
applications including quarry and mining industries, ports & inland terminals, stockyard
management, power stations, rail yards, steel mills, cement kilns and many other bulk material
handling industries. Telestack mobile solutions offer significant operating cost savings
compared to traditional methods of material handling (wheel loaders, haul trucks, static
conveyors), as well as providing Environmental, Health and Safety and other benefits. Other
significant benefits include reduced planning requirements due to product mobility and the
flexibility to move Telestack mobile equipment around the site or from site to site.

The Telestack team have 30 years international experience designing, manufacturing, selling and
supporting equipment operating in Sea Ports, Inland River Terminals, Mines, Quarries, Rail Yards,
Power stations, Cement Plants, Steel mills etc. We offer the right solution for the customer and
customise the design to suit your specific requirements. Our long-standing Sales and Product
Specialists are involved at every stage of the process and our Project Management department
ensures that the unit is built to the correct specification and within the agreed timeframe.

Our company has naturally matured into two distinct divisions: Telestack Aggregates and Mining
and Telestack Ports and Inland Terminals. These specialist divisions truly understand their trade
and the Client’s projects benefit from their experience. There is also a wealth of reference sites in a
range of applications across the globe that demonstrates this experience first-hand and an
exceptionally high returning custom rate – well above industry standard! Our customers range in
size, nature and requirements but we are steadfast in the conviction that the customer at the heart

QUALITY

Working from their modern headquarters in the N. Ireland, Telestack offer a complete in-house
design, manufacture and assembly of all units. All Telestack units are fully built and tested prior to
dispatch. All electric/ hydraulics and operating functions are tested and recorded and
comprehensive quality checks are recorded prior to dispatch (in strict accordance with ISO
guidelines). Many of our competitors outsource components and have to wait until the unit is built
onsite to discover if there are any issues – any issues encountered with Telestack units are resolved
and re-tested before they leave our premises.

Extensive investment has been made to ensure our global supply chain is responsive to our needs
and the needs of our customer. We source components that meet our high expectation and trade
only with suppliers who are best positioned to support our global Client.

Quality has always been at the core of the Telestack brand and they have always been renowned
throughout the industry for the high quality of their machines. As a UKAS accredited company, ((ISO
9001 (Quality Management), ISO 14001 (Environmental Management), OHSAS 18001 (Health &
Safety Management)), the Telestack Integrated Management System (IMS) ensures that anything
which has an effect on overall business performance is monitored, actioned and improved as a
natural part of their business culture. Complimented by the Investors in People Award, Telestack
take quality seriously at every stage from the people that they employ, to their supplier of
components and the internal processes that they use on a daily basis.

Each part of the quality process is documented and reviewed by the Quality team to ensure that the
product meets a high quality standard. Each project is appointed a project manager to ensure that
each unit is verified throughout the order specification, build and test phase. This ensures that the
customer receives their unit to specification and within the time frame agreed.

There is an advanced lean manufacturing program in place and as well as an advanced in house
safety program for all employees. The company are currently undergoing an extensive investment
to the Telestack facility to implement a modern material pre-treatment facility and 3 individual paint
booths that will make it one of the technically advanced paint facilities in the UK.

In addition Telestack conveyors are designed for the onerous demands of mining applications and
we are an approved supplier of equipment that meets Western Australian Mining Structural
Standards (AS 4324.1), guarding (AS1755) and electrics (AS3000). We have also designed
structures to operate safely in earthquake zones throughout the world. Our electrical design team
can also design/specify to meet local electrical standards.

Global engineering consultants/EPC contractors are among our clients. We design a system to suit
their specific needs. Other OEMs often specify Telestack mobile conveyors as part of their own
systems solution because of our reputation of consistently delivering on our commitments.

AFTERSALES

Typical site assembly is less that one week with limited civil construction needed on site. Telestack
service engineers can be arranged for dry and/or wet commissioning of units on site and on-site
training can be provided. Engineers can also support your equipment in the field as part of our Field
Service Programme to ensure uptime of the product. Additionally we also have a network of Dealers
and Agents across the globe that are hand-picked for their expertise in the material handling field
who are there to assist you on our behalf!

The Telestack parts department work continuously to put the customer at the heart of their
department – they understand that to have a unit down means that you are not making money – in
fact it is costing you money! Telestack after-sales department solve problems quickly to ensure the
safe and efficient operation of Telestack equipment in the field and support regular maintenance
and uptime of the product. Parts packages are tailored to suit the equipment, the application and
the location. The team is focused on ensuring you receive the correct part the first time, every time!
All of our Telestack parts teams complete extensive internal training regarding each Telestack
model. We also work hard to ensure a consistent level of quality not only from the team, but also
from our suppliers. Internal quality checks exist to ensure that all processes are checked and cross
checked.

To support our units in the field we have a product helpdesk that is manned by engineers who
understand and have worked with Telestack unit’s first-hand. Central to the Telestack support desk
is our commitment to get the unit up and running should it fail in the field.

Where the Client shall instruct our site engineers to carry out additional works over and above the
scope of the contract then such works shall be charged over and above the agreed contract price at
a rate of £60 per person per hour.

Important for ‘Sign Off’ for Installation and Commissioning Procedure

It is the client’s responsibility to ensure feed equipment and sample material is made available to
enable wet commissioning of the unit to take place to form

If wet commissioning cannot take place due to circumstances beyond Telestack’s control then the
client will be charged for any additional time, travel and accommodation required to enable wet
commissioning to be completed. Standard Installation and Commissioning rates will apply (£600
per day). A Sign – off Sheet for the Installation and Commissioning of the Telestack unit will be sent
with the Telestack Engineer to site, to be signed and agreed before leaving the site.

8. WARRANTY & TERMS AND CONDITIONS OF SALE

Warranty 12 Months or 2,000 Hours (Whichever Comes First)


Operation and Maintenance Manual English

Telestack Limited (hereafter referred to collectively as “Seller”) warrants it’s new equipment and parts manufactured and sold worldwide, to be free, under normal use and
service, of any defects in manufacture or materials for a period of (i) 12 months from date the Equipment is first placed into service, whether such Equipment is sold, rented or
leased or (ii) 2,000 hours of use, whichever first occurs; provided that in no event shall this warranty extend beyond a period of 18 months from the date of shipment from the
factory; and further provided that (1) Seller receives written notice of any defect within sixty (60) days of its discovery and Buyer establishes that (i) the equipment has been
maintained and operated within the limits of rated and normal usage; and (ii) the defect did not result in any manner from the intentional or negligent action or inaction by Buyer,
its agents or employees and (2) a Warranty Validation Report has been completed, signed and returned to Seller
within thirty (30) days of the equipment’s “in-service” date. If requested by Seller, Buyer must return the defective equipment to Seller’s manufacturing facility, or other location
designated by Seller, for inspection, and if Buyer cannot establish that conditions (1) (i) and (1) (ii) above have been met, then this warranty shall not cover the alleged defect.
Customer/Dealer must provide written/documented evidence of service history on the equipment if requested.
Seller’s obligation and liability under this warranty is expressly limited to, at Seller’s sole option, repairing or replacing, with new or re-manufactured parts or components, any
part, which appears to. Seller upon inspection to have been defective in material or workmanship. Such parts shall be provided at no cost to the owner. If requested by Seller,
components or parts for which a warranty claim is made shall be returned to Seller at a location designated by Seller at Buyer’s cost. All components and parts replaced under
this limited product warranty become the property of Seller. This warranty shall be null and void if parts (including wear parts) other than genuine Telestack parts are used in the
equipment. This warranty shall be null and void if any design and/or spec changes/upgrades have been made to the equipment without written, detailed, signed approval from
an authorised officer of Seller. Accessories, assemblies and components included in the Seller’s equipment, which are not manufactured by Seller, are subject to the warranty of
their respective manufacturers. Normal maintenance, adjustments, or maintenance/wear parts, including without limitation, proper tightening of bolts, nuts and pipe fittings,
adding or replacing of fluids, filters, belts, skirting, chute linings and paint, are not covered by this warranty and are the sole maintenance responsibility of Buyer.

SELLER MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, AND MAKES NO WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.

No employee or representative is authorised to modify this warranty unless such modification is made in writing and signed by an authorised officer of Seller. Seller’s obligation
under this warranty shall not include duty, taxes, environmental fees, including without limitation, disposal or handling of tyres, batteries, petro-chemical items, or any other
charges whatsoever, or any liability for direct, indirect, incidental, or consequential damages.

Improper maintenance, improper use, abuse, improper storage, operation beyond rated capacity, operation after discovery of defective or worn parts, accident, sabotage or
alteration or repair of the equipment by persons not authorized by Seller shall render this warranty null and void. Seller reserves the right to inspect the installation of the product
and review maintenance procedures to determine if the failure was due to improper maintenance, improper use, abuse, improper storage, operation beyond rated capacity,
operation after discovery of defective or worn parts, or alteration or repair of the equipment by persons not authorised by Seller.

Parts Warranty: Seller warrants the parts ordered from the Seller’s Spare Parts Department to be free of defect in material or workmanship for a period of 12 months after date of
shipment from the factory.

NO TRANSFERABILITY OF WARRANTY: This warranty is limited to the original purchaser or original end-user if sold through a distributor, and is not assignable or otherwise
transferable without the written agreement of Seller. Please contact your local distributor for additional details if needed.

ITEMS NOT COVERED BY SELLER WARRANTY


The following items are NOT covered under the Seller Warranty (the following list is not exhaustive):
1. Items sold by any individual, corporation, partnership or any other organisation or legal entity that is not an authorised Seller distributor.
2. Components which are not manufactured by Seller are not covered by Seller’s warranty. Such components are covered only by the warranty that is provided by the
manufacturer of such components. Such components may include, but are not limited to, engines, engine components, and customer supplied products.
3. Replacement of assemblies: Seller has the option to repair or replace any defective part or assembly. It is Seller’s policy to refuse claims for the replacement of a complete
assembly that is field repairable by the replacement or repair of defective part(s) within the assembly.
4. Normal Operational Maintenance Services and Wear Parts: Maintenance services and wear parts are excluded from warranty claims. Maintenance services and wear parts
not covered include, but are not limited to, such items as: proper tightening of bolts, nuts and pipe fittings, adding or replacing of fluids, filters, belts, skirting, chute linings and
paint,
5. Transportation cost and/ or damage: Any damage caused by carrier handling is a transportation claim and should be filed with the respective carrier or if transport arranged
by Telestack notified to Telestack (warranty@telestack.com) within 5 days from receipt of machine(s).
6. Deterioration: Repairs, work required or parts exposed as the result of age, storage, weathering, lack of use, demonstration use, or use for transportation/movement of
corrosive chemicals.
7. Secondary Failures: Should the owner or operator continue to operate a machine after it has been noted that a failure has occurred, Seller will not be responsible under the
warranty for resultant damage to other parts due to that continued operation.
8. Workmanship of Others: Seller does not accept responsibility for improper installation or labour costs or costs of any kind from personnel other than authorised Seller
distributor personnel.
9. Stop and Go Warranty: Seller does not recognize “Stop and Go” warranties.
10. Incidental or Consequential Damage: SELLER SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, BUT NOT

LIMITED TO, LOST PROFITS, LOSS OF PRODUCTION, INCREASED OVERHEAD, LOSS OF BUSINESS OPPORTUNITY, DELAYS IN PRODUCTION, COSTS OF
REPLACEMENT COMPONENTS AND INCREASED COSTS OF OPERATION THAT MAY ARISE FROM THE BREACH OF THIS WARRANTY. Customer’s sole remedy shall be
limited to (at Seller’s sole option) repair or replacement of the defective part.
THIS WARRANTY IS EXPRESSLY IN LIEU OF AND EXCLUDES ALL OTHER WARRANTIES, EXPRESS OR IMPLIED (INCLUDING THE WARRANTIES OF MERCHANTABILITY
AND
FITNESS FOR A PARTICULAR PURPOSE) AND ALL OTHER OBLIGATIONS OR LIABILITY ON SELLER'S PART. THERE ARE NO WARRANTIES THAT EXTEND BEYOND THE
LIMITED WARRANTY CONTAINED HEREIN. Seller neither assumes nor authorises any other person to assume for Seller any other liability in connection with the sale of Seller’s
equipment. This warranty shall not apply to any of Seller's equipment or any part thereof which has been subject to misuse, alteration, abuse, negligence, accident, acts of God
or sabotage. No action by any party shall operate to extend or revive this limited warranty without the prior written consent of Seller. In the event that any provision of this
warranty is held unenforceable for any reason, the remaining provisions shall remain in full force and effect.
IN THE EVENT OF ANY BREACH OF THE WARRANTY BY SELLER, SELLER'S LIABILITY SHALL BE LIMITED EXCLUSIVELY TO THE REMEDIES (AT SELLER’S SOLE OPTION)
OF REPAIR OR REPLACEMENT OF ANY DEFECTIVE EQUIPMENT COVERED BY THE WARRANTY. IN NO EVENT SHALL SELLER BE LIABLE FOR INCIDENTAL, INDIRECT,
CONSEQUENTIAL OR OTHER DAMAGES OR LOSSES RESULTING FROM A BREACH OF WARRANTY INCLUDING, WITHOUT LIMITATION, LABOUR COSTS, LOSS OF USE
OF OTHER EQUIPMENT, THIRD PARTY REPAIRS, LOST PROFITS, LOST TIME, TOWING OR HAULAGE OF EQUIPMENT, RENTAL COSTS, PERSONAL INJURY, EMOTIONAL
OR MENTAL DISTRESS, IMPROPER PERFORMANCE OR WORK, PENALTIES OF ANY KIND, LOSS OF SERVICE OF PERSONNEL, OR FAILURE OF EQUIPMENT TO COMPLY
