1 Commercial terms

1.1 Prices.
See section 3.

1.2 Delivery Terms.


The delivery terms will be EXW Trondheim, Norway and in accordance with INCOTERMS 2020.

1.3 Terms of Payment.


Net 30 days.
1.4 Invoicing Milestone.
At delivery of equipment.

1.5 Delivery time.


Delivery time pr. vessel will be 4-5 working weeks (shipment from Norway) based on the receipt
of a firm written order. Delivery time will start running from the date that both parties accept the
firm order.

Working weeks do not include Public holidays, summer holidays or Christmas holidays.

2 Deliverables
2.1 Documentation:
AutroPrime User Handbook
AutroPrime Installation Handbook
System drawings

As standard the documentation will be delivered in PDF format.

2.2 Packing.
Packing in accordance with shipment method (sea/air/truck) is included in our quotation.

2.3 Installation.
Installation of detectors and other loop units is NOT included in this quote and is assumed to be
owner responsibility. It is also assumed that the old loops are merged into new loops as per new
drawings. New 24V wiring to Zener barrier BZ-500 for Ex area might be required.

Installation of the Fire Panel equipment is included in our quotation as part of the commissioning
as described in section 2.5.

2.4 Supervision
Supervision by Autronica during the pre-installation phase is not included.

2.5 Commissioning - Start-up work.


Commissioning, 1 engineer for 2 days, limited to 10 working hours per day.

Transport and accommodation are NOT included and will be charged at cost +15%. Travel hours
for the engineer is charged at NOK 1.500/hr.

The commissioning includes configuring the AutroPrime Fire Detection panels. Spot checking of
the loops to verify functionality and cause & effects. We assume full access to all needed areas
and assistance from Purchaser by qualified personnel, if needed.

Fault finding of the installation exceeding the included commissioning of the system will be charged
at hourly rates based on AFS standard rates for service at NOK 2.100/hour.

2.6 Engineering costs


Assistance in addition to what is included in the contract will be subject to order from the customer.

Additional assistance will be as per our standard rates of


Engineering rates: (Monday – Friday) hourly rate NOK 1.800,-

2.7 Specification.
The quoted products and system layouts are in accordance with the technical specification, unless
otherwise specified in this quote. Any changes of scope related to Class/Flag requirements is not
included in our quote. Any changes of scope related to Yard/Owner modifications of drawings,
received at order, is not included in the quote, and based on additional costs.

2.8 Guarantee.
The quoted products are guaranteed for 12 months against faulty workmanship and defective
materials from hand-over of vessel to owner but limited to 24 months delivery from factory.
Consumable parts are not included in this guarantee. The guarantee is limited to replacement, or
repair of defective parts and working time on site. Travel/Living cost is not included and will be
charged at cost.

Spare parts are not included in the quote.

2.11 Consequential Damages.


Notwithstanding the terms of General Conditions of purchase and any other provision to the
contrary, the Contractor’s entire liability arising under the Contract or Purchase Order shall be
limited to direct damages that are reasonably incurred and caused solely as a result of the
Contractor’s acts or omission and shall not exceed the value of the Contract or Purchase Order.
For the avoidance of doubt the Contractor shall not bear any liability whatsoever for any incidental,
indirect special, punitive or consequential losses or damages for any loss of profit, loss of revenue,
loss of business or goodwill, data or data use, loss of reputation or loss of anticipated savings or
the like. This shall not limit the liability of the Contractor for death or injury to person caused by the
gross negligence of the Contractor.

2.12 General Conditions.

2.13 Validity.
Our quotation is valid for 60 days, unless previous withdrawn and for delivery within 2021.

3 Prices

3.1 Price for upgrading Fire Detection system:

Total price for equipment in accordance with Scope of Supply as listed in section 4.1.
Prices pr. vessel will be:

Upgrade Fire Detection System: EUR 14.928,-

Prices are based on an order for the complete scope of supply in section 4, and we reserve the
right to adjust the prices if the total scope of supply is changed.

5 Review of specifications and/or drawings and vessel


The quotation/contract work is based upon drawings/technical specification received from the
customer and drawings/documentation in AFS archives from the vessel new build. Purchaser shall
not make any amendment/changes to the specifications and/or drawings except by written notice
to the supplier. Any amendments/changes will be handled as a Variation Order.

6 Responsibilities

6.1 Autronica Responsibilities


Autronica will supply a complete set of:
• Certificates for the actual System
• All standard manuals and drawings to comply with the regulations in English Language.

6.2 Customer Responsibilities


• Mounting, installation and wiring of all field equipment.
• Participating in final commissioning and hand over.

6.3 Factory Acceptance test (FAT)
