COMPREHENSIVE MAINTENANCE CONTRACT/WARRANTY: ‘As mentioned above Integra Life Sciences/ Alliance Biomedica’ shall maintain the entire system for a period of 3 years from the date of installation and handing over free of cost. During this period, Integra Life Sciences/ Alliance Biomedica’ shall provide all breakdown maintenance services and replacement of defective system/equipment/parts free of cost. Further beyond the initial period of Free Comprehensive warranty as stated above, 4" year onwards Integra Life Sciences/ Alliance Biomedica’ would undertake a Comprehensive Maintenance Contract(CMC) including Labor and all spares at the rate of 5% of the PO Value, and an escalation of 5 % on the CMC value from 5% year onwards. This annual maintenance contract will in no way contain any reduced warranties and services than those offered under during the free comprehensive warranty period. PENAL’ The Supplier has agreed to deliver the equipment as per the delivery terms. Further the supplier has also committed to commission the entire system within one month of starting the installation works. In case of delay in the delivery and satisfactory handing over schedule as mentioned the supplier shall pay a penalty of 0.5% per week of delay, subject to a maximum of 5% of the total order value. This penalty will be in addition to the right of Aster to cancel the P.O. Further the supplier shall guarantee and certify that no item of supply of the entire system is refurbished. In case any of the items are found to be refurbished then "Integra Life Sciences/ Alliance Biomedica’ will be liable to forthwith replace the items free of cost. However such replacement will not prejudice the right of Aster to sue "Integra Life Sclences/ Alliance Biomedica’ for breach of Contract and claim compensatory damages.
