COMPROMISE AGREEMENT ‘This Compromise Agreement (the “Agreement") made and entered into til of December 2022 by and between: pec 10 0 ALEXANDER A. REYES, of legal age, Filipino, widower, with residence and postal address at Unit 911, St. Tropes Bldg., Azure Residences, Km 16 West Service Rd., Bicutan, Parafiaque City, Metro Manila, and hereafter referred to as the “FIRST PARTY"; «and ANNE NICHOLE G. REYES, of legal age, Filipino, single, with residence and. postal address at of B24 L31 Paradiso Street, Villa de Toledo, Brgy, Dila, Santa Rosa City, Laguna, and hereafter referred to as the “SECOND PARTY”, a Witnesseth that: WHEREAS, the FIRST PARTY is the father of the SECOND PARTY; S WHEREAS, the FIRST PARTY and the SECOND PARTY (collectively, the “PARTIES”) are the opposing parties in a number of cases pending before trial courts in Quezon City, Metro Manila and in Sta, Rosa, City, Laguna, and the Office of the City Prosecutor of Sta, Rosa City, Laguna; WHEREAS, for the sake of peace in their family, the PARTIES have agreed to an amicable settlement to, onve and for all, resolve their differences. WHEREFORE, in view of the foregoing premises, the parties hereby mutually and voluntarily agree as follows: L ARTIES 1. The PARTIES agree to sell the property with improvements (a house) located at B24 L31 Paradiso Street, Villa de Toledo, Brgy. Dila, Santa Rosa City, Laguna, which property is covered under Transfer Certificate of Title No, 060- 2020017399 of the Registry of Deeds for Laguna, Calamba Branch and registered in the name of the SECOND PARTY. 2, The FIRST PARTY shall select and identify the buyer of the house and lot and shall also communicate to the SECOND PARTY the purchase price, 3. After the buyer is identified and selected, SECOND PARTY shall execute a deed of absolute in favor of the buyer so identified and for the purchase price communicated to her. Page 1 0f6 . The house and lot located at B24 131 Paradiso Street, Villa de Toledo, Brgy. Dila, Santa Rosa City, Laguna shall be sold for FOUR MILLION FIVE HUNDRED THOUSAND PESOS, Philippine currency, (PhP4,500,000,00). PARTIES agree to split the proceeds of the sale of sale as follows: 4.1, To the FIRST PARTY, the amount of TWO MILLION SEVEN HUNDRED THOUSAND, Philippine currency (PHP2,700,000,00); and 4.2, To the SECOND PARTY, the amount of ONE MILLION EIGHT HUNDRED THOUSAND, Philippine currency ¢PhP1,800,000.00) . The FIRST PARTY agrees that the amount he shall receive from the proceeds of the sale of the house and lot located at B24 L31 Paradiso Street, Villa de Toledo, Brgy. Dila, Santa Rosa City, Laguna shall constitute the final and fall settlement ofany and all claims that the FIRST PARTY has against the SECOND PARTY involving his conjugal share and share as a compulsory heir of the Jate Gemma Teresa G. Reyes in the house and lot located at B24 L31 Paradiso Street, Villa de Toledo, Brgy. Dila, Santa Row City, Laguna and in the other properties of the late Gemma Teresa G. Reyes. . The FIRST PARTY affirms, confirms, and ratifies the sale and transfer of ‘ownership in favor of the SECOND PARTY involving the house and lot located at B24 131 Paradiso Street, Villa de Toledo, Brgy. Dila, Santa Rosa City, Laguna as embodied in the Deed of Sale dated 14 February 2020 entered as Doe. No. 316, Page No. 60, Book No, XXI (Series of 2020) of notary public Atty, Ruben M. Azanes, Jr. of Quezon City. ‘The FIRST PARTY agrees to pay the SECOND PARTY liquidated damages equivalent to ONE MILLION PESOS, Philippine currency, (PAP1,000,000.00) should it turn out that the property sold will not be registered in the name of the buyer the FIRST PARTY selected and identified as stated in the deed of absolute sale, . Simultaneous with the execution of the deed of absolute sale, the FIRST PARTY agrees to deliver to the counsel of the SECOND PARTY the amount of THREE HUNDRED THOUSAND PESOS, Philippine Currency, (PhP300,000.00) to guarantee that the proper capital gains tax will be paid. ‘The PhP300,000,00 shall be released to the counsel of the FIRST PARTY after delivery to the SECOND PARTY of the appropriate Certificate Authorizing Registration from the Burcau of Internal Revenue showing that the capital gains tax on the sale transaction was properly remitted to the government. The PhP300,000.00, however, shall be forfeited automatically without need of further legal action in favor of the SECOND PARTY should the FIRST PARTY be unable to produce, within six months from the date SECOND PARTY signed the deed of absolute sale, the appropriate Certificate Authorizing Page 20f6 Registration from the Bureau of Internal Revenue showing that the eapital gains tax on the sale transaction was properly remitted to the government, 9. Upon execution of this Agreement, the SECOND PARTY commits to secure the release of mortgage from Patrocino Natividad Garcia, who annotated a Real Estate Mortgage on Transfer Certificate of Title No. 060-2020017399 of the Registry of Deeds for Laguna, Calamba Branch, under Entry No. 2021020840 dated 29 July 2021 10. The FIRST PARTY commits to cause the cancellation of his adverse claim annotated on TCT No. 060-20200017399. The cost for the cancellation of his adverse claim shall be for his account. 11. The PARTIES agree that the columbary vault covered and described under Certificate No, A-1-32-07-D4-0390 (Niche D, Column 071, Block No. 32, G/F Anthurium Bldg,, Aeternum The Park Estate Columbary, Heritage Memorial Park, Area 2, Fort Bonifacio, Taguig City) shall now belong to the Ss SECOND PARTY. 12. The PARTIES agree that the FIRST PARTY may remove and take the personal properties items that he placed at the columbary vault, However, the removal of the personal properties/items shall only be done in the presence of the SECOND PARTY and/or her representative atan agreed date and time. Should the FIRST PARTY remove or cause the removal of any item in violation of this clause, he agrees to pay the SECOND PARTY liquidated damages in the amount of One Hundred ‘Thousand Pesos, Philippine currency (PhP100,000.00). 13. The FIRST PARTY hereby waives his right to the above-described columbary c vault and agrees to withdraw within one week from the execution of this Agreement any request he has made to the management of Aeternum The Park Estate Columbary, Heritage Memorial Park to recover ownership of the columbary vault, The FIRST PARTY hereby allirms his assignment/transfer of ownership of the vault in favor of the SECOND. PARTY. ial I 14. The SECOND PARTY commits to secure and/or execute the necessary documents to have the columbary vault transferred to her name from Ms. Stephanie Ocampo. The SECOND PARTY shall shoulder all administrative expenses, charges, and fees relative to the transfer of ownership of the columbary vault to he 15. The SECOND PARTY commits that she will inurn the ashes of the FIRST: PARTY at the above-described columbary vault after his death. 16,After the execution of this Agreement, the FIRST PARTY agrees and undertakes not to visit the above-described columbary vault without first securing the express permission of the SECOND PARTY. The FIRST PARTY Page 3 0f6 x = understands that the SECOND PARTY may decline any request, Whether allowed to visit the columbary vault or not, the FIRSTY PARTY agrees not to cause any kind of disturbance at the Aeternum The Park Estate Columbary, Heritage Memorial Park 17.The SECOND PARTY agrees that the execution of this Compromise Agreement shall also represent the final and full settlement of all her claims against the FIRST PARTY relative to their Kasunduang Pag-Aaayos dated 27 November 2019 in Usaping Brgy. Blg, 11-315-19 (titled Anne Nichole G. Reyes v. Alexander A. Reyes) before the Tanggapan ng Lupong Tagapamayapa of Brgy. Dila, Sta. Rosa City, Laguna, 18, The FIRST PARTY agrees that he shall refrain from doing any act that annoys and/or threatens, including sending of insulting text messages, the SECOND PARTY or shall cause embarrassment and/or disturbance to the SECOND. PARTY. 19. The PARTIES agree, without need of demand, that they shall execute whatever documents necessary to implement the terms of this Compromise Agreement. The PARTIES hereby agree that they shall comply with their respective obligations and all provisions of this Compromise Agreement in good faith. 20. Any communication between the parties rclative to the enforcement of the provisions of this Agrcement shall be sent to the following email addresses: 20.1. Alexander A. Reyes: anne_nichole_reyes@yahoo.com A party may also opt to course any communication intended for the other party through their respective lawyers. 21. The PARTIES agree that the obligations created under this Agreement shall be ffective immediately, without need of demand, upon execution hereof. 1 DROPPING OF CASES 1.
