DEED OF DONATION

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF DONATION, made and entered into this

__________________, in _____________________, Philippines, by and
between:

(NAME OF DONOR), Filipino, single, of legal age, and a resident

of (Address of Donor), Philippines, hereinafter referred to as the
“DONOR”;

- and –

(NAME OF DONEE), Filipino, single, of legal age, and a resident

of (Address of Donee), Philippines, hereinafter referred to as the
“DONEE”.

------ WITNESSETH ----

That the DONOR is a single parent and a businessman who has business
interests in corporations operating in the Philippines.

That the DONOR is a director and officer of MARIBENI PROPERTIES

INC., a corporation duly organized and existing under and by virtue of the laws
of the Republic of the Philippines with principal office address at (Address of
Corporation), with SEC Registration No. ______________ and TIN No.
_______________; (hereinafter referred to as the “MARIBENI” for brevity)

That the DONOR is a director and officer of STANDECO RUBBER

DEVELOPMENT CORP., a corporation duly organized and existing under and by
virtue of the laws of the Republic of the Philippines with principal office address
at (Address of Corporation), with SEC Registration No. ______________ and TIN
No. _______________; (hereinafter referred to as the “STANDECO” for brevity)

NOW THEREFORE, for and in consideration of the love and affection which
the DONOR has for the DONEE, the said DONOR hereby TRANSFERS, GIVES and
CONVEYS unto the DONEE, her heirs and assigns, the amount of FIVE
HUNDRED THOUSAND PESOS (Php 500, 000. 00), on a monthly
payment basis, within a period of twenty (20) years, in case of death of
the DONOR, in the form of cash dividends of the DONOR’S corresponding share
to the Corporation which may be considered by the Board of Directors and
Officers of MARIBENI and STANDECO as the rightful share of the DONOR, from
the mentioned Corporations, subject to the settlement of the DONOR’s estate, as
above-mentioned; from the income taken from whatever may be considered as
share of the DONOR, arising from his interests in MARIBENI and STANDECO,
after the settlement of the estate of the DONOR, in consideration of his mortal

peril, all of which to take effect upon the death of the DONOR, subject to
the following conditions:
That the proceeds of the amount mentioned above be processed and
released to the DONEE by the incumbent President and Treasurer of MARIBENI
and STANDECO, at the time of death of DONOR, in accordance with the internal
processes of the mentioned Corporations;

That, further, upon death of the DONOR in which the Deed of Donation
shall take effect, in case the DONEE becomes sick, terminally ill, diagnosed of
certain life threatening ailments or diseases, under circumstances that renders
the DONEE incapable of receiving the proceeds of the donation or should die
within the period of the twenty (20) years mentioned as the term of the
donation, the proceeds of the donation, for the remaining period of the twenty
(20) years, shall be given to BEA CHARLIZE V. TAN, without any condition,
subject to the same terms and conditions between the DONOR and DONEE
under this Deed of Donation;

That, further, if the DONEE should die before the DONOR, the present
Donation shall be deemed rescinded and of no further force and effect;

That, further, the DONEE hereby accepts this donation and hereby
expresses her gratitude for the kindness, generosity and liberality of the DONOR;

That, finally, the DONOR hereby reserves unto him the right to possess
and control his income, shares and other interests in MARIBENI and STANDECO,
as true owner thereof, before his death, without the need of prior consent or
approval by the DONEE.

IN WITNESS WHEREOF, the DONOR and the DONEE have hereunto set

That the foregoing DONATION MORTIS CAUSA was executed by (NAME

OF DONOR) and consists of FOUR (4) pages including the Attestation of
Witnesses and Acknowledgment, numbered correlatively in the bottom part of
each page, and signed by the Donor and the Donee in our presence and we at
their request, have signed these presents on the last page hereof and on the left
hand margin of each and every page, in their presence, and in front of each and
