CONTRACT FOR WORK FOR HIRE ENTERED INTO ON THE ONE HAND
BY THE COMPANY..., HEREINAFTER REFERRED TO AS "THE

STATEMENTS

II. The "AUTHOR" declares

A. To be of Mexican Nationality, in full use and enjoyment of his faculties and rights,
therefore he has no legal impediment whatsoever.

B. That its special and remunerated participation, to which this contract refers, is
subject to the provisions of the Federal Copyright Law, being the Law of the Subject
Matter.

C. That for the performance of this contract they indicate as their domicile the address

IN VIEW OF THE FOREGOING, THE PARTIES AGREE AS FOLLOWS:

CLAUSES

FIRST: The parties agree that the object of the present contract is the realization of the
work entitled " " whose elaboration is in charge of ________.

SECOND.- The parties agree that the "AUTHOR" undertakes to carry out the work in
accordance with the specific characteristics established by the "COMPANY".
THIRD.- The "COMPANY", will deliver to the "AUTHOR", the amount of $ _______
( 00/100 M.N.), as payment for the realization of the work mentioned in Clause One, at
the moment in which the original of the same is provided, as well as the amount of $
______( 00/100 M.N.), as payment for the use of the D.R. license. of the work for X
years.

FOURTH.- The "AUTHOR", declares that according to article 30 contained in the Law
of the matter, the "COMPANY", will have the use, enjoyment and lucrative exploitation
of the "WORK", for a period of X years.

FIFTH.- The "AUTHOR" undertakes not to publish the "WORK" on his own account,
nor give it to be published to any other person different from the "COMPANY", in
accordance with what is agreed in Clause Four of the present contract, during the time
determined in the previous clause.

SIXTH.- For the interpretation and fulfillment of this agreement, as well as the
provisions herein, the parties submit to the jurisdiction of the Federal Courts of Mexico
City, as well as to the provisions contained in the Law of the matter, and in the Civil
Code of the Federal District.

HAVING READ THIS AGREEMENT AND HAVING BEEN INFORMED OF ITS

CONTENTS AND SCOPE, THE PARTIES HERETO SIGN AND RATIFY THE
