2. Registered Office

2.A.Working Area :
I. To trace the roots of all the INA soldiers , document their history for later generations
II. To closely work with the Government and provide support to construct INA War Memorial at various places in
India and in South East Asia
III. To acknowledge their sacrifice by doing undermentioned things ,such as
a) To Nominate and provide support to decorate INA warriors with appropriate awards.
b) To Release postal stamps, etc in their names
c) Make their bravery stories available in school history books
IV. To document their history as a detailed book in different languages and make it available globally
V. To conduct regular INA conferences/workshops together with local organisations at different places in India and
South East Asia
VI. To support researchers
VII. To procure and secure the artefacts of the INA soldiers
VIII. To work with the Government to open galaries/musuems in every state to portray the contributions of INA
soldiers
4. Statutory Clause
All the incomes, earnings , movable or immovable properties of the association shall be solely utilised and
applied towards the promotion of its aims and objectives set forth in the Memorandum of Association and no portion
thereof shall be paid directly or indirectly by the way of dividends , profit or in any other manner whatsoever to any
person claiming through any one or more of the present or the past members. No member of the society shall have
any personal claim on any movable or immovable properties of the society or shall make any profit, whatsoever, by
virtue of their membership
5. Governing Body
The Name, Address, Occupation and designations of the Governing body to whom according to this
memorandum and by the rules of the society of management of its affairs is entrusted as required under section 2 of
the societies registration act , 1860 as applicable. The national level board members are
a) The the organization name will be United Indian National Army(INA) Families and Activist Association(UINAFAA)
b) The office bearer means president, vice president, general secretary, zonal secretary,global secretary(for globale
matters only) and treasurer
c) The committee means the managing Committee of the society
d) The ACT means the Society Registration Act and includes all statutory modifications that are for the time being
in force
e) The financial year means the year of commencing from 1st day of April and ending on 31st day of March
f) The general body of the society shall mean all the members of the society
The aims and objective for which the society is established shall be those as are incorporated and mentioned in the
memorandum of association of the society
3. Membership
Membership shall be open to all who are not less than 21 years of age, who believe in aims and objective of the
society and who are sure to abide by the rules and regulations and payment as prescribed as subscription of the
society. The membership shall consist of following classes
a) Founder member
b) Ordinary member
c) Corporate/institutional member
d) Honorary member
e) Associate member
Founder member
Founder member means the promoter whose names are mentioned in the memorandum of Association who have
joined together to form the society
Ordinary member
Ordinary member means a person who paid or pays Rs 500 as their association fee and who has agreed to pay Rs 200
every year as subscription fee on or before 31st of March every year
The governing body may in association with the provisions laid down in this regard admit any University, institution
Research Center Association, organization or Incorporated company in consonance with the names and objective of
the society as a corporate member on the initial payment of Rs10,000 and animal renewable fee of Rs 1000
Honorary member
Honorary member means a person of distinction in public life, vocation or trade who may be invited by the governing
body of the society to become its member as such, come in by the governing body from time to time. Such person
shall be deemed to be honorary member from the date that he/she accepts the governing body’s invitation
Associate member
An associate member is one who believes in the aims and objectives of the society and who is sure to abide by the
rules and regulations and agrees to be associated with the cause of the organization
Every application for the admission as member of the society except those who may be invited by the governing body
shall be addressed to the general secretary of the society
No application shall be considered unless the applicant is proposed by the member of the governing body and
seconded by the another such member
Every such application shall be considered in the governing body and shall be accepted or rejected by vote of majority
Every applicant shall be informed in writing by the a General Secretary of the decision of the governing body, which
shall be final
a) By Death
b) By resignation in writing
c) By unsound mind
d) By failing in the payment of the annual membership fee without reasonable grounds
e) By failing to attend three consecutive meetings of the society without information
f) By order of the general secretary if any member fails to abide by the Rules and Regulations and operates against
the objective of the society or if found guilty of misconduct
g) Non - renewal of membership by the governing body

Honorary member
And Associate member will not be entitled to attend the general body meeting or have any rights to cause their votes
8. General Body:
The meeting of the General Body of the Society shall be known as the General Body Meeting
(a) Notice. The General Secretary of the Society shall give 14 days' notice of the meeting of the general body to the
members of the Society in writing along with the agenda either by post, fax or e-mail or in such other manner
evidencing in writing, service of such notice.
(b) Quorum: At a general body meeting 1/3 of the total members shall form a quorum. If the quorum is not present
within half an hour of the time fixed for the meeting, the meeting shall stand adjourned for same day, time and place
in the following week and if the quorum is not present at the adjourned meeting too, the members present shall form
the quorum for the meeting
(c) Meeting: The first general body meeting of the society shall be held within six months of the date of registration of
the Society under the Society Registration Act, 1860. Thereafter, the general meeting of the Society shall be held at
least once a year provided the gap between two Annual General meetings shall not be more than 18 months. The said
Annual General Meeting shall consider any of the specified agenda items including the following:-
In addition to the annual general meeting, extraordinary general meetings can also be held. However in the
extraordinary general meetings only such questions and matters can be raised and considered as are specified in the
agenda in respect of the said extraordinary general meetings. In a general meeting any question can be raised and
any such matter can be considered. Only Governing Body shall be empowered to call such extraordinary general
meeting .
All decisions in the annual general meeting or the extraordinary general meeting shall be decided by a majority of the
vote
Subject to the provisions of these Rules, the affairs of the Society shall be administered and controlled by a Governing
Body which shall comprise a minimum of 12 (twelve) members and not more than 45(fourty five)
The composition of the Governing Body shall be as under
President-One.
Treasurer - One
a) The founder members of the Society shall be the first members of the Governing Body and shall be appointed
for a period of two years. Shri. Shubham Sharma, the founder General Secretary shall be the permanent General
Secretary of the Society unless he decides to remit this office or ceases to be a Member of the society:
b) The members of the Governing Body including the office bearers excluding General Secretary shall be elected as
such for a period of 2(two) years by the General Body.
c) The Governing Body can appoint any members of the society as member of the Governing Body.
d) Any vacancy created by death or otherwise shall be filled by the Governing Body within 3 months of the
occurrence of such Vacancies. Any new appointment to the Governing Body shall be approved by the General
Body in its meeting held immediately after appointment
e) A minimum 7 days' notice shall be required for every meeting of the Governing Body of the Society but urgent
meetings can be called within 24 hours
f) The quorum for every meeting of the governing body shall be 1/3 of the total strength of the governing body
g) A meeting of the governing body shall be held once in 3 months or as when decided by the governing body from
time to time
The governing body may frame bylaws and change / amend rules and regulations as maybe necessary for carrying on
the working of the society and fulfilling the aims and the objectives of the society
11. Managing Committee:
The President, Vice-President, General Secretary, Zonal Secretary , Global Secretary and the Treasurer shall constitute
the Managing Committee of the Society which shall be responsible for the day to day running of the affairs of the
Society and shall be empowered to exercise any of the powers and functions of the Governing Body except those
relating to approval of appointment for any new member to the Governing Body or those relating to framing/
changing/ amending of the bylaws, rules of regulations.
All decisions taken by the Managing Committee shall however be placed for information and approval of the
Governing Body in its meetings.
President:
(a) The President shall be elected once in two years through the voting my the board members
(b) The President shall be the head of the Society and shall preside over all meetings of the Governing Body of the
Managing Committee when he/she is present and shall exercise such other powers as are conferred upon him/her
under these rules;
(b) The President shall be informed about the broad policy decisions of the organization by the General Secretary.
(c) The President may through General Secretary/ Zonal Secretary call for an emergency meeting at shorter notice;
(c) The President's decision that a resolution has been carried or lost shall be conclusive unless such a decision is
challenged and a poll is demanded and the same shall be taken in such a manner as the President may in his
discretion determine. In case of a tie, the President shall have a second or casting vote.
(d) The President shall not be involved in the money matters of the organisation unless if he/she willing to do
Vice-President:
Vice-President will assist the President in discharge of his/her duties and responsibilities and shall enjoy all the
powers of the President in his/her absence.
General Secretary:
(a) As the chief Executive of the organization he shall be in charge of the office and shall be responsible to the
Governing Body and the general body in all matters;
(b) He/She shall be the convenor of all the meetings of the Governing Body and the General Body
(c) He/She shall be responsible for ensuring that the resolutions of the meetings of the General Body and the
Governing Body are implemented.
(d) He/She independently or along with the nominated members of General Body shall be responsible for all income
and expenditures of the society connected with the laid down objectives, subject to sanction of the managing
committee;
(d) He/She shall be empowered to do all such other lawful acts, deeds or things as are incidental or conducive to the
attainment of the objectives of the Society;
(e) He/She shall appoint, suspend, discharge, fix salaries, make payment to the employees of the society on behalf of
the Governing Body or Managing Committee.
Zonal Secretary
At zonal level, zonal Secretary will be responsible for all the activities done in the respective states
Zonal Secretaries should conduct monthly meetings at zonal level and provide regular updates to the board members
The Level Secretary, will be responsible of all the association activities at the state level. Any proposals or suggestions
from the state level should be submitted to the respective zonal head for approval.
Treasurer:
(a) He/She shall maintain the accounts in proper and prescribed form and shall produce the accounts of the society
before the Governing Body and the General Body;
(b) He/She shall produce the statement of expenditure of the Society before the Governing Body for approval;
(c) He/She shall manage the finances of the Society including the payment salary to the employees of the Society.
Global Secretary
(a) He/She shall be the single point of contact for the global activities
(b) For any global proposal , the global secretary should obtain the formal approval from the board members
(b) Through donations/grants/aid/contributions from its members, other private firms, Companies and Organizations
(d) Through government, non-government aid/grants including foreign individuals, organizations and individuals
The money can be withdrawn under the joint signature of either two of the following office bearers:
a) Vice President
b) General Secretary
c) Zonal Secretary or State level Secretary
d) Global Secretary (Only for the International matters)
e) Treasurer
All records will be kept at the registered office. Any member wishing to inspect can do so with the prior permission of
the President or General Secretary.
Bank accounts shall be operated in the name of the Society jointly by any of the two ie General Secretary, Secretary,
treasurer or other person so authorized by the Governing Body. The accounts of the Society shall be audited by a firm
of Chartered Accounts appointed annually at the general body meeting of the Society. If the Society fails to get its
accounts audited, the Registrar may cause the accounts of the Society audited by Chartered Accountants and recover
the cost from the Society.
Once in the year a list of the Members and Office Bearers of the Governing Body shall be filed with the Registrar of
Societies, Delhi as required under Section 4 of the Societies Registration Act. 1860.
19. Interpretation:
The authority for interpretation of any of these bye-laws, rules or regulations made there under which are in force or
that may come into force shall vest in the Governing Body and their decision in the matter shall be final.
20. Amendment:
Any amendment or alternation in the Memorandum, Rules or Regulation will be carried out in accordance with
Section 12 & 12A of the Societies Registration Act, 1860 as applicable to the National capital territory of Delhi.
The Society will be dissolved in accordance with the provisions of Section 13 and 14 of the Societies Registration Act,
1860 as applicable to the National Capital Territory of Delhi.
The Society may sue or be sued in the name of the President/ General Secretary of the Society as per the provisions
laid down in Section 6 of the Societies Registration Act. 1860 as applicable to the National Capital Territory of Delhi.
All the provisions of the Societies Registration Act, 1860 as applicable to the National Capital Territory of Delhi, shall
be applicable to this Society.
