SERVICE LEVEL AGREEMENT

This Service Level Agreement (the Agreement") is effective as of (DATE)

existing under the laws of the South Africa, with as head office located at
City Power Johannesburg (the "Client) a corporation organized and existing under the law
of South Africa with its head office located at

RECITALS

A. This Agreement sets forth the terms and conditions under which the supplier will provide
the client with Cleaner All Purpose, Ammoniated Cream 5L.
B. The Supplier hereby agrees to deliver the goods as specified in this Agreement to the
Customer within a maximum time frame of three (3) days from the date of order acceptance,
subject to the following terms and conditions:
C. Order Placement: The three (3) day delivery time frame commences from the date of
formal acceptance of the order by the Supplier.
D. Business Days: Delivery days shall be considered as business days, excluding
weekends and official holidays recognized by the relevant authorities.
E. Force Majeure: In the event of circumstances beyond the control of the Supplier,
including but not limited to acts of nature, government actions, labour disputes, or
transportation disruptions, which may affect the Supplier's ability to meet the delivery time
frame, the Supplier shall promptly notify the Customer of such circumstances and make
reasonable efforts to minimize any delay.
F. Acceptance and Inspection: The Customer shall have a reasonable period, not to
exceed seven (7) days from the date of delivery, to inspect and accept the goods. If the
goods do not conform to the specifications or are damaged, the Customer shall promptly
notify the Supplier in writing.
G. Penalties: In the event the Supplier fails to deliver the goods within the specified three (3)
daytime frame without reasonable cause, the Customer may, at its sole discretion, request
compensation or consider the Agreement in breach.
