RESIGNATION WITH

RELEASE WAIVER AND QUITCLAIM/UNDERTAKING

KNOW ALL MEN BY THESE PRESENTS:

I, VICKY T. CANONES of legal age, hereby acknowledge my lawful cessation

from my employment as employee of POWERPORT DATA SYSTEM
TECHNOLOGY INC. (hereinafter called the “Company" on thew basis of
resignation. Thus, I am hereby voluntarily and freely tendering my irrevocable
resignation from the Company. I further manifest and declare that:

1. For the work I have done for the Company, I hereby received and accept to my full
satisfaction the full payment of my separation pay and thirteenth month pay consisting
the following amount:
A. SEPARATION FEE amounting to 78,000
B. THIRTEENTH MONTH PAY worth 14,625

2. I hereby acknowledge that the amounts of money stated above cover and constitute
the full and complete settlement of any and all amounts due me by reason of my
employment with and separation from the Company and/or any of its affiliates. I also
acknowledge that the company’s act of providing me thew aforesaid amount is neither
an admission nor acknowledgement by the Company of my and any of the
Company’s project employees of theemployee’s entitlement to separation pay. I
hereby certify that I have no more claims against the Company and should there be
any that may arie now and in the future, I hereby waive and quitclaim any and all
possible claims and possible grievances that I have against the Company and its
directors.

and in the future, I hereby waive and quitclaim any and all p o s s i b l e c l a i m s
and possible grievances that I have against the Company and its
d i r e c t o r s .4 . I h e r e b y s t a t e a n d c o n f i r m t h a t I h a v
e already been paid all amounts representing
my salaries, back wages, 13th month pay, premium pay for holidays, rest
days,overtime pay, holiday pay, service incentive leave
pay, allowances, and all other benefits monetary or otherwise due me from
the Company, its affiliates, stockholders, officers,directors, agents and/or its
employees, arising out of or in connection with my employment with the
Company..5 . I n c o n s i d e r a t i o n o f t h e f o r e g o i n g p a y m e n t s , I
h e r e b y r e l e a s e , p r e m i s e , w a i v e , and forever discharge the Company, its
affiliates, stockholders, officers, directors, agents and/or its employees from any
and all action, whether civil, criminal, administrative or otherwise, or
from any claim of any kind or character on account of the termination
orcessation of my employment, or in connection with or arising out of my
employment withthe Company6 . I l i k e w i s e h e r e b y r e m i s e ,
release, and forever discharge the
C o m p a n y , i t s affiliates, the partners, stockholders, officers, directors,
agents and/or employees of thesaid entities from any and all manner of action,
cause of action, sum of money, damages,claims, and demands whatsoever in law or in
equity which I had or now have against
