Remarks:
The Service Provider shall take adequate insurance cover for its employees, agents and /or sub- contractors engaged in the performance of its obligations hereunder in
respect of personal accidents, death, injuries and such other risks and shall be liable for and in respect of any claims , damages or compensations payable in respect of or
in consequence of any accident, death or injury to its employees and or its subcontractors and indemnify and keep Industrial Clothings, its agents , employees and
servants indemnified against such claims and/or damages and/or compensations.
The Service Provider shall immediately remove any of its employee(s) /agent(s), subcontractor(s) who is/are employed in providence of Services at the request of
Industrial Clothings for unsatisfactory work including unethical business conduct or involvement in illegal and or criminal activities etc.
The Service Provider shall not publish any reports nor use any advertising, sales promotion or publicity material relating to the Services wherein the names of Industrial
Clothings and/or their subsidiaries or affiliates are mentioned or their identity implied without the prior written approval of Industrial Clothings.
All invoices to be raised for delivery of services during a month should be submitted to Industrial Clothings within 7 days after the month end.
TAXES
All tax liabilities arising out of or in connection with transactions contemplated herein, pertaining to the Service Provider shall be the responsibility of the Service
Provider. However, nothing contained herein shall be construed as preventing/precluding Industrial Clothings from deducting tax at source as required by law from the
payments due to the Service Provider.
STATUTORY COMPLIANCE
The Service Provider shall be entirely responsible for deployment of necessary resources such as manpower, equipment, facilities and for compliance of any statutory
and/ or contractual obligations arising out of and in connection with the provision of the services including but not limited to obligations relating to labour and industrial
laws, in respect of the personnel deployed directly or indirectly by it hereunder.
The Service Provider shall comply with all applicable laws, rules and regulations relating to the provision of the Services. Industrial Clothings shall not be liable in any
manner whatsoever for any non-compliance on the part of the Service Provider with applicable laws/ rules / regulations and in the event of any adverse claim arising
therefrom, the entire burden of same shall be strictly borne by the Service Provider.
TERMINATION
This Agreement shall be terminated by Industrial Clothings by giving one (1) month notice in writing to the Service Provider, without assigning any reason whatsoever.
