INTERNAL ASSESSMENT - II

WRITTEN SUBMISSION

DEADLINE: OCTOBER 23, 2023 (23:59 pm)

I. GENERAL INSTRUCTIONS

a. This assessment forms the second component of your continued assessment;

b. This component will be marked out of 25 marks;

c. You may do this drafting exercise individually or in groups of 3-4 only;

d. You may choose to draft basis any one (1) situation from the 2 situations mentioned below;

e. You are free to develop facts as you go. This means, you may either look up actual facts on the
internet or make up certain facts to strengthen your case;

f. Marks will be awarded for originality, compliance with the CPC orders and rules, creativity and
developing a solid case;

g. Whilst there is no word limit, please submit a plaint of not less than 8 pages.

II. TOPICS

i. Alia Bhatt, a popular Bollywood celebrity, is the owner of Ed-A-Mamma (“Ed”) - a sustainable,
home grown clothing brand in India. Ed was founded in the year 2020. Over the years, she has also
expanded her brand to maternity wear. Today, Ed is a multi-crore company and has established
itself as a pioneer sustainable clothing brand in India. Last year in 2022, Alia joined hands with
Isha Ambani, owner of Reliance Retail Ventures (“RRVL”), which forms part of the Reliance
Industries Limited (“RIL”) conglomerate. They both decided the following:

 Ed and RRVL will enter into a Joint Venture (JV) agreement;

 RRVL will acquire 51% majority stake in Ed;

 The partnership will ensure that the brand will extend to personal care, baby furniture, story books
and an animated series;

 RRVL will ensure that by the July 2023, (a) Ed will enjoy a net worth of INR 25 million, (b) Ed
will have 25 physical stores across the countries and (c) Ed will establish an international base by
joining hands with popular stores such as Target and TJ Max; and

 In case there is a breach of contract, the party liable for the same will pay the other party damages
to the tune of INR 20 million.

Following the successful negotiation and signing of the JV in June 2022, Isha states as below:

“With sustainability as its core proposition the brand has garnered acclaim for its meticulous
attention to detail, using ethically sourced materials and eco-conscious production processes. This
aligns seamlessly with Reliance Brands‘ vision of fostering a more responsible future for the
fashion industry,"

It is now August 2023 and Alia is distressed. Whilst her films are doing really well and she is now a

global superstar, her own company Ed is suffering terribly. As on date, it has expanded only to
personal care and with market moguls like Johnson and Johnson, the competition remains fierce.
Ed’s current net worth remains a meagre INR 1.5 million, it is going in loss and its employees are
leaving rapidly. Only 2 stores have opened (in Delhi and Bangalore) and there is no sign of
international presence anywhere.

Alia now wishes to terminate the contract. She wants to reclaim 100% ownership in Ed. In addition,
disappointed at the poor reputation Ed has to deal with currently due to RRVL’s involvement and
lack of action, she also wants to sue Isha for damages for breach of contract.

Alia decides to go to court and file this matter to end it once and for all. She approaches you, her
lawyer, to file this matter. You call your juniors that afternoon and tell them it’s going to be an
all-nighter - you need to draft a plaint in relation to this matter, urgently.

ii. Kareena Mehta is the founder of a online story-telling platform called Humans of Delhi (“HoD”).
She started this photoblog in 2014 to document stories of individuals and showcase it to the world
through social media. Over the past few years, HoD has established itself as a popular brand and
marketing platform. Its operating revenue ranges from 2 Cr. To 3 Cr. per year. Recently, the social
media manager of HoD came across a page titled People of Bharat. He was shocked when he saw
that the page had the exact same content which was showcased on HoD. Most of the stories were
the same, barring a few tweaks here and there, the pictures were almost identical and they followed
the same business model as HoD. Aggrieved, he runs to Kareena to tell her about this development.
Kareena is furious. She can’t believe that Instagram page with 2M followers is banking upon her
‘original’ content.

Kareena approaches you, her lawyer and lays out the facts. You advise her to go to Court as this is a
clear case of copyright infringement. No one can use your work without your permission. In any
case, People of Bharat does not have a license from HoD to use its content.

Kareena thinks about it and gives you a green signal - she wants you to draft a plaint this week and
share a copy with her before filing it.

III. SUBMISSION RELATED INSTRUCTIONS

a. All submissions are to be made on UMS only. Please do not e-mail me any submissions;

b. Please save and upload your files with the following title: <your name><student ID)<IA-II>;

c. Please submit all documents in Word format only, not PDF or txt.;

d. Please mention your name and student ID in the body of the document as well; and

e. The deadline for submission is October 23, 2023 and no extensions will be granted unless in case
of any medical or such emergency/extenuating circumstances.
