Digital Marketing Agreement

This Marketing Agreement ("Agreement") is entered into on [Date] (the "Effective


Date") by and between [Marketing Firm Name], a company registered in Pakistan,
with its principal office at [Address] (hereinafter referred to as "Marketing Firm"),
and [Client Name], a company registered in Pakistan, with its principal office located
at [Address] (hereinafter referred to as "Client"). Collectively referred to as the
"Parties."

1. SCOPE:
1.1. Marketing Firm agrees to provide marketing services to Client as outlined in Exhibit
A attached hereto. These services may include but are not limited to Search Engine
Optimization (SEO), Web Design, Website Management, Social Media Management
& Graphic Design.

1.2. Without prejudice to anything in this Agreement, Marketing Firm will use its best
efforts to market and promote the Client, and/or the Client’s Product and fulfill the
obligations set forth in this Agreement in its true letter and spirit.

1.3. Marketing Firm will bear no legal responsibility in case the marketing operation is
not highly successful, outreach of such services are time dependent, specifically due
to the nature of products being advertised.

1.4. Client will themselves not interfere with the operations of the Marketing Firm that
could potentially jeopardize the entire project, doing so will be at the sole risk and
cost of the Client of which the Marketing Firm will bear no responsibility.

2. TERM:
2.1. The term of this Agreement shall begin on the Effective Date and shall continue for a
period of [Duration] unless earlier terminated as per the terms outlined in this
Agreement.

3. COMPENSATION:
3.1. Client agrees to pay Marketing Firm the compensation outlined in Exhibit B attached
hereto for the services provided. Payment terms, invoicing procedures, and any
additional costs shall be outlined in the attached exhibit.

3.2. Failing to remit the stipulated service fees as per the mutually agreed-upon terms will
render the Client legally accountable and subject to potential legal actions.

4. INTELLECTUAL PROPERTY:
4.1. Any intellectual property created or developed during the course of providing the
marketing services shall be the property of Client, unless otherwise agreed upon in
writing. Marketing Firm retains the right to showcase the work done for Client in
their portfolio and marketing materials.

5. CONFIDENTIALITY:
5.1. Both Parties agree to treat any information provided by the other Party as
confidential and shall not disclose it to any third parties without prior written
consent, except as required by law.

6. DISPUTE RESOLUTION
6.1. Where any dispute arises between the Parties regarding the interpretation or
construction of this Agreement, or the liabilities and obligations upon the parties
hereunder, it shall be resolved, in the first instance, amicably and in good faith
through the process of mediation.

6.2. In the event that the Parties are unable to resolve their dispute(s) as specified in
Clause 6.1 above, the Parties shall refer their matter to arbitration, and the award
rendered thereunder shall be final and binding upon both Parties.

6.3. The arbitration specified in Clause 6.2 above shall be conducted at Lahore, in
accordance with the provisions of the Arbitration Act 1940, and the Courts at Lahore
shall have supervisory jurisdiction over the conduct of arbitration.

7. TERMINATION:
7.1. Either Party may terminate this Agreement by providing written notice to the other
Party.

7.2. When terminating Agreement, a fifteen (15) day notice must be provided to the other
Party.

7.3. In the event of termination, Client shall pay Marketing Firm for all services provided
up to the termination date.

8. GOVERNING LAW:
8.1. This Agreement shall be governed by and construed in accordance with the laws of
Pakistan.
