Sales and Marketing Consultant Agreement

This Sales and Marketing Consultant Agreement (the "Agreement") is

1. Engagement

1.1 The Company hereby engages the Consultant as an independent

contractor to provide sales and marketing consulting services (the
"Services") as described in Exhibit A attached hereto.

1.2 The Consultant agrees to provide the Services to the Company in a

professional and timely manner, devoting adequate time and attention
to fulfill the obligations outlined in this Agreement.

2. Compensation

2.1 In consideration for the Services, the Company shall pay the

3. Term and Termination

other party breaches any material term or condition of this

4. Confidentiality

4.1 The Consultant agrees to maintain the confidentiality of all non-

public information and materials provided by the Company and shall
not disclose such information to third parties without the prior
written consent of the Company.

5. Independent Contractor Status

5.1 The Consultant acknowledges and agrees that they are an

independent contractor and not an employee of the Company. The
Consultant is solely responsible for their own taxes and benefits.

6. Governing Law

6.1 This Agreement shall be governed by and construed in accordance

with the laws of [Your Jurisdiction].

7. Entire Agreement

7.1 This Agreement contains the entire agreement between the Parties
and supersedes all previous agreements and understandings between the
Parties.
