INCORPORATION OF A COMPANY
Name Approval
First the name of the company is required to be approved.
Six different names according to preferences can be given for
approval. This step is quite important since names availability
rules are to be followed to avoid rejection. Name reserved
for 20 days.

Incorporating a company through
Simplified Proforma for Incorporating
Company electronically (SPICe -INC-32),
with eMoA (INC-33), eAOA (INC-34), is the
default option and most companies are
required to be incorporated through SPICe
only.
The Registration of Partnership Firm is not a mandatory bylaw. But, in order to avoid future disputes and to have the
right to sue outsiders; registration of Partnership should be given priority
Registration is a manual process. The following Documents are required to be submitted to the Registrar of Firms
by hand.
License
The NPC requires license from the authorities since its being incorporate
not for profit. The Authority, only after being satisfied with the objective,
issues the License.

• PAN Card of all the members of the proposed society has to be submitted
along with the application.
• The Residence Proof of all the members of the society also has to be
submitted.

REGISTRATION PROCESS OF SOCIETY ……CONTD.
Memorandum of Association has to be prepared which will contain the following
clauses and information:
• The work and the objectives of the society for which it is being established
• The details of the members forming the society
• It will contain the address of the registered office of the society
Articles of Association also have to be prepared which will contain the following
information:
• Rules and regulations by which the working of the society will be governed and the
maintenance of day to day activities
• It will contain the rules for taking the membership of the society
• The details about the meetings of the society and the frequency with which they
are going to be held is to be mentioned
• Information about the Auditors
• Forms of Arbitration in case of any dispute between the members of the society
• Ways for the dissolution of the society will also be mentioned
Once the rules have been formed, they can be changed but the new set of rules will
be signed by the President, Chairman, Vice President and the Secretary of the
Society.

• A covering letter mentioning the objective or the purpose for which the
society is being formed will be annexed to the beginning of the application.
It will be signed by all the founding members of the society.
• A copy of the proof of address where the registered office of the society will
be located along with a NOC from the landlord if any has to be attached.
• A list of all the members of the governing body has to be given along with
their signatures.
• Requirement for registration of Trust Deed with the Local Registrar under
the Indian Trusts Act, 1882
a) Trust Deed on stamp paper of requisite value (as stated on point no.2
above)
b) One passport size photograph & copy of the proof of identity of the
settler
c) One passport size photograph & copy of the proof of identity of each
of the two trustees.
d) One passport size photograph & copy of the proof of identity of each
of the two witnesses.
Go to the local registrar & submit the Trust Deed, along with
one Photocopy, for registration. The photocopy of the Deed
should also contain the signature of settler on all the pages.
At the time of registration, the settler & two witnesses are
required to be personally present, along with their identity
proof in the original.
