1. Prior notice
1.1 Prior notice – Introduction
Leosphere is a member of Vaisala Group, where Vaisala OYJ (a stock listed company at
Helsinki’s Nasdaq) is head of group company. Therefore, Leosphere as mentioned hereafter
shall include any of its affiliates (including Vaisala OYJ as its mother company so as any
other). For the sake of clarity, any mention to “Leosphere” or “Vaisala” refers irrespectively
to Vaisala Group.

1.2 Confidentiality
The present document contains several Leosphere proprietary and restricted information
which is released to a business or technical partner or customer for a strict internal purpose.
Its submission is performed under the frame of a strong duty of confidentiality so as any
possible Non-Disclosure Provisions in force between the Parties and/or any other affiliates
of Leosphere meaning any affiliate of Vaisala Group (hereafter "Vaisala Group").

1.4 Specific Conditions


Depending on business needs, Leosphere reserves the right to discuss and accept specific
conditions which shall complete and supersede that Product Information (hereafter the
“Specific Conditions”). In such a case, such Specific Conditions shall be materialized in a
specific document (the “Umbrella Agreement”), which will integrate them so as any
document to be attached to the sales contract.

2.1 Leosphere company
Leosphere is the leading provider of ground-based and nacelle-mounted Lidar (Light
Detection and Ranging) solutions. The company designs, develops, manufactures, sells and
services new turnkey remote-sensing instruments allowing wind measurement and aerosol
characterization.
Lidar technology is at the crossroads of several atmospheric environmental applications.
Leosphere addresses four different markets:
• wind power
• air quality
• weather and climate
• aviation weather
For the wind industry, Leosphere has a unique product range allowing optimizing wind farm
projects value at all stages, from development to operations and maintenance.

2.2 WindCube, Vertical Profiler Lidar


2.2.1 Lidar general principles
Lidar (Light Detection and Ranging) is a remote sensing technology using laser beams to
measure the wind speed and direction.
Based on pulsed Doppler heterodyne laser principle, the Lidar sends a light pulse at high
frequency in the atmosphere and observe the signal backscattered by aerosols naturally
present in the air.
The time between the pulse and the detection of the backscattered signal is processed by
the system thanks to the Doppler effect and provides an accurate measure of the wind
speed and direction. This measure is based on a physical constant of high accuracy: light
speed.

2.2.2 Advantages of Pulsed Lidar technology


Pulsed Lidars send Laser pulses at a very high frequency: tenths of thousand pulses are sent
within 1s. Light pulses are backscattered by aerosols and, from those received, Doppler shift
is analyzed much before next Laser pulse is emitted. This avoids confusing time delays and
distances. Therefore, probe distance, or height, only depends on the time it takes for a pulse
to be received after it has been emitted.
Several technical advantages arise from Pulsed Lidar technology:
1. Multiple heights are measured simultaneously

• A complete wind profile is measured within the same time in 1s: the shear profile is
“frozen” and accurately captured.
• More measurement heights does not impact the duration of measurement: a detailed
wind profile is captured with no compromise on temporal resolution and thereby no
decrease of accuracy nor data availability.

2. Spatial resolution is constant through the entire wind profile


• Constant probe volume of atmosphere leads to constant accuracy at all heights.
• Probe volume does not increase with measurement height: higher measurement ranges
are possible.

3. Measurement is not affected by clouds, fog or high density of dust and sand particles,
nor obstacles
• For Pulsed Lidars, only atmospheric conditions at measurement heights matter:
measurement accuracy is not affected by light backscattered from other atmospheric
layers. At one measurement height, “door is closed” to atmospheric conditions of any
other layer.
• Measurement accuracy of Pulsed Lidars is therefore not sensitive to weather conditions
or to varying density of aerosol layers. Pulsed Lidars maintain same accuracy under
clear sky or presence of fog.

4. Pulsed Lidars directly measure accurately and unambiguously wind direction


• Pulsed Lidars accurately measure direction of each wind speed over the full 0-360°
range.
• This ensures an accurate wind rose evaluation for a wind project, which is critical to
design a wind farm and evaluate the project finance with the highest accuracy.

5. Pulsed Lidars can use a reasonable number of beams arranged within a flexible pattern
• A vertical beam is possible.
• Vertical beam provides a direct measurement of vertical wind speed, as well as serve
advanced wind processing in complex terrain, or advanced techniques for Turbulence
Intensity for instance.

6. Data recovery from Pulsed Lidars is not sensitive to wind conditions like shear and
turbulence intensity
• Although measurement availability is impacted by very low aerosol density (this is the
case for all Lidar types), data recovery of Pulsed Lidars is however not sensitive to wind
conditions like shear or turbulence intensity thanks to its large Doppler spectra.
• Data recovery is therefore more stable and not sensitive to wind conditions which
reduces the risk to bias the Energy Yield Assessment, and also easier to predict with
simulation tools developed by Leosphere.

2.2.3 WindCube measurement principle


WindCube Lidar is used for wind profile measurement from 40 meters to 300 meters. Four
beams are sent successively in four cardinal directions along a 28° scanning cone angle,
followed by a fifth, vertical beam. Up to 20 different range gates can simultaneously be
measured using the laser pulse time of flight.
WindCube has been designed for ground-based applications for onshore environments.
Offshore environments are also punctually possible but we recommend using our WindCube
Offshore product version for full offshore usage.

2.3 Applications
The WindCube now provides a 300 meters wind profile with 20 independently configurable
measurement heights while being easy and quick to deploy or move. Such features allow its
use for several applications at all stages of your wind energy project. More than 1000
WindCube Lidars are used globally today for wind resource and wind turbine performance
assessment.

2.3.1 Wind resource assessment


Precise and reliable wind resource measurements are critical for developers to increase
project value. The profitability of a wind farm directly depends on uncertainty reduction
during the wind resource assessment and wind turbine optimization phases. These
measurements provide the essential data used to calculate the potential energy yield from a
project, which in turns dedicates the terms of the project financing.

Onshore, in standalone or in combination with traditional anemometry, a mobile Lidar


collecting continuously 300 meters wind profile data is ideal to better characterize the wind
resource and reduce project risk. By providing bankable data to investors and owners, the
WindCube can make the difference between project success and failure.
On a wind farm project, uncertainty reduction can mean millions in equity investment
savings and a significant increase in the rate of return. This makes the WindCube Lidar
remote sensor a quantifiably valuable asset for developers, consultants, wind farm owners
and operators.
For offshore wind farms located further away, the WindCube allows to measure accurately
the wind on stable platforms located several kilometers from the shore. In case of absence
of platform, the measurement with a Lidar installed on a buoy, is the most effective way of
performing a cost-effective wind resource assessment.

2.3.2 Power performance testing


In order to assess the performance of a wind turbine, power curve measurements are usually
performed. It allows measuring the correlation between the wind speed and the output
power of the turbine and to compare this measurement to the contractual power curve.
Lidars are the equipment of choice for such measurement as it measures very accurately
and along all the rotor the wind speed and wind direction. The low uncertainty of WindCube
wind speed measurement translates directly into a low power curve uncertainty and a low
AEP uncertainty.

2.4 Standards, guidelines and current


industry practices
Following a long process of validations and proofs, the WindCube is accepted by all experts
and various international standards and industrial guidelines already approve its use for
different applications and terrains, in standalone or in complement of a met mast. Moreover,
the WindCube has achieved full IEC 61400-12-1 Ed.2. 2017 compliance with independent
third-party classifications.
Below is an overview of the most important existing practices used by WindCube users for
bankable projects and contractual performance verifications. The table is summarizing
which applications each standard is made for and its status. Of course, there are links
between pre and post construction use: for example, IEC 61400-12-1 Ed.2. 2017 guidelines for
power performance tests are already influencing wind resource assessment practices:

2.4.1 IEC 61400-15 (in progress)


The scope of this forthcoming standard is to define a framework for assessment and
reporting of the wind resource, energy yield and site suitability input conditions for both
onshore and offshore wind power plants.
The framework will be defined such that applicable national norms are considered and
industry best practices are used.

2.4.2 IEC 61400-12-1 Ed.2. 2017


IEC standard recommends the use of remote sensors to measure the performances of a
wind turbine generator. The WindCube is a fully representative device able to characterize
the turbine efficiency at the wind farms. The standard set up some rules in order to perform
such analysis mimicking the role of an IEC met mast.
• Hub height wind speed is measured with WindCube and a small met mast (40 meters)
allowing monitoring wind speed at low height.
• Measurement of shear and/or veer from multiple range gate of WindCube allows
deriving the Rotor Equivalent Wind speed and gets less uncertainty in performances
measurement.
• All environmental variables such as Turbine Intensity can be measured with the
WindCube and performances are normalized.

2.4.3 IEA Wind recommends Lidar use for WRA


IEA considers that “The deployment of remote sensing may provide wind project developers
with useful information that can be used to reduce the costs associated with wind data
collection at heights greater than can be achieved using traditional monitoring towers”.
To standardize the use of remote sensors and especially the WindCube, IEA standard
describes a set of recommended practices for the use of WindCube which makes its use as
standard to perform wind resource assessment.

2.4.4 FGW Technical Guidelines for Wind Turbine PART 6:


Determination of Wind Potential and Energy Yield.
Revision 9 (23/04/2015)
Known as TR6, the German guideline recommends the use of standalone Lidar either in
simple or complex terrain for wind resource assessment projects and sets out some rules
regarding the measuring range and data availability. According to TR6, measurements need
to be performed at 2/3 of the supposed turbine hub-height and register very good
availability. It was demonstrated that the WindCube is entirely compliant with those
requirements as it measures at high distances (up to 300 meters) and register very good
availability for heights under 200 meters.
Based on this evidence, the TR6 guideline agrees that the device can entirely replace a met
mast in simple and complex terrains. For the latter, as the wind flow could induce errors in
Lidar wind speed reconstruction algorithm, an embedded flow correction model such as
FCR (Flow Complexity Recognition) is required and fully validated by TR6.

2.4.5 Measnet: evaluation of site-specific wind conditions.

Measnet standard agrees on the proved technology of remote sensing devices and its
growing performance to fully answer wind resource assessment projects expectations
regarding costs, risks reduction and bankability: “… remote sensing technique like Lidar and
SODAR have reached a stage, where they can be considered as supplement or as alternative
to mast measurement in many case”.
In simple terrain, the WindCube can be used in standalone if the device was calibrated
against an IEC met mast prior to the campaign. For complex terrains, the standard requires
the use of Lidar next to a short met mast (40 meters) and also validates the use of FCR
(Flow Complexity Recognition). Following these recommendations, the WindCube answers
every type of wind resource assessment analysis from standalone measurement to vertical
and horizontal extrapolation.

2.4.6 DNV GL Stage 3 Position statement


DNV-GL developed a position statement regarding remote sensors devices indicating the
amount of validation required in order to rely on data for energy assessment projects.
According to DNV-GL, the WindCube is stage 3 (the highest level) for simple terrain
measurements: “a device (here the WindCube) is considered proven for use in the
assessment of wind farms sites. The data may be used quantitatively within formal wind
speed and energy assessments with only limited or no site-specific validation against
conventional anemometry”.
For complex flow, the WindCube is deemed to be stage 2: “Confidence is gained that the
device provides robust, continuous and accurate data over the full spectrum of operational
conditions. Alternatively, specific conditions where the device does not provide robust data
become well understood and can be excluded from analyses”.

2.4.7 Ecofys position on Lidar use


Ecofys recommends the use of Lidar in the following configurations to improve bankability
for better financing terms and reduced project risks.
• Standalone Lidar – in simple terrain the Lidar can entirely replace a met mast for wind
resource assessment. It can also be used to characterize a site for instance evaluating
the wind shear around forests.
• Lidar next to a short met mast – a cost-effective solution to evaluate the wind shear
and extrapolate wind speeds at hub height.
• Lidar moved around the site complementing an on-site met mast – this helps to reduce
the uncertainty in flow modeling. Also, shorter campaigns spread throughout the year
help reducing seasonal effects.

The system requires an input voltage of 24.5-27V DC. An IP67 transformer is supplied for AC
inputs (100-240 V AC / 50-60 Hz) and a DC-DC convertor is supplied for DC input of 18-32V
DC.
The chart below describes typical power consumption over a range of ambient operating
temperatures.

3.2.3 3G and 4G Router


WindCube is equipped with a 3G or 4G router depending on region/country. A 4G router is
today available for EMEA countries (Europe, Middle East and Africa), China and US. More
regions/countries will be regularly added, therefore please contact Leosphere for more
details regarding your specific request for new countries.
A 3G or 4G antenna is also delivered along with the router to ensure complete configuration.

operation of the 3G or 4G router delivered by Leosphere may be restricted in some
countries. Leosphere has no accurate information on the local regulations regarding the
correct functioning of the 3G or 4G router. As such, the company cannot be held liable for

3.3 Software description


3.3.1 Software overview (WindCube Insights)
The WindCube is accessible through the WindCube Insights software (formerly known as
Windweb), available remotely (online mode) or with a direct local connection (offline
mode). Offline functionalities are limited compared to the online mode:
Users and rights management
• Flexible and traceable user management based on specific campaign needs
• Individual user’s accounts with customizable preferences (eg: language, alerts, email)
• Level of access rights and periods for each Lidar defined by the system administrator
(eg: data access, duration, configuration) (online mode only)
Monitor and manage
• Comprehensive fleet overview through system status listing and geographical mapping
• Real time monitoring and customized early warning alarms to increase uptime (online
mode only)
• Detailed indicators for Lidar system status with proposed actions for easy and fast
troubleshooting
Data export and access
• Long term storage of all data files on a secure, confidential and dedicated server
• Automatic data export to a (S)FTP server and/or email addresses
Real time and archived data access and download from any device worldwide (online mode
only). Connecting the system(s) to the internet allows accessing the full functionalities of a
cloud-based platform with multi-Lidars, users and campaigns management.
Once connected to the WindCube Insights platform, the fleet overview is displayed thanks
to the system status listing and geographical mapping.

WindCube Insights dashboard provides at a glance the system status, configuration, and real
time measurements. Potential anomalies can be diagnosed with the detailed status page
and troubleshooting suggestions. As well, system alerts can be configured to individual
preferences. The data is stored on a secure server with no risk of data loss and the recorded
measurements can be accessed and viewed from any desktop.

WindCube Insights includes a system administrator able to authorize a maximum of 10 users


on a system. Individual access can be customized with varying levels of permissions, for
different periods of time ensuring system and data security in any type of campaign.

3.3.2 Data sample


The system records and stores 1-second continuous data and 10-minute (configurable)
averaged data in two different output files.
• 10-minute data is stored in the “.sta” output file.
• 1 second data is available in the “.rtd” output file.
Each altitude measurement is grouped in 18 columns and each line represents averaged data
acquired over the past 10 minutes (date and time).

3.3.3 WindCube measurements in complex terrain with the


embedded FCR module
As any remote sensor, standard WindCube wind reconstruction assumes flow homogeneity
across the volume of measurement. In complex terrain, this assumption is no longer valid
and measurements are inaccurate. To tackle this problem, Leosphere has developed a
method allowing capturing flow inhomogeneity and obtaining accurate measurements in
complex flow conditions.
Integrated within the WindCube, the FCR is an algorithm which associates the 10 minute
average measurement of the WindCube with fluid mechanics equations in order to
determine the wind velocity (ie wind speed and wind direction) for a given terrain
topography. It embeds a 3D wind field model for complex terrain which has been configured
to produce a mass consistent wind field using data from the WindCube.
It requires two types of data to be retrieved automatically:
• Site topography: the FCR uses corresponding topographic tiles from the embedded
Shuttle Radar Topography Mission (SRTM) or Advanced Spaceborne Thermal Emission
and Reflection Radiometer (ASTER) public database based on the configured GPS
input. The database contains the terrain elevation at a 100 meter resolution for a 1 km*1
km square, downscaled at a 10 meter resolution.
• Wind measurements: wind speed and wind direction at several heights at a single
location as measured by the WindCube standard wind reconstruction.
The FCR approach has achieved broad acceptance. Its performances have been proven on
moderately complex terrain and forested terrain. The solution has been tested and validated
by independent industry experts around the globe. FCR acceptance is effective: the German
TR6 guideline accept its use without mast for moderately complex terrain.

The FCR algorithm relies on a patented technology.

In addition, WindCube output data are also compatible with most CFD tools such as
Meteodyn, WindSim, ZephyScience or some in-house models from consultants and can be
used for post-correction purposes.

3.4 WindCube options


Options may be available for purchase for each LIDAR Systems. As a principle, Warranty of
the Options which can be provided with the LIDAR System is working on the exact same
conditions as defined for the LIDAR System. Any non-embedded Option shall benefit from a
Warranty Period as defined in its quotation. Additional information related to options and
services can be found in LIDAR Systems Service Information.

3.4.1 WindCube Power supply solutions


Leosphere has established several partnerships with power supply providers in order to best
meet local needs and constraints. Today, there are several technologies available:
• Methanol fuel cell: compact, economic and environmentally friendly power solution
• Diesel: the perfect solution in countries where Methanol fuel cells are not allowed
• Solar panels: usually used in addition to a power solution mentioned above to increase
autonomy

Leosphere can support our customers in finding the best solution through our network of
partners.
In addition, Leosphere can directly sell, deliver and service a power supply solution for
WindCube called EFOY ProCube.
The ProCube is a plug and play, cost-efficient and reliable solution based on methanol fuel
cell and solar panels, with remote control and fuel cell level monitoring via WindCube
Insights. While checking the fuel cell status and the overall power supply, the following
information can be displayed:
• Battery voltage
• Output current from the fuel cell (not the current consumed by the WindCube)
• Operating time
• Operating state
• Operating mode
• Cumulative output energy
• Error status
• Cartridge consumption (in case of problem, a notification will be automatically sent by
email)

Warranty duration associated with the EFOY ProCube is 1-year from date of delivery of the
power solution according to the chosen Incoterm (ICC 2020), as stated in its transportation
document.

3.4.2 Geofencing
WindCube can be packed with features whose purpose is to ensure the safety and the
reliability of the system. The Geofencing option allows to:
• Define an authorized area where the WindCube should be
• Localize the WindCube
• Detect the movement of the WindCube if it is moved outside of its authorized area

• Send alerts to inform about the movement of the WindCube outside of its authorized
area and localize the system.
Once fitted on the WindCube, the geofencing device can be activated by the purchase of a
one-year or three-year license. Activation of the license is done at delivery of the WindCube
when license is purchased by customer through Leosphere.

CAUTION! Geofencing* Due to specific regulations in some worldwide regions, the


nominal operation of the Geofencing delivered by Leosphere may be restricted in some
countries. It is the case in Ireland for instance. Leosphere has no exhaustive information
on the local regulations regarding the correct functioning of Geofencing. As such, the
company cannot be held liable for any malfunction due to the reasons mentioned above
and/or for applicable local specific regulations. Also, as already stipulated in Leosphere
General Terms and Conditions, the client warrants that the product received conforms to
applicable local regulations especially in terms of Export control.

3.4.3 Satellite communication


The WindCube is equipped with a 4G or 3G router for remote access to the system from any
location. If in extreme cases there is no signal reception, the WindCube is compatible with a
Satellite communication option available through SmartGrid. Leosphere can facilitate the
choice of the right option with SmartGrid.

1.1 Prior notice – Introduction
Leosphere is a member of Vaisala Group, where Vaisala OYJ (a stock listed company at
Helsinki’s Nasdaq) is head of group company. Therefore, Leosphere as mentioned hereafter
shall include any of its affiliates (including Vaisala OYJ as its mother company so as any
other). For the sake of clarity, any mention to “Leosphere” or “Vaisala” refers irrespectively
to Vaisala Group.
The present document aims to present the WindCube Technical Support and Service
Information Commitment. Terms and Conditions of such services are defined in part 3 of the
Document “WindCube Services Description” in accordance with Vaisala TCs.

1.2 Confidentiality
The present document contains several Leosphere proprietary and restricted information
which is released to a business or technical partner or customer for a strict internal purpose.
Its submission is performed under the frame of a strong duty of confidentiality so as any
possible Non-Disclosure Provisions in force between the Parties and/or any other affiliates
of Leosphere meaning any affiliate of Vaisala Group (hereafter "Vaisala Group").
The disclosure of any information contained in that document is subject to Leosphere prior
written approval.

1.3 Applicability with regard to Vaisala


Group Terms and conditions
Provision 1.1 of Vaisala Group Terms and Conditions dated April 2021 (the “Vaisala TCs”)
states that “Products, services, prices and other relevant information are set out in our
quotation or acknowledgement of order. Products and Services, together with associated
additional conditions, may be further detailed in Product specific documentation (“Product
Information”) and/or Service specific documentation (“Service Information”) attached to our
quotation or acknowledgement of order, or otherwise made available to you.”
For the sake of clarity, the present document shall be construed as the “Service Information”
mentioned in that provision. In case of contradiction, the following documents shall
supersede in decreasing order of priority:
- The quotation addressed to the Customer;
- Specific Conditions if relevant;
- The WindCube Product Information;

specific document (the “Umbrella Agreement”), which will integrate them so as any
document to be attached to the sales contract.

3. WindCube Services
description
3.1 WindCube Services description
Formal Commitment of Leosphere meaning the standard of services attached to WindCube
(hereafter the “LIDAR System” or “WindCube”) is defined hereafter in part 3 of the
Document “WindCube Services Description” in accordance with provision 1.1 of Vaisala TCs.

3.2 Customer Support Process


Any customer (hereafter referred to as “Customer” or “Client”) technical request may be
addressed to Leosphere Technical Support and is carefully treated and traced following an
efficient Care Process to deliver fast, transparent answer and short closing time. Technical
repair services are involved by Technical Support when needed.
Client can access our technical support services in order to follow up on cases by registering
for the My Vaisala Online Technical Support Portal. The My Vaisala portal will allow you to:
• Request technical support
• Follow up and view previous Cases
• Review frequently asked questions and answers by product line
• Communicate with Leosphere technical support experts through a secure password-
protected online portal

A corrective plan will be proposed by Technical Support (TS) within 3 business days. The
corrective maintenance actions will be decided in agreement between TS and end-users,
and may imply:
• A remote access to the Lidar system, conducted firstly, by any means and with support
of Client’s technical point of contact indications;
• An intervention on site onshore by end-users and/or by a Leosphere technician
• A Lidar system return to a Leosphere, Vaisala or Partner Service Center

For any LIDAR System purchased by the Client, a list of operations realized during the
Maintenance service is available upon request to LEOSPHERE through a dedicated service
report.
LEOSPHERE shall not be liable for any loss of data occurring during a reparation and/or
maintenance. For such purpose, the Client is liable to save any LIDAR Data collected by the
LIDAR System before the start of maintenance or warranty operations.

LEOSPHERE reserves the right to collect performance monitoring information. The


collection of such information is performed for internal purposes or performance
improvement for customers.

3.2.1 Remote access


The Client has the possibility to accept or deny the remote access of the LIDAR System by
the support team for check-ups and repairs. This remote access allows getting a full access
to the Client wind data and parameters in the purpose of diagnosis and troubleshooting. All
the data and parameters are kept confidential and cannot be used for any other purpose
than check-up and repair without prior Customer’s approval to let Leosphere make any
other use. The Client is informed each time a LIDAR System is remotely accessed by the
support team after agreement. The collected wind data remains the property of the Client.

3.2.2 Onsite onshore Intervention


The present document completed by Vaisala TCs defines the costs covered by Leosphere for
repair, technician’s intervention and travel so as LIDAR System transportation during LIDAR
System Warranty Period.

3.2.3 Return to Leosphere


No component of the LIDAR System shall be returned to LEOSPHERE without the latter’s
prior written approval. In any event, such a return can only be made of LIDAR System
components that have not been modified or altered and must be made in the original
packaging. The transportation and restocking costs shall be borne by the Client.
In addition the Preventive Maintenance service attached to any LIDAR System also includes
its shipping one-way Delivery At Place (DAP ICC Incoterm 2020) from LEOSPHERE to the
Client onshore premises adapted for the reception of the LIDAR System (which must be,
without LEOSPHERE prior approval, the Client’s initial place of delivery stated in the
Quotation). Such shipping concerns either the LIDAR System or some of its spare parts.
The supply to the Client of any update/patch of the software embedded in the LIDAR
System (hereafter the “LIDAR Software”) during the Preventive Maintenance. Any new
release of the LIDAR Software shall be available for the Client either on physical support or
by download.

3.3 Accelerated flow process in workshop


In 2020, to face travel restrictions due to Covid-19, Leosphere has optimized the WindCube
maintenance flow process in its technical centers. This enables reducing maintenance
duration down to fifteen (15) business days on average, from the opening of a technical
support case to unit shipped back from service center.

This accelerated maintenance process is available for all under warranty LIDAR System
worldwide and is today operated in the two Leosphere factory workshops, in Paris-Saclay
and Shanghai.

This accelerated flow process particularly reduces LIDAR System downtime during a
preventive maintenance or a repair and brings an efficient alternative solution when field
technicians cannot travel abroad.

3.4 Premium Service Level


This premium service level guarantees a time to repair of a maximum of fifteen (15) business
days for repair of an under warranty WindCube. Reparation will be conducted on an onshore
customer site by a Leosphere or a service partner technician.
This offer is available for LIDAR System deployed in Europe or China only and is subject to
conditions regarding accessibility of the WindCube (example: covid-19 travel restrictions,
remoteness of the installation site, site access accreditations…). The service will be extended
to other geographic areas through 2021.

3.5 Onsite service capabilities


WindCube is designed to perform onsite maintenance, at the customer onshore site of
operation. This is a unique feature for Lidars and strongly reduces downtime and customer
logistic. Onsite maintenance is performed when possible, upon contractual terms and in
agreement between customer and Leosphere, or trained partners, Technical Support.

3.6 Warranty
3.6.1 Duration
With more than ten years of industry developments and products deployments, our Lidar
technology relies on a robust industrial process ensuring a continuous reliability and stability
of our systems. Considering this, WindCube products, instruments and software together
are warranted for three (3) years (parts and labor) from the date of delivery or availability of
the LIDAR System (depending on the chosen Incoterm – hereafter the “Warranty Period”).

3.6.2 Description
LEOSPHERE shall, during the validity of the Warranty, replace components that may be
defective. As a principle, in no case shall the replacement be of the entire LIDAR System, nor
shall it extend the Warranty of the entire LIDAR System. This Warranty does not include
consumables or operating accessories, the costs of those are to be borne by the Client.
If the user invokes the warranty the following conditions must be met for the warranty
contract to be valid.
Where the Warranty is rightfully invoked, the eventual cost of shipment of material
(including the LIDAR System and/or dedicated spare parts), travel of its own employees,
packaging, insurance and other costs pertaining to the intervention shall be borne by
Leosphere (at the exception of the cost of shipping to Leosphere premises). As an exception
to the present provision, Leosphere shall in no case bear any cost (parts and persons) linked
to the commissioning and/or decommissioning of the LIDAR System (including travel of
employees by any means) in an offshore environment (such as but not limited to LIDAR
System deployed on oil and gas platforms, buoy, offshore wind turbines and/or vessels).
Furthermore, Leosphere reserves the right to apply the same restrictions in case the onshore
access of the LIDAR System needs specific support (such as the request of specific
authorization and the deployment of specific material). May the LIDAR System or the related
components need to be sent back to LEOSPHERE premises, the Client is liable to send
“Delivery at place” the LIDAR System or the related components back to LEOSPHERE
premises (DAP Incoterm ICC 2020).
LEOSPHERE shall, during the validity of the Warranty, use its best efforts to correct any
LIDAR software dysfunction. To this effect, LEOSPHERE shall conduct a diagnostic of the
dysfunctions first remotely based on the Client technical coordinator and supply a corrective
software if deemed necessary.

• The Warranty is applicable only to the extent that the LIDAR System has been
exclusively manipulated by (Client or third party) personnel trained and certified by
Leosphere and maintained according to Leosphere instructions and recommendations.
• The Warranty does not cover replacement and/or repairs resulting from normal wear
and tear of the machines, deteriorations, and accidents resulting from negligence, lack
of supervision, maintenance or stocking, manipulation or use not conforming to User’s
Manual.
• Leosphere reserves the right to void the Warranty in case non-trained certified third
parties has performed operations on the LIDAR System.
• After performance of the Warranty operation, Leosphere is liable to send back the
LIDAR System and/or dedicated spare parts to the Client onshore premises by using
the same Incoterm as agreed at initial delivery of the LIDAR System (which must be,
unless otherwise priory agreed by Leosphere, the Client’s initial place of delivery stated
in the quotation).
• LIDAR System design offers the possibility that as a principle all type of repair can be
made at the Customer site of operation. However, unless otherwise priory agreed, the
decision to repair at the Customer site or a Leosphere workshop, or at one of the
accredited Service Center, remains the sole decision of Leosphere Technical Support, or
the accredited Service Center Technical Support.
• If the LIDAR System is validated by a third party, LEOSPHERE warranty does not cover
the continuity of this validation, nor includes a new validation.
• Parts repaired outside the scope of the LIDAR System warranty, as a specific condition
to Vaisala TCs, are warrantied for three (3) months following completion of the
reparation

3.7 Warranty extension


At the end of the Warranty Period, the Client may continue to receive the services provided
in this article on condition that the Client subscribes to a warranty extension service
(hereafter the “Warranty Extension”). The Warranty Extension may be subscribed by the
Client at any time from the date of order of the LIDAR System and up to six (6) weeks prior
to the end of the Warranty period. It can be subscribed only and strictly if the preventive
maintenances are performed accordingly to the product warranty and maintenance life
cycle.

All conditions described in the Warranty section also apply for the Warranty Extension
contract.

LEOSPHERE reserves the right to refuse or void the Warranty Extension if the preventive
maintenance of the LIDAR System has not been completed in a time frame later than three
(3) months following the end of current warranty duration. Events non attributable to
customers can be discussed on a case by case basis.

Warranty Extension can be up to a maximum of 6 years of LIDAR System warranty. For


longer warranty extension, a customized maintenance program and specific offer will be
agreed with Leosphere Technical Service Center.

3.8 Preventive maintenance program


In order to enhance the lifetime of WindCube and reduce the risk of breakdown, it is strongly
recommended to subscribe to a preventive maintenance contract to ensure the system
reliability and its lifetime.
• The maintenance is performed either in factory or on site after three (3) and six (6)
years of warranty. Onsite maintenance is a unique service option for WindCube Lidars.
• A warranty extension can be purchased in addition to a preventive maintenance after
three (3) years. The warranty extension is granted only if the preventive maintenance
program is properly followed. See “Warranty” service description.
• Without warranty extension, as a specific condition to Vaisala TCs, a WindCube is
warrantied for three (3) months following completion of the preventive maintenance.
Both the warranty and maintenance service agreements are designed to meet our
customers’ needs and ensure that the equipment is optimally maintained and total cost of
ownership predictable.
For preventive maintenance program beyond six (6) years of ownership, a customized
maintenance program and specific offer will be agreed with Leosphere Technical Service
Center.

3.9 Onsite preventive maintenance


WindCube has been specifically designed to perform maintenance at customer site. It is a
unique feature for WindCube to improve operational continuity and reduce customer
logistic. The onsite preventive maintenance duration is one (1) day on average. The above
described maintenance conditions also apply to the onsite preventive maintenance. In
addition, the customer should ensure that the site has:

- A shelter to protect the Lidar and engineer from environmental conditions such as rain
- Access to power supply from the grid for the field engineer
- Sufficient power supply for the Lidar operation (as specified in user manual section 4.3)
- A robust internet connection by either Ethernet, WiFi or Router

The following maintenance steps apply for the Client and the Service Center :
1. Once a date of intervention and location have been agreed upon, the Service Center
secures the required validated parts for the maintenance.
2. Two weeks before the intervention, the client should ensure that the LIDAR system is
operating correctly. The objective is to ensure the intervention will be successful, and
there is no major damage outside of the parts that needs maintenance.
3. The Service Center sends parts to the Client site Delivery At Place (DAP Incoterm ICC
2020) .
4. On the agreed date, a Service Center field engineer arrives at the site along with the
required parts.
5. Once on site, the field engineer performs a quick check on the LIDAR System to verify if
the system operates correctly and to check if everything is in order for the
maintenance.

6. The field engineer replaces the LIDAR system core sub-components with validated
parts, for instance a validated Laser Chain. Additional parts that need maintenance are
also changed if needed, based on client diagnostic at step 2.
7. The field engineer performs an acceptance test to verify the system is working properly.
8. The Service Center gets back the parts to its premises.
9. Once back in factory, the defective parts are refurbished and stored, whenever possible.

3.10 Upgrade & Retrofit program


All WindCubes v2.1 can be upgraded to latest standard including but not limited to:
• Availability of data up to 300 meters high
• 20 measurement heights
• Hybrid Wind reconstruction
• 4G router when needed and when applicable
• Retrofit with up-to-date components when needed
• Golden Validation by DNV
Upgrade & Retrofit can be performed in Leosphere factories. Purchase of the program will
generate an access to a discounted three (3)-year warranty extension offer. An optional
third party fast-track certification is also available.

3.11 Training program


WindCube training program is divided into levels of skills :

Quick Start :L1 A trainee passing Level 1 is autonomous in:


- installation,
- setting-up and checking the good working operation of the
Lidar
- performing basic routine maintenance of the Lidar
- performing basic failure diagnosis of the Lidar

TT1 (optionnal) A trainee passing the Trainer Training 1 (TT1) level is able to train
people to L1.

L2 A trainee passing Level 2 is able to


- conduct trouble shooting using advanced diagnostics
- perform basic repairs at module level

All training courses end with a theoretical and practical evaluation test that will validate the
acquired skills. A training certificate is issued for each trainee who passed the evaluation
test. This certificate has a limited validity period and LEOSPHERE reserves the right to
modify the validity of such certificates by prior information to the Client.

The training courses are executed by a Leosphere expert engineer (expert in both
optoelectronics and LIDAR technology). All the trainings can be performed at client site
onshore or at Leosphere if the following conditions are met. Training or assistance services
provided for in this article that require LEOSPHERE personnel to travel to the Client are
quoted separately, including travel expenses.

3.11.1 Training program conditions


• The training language is either English or French according to the client requirement.
• Leosphere maintains a list of accredited users with their level and the validity date of
their accreditation. Regular refresher training sessions must be performed by
Leosphere to maintain the right level of skills for each staff involved at each level of use.
• The Lidar System cannot be operated by non-qualified and non-accredited staff.
• The transfer of skills is possible only after having duly trained and been qualified to
train other users.
• If relevant, training participants shall be subject to a confidentiality agreement intended
to protect LEOSPHERE’s know-how.
The profile of the trainee candidates must be submitted by the client in advance and
approved by Leosphere prior to the commencement of the training program. The following

The training is provided by WindCube technical expert from Leosphere as well as the
installation supervision. At the end of the training, a Level 1 certificate is given to each
participant. This training grants the right to the trainee to operate a WindCube system in the
frame of the system warranty.
The certificate is valid for a period of three (3) years after the training. This certificate is
renewed with performance of new training or can be extended following a yearly
completion of the online refresher course (E-learning or Mooc).

3.11.3 Trainers Training


A Trainers Training enable a Company to autonomously train its own employees to operate a
WindCube Offshore and perform the routine maintenance (Level 1) in the frame of the
LIDAR System warranty. At the end of the training, a certificate is given to each participant.
The certificate is valid for a period of three (3) years after the training. This certificate is
renewed with performance of new training.
Prior to a new training, the trainer will need to send to Leosphere (helpdesk@vaisala.com)
the training information:
• Participants details (name, company, titles). Maximum three (3) from their own
organization
• Date, Location
• WindCube Oshore serial number(s)
• During the training, the trainer will need to thoroughly respect the process learned
during the TT1
• Respect of training content and duration
• Writing the Installation report
• At the end of each training, the trainer will need to send to Leosphere
(helpdesk@vaisala.com) the Installation report along with detailed participants
information
• At the end of this process, Leosphere will log the information in its database and issue
the Trainees certificates to the new trainees and the trainer.

3.11.4 Training for Level 2 maintenance


This training for Level 2 maintenance provides users with the capability to perform
advanced failure diagnosis and basic repair at module level at a workshop and on site when
possible. Basic repair includes replacement and configuration of wiper motor, fuse, or router
and options.
A specific toolbox for Level 2 maintenance is required to perform this level of diagnosis and
repair.
At the end of the training, a certificate is given to each participant. The certificate is valid for
a period of two (2) years after the training. This certificate is renewed with performance of
new training.

3.11.5 E-Learning (Mooc) - Online refresher


Starting early 2021, any L1 certified user will have access to an online refresher course
focused on installation and maintenance steps for WindCube access to the platform is
possible through myLearning Vaisala platform. A yearly completion of the E-learning (Mooc)
for each WindCube user is advised to maintain skills learned during the L1 training course.
One (1)-year extensions to the three (3)-year L1 certification will be granted upon
completion of the E-learning (Mooc).

3.12 Golden Validation by DNV


Every WindCube is tested and validated against a reference WindCube Lidar “Golden
WindCube” during the manufacturing phase and after each preventive maintenance and
repairs. These process and validation criteria applied ensure each unit is performing
nominally with a high degree of accuracy and repeatability. A validation report is delivered
with each LIDAR System.
Starting from early 2021, this Lidar-to-Lidar data validation will also be conducted on each
unit by DNV and a factory certificate called “Golden Validation by DNV” will be delivered.
This third-party validation ensures that the highest level of quality is performed before
releasing WindCube to customers.

3.13 Third Party IEC Compliant validation


As an additional service, a WindCube can be fully IEC Compliant validated by a third-party
including but not limited to DNV, Deutsche WindGuard, DTU or UL. These independent wind
specialists are accredited to certify the measurement quality and traceability to National
Standards of a WindCube.
A validation report, which includes an assessment of measurement uncertainties, is issued
by the certifier and is transmitted to the client along with the LIDAR System. Criteria are set
out by the independent third party so no specification of the Client will be taken into
account.

Validation sites and conditions may vary from one third-party to another. Further
information about the available validation sites and service terms can be provided upon
request.
Leosphere is not responsible for the execution of such service, its duration and regarding
any deterioration that could occur during the carrying out of this service. Furthermore, such
service shall not extend the Warranty Period, meaning that, the Warranty starts at
availability / delivery to such third party. It is understood that LEOSPHERE has no power in
the choice of the location where such service will be provided. Therefore, it could take place
either in the premises of the independent service provider or in any other place that it
designates as appropriate.
In the event the independent third party express any reservation on the validation of the
LIDAR System, LEOSPHERE commits to mitigate to those reservations under the conditions
stipulated in the Technical Support and Service Information document. In the event that,
following subscription by the Client of a certification service provided by an independent
third party, such service is executed, the LIDAR System subject to the certification process
shall be deemed as delivered to the Client as for the date of its reception by the
independent third party.

3.14 Delivery of an IEC Compliant pre-


validated WindCube
Starting third quarter of 2021, Leosphere now proposes as an option IEC Compliant pre-
validated WindCubes thanks to a new process implemented with DNV. By holding a stock of
DNV validated laser chains, Leosphere is now able to supply Third-party validated
WindCubes with a very short Lead-time. The full validation report from DNV will be supplied
along with the LIDAR System.

3.15 IEC Compliant validation continuity

Repairs that impact the Lidar measurement chain usually voids the initial third party IEC
compliant validation of the WindCube. Leosphere continuity warranty option enables
customers to avoid having to do the third-party validation again. This fast-track service is
conducted thanks to a unique and exclusive process of DNV Compliant validated Laser chain
swap. This offer significantly improves the operational continuity linked to re-certification
process and saves customers up to two months in their Wind Resource Assessment or
Power Performance test campaigns.

3.16 Specific scientific training, data


analysis and data processing
Upon request and Leosphere scientific team availabilities, a specific scientific support can be
designed. It may be a specific deep-dive training on Lidar measurement principles, data
outputs, the performance of a specific data analysis or processing, or the development of a
customized data processing tool. This service may be performed after or before a WindCube
purchase.

3.17 Other Services


At the Client’s request, LEOSPHERE may provide any other service, including consulting,
audit, scientific support, research projects, technical engineering and/or maintenance. These
services and their applicable rates shall be agreed upon by the Parties separately.

These General Conditions of Sale and Service of Vaisala (“Conditions”) govern and explain the terms under which Vaisala France SAS (“Vaisala”, “we” or
“us”) agrees to the sale and replacement of products (“Products”) and provision of calibration, repair, field and other services (“Services”) to Vaisala’s customer
(“Customer” or “you”). By submitting a purchase order (including orders in Vaisala Online Store), request for offer or any other document to purchase Products
and/or Services, or acting on any Vaisala document referencing these Conditions, you acknowledge: (a) your complete acceptance of these Conditions; and (b)
that any terms accompanying your document(s) have no effect and shall not apply.

Our transaction with you shall solely be governed by these Conditions and related Vaisala documentation for the given transaction, which hereby together
constitute the full contract (“Contract”) between us and you. The Contract may be superseded or amended only by a separate written agreement agreed upon
and executed by the parties (“Agreement”).

Common conditions
1 Prices and 1.1 Products, Services, prices and other relevant information are set out in our quotation or acknowledgement of order. Products and Services,
Payment; Taxes together with associated additional conditions, may be further detailed in Product specific documentation (“Product Information”) and/or Service
specific documentation (“Service Information”) attached to our quotation or acknowledgement of order, or otherwise made available to you.
1.2 Once we have established any credit limitations, our pricing is based on net 30 days payment terms from the date of invoice. We may agree to
apply different payment terms, for which additional charges may apply. All payments must be made directly by you.
1.3 We do not include any taxes, duties or additional charges of any kind in our prices, and will add all such separately chargeable items to your
invoice amount as applicable. Each party complies with applicable tax regulations and pays all applicable taxes directly to the appropriate
authorities.
1.4 Any amount outstanding after the due date shall accrue interest at the rate of twelve percent (12%) per annum or the highest amount allowable
by law, whichever is lower, from the date your invoice becomes due as well as a forfeited indemnity for recovery costs in the amount of 40 €
according to article D441-5 of the Commercial Code. Interests and forfeited indemnity apply without prejudice to the compensation of any other
damage resulting directly from this delay. Upon first day of delay, we reserve the right to suspend all deliveries to you until any unpaid amount,
including interest, has been paid in full.

2 Responsibility for 2.1 The use or application of any content or data provided or generated by Products and Services shall be the sole responsibility of you and/or the
use of content and end-users of those Products and Services. You and/or end-users shall assume all liabilities and obligations with respect to any use or application
data of such content and data.
3 Data Rights; 3.1 For the purposes of the Contract, the following definitions apply:
Licenses “Product Data” means data pertaining to the performance, condition and maintenance of Products.
”Measurement Data” means (i) data measured or generated by Products or other equipment provided or operated by us, and (ii) data
measured or generated by other equipment of the Customer and made available to us in relation to the Services, as well as related
metadata (such as location and timing of the measurement).
“Generalized Data” means data based on further processing of Measurement Data or Product Data, or combination thereof with other
material, which data (i) doesn’t include information on Customer’s identity, and (ii) doesn’t include data items of Measurement Data as
such but only in aggregated form or combined with other data items (excluding metadata contained in the Measurement Data which may
be included as such).
3.2 You shall retain the rights to any Product Data and Measurement Data supplied by you to us.
3.3 When and to the extent we have access to Measurement Data or Product data in relation to or in connection with the provision of Services,
you hereby grant the following licenses:
1. We shall have the right to process Product Data for the purposes of provision of the Services to you and for our quality control, research
and development purposes.
2. We shall have the right to process Measurement Data for the purposes of provision of the Services to you (including support and
maintenance related Services).
3. We shall have the right to create sets of Generalized Data based on the Measurement Data and/or Product Data. Such sets of Generalized
Data shall be regarded as separate and independent data sets, and your rights, title or interest in Measurement Data and Product Data
shall not encompass such Generalized Data.
3.4 We shall have the right to use Measurement Data and/or Product Data for the purposes of quality control, research and development (including
without limitation right to develop our machine learning systems) and provision of value-added Services to third parties, provided always that the
information or data disclosed to third parties is Generalized Data and that Measurement Data or Product Data as such is not disclosed to third
parties.
4 Limitation of 4.1 Products and Services are priced in accordance with proper limitations of liability. Any variation from the following limitations may result in a
Liability price increase or other changes in our quotation. Please read carefully the following limitation of liability provisions.
4.2 Except in the case of gross negligence, willful misconduct or fraud, our maximum liability to you, and your maximum liability to us, shall not
exceed the price of the Product(s) or Service(s) giving raise to any such liability. Neither party will be liable to the other for any indirect losses, such
as loss of profit, costs of cover purchase, or goodwill, even if such loss was reasonably foreseeable.
4.3 Nothing in this Section 4 is intended to affect either party’s rights which cannot be limited or excluded based on the applicable law.

5 General Indemnity 5.1 Within the limits provided for in Section 4, each party shall hold harmless, defend and indemnify the other party and its respective directors,
officers, members, managers, employees, consultants, contractors, and agents from and against any and all third party claims, demands, suits,
actions, or proceedings (and resulting costs, expenses and liabilities), which arise from personal injury, death, or tangible property loss or damage
attributed to, or caused by, either party’s negligent performance under the Contract or by Products or Services supplied by us.
5.2 The foregoing indemnity shall not apply to the extent that such injury, death, tangible property loss or damage is caused in whole or in part by
the willful misconduct, gross negligence or fraud of the party seeking to be indemnified.

6 Force Majeure 6.1 Despite our coordinated efforts and intentions to manufacture and deliver the Products and provide the Services to you as planned, the parties
realize that not all things go according to plan. This Section 6 provides relief to each party in Force Majeure events, as detailed below.
6.2 Neither party shall be liable for delay in delivery or other failure to duly fulfil its obligations (except for your payment obligations) due to a Force
Majeure event. Force Majeure events are events beyond the commercially reasonable control of the affected party and may include events affecting
suppliers and subcontractors.
6.3 The party affected by a Force Majeure event shall notify the other party in writing as soon as reasonable. Each party shall be entitled to
terminate the Contract by notice in writing if performance of the Contract is suspended under this Section 6 for more than six (6) months.
7 Product and 7.1 We are constantly working on improving our Products and Services, our offering and retiring those Products and Services that we determine
Service Lifecycles no longer best serve you. We reserve the right to discontinue manufacturing and providing, or change the design or specification of, any Product
or Service at any time and without prior notice to you.
7.2 We shall fulfill all Contracts concluded prior to the discontinuation of manufacturing or provision, or changing the design or specifications, of
the Products and/or Services.

Product specific conditions


8 Invoicing 8.1 Unless otherwise stated in our quotation or in the Agreement, we will send an invoice for the entire price of the Products and associated
charges, costs, and taxes (when applicable) upon dispatch of the Products.
9 Delivery 9.1 We will deliver, and Products are priced in accordance with, FCA Vaisala facility (Incoterms ICC 2020). We may agree to apply a different
delivery term, for which additional charges may apply. We will note the applicable delivery term on our quotation or acknowledgement of order.
9.2 We will utilize commercially reasonable efforts to meet the indicated lead times, and will notify you if any changes to those times are expected.
Expedited delivery times may be available to you for an additional fee.
10 Acceptance 10.1 Products shall be deemed accepted if you do not make a written reclamation (for example, by email) about their quantity or quality within
seven (7) days after delivery.

11 Risk and Title 11.1 Risk of loss and damage to the Products is transferred to you in accordance with the applicable delivery term (Incoterms ICC 2020).
11.2 Title to the Products passes to you without notice once we have received full payment for the Product price and any additional charges, costs,
and taxes (when applicable). You must utilize commercially reasonable measures to store and protect Products until we have passed title to you.

12 Product Warranty 12.1 We hereby represent and warrant our Products to be free from defects in workmanship and material during a period of twelve (12) months
from the date of delivery.
12.2 Warranties of longer duration are available for those specific Products set forth on our website at
http://www.vaisala.com/en/contact/Pages/warranty. Lists of such Products may be amended or adjusted from time to time by us.
12.3 If any Product proves to be nonconforming in workmanship or material within the period(s) herein provided, we undertake, to the exclusion of
any other remedy, to repair or at our option replace the nonconforming Product or part thereof free of charge. Product so repaired or replaced
shall have a six (6) months warranty period from the date of their delivery and otherwise on the same conditions as for the original Product or part
thereof, unless the original warranty period extends beyond the six (6) months warranty period, in which case the original warranty period applies.
We shall have the option to repair the Product at a Vaisala facility of our choosing or on site. Nonconforming Products replaced in accordance with
this Section 12 shall be placed in our possession for disposal.
12.4 This warranty is subject to the following conditions:
a) a substantiated written claim as to any alleged nonconformity shall have been received by us within thirty (30) days after the nonconformity
occurred or became known; and
b) the allegedly nonconforming Product or part thereof shall be sent to the appropriate Vaisala facility or to such other place as we may indicate in
writing, properly packed and labeled by you, unless we has agreed to inspect and repair or replace the Product on site; and
c) the Product is within the warranty period.
12.5 Freight and insurance shall be at our expense, subject to you following the return material authorization (RMA) procedures set by us for the
return of the nonconforming Products, as set forth on our website.
12.6 This warranty does not apply when the nonconformity has been caused through:
a) Normal wear and tear;
b) Accident, theft or vandalism;
c) Forces of nature;
d) Misuse or other unsuitable or unauthorized use of the Product (for example, in contravention with the Product manual), or negligence or error in
storing, maintaining or handling the Product;
e) Erroneous installation or assembly, or failure to service the Product or otherwise follow our service instructions, including any repair, installation,
assembly or service made by personnel not approved by us, or replacements with parts not manufactured or supplied by us;
f) Modifications or changes to the Product as well as any adding to it without our prior authorization; or
g) Other factors depending on you or a third party.
12.7 We are not liable for nonconformities arising out of materials, designs or instructions provided by you.
12.8 Certain Products may have specific warranty conditions which are in addition to, or deviate from, the standard warranty defined in this Section
12. Specific warranty conditions are detailed in Product Information, when applicable.

Service specific conditions


13 Invoicing 13.1 Unless otherwise stated in our quotation or in the Agreement, we will invoice the entire price of the Services upon their completion and charge
costs and expenses as they occur.

14 Place of 14.1 We will perform the Services at the location or site specified in our quotation or the Agreement. In the absence of a specified location or site,
Performance Services will be performed at a Vaisala (or subcontractor) facility of our choosing.

15 Acceptance 15.1 Services shall be deemed accepted by you upon the provision of Services (or part thereof) unless we receive a substantiated written claim
within seven (7) days after the provision of Services (or part thereof).

16 Service Warranty 16.1 We warrant the Services to be performed in a diligent and workmanlike manner. Unless otherwise agreed, Services shall be performed using
our standard procedures and methods.
16.2 Following your substantiated written claim of Services (or part thereof) not being compliant with the Contract, presented within the time period
set forth in Section 15.1, we will reperform such Services without undue delay.
16.3 Certain Services may have specific warranty conditions which are in addition to, or deviate from, the standard warranty defined in this Section
16. Specific warranty conditions are detailed in Service Information, when applicable.
17 Working Hours 17.1 Unless otherwise agreed, our work week consists of Monday through Friday, an 8 hour shift between 06:00 AM and 18:00 PM, that without
prejudice to the standard holidays in the country where Services are performed.

18 Access to 18.1 You shall ensure that we have access to the relevant premises, your personnel, Products and other items to be serviced at the agreed or notified
premises; Health time. You shall further ensure that all premises where our (or our subcontractor) personnel operates and all items that are subject of the Services
and Safety are in good condition and do not pose health or safety risk to such personnel.
18.2 You shall take all necessary measures to prevent any personnel from being exposed to any safety or health hazard, or risk of injury or damage,
while at any of your premises. You shall ensure that all the necessary safety and precautionary measures have been taken and that the personnel
are well informed about the conditions under which the Services are to be carried out and of the risks that may be present.
18.3 To the extent applicable, you shall notify us of all relevant safety regulations in force at your premises at least four (4) weeks before
commencement of Services. In the event we or our (or our subcontractor) personnel determine, in our/their sole discretion that the premises are not
safe to perform the Services, you shall be notified of the unsafe conditions. Personnel may refuse to perform the Services without penalty or liability
to us until such time that the health and safety requirements are properly and completely addressed by you.
18.4 You shall ensure that all items sent to any Vaisala (or subcontractor) facility are free of hazardous materials, contaminants, flora and fauna.
19 Subcontracting 19.1 In order to provide quality Services and to serve you in an efficient manner in various locations, we may use qualified subcontractors to perform
the Services.
19.2 We remain responsible for the activities of our subcontractors.

Governance conditions
20 Confidentiality 20.1 We have specific and unique data, information, knowledge and know-how with regard to Products, Services and their applications. All the data
and information provided by us to you, inclusive of Product Information and Service Information, prices, drawings, technical data, technology, and
materials, which is not publicly available, is proprietary and confidential to us (“Vaisala Information”). You agree to use Vaisala Information only for
the purposes of the Contract. You will not disclose Vaisala Information to third parties (except to your affiliates and authorized end-users) or copy,
decompile, modify, reverse engineer, or create derivative works out of Vaisala Information.
20.2 You may choose to disclose certain non-public information (“Customer Information”) to us. We agree to use Customer Information only for the
purposes of the Contract and will not disclose Customer Information to third parties (except to our affiliates, representatives and channel partners).
20.3 Unless the parties have a valid non-disclosure or confidentiality agreement in place, the obligations of this Section 20 shall survive for a period
of three (3) years from the initial disclosure.
21 Intellectual Property 21.1 All trademarks, copyrights, trade names, patents, designs, and any other intellectual property of a party protected or not by a title shall remain the
Rights and sole property of that party. All intellectual property rights resulting from any development work undertaken by us shall vest exclusively in us.
Indemnification 21.2 We do not grant you any rights to the Products or Services other than those specifically granted in the Contract or Agreement. You agree not to
infringe, directly or indirectly, any of our intellectual property rights, and shall not copy, decompile, modify, reverse engineer, or create derivative works
out of Products or Services.
21.3 We act diligently to avoid third party intellectual property violations. In the unlikely event of such violation, we shall hold harmless, defend
and indemnify you, and each of your directors, officers, members, managers and employees (collectively, the “Customer Indemnified Parties”) from
and against any and all damages, losses, liabilities, costs and expenses suffered or incurred by any of Customer Indemnified Parties in any action,
suit, litigation, arbitration or dispute brought by a third party arising or resulting from any claim that Products and/or Services provided to Customer
infringe any copyright, patent, or trademark, constitute a misappropriation of any trade secret, or violate any other intellectual property or proprietary
right of any third party.
21.4 Customer Indemnified Parties shall without delay notify us in writing about any such action, suit, litigation, arbitration or dispute, and they shall
not settle or make any admissions in respect of the same. We shall be given the option, at our expense, to control the action, suit, litigation, arbitration
or dispute, and shall be given all necessary information, authorization and assistance to defend the same.
22 Export Control; 22.1 Each party acknowledges that Products and Services may be subject to export control regulations as set forth by (i) the U.S. Department of
Licenses and Commerce Export Administration Regulations (EAR), U.S. Department of State International Traffic in Arms Regulations (ITAR) or other requirements
Authorizations of the U.S. Government; (ii) European Commission regulations; (iii) United Nations Security Council resolutions; and (iv) applicable local
regulations (together the “Export Control Regulations”) regulating the export and re-export of Products and Services.
22.2 You represent that you and the end-users of the Product(s) and/or Service(s) are not named on any Export Control Regulations list of restricted
parties.
22.3 Each Party hereby agrees not knowingly export or re-export the Products or Services (or any product, process or service resulting directly
therefrom), directly or indirectly, to any country or a foreign national of a country in violation of the Export Control Regulations.
22.4 You shall have full responsibility for obtaining any export and import licenses and other authorizations required to export, import and use
Products and Services. We shall not be obliged to commence performance of the Contract until all necessary licenses and authorizations have been
obtained.
22.5 You acknowledge that violation of this Section 22 may lead to termination of the Contract, cancellation of remaining deliveries, refusal to enter
into any future transaction with you, and indemnity under Section 5 (General Indemnity).

23 Termination 23.1 In the event that either party files for bankruptcy, makes arrangements with creditors due to financial difficulties, goes into voluntary or compulsory
liquidation other than for the purpose of reconstruction, or has a receiver appointed, the other party may, without prejudice to any other rights or
remedies, terminate the Contract with immediate effect by written notice.
23.2 In the event that either party materially breaches the Contract and fails to cure the breach within thirty (30) days after being notified, the non-
breaching party may terminate the Contract with immediate effect.
23.3 In any event of termination, we shall be entitled to payment for Products already delivered and for costs resulting from work in progress.
24 No Assignment 24.1 Neither party shall be permitted to assign or transfer, in whole or in part, the Contract, or any rights or obligations hereunder, except with the
written authorization of the other party, and with regard to us, except as assigned or transferred to a Vaisala Group Company. Such authorization
shall not be unreasonably withheld. Any attempted assignment in violation of this Section 24 shall be null and void.
24.2 Nothing in this Section 24 shall limit our right to use subcontractors.
25 Non-Waiver 25.1 Failure to enforce any right under this Contract will not be deemed a waiver of future enforcement of that or any other right.
26 Data Privacy 26.1 We value the privacy of the representatives of our customers, and agree to use their personal data only for the purposes of the Contract and for
marketing activities related to our Products and Services, including marketing by our channel partners and representatives. More information can be
found in our Privacy Policy located at https://www.vaisala.com/en/vaisala-policies#privacy-policy.
27 Reference Rights 27.1 We may refer to you as our customer in sales presentations and sales activities with other customers. Upon written consent from you, we may
refer to you as our customer in all types of communication and media.
28 Governing Law and 28.1 This Contract shall be governed by the laws of France, without regard to its conflict of laws rules. It is expressly agreed that the application of
Dispute Resolution United Nations Convention on Contracts for the International Sale of Goods (CISG) shall be excluded.
28.2 The parties shall first try to resolve any dispute relating to or arising from this Contract through good faith negotiations. If the parties are unable
to resolve the dispute through negotiations, the dispute shall be submitted to, and settled by, binding arbitration by a single arbitrator chosen by the
International Chamber of Commerce (ICC) in accordance with internal regulations of the ICC. The arbitrator shall apply the laws of France. Any court
having jurisdiction over the matter may enter judgment on the award of the arbitrator.
28.3 The General Conditions of the Contract are provided in French in addition with a translation in English. In case of contradiction between the
French and the English versions, the English version shall supersede.

Les présentes Conditions Générales de vente de produits et de services (les “Conditions”) s’appliquent et précisent les conditions aux moyens desquelles Vaisala
France SAS (“Vaisala” ou “nous”) procèdent à la vente et au remplacement de produits (les « Produits ») et la fourniture de calibration, réparation, services sur
site ou tout autre service (les « Services ») aux clients de Vaisala (« Client » ou « vous »). En soumettant un bon de commande (en ce compris une commande
dans la boutique en ligne de Vaisala), une demande de devis ou tout autre document en vue d’acheter des Produits et/ou des Services, ou utilisant tout document
faisant référence à ces Conditions, vous reconnaissez et acceptez : (a) votre pleine acceptation de ces Conditions ; et (b) que vos conditions générales d’achat
ou toutes autres conditions contenues dans vos documents ne sont pas applicables et ne sauraient avoir quelconque valeur contractuelle.

Notre transaction avec vous est gouvernée uniquement par ces Conditions ainsi que toute la documentation émise par Vaisala qui lui est liée pour cette transaction
particulière. Ces Conditions et la documentation liée constituent ensemble l’intégralité du contrat (le “Contrat”) entre vous et nous. La seule exception à ce principe
concerne l’existence d’un accord écrit spécifique et formellement approuvé par les Parties qui prévaudra (l « Accord »).

Conditions Communes à la vente de produits et de services


1 Prix et règlement 1.1 Les Produits, Services, prix ainsi que d’autres informations pertinentes se trouvent dans notre devis ou dans notre accusé de réception d’une
du Prix ; Taxes commande. Les Produits et Services tout comme des conditions additionnelles qui les concernent peuvent être détaillés et précisés dans la
documentation spécifique au produit (l’« Information Produit ») ou dans la documentation spécifique au Service (l’ « Information Service ») qui sont
attachés ou mentionnés dans notre devis ou encore mis à votre disposition par tout moyen.
1.2 Sous réserve des limitations d’encours et de crédit, notre prix est basé sur un paiement à trente (30) jours nets à compter de la date de facturation.
Il est possible d’appliquer d’autres conditions de paiement, pour lesquelles des frais additionnels pourront être appliqués. Les paiements doivent
être réalisés directement par vous-même.
1.3 Nous n’incluons pas dans notre prix les taxes, droits de douane ainsi que tous les frais additionnels de quelque nature que ce soit. Le cas
échéant, nous pouvons prendre ces éléments à notre charge sous réserve d’inclure ces éléments dans nos factures. Chaque partie se doit d’être
en conformité avec les dispositions fiscales qui la concernent et se doit de s’acquitter de toute taxe rendue nécessaire auprès des autorités
compétentes.
1.4 Toute créance échue provoque automatiquement la perception d’un intérêt de retard à hauteur de douze (12%) pourcent par an ou du maximum
de taux d’intérêt applicable au regard du droit applicable si ce maximum est inférieur à douze (12%) pourcent de ladite somme. De plus, nous

disposons de plein droit de la faculté d’appliquer une pénalité forfaitaire de quarante (40€) euros en conformité avec l’article D441-5 du Code de
Commerce. L’application des intérêts de retard et/ou de la pénalité forfaitaire n’est pas libératoire et nous nous réservons donc le droit de requérir
la compensation de tout préjudice résultant directement de ce retard de paiement. A compter de premier jour de retard, nous nous réservons le droit
de suspendre toute livraison de produit ou de service jusqu’au parfait règlement de la somme due.
2 Utilisation des 2.1 L’utilisation d’une quelconque donnée ou d’un contenu généré par l’utilisation d’un Produit ou d’un Service se fait sous votre seule responsabilité
Produits et et/ou des utilisateurs finaux de ces produits et Services. Vous et/ou les utilisateurs finaux assumez toutes les responsabilités et obligations qui
Services découlent de l’utilisation et de l’exploitation de ces contenus et données.
3 Droit sur les 3.1 Concernant le Contrat, les définitions suivantes s’appliquent :
Données; “Donnée(s) du Produit” désigne la donnée liée à la performance, au statut ainsi qu’à la maintenance des Produits.
Licences
”Donnée(s) de Mesure” désigne (i) la donnée mesurée ou générée par des Produits ou tout autre équipement fournis ou opérés par nos
soins, et (ii) la donnée mesurée ou générée par tout autre équipement du Client et mis à notre disposition dans le cadre de la mise en
œuvre d’un Service tout comme toute métadonnée liée (par exemple la localisation spatiale ou temporelle de la donnée).
“Donnée Généralisée” désigne la donnée obtenue après traitement de la Donnée du Produit ou de la Donnée de Mesure ou d’une
combinaison de ces types de données avec tous autres éléments ou données sous réserve que (i) ces données n’incluent pas
d’informations sur l’identité du client et (ii) ces données n’incluent pas les éléments de données des Données de Mesure en tant que tels,
mais uniquement sous forme agrégée ou combinés avec d'autres éléments de données (à l'exclusion des métadonnées contenues dans
les données de mesure qui peuvent être incluses en tant que telles).
3.2 Vous conservez la Propriété et les droits rattachés aux Données du Produit et/ou Données de Mesure que vous nous fournissez dans le cadre
de l’exécution du Contrat.
3.3 Lorsque et sous réserve que nous ayons accès aux Données de Mesure ou aux Données de Produit en relation avec la fourniture de Produits
ou de Services, vous acceptez de nous octroyer les licences suivantes :
1. Nous disposons du droit de traiter la Donnée du Produit dans le cadre de la fourniture de Services prévue au Contrat ainsi que pour notre
contrôle qualité et notre recherche et développement rattachés à nos Produits et Services.
2. Nous disposons du droit de traiter la Donnée de Mesure dans le cadre de la fourniture de Services prévue au Contrat (cela comprend
également nos Services de support et de maintenance).
3. Nous nous réservons le droit de créer des jeux de Données Généralisées basées sur les Données de Mesure et/ou les Données du Produit.
De tels jeux de données doivent être considérés comme des jeux de données indépendants et distincts dont l’utilisation et l’exploitation ne
sont pas compromises par la propriété et la jouissance dont vous disposez sur la Donnée du Produit et sur la Donnée de Mesure.
3.4 Nous avons le droit d'utiliser les Données de Mesure et/ou les Données de Produit à des fins de contrôle qualité, de recherche et de
développement (y compris, sans s'y limiter, le droit de développer des systèmes d'apprentissage automatisés) et de fournir des services à valeur
ajoutée à des tiers, sous réserve que les informations ou données divulguées à des tiers sont des Données Généralisées et que les Données de
Mesure ou Données de Produit en tant que telles ne sont pas divulguées à des tiers.
4 Limitation de 4.1 Les prix proposés dans notre devis pour les Produits et Services tiennent compte de la limitation de responsabilité qui est inclue dans le Contrat.
responsabilité Toute modification de cette limitation de responsabilité peut se traduire par une augmentation des prix ou d’autres modifications dans notre devis.
Par conséquent, nous vous invitons à bien prendre connaissance des clauses liées à la limitation de notre responsabilité.
4.2 Sans préjudice du droit applicable, à l’exception des cas de faute inexcusable, faute intentionnelle ou de fraude, notre responsabilité totale
envers vous ainsi que votre responsabilité totale envers nous ne sauraient excéder le prix des Produits ou Services qui sont à l’origine de la mise

en jeu de la responsabilité d’une partie. De plus, aucune partie ne saurait être responsable des dommages indirects en ce compris tout dommage
n’ayant pas le qualificatif de dommage direct, tout dommage résultant de l’aggravation d’un dommage initial ou encore tout dommage non prévisible
au moment de la conclusion du Contrat.
4.3 La présente limitation de responsabilité est stipulée sous réserve du droit applicable et ne saurait remettre en cause les cas prévus par la loi où
la responsabilité d’une partie ne saurait être limitée.
5 Réparation des 5.1 Sous réserve des dispositions de l’article 4, du fait de sa propre négligence ou faute, chaque partie, doit dégager de toute responsabilité, défendre
dommages et indemniser l'autre partie (en ce compris ses administrateurs, dirigeants, membres, gestionnaires, employés, consultants, sous-traitants et agents
respectifs) de toutes les réclamations, demandes, poursuites, actions ou procédures émanant de tiers (en ce compris les coûts, dépenses et
responsabilités qui en résultent), qui résultent de blessures corporelles, de décès ou de pertes ou dommages matériels en vertu du Contrat ou des
Produits ou Services fournis dans le cadre du Contrat.
5.2 Le principe d’indemnisation qui figure ci-dessus ne s'appliquera pas dans la mesure où ces blessures, décès, pertes de biens corporels ou
dommages sont causés en tout ou en partie par une faute intentionnelle, une négligence grave ou une fraude de la partie qui cherche à se prévaloir
de ladite indemnité.
6 Force Majeure 6.1 Malgré les efforts coordonnés des parties à appliquer le Contrat, les parties peuvent être confrontées à des cas de Force Majeure qui affectent
la bonne exécution du Contrat sans que la responsabilité d’une partie puisse être mise en cause. La présente clause prévoit les cas où la Force
Majeure peut être légitimement invoquée.
6.2 Aucune des parties ne sera responsable du retard de livraison ou de tout autre manquement à ses obligations (à l'exception de vos obligations
de paiement) en raison d'un événement résultant d’un cas de force majeure. Les événements de force majeure sont des événements considérés
comme imprévisibles et irrésistibles conformément au droit applicable et échappant par conséquent au contrôle de la partie affectée. Les cas de
Force Majeure peuvent inclure des événements affectant les fournisseurs et sous-traitants des parties au Contrat.
6.3 La partie touchée par un événement de Force Majeure en informera l'autre partie par écrit dans les meilleurs délais. Chaque partie a le droit de
résilier le contrat par notification écrite si l'exécution du contrat, du fait de ce cas de Force Majeure, est suspendue pendant plus de six (6) mois.
7 Cycle de vie des 7.1 Nous travaillons constamment à l'amélioration de nos Produits et Services, de notre offre et au retrait des Produits et Services dont nous estimons
Produits et qu'ils ne sont plus à même de vous servir efficacement. Par conséquent, nous nous réservons le droit d'interrompre la fabrication et de fournir, ou
Services de modifier la conception ou les spécifications de tout produit ou service à tout moment et sans préavis.
7.2 L’interruption des Produits et Services mentionnés à l’article 7.1 ne modifie en rien les Contrats conclus avant l'interruption de la fabrication ou
de la fourniture, ou la modification de la conception ou des spécifications, des Produits et/ou Services.

Conditions attachées spécifiquement aux Produits


8 Facturation 8.1 A moins que ce ne soit prévu dans notre devis ou dans le Contrat, nous vous enverrons une facture à compter de la livraison des Produits qui
comprendra l’intégralité du prix desdits Produits ainsi que tous les frais, coûts et taxes afférents (si applicables).
9 Livraison 9.1 Nous livrons et établissons le prix de nos Produits en tenant compte d’une livraison FCA/Unité de production de Vaisala concernée (Incoterm
ICC 2020). D’autres conditions de livraison peuvent être prévues, conditions pour lesquelles des frais additionnels pourront s’appliquer. Dans une
telle hypothèse, les conditions de livraison qui seront applicables figureront dans notre devis ou dans notre accusé de réception de commande.
9.2 Nous nous efforcerons de respecter au mieux les délais de livraison que nous vous indiquerons. Nous ne manquerons pas de vous tenir au
courant si ces délais venaient à varier. Des délais de livraison accélérés peuvent être envisagés moyennant des frais supplémentaires.
10 Acceptation 10.1 Les Produits sont considérés comme acceptés sous réserve que vous ne nous ayez pas fait parvenir une réclamation écrite (par tous moyens
en ce compris par courrier électronique) concernant leur quantité ou leur qualité sous sept (7) jours à compter de leur livraison.

11 Transfert de 11.1 Le transfert de risque concernant la perte et les dommages sur les Produits est opéré en conformité avec les conditions de livraison applicables
risque et de (suivant Incoterm ICC 2020).
propriété 11.2 Le transfert de Propriété en votre faveur est opéré à compter du paiement complet du ou des Produits en ce compris l’intégralité des couts,
frais et taxes afférents (si applicable). Vous devez mettre en œuvre toutes mesures raisonnables en vue de stocker et/ou de protéger les Produits
jusqu’à ce que le transfert de Propriété soit effectif.
12 Garantie du 12.1 Nous nous engageons à ce que les Produits soient exempts de défauts de fabrication et de matériaux pour une période de douze (12) mois à
Produit compter de la date de livraison.
12.2 Des périodes de garantie plus longues sont disponibles pour certains Produits spécifiques tels que prévu sur notre site internet au lien suivant
: http://www.vaisala.com/en/contact/Pages/warranty. Cette liste de Produits peut faire l’objet de modifications ou d’ajustements à tout moment par
nos soins.
12.3 S’il s’avère que l’un de nos Produits souffre d’une non-conformité de fabrication ou de matériaux pendant la période prévue à l’article 12.1 ou
à l’article 12.2, nous nous engageons, à l’exclusion de toute autre action, de réparer ou de remplacer gratuitement en tout ou partie le Produit
défectueux. Un tel Produit remplacé ou réparé bénéficiera d’une période de garantie de six (6) mois à compter de la date de livraison ou de réparation
dans les mêmes conditions que le Produit initial ou le composant initial du Produit, à moins que la période de garantie initiale s’étende au-delà d’une
période de six (6) mois auquel cas la période de garantie initiale s’applique sans modification. Nous nous réservons le choix de réparer un Produit
dans nos locaux ou sur site. Les Produits défectueux remplacés conformément à cet article 12 doivent être tenus à notre disposition pour être
récupérés.
12.4 La présente garantie est sujette aux conditions suivantes :
a) une réclamation écrite motivée concernant toute non-conformité présumée doit nous avoir été transmise dans les trente (30) jours après la
survenance de la non-conformité; et
b) le Produit présumé non conforme doit être envoyé dans les locaux appropriés de Vaisala ou en tout autre lieu que nous vous indiquerons par
écrit, correctement emballé et étiqueté par vos soins à moins que nous ayons accepté d’inspecter et réparer le produit sur site; et
c) le Produit est toujours sous garantie.
12.5 Les coûts de transport et d’assurance seront supportés par nos soins sous réserve du respect de notre procédure de retour de matériel
défectueux (RMA) que nous avons mise en place et qui est disponible sur notre site internet.

12.6 La présente garantie n’est pas applicable si les non-conformités sont provoquées pour les raisons suivantes:
a) Usure normale des produits; // b) Accident, vol ou vandalisme; // c) Catastrophe naturelle;
d) Mauvaise, imparfaite, incorrecte utilisation, du Produit (par exemple, utilisation non conforme au manuel utilisateur), négligence ou erreur dans le
stockage, la maintenance ou l’utilisation du Produit;
e) Installation ou assemblage erronés, ou manquement dans la manipulation du Produit ou plus généralement manquement à suivre nos instructions
d’utilisation ou de maintenance en ce compris réparation, installation, assemblage ou service effectué par du personnel non approuvé par nous ou
encore réparations ou remplacement de composants qui n’ont pas été produits ou délivrés par nous;
f) Modification ou altération du Produit sans notre accord préalable écrit;
g) Toute autre raison ou cause extérieure au Produit qui vous serait imputable ou imputable à un tiers.
12.7 Nous ne sommes pas responsables des non conformités qui résultent d’éléments, de design ou d’instructions dont vous êtes à l’origine.
12.8 Certains de nos Produits disposent de conditions de garantie particulières qui peuvent s’ajouter aux présentes conditions définies à cet article
12 ou y déroger. Le cas échéant, ces conditions particulières de garantie sont définies dans l’information produit ou « Product Information » afférent.

Conditions attachées spécifiquement aux Services


13 Facturation 13.1 Sous réserve d’une disposition contraire figurant dans notre devis ou dans le Contrat, nous facturons l’intégralité du prix des Services et des
frais liés à compter de leur réalisation ainsi que les charges et coûts afférents au fur et à mesure de leur survenance.

14 Lieu de 14.1 Nous effectuerons nos Services sur le lieu ou à la localisation qui figure sur notre devis ou dans le Contrat. A défaut de précision du lieu
réalisation des d’exécution des Services, nos Services seront effectués à l’établissement de Vaisala (ou du sous-traitant) de notre choix.
Services
15 Acceptation des 15.1 Les Services sont considérés comme acceptés par vous à compter de leur réalisation (en tout ou pour la partie concernée) à moins que vous
Services nous ayez fait parvenir une réclamation écrite circonstanciée sous sept (7) jours à compter de ladite réalisation des Services (en tout ou pour la
partie concernée).
16 Garantie des 16.1 Nous nous engageons à ce que les Services soient effectués de manière diligente et professionnelle. Sauf accord particulier, nos Services sont
Services effectués au moyen de nos méthodes et de nos procédures.
16.2 A réception d’une réclamation écrite circonstanciée concernant un Service (ou une partie d’un Service) qui ne serait pas conforme à nos
engagements, présentée dans les formes prévues à l’article 15.1, nous nous engageons à réeffectuer ce Service à bref délai.
16.3 Certains Services disposent de conditions de garantie particulières qui peuvent s’ajouter aux présentes conditions définies à cet article 16 ou
y déroger. Le cas échéant, ces conditions particulières de garantie sont définies dans le document d’’information service ou « Service Information »
afférent.
17 Heures et jours 17.1 A moins d’une disposition particulière prévue, une semaine de travail commence le lundi et s’achève le vendredi dans une plage horaire de
ouvrables douze heures qui se situe entre 6 heures du matin et 18 heures. La semaine de travail est effectuée sans préjudice des jours fériés du pays dans
lequel les Services sont effectués.

18 Accès aux 18.1 Vous devez vous assurer que nous avons accès aux locaux concernés, à votre personnel, aux Produits et aux autres éléments à réparer au
locaux; Hygiène moment convenu ou notifié. Vous devez en outre vous assurer que tous les locaux où opère notre personnel (ou notre sous-traitant) et tous les
et Sécurité éléments faisant l'objet des Services sont en bon état et ne présentent pas de risque pour la santé ou la sécurité de notre personnel.
18.2 Vous devez prendre toutes les mesures nécessaires pour empêcher notre personnel d'être exposé à tout risque pour leur sécurité ou leur
santé, ou à un risque de blessure ou de tout autre dommage, dans vos locaux. Vous devez vous assurer que toutes les mesures de sécurité et de
précaution nécessaires ont été prises et que le personnel est bien informé des conditions dans lesquelles les Services doivent être exécutés et des
risques qui peuvent être présents.
18.3 Dans la mesure du possible, vous devez nous informer de tous les règlements et réglementations de sécurité pertinents en vigueur dans vos
locaux au moins quatre (4) semaines avant le commencement des Services. Dans le cas où nous ou notre personnel (ou notre sous-traitant le cas
échéant) déterminons, à notre / à leur seule discrétion, que les locaux ne sont pas sûrs pour exécuter convenablement les Services, vous serez
informé de la présence de telles conditions dangereuses. Le personnel peut refuser d'exécuter les services sans pénalité ni responsabilité de notre
part et ce jusqu'à ce que ces exigences en matière d’hygiène et de sécurité soient correctement et complètement traitées par vos soins.
18.4 Vous devez vous assurer que tous les articles envoyés à toute installation de Vaisala (ou de nos sous-traitants) sont exempts de matières
dangereuses, de contaminants, de présence de faune ou de flore.
19 Sous traitance 19.1 Afin de pouvoir vous fournir des Services de qualité et de vous servir de manière efficace en divers lieux et places, nous nous réservons le droit
de faire appel à des sous-traitants qualifiés pour exécuter les Services.
19.2 Nous restons responsables des activités de nos sous-traitants vis-à-vis de vous.

Dispositions générales applicables au contrat


20 Confidentialité 20.1 Nous avons développé et disposons de données, d'informations, connaissances et savoir-faire spécifiques et uniques en ce qui concerne les
Produits, les Services ainsi que leurs applications. Toutes les données et informations que nous vous fournissons, y compris les informations sur les
Produits et les Services, les prix, les dessins, les données techniques, la technologie et les matériaux, qui ne sont pas accessibles au public, nous
sont exclusives et confidentielles (les « Informations Vaisala »). Vous acceptez d'utiliser les Informations Vaisala uniquement aux fins du Contrat.
Vous vous engagez à ne pas divulguer les Informations Vaisala à des tiers (à l'exception de vos affiliés et utilisateurs finaux autorisés) ni à copier,
décompiler, modifier, effectuer de l'ingénierie inverse ou créer des œuvres dérivées à partir des Informations Vaisala.
20.2 Vous pouvez choisir de nous divulguer certaines informations non publiques (« Informations Client »). Nous acceptons d'utiliser les Informations
Client uniquement aux fins du contrat et ne divulguerons pas d'Informations Client à des tiers (à l'exception de nos affiliés, représentants et partenaires
commerciaux).
20.3 À moins que nous n’ayons conclu un accord de non-divulgation ou de confidentialité spécifique, les obligations du présent article 20 demeureront
en vigueur pour une période de trois (3) ans à compter de la divulgation initiale.
21 Droits de propriété 21.1 Toutes les marques, droits d'auteur, noms commerciaux, brevets, dessins et modèles et toute autre propriété intellectuelle d'une partie protégée
intellectuelle ou non par un titre resteront la propriété exclusive de cette partie. Tous les droits de propriété intellectuelle résultant de tout travail de toute prestation
et développement que nous entreprenons nous appartiennent exclusivement.
21.2 Nous ne vous accordons aucun droit sur les produits ou services autres que ceux spécifiquement accordés dans le Contrat ou l'Accord. Vous
acceptez de ne pas enfreindre, directement ou indirectement, l'un de nos droits de propriété intellectuelle et de ne pas copier, décompiler, modifier,
faire de l'ingénierie inverse ou créer des œuvres dérivées à partir de Produits ou Services.

21.3 Nous agissons et veillons diligemment pour éviter les violations de propriété intellectuelle par des tiers. Dans le cas d'une telle violation, nous
vous dégagerons de toute responsabilité, vous défendrons et vous indemniserons, ainsi que chacun de vos administrateurs, dirigeants, collaborateurs
et employés (collectivement, les « Parties Indemnisées ») de et contre tous les dommages, pertes , les responsabilités, les coûts et les dépenses
subis ou encourus par l'une des Parties Indemnisées dans toute action, poursuite, litige, arbitrage ou différend intenté par un tiers découlant ou
résultant de toute réclamation selon laquelle les Produits ou les Services fournis au client enfreignent un droit d'auteur, un brevet, ou une marque,
constitue une appropriation illicite de tout secret commercial, ou tout droit de propriété intellectuelle d'un tiers.
21.4 Les Parties Indemnisées doivent nous informer sans délai par écrit de l’existence ou de la possibilité d’une telle action, poursuite, litige, arbitrage
ou différend, et elles ne doivent pas régler ou faire des admissions à ce sujet. Dans une telle hypothèse, nous nous réservons la possibilité, à nos
frais, de contrôler l'action, la poursuite, le litige, l'arbitrage ou le différend, et nous recevrons toutes les informations, autorisations et assistance
nécessaires pour les défendre.
22 Contrôle des 22.1 Chaque partie reconnaît que les Produits et Services peuvent être soumis à des réglementations de contrôle des exportations telles que définies
exportations; par (i) les réglementations de l'administration des exportations du département américain du commerce (EAR), les réglementations internationales
Licences et sur le trafic des armes du département d'État américain (ITAR) ou d'autres exigences du Gouvernement des États-Unis; (ii) les règlements de la
autorisations Commission européenne; (iii) les résolutions du Conseil de sécurité des Nations Unies; et (iv) les réglementations locales applicables (ensemble le
«Règlement sur le contrôle des exportations») régissant l'exportation et la réexportation de Produits et Services.
22.2 Vous attestez que vous et les utilisateurs finaux des Produits et Services ne sont nommés sur aucune liste de restriction ou d’interdiction d’un
quelconque Règlement de contrôle des exportations.
22.3 Chaque partie accepte par les présentes de ne pas exporter ou réexporter sciemment les Produits ou Services (ou tout produit, processus ou
service en résultant directement), directement ou indirectement, vers un pays ou un ressortissant étranger d'un pays en violation du Règlement sur
le contrôle des exportations.
22.4 Vous aurez l'entière responsabilité d'obtenir toutes les licences d'exportation et d'importation et autres autorisations requises pour exporter,
importer et utiliser les Produits et Services. Nous ne serons pas tenus de commencer l'exécution du Contrat tant que toutes les licences et
autorisations nécessaires n'auront pas été obtenues par vos soins.
22.5 Vous acceptez que la violation de cet article 22 peut entraîner de notre part la résiliation du contrat, l'annulation des livraisons restantes, le refus
de conclure une transaction future avec vous et une indemnisation de notre préjudice afférent en vertu de l’article 5 des présentes.
23 Résiliation 23.1 Dans le cas où l'une des parties déclare faillite, est placée en redressement judiciaire, se met en liquidation volontaire ou forcée, ou fait désigner
un séquestre, l'autre partie se réserve le droit, sans préjudice de tout autre droit ou recours, de résilier le contrat avec effet immédiat par l’envoi d’une
notification écrite.
23.2 Dans le cas où l'une des parties contrevient à ses engagements contractuels et ne parvient pas à remédier à cette situation après avoir été mise
en demeure de se conformer sous trente (30) jours après avoir été notifiée, la partie ayant notifié cette violation des termes du contrat pourra procéder
à la résiliation du contrat sans préavis.
23.3 En cas de résiliation de votre part, nous restons en droit de recevoir le paiement des Produits déjà livrés et des frais résultant des travaux en
cours d’exécution.
24 Transférabilité 24.1 Aucune des parties ne sera autorisée à céder ou transférer, en tout ou en partie, le Contrat, ou tout droit ou obligation en vertu des présentes,
sauf avec l'autorisation écrite de l'autre partie, à l’exception de toute cession ou transfert opéré en faveur d’une société appartenant au groupe Vaisala.
Une telle autorisation ne doit pas être refusée sans motif raisonnable. Tout transfert ou cession du Contrat en violation du présent article sera nul et
non avenu.
24.2 Le présent article 24 ne limite en rien notre droit d'utiliser des sous-traitants pour la mise à disposition de nos Produits et Services.
25 Non renonciation 25.1 Le fait de ne pas se prévaloir d’un droit ou d’une stipulation en vertu du présent Contrat ne sera pas considéré comme une renonciation à
l'application dudit droit ou de ladite stipulation.

26 Protection des 26.1 Nous accordons beaucoup d’importance à la préservation des données personnelles de nos partenaires et acceptons d'utiliser leurs données
données personnelles aux seules fins du contrat et pour les activités de marketing liées à nos Produits et Services, y compris le marketing par nos partenaires
personnelles et représentants. Pour plus d'informations, nous vous invitons à consulter notre politique de confidentialité à l'adresse

27 Droit de référence 27.1 Nous nous réservons le droit de vous désigner comme notre client dans les présentations de vente et les activités de vente avec d'autres clients.
De plus, sur la base de votre accord préalable et écrit, nous pouvons vous désigner comme notre client dans tous les types de communication et de
médias.
28 Loi applicable et 28.1 Le présent Contrat est régi par le Droit français, à l’exclusion de ses règles en matière de conflit de lois. Il est expressément convenu que
règlement des l'application de la Convention des Nations Unies sur les contrats de vente internationale de marchandises (CISG) sera exclue de plein droit.
différends 28.2 Les parties essaieront d'abord de résoudre amiablement tout différend relatif ou découlant de ce contrat par des négociations. Si les parties ne
parviennent pas à résoudre le différend par des discussions et négociations de bonne foi, le différend sera soumis et réglé par voie de l’arbitrage de
la Chambre de commerce internationale (CCI) conformément au règlement interne de la CCI et sur désignation d’un seul arbitre. L'arbitre
appliquera le Droit français.
28.3 Les conditions générales du Contrat sont fournies en français avec une traduction en anglais. En cas de contradiction entre la version
française et anglaise, la version anglaise prévaudra.
