INDEPENDENT DECORATOR’S AGREEMENT

THIS INDEPENDENT DECORATOR’S AGREEMENT ("Agreement") is made and


entered into effective the 17 day of September , 201_____
23

BETWEEN:

3D Interior Fashions Inc.


(hereinafter referred to as "3DIF")
OF THE FIRST PART,
- and –

Miranda Sharp
______________________________, represented by its
president and/or owner hereinafter set forth
(hereinafter collectively and individually, referred to as
the “Decor Consultant”)
OF THE SECOND PART.

A. WHEREAS 3DIF is a seller of all types of window coverings and related


accessories of every nature including, without limiting the generality of the foregoing,
blinds, shades, drapery and shutters (the “Product”) which it supplies to The Home
Depot of Canada Inc. (hereinafter referred to as “Home Depot”) for the purpose of
selling the Product to the customers (hereinafter referred to as the “Customers”) of
Home Depot for installation by independent contractors (the “Installers”) who provide
that service through 3DIF;

B. AND WHEREAS 3DIF is entering into this Agreement with the Decor
Consultant who conducts business as either ( _______________) Inc. and/or as a Sole
proprietor carrying on business under the registered name of
(____________________)both entities to be providing a Contract for Service as
independent contractors, for the purpose of establishing the terms and conditions pursuant
to which the Decor Consultant will represent, and provide services to, 3DIF for the
purpose of pursuing leads (hereinafter referred to as the “Lead” or the “Leads”) for
prospective Customers to purchase the Product and Services;

C. AND WHEREAS the function of the Decor Consultant is as an independent sales


representative of 3DIF and, in the course of performing that function, he is required to
perform all measurements necessary to provide the Customer with a quote for pricing
purposes only, but are not intended to be used by the Installers for installation; unless
otherwise agreed in writing by 3DIF and Décor Consultant

D. AND WHEREAS 3DIF and The Home Depot have an arrangement pursuant to
which The Home Depot will supply the Leads to 3DIF, or directly to the Decor
Consultant or as 3DIF may determine.
E. AND WHEREAS all orders sold by the Decor Consultant (the “Sold Order”)
shall be evidenced using the form of The Home Depot Proposal and Agreement for
Decorating Services (the “Order Form”) from time to time in effect, and Sold Orders
shall be installed by an Installer selected by 3DIF, and the Decor Consultant shall have no
rights to direct the installation of a Sold Order to any other provider of such services;

IN CONSIDERATION of the mutual covenants herein contained, and other good and
valuable consideration the receipt and sufficiency of which is hereby irrevocably
acknowledged, the parties agree to the terms and conditions hereinafter set forth
including any attachments hereto and any documents, policies or procedures referred to
in this Agreement.

1. The Decor Consultant agrees to comply with all policies and procedures of 3DIF
as outlined in 3DIF’s Policy and Procedure Manual, a copy of which the
Decor Consultant acknowledges having received, reviewed and hereby agrees
to be bound by the recitals set forth above are true and accurate and comprise
part of this Agreement The Décor Consultant confirms that she/he and it have
had the opportunity to seek legal advice, at their cost, prior to entering into
this Contract for the Supply of Services.

2. The Decor Consultant acknowledges that the services rendered under this
Agreement shall be solely as an independent contractor. The Decor Contractor shall not
enter into any contract or commitment on behalf of 3DIF, except where permitted under
the terms of this Agreement. The Decor Consultant further acknowledges that it is not to
be considered an affiliate or subsidiary of 3DIF, and is not entitled to any rights or
benefits of any nature whatsoever beyond what is expressly stipulated in this Agreement.
It is expressly understood that the engagement of the Decor Consultant by 3DIF pursuant
to the terms of this Agreement is not a joint venture or a partnership between the Decor
Consultant and 3DIF. Notwithstanding that Home Depot, or 3DIF may provide Leads
directly to the Decor Consultant, the Decor Consultant acknowledges that it shall have no
relationship of any nature whatsoever with The Home Depot outside of the agreement
contained herein and that the Leads are being given by the Home Depot, to the Decor
Consultant only as a result of the instructions of 3DIF to do so.

3. The Decor Consultant shall be available to take appointments and otherwise


accommodate all Leads supplied by Home Depot and 3DIF. The Decor Consultant
agrees to contact the Customer within 24 hours of receiving a Lead and to update
appropriate information respecting the Lead.

4 The Decor Consultant confirms that he has access to a scanner and contact
telephone number and a personal home / business computer with internet access (the
“Home Office”). An email account and a 1-800 extension number will be provided by
3DIF for the Decor Consultant which shall be utilized exclusively for the purpose of

conducting the business of 3DIF or Home Depot. The Decor Consultant covenants and
agrees to input and update all appointment details and sales information in the 3DIF
Order Management Information System (“OMIS”). Decor Consultant acknowledges that
he is exclusively responsible for all costs incurred in setting-up and operating the Home
Office during the term of this Agreement.

5. 3DIF will provide to the Decor Consultant all samples of Product (the “Samples”)
issued by Home Depot or 3DIF.

(a) The Decor Consultant agrees to keep all Samples in good condition and to assure
that they are not subjected to any unusual or unnecessary wear and tear. The Decor
Consultant covenants and acknowledges that all Samples provided to the Decor
Consultant by 3DIF are the absolute property of 3DIF and shall be immediately returned
to an authorized representative of 3DIF upon the termination of this Agreement by either
party, or if requested for any reason by 3DIF; and

(b) 3DIF reserves the right, and the Decor Consultant hereby grants the right to 3DIF,
to withhold commissions and/or any other payments of every nature whatsoever owing to
the Decor Consultant by 3DIF until all Samples are returned to 3DIF in good condition,
reasonable wear and tear only excepted, failing which 3DIF shall be entitled to
commence legal proceedings to enforce its rights and the Decor Consultant agrees to pay
all the legal costs of 3DIF in connection with any such proceedings, on a full indemnity
basis.

6(1). The Decor Consultant agrees to develop constructive relationships with Home
Depot store management, field management and store associates who are involved in
answering questions from Customers about the Products and services provided by 3DIF
for Home Depot. The Decor Consultant shall visit, build relationships and offer in-store
assistance, at Home Depot store(s) to which the Decor Consultant has been assigned for a
minimum of eight (8) hours per month and shall maintain a professional, courteous and
respectful attitude at all times towards all Home Depot employees and Customers. The
Decor Consultant acknowledges that relationship building, as hereinbefore described,
will result in better awareness of the Products and services that the Decor Consultant and
3DIF wish to promote. The Decor Consultant acknowledges and agrees that 3DIF may
request, from time to time, a schedule of store visits made by the Decor Consultant for
the purpose of training associates or employees of Home Depot. The Decor Consultant
further acknowledge and agrees that no monetary, or other compensation, will be paid to
the Decor Consultant by 3DIF and / or Home Depot, for any time spent by the Decor
Consultant in a Home Depot store(s).

6(2) The Décor Consultant acknowledges and confirms that she/he and /or it will attend
such Trade Shows displaying products sold by Home Depot at their cost and to put in
such time as is necessary to promote products sold by 3DIF. In the course of attendance
at such Trade shows, if a Sales Lead (s) arises from participation at such trade show, the
parties agree that such Sales Lead(s) belong to the Décor Consultant who attended such
trade show.

7. The Decor Consultant agrees to provide a current electronic photo and completed
“Criminal Records Check – Personal Information” form in order to be entitled to receive
the required ID Badge from Home Depot. By signing this agreement the Decor
Consultant authorizes 3DIF and /or a third party compliance company, to conduct a
criminal background check. Upon the review of a satisfactory Criminal Records Check
the Decor Consultant, will be issued an Authorized Installer ID badge by The Home
Depot. The Decor Consultant agrees to wear the ID badge on all Customer job sites and
at Home Depot Stores at all times. Upon termination of this Agreement by either party,
the ID Badge shall be immediately surrendered by the Decor Consultant to a
representative of 3DIF. The décor Consultant agrees that in the event that said Consultant
or any one of its Employees is found to have a criminal Record, this Contract may be
deemed Null and Void by 3DIF forthwith by giving Notice b e-mail or fax to the Décor
Consultant at the e-mail or fax address provided to 3DIF and/or the Décor Consultant
removes the Offending party from providing service to the Décor Consultant and advises
3DIF within 3 business days of such removal.

8. The Decor Consultant agrees that a professional appearance is required in all


circumstances involving the performance of his duties pursuant to this Agreement and
that all the Decor Consultant’s clothing must be clean and in good taste, consistent with
the highest standards for anyone performing the function of a decor consultant. The
Decor Consultant further acknowledges that personal appearance and personal hygiene
must not be offensive to Customers and that courteous and professional conduct is
required of the Decor Consultant in all dealings with Customers. The Decor Consultant
covenants and agrees to show respect and sensitivity for all Customers, regardless of
race, ethnic background, culture, religious beliefs, or sexual orientation. The Decor
Consultant acknowledges that abusive, lewd or vulgar language, sexual harassment
and/or sexually suggestive behavior of any nature is not permitted and may result in the
termination of this Agreement and / or criminal charges against the Decor Consultant.

9. Decor Consultant shall be polite and courteous in all of its dealings with
Customers including responding politely if a Customer, for any reason, refuses to allow
the Decor Consultant to proceed with an appointment, or requests that the Decor
Consultant discontinues an appointment already in progress, in which case the Décor
Consultant shall leave the Customer’s home and notify the 3DIF Regional Manager. The
Decor Consultant agrees never to ask for, or accept, tips, gratuities or gifts of any kind
from a Customer(s) and to decline, politely, any offer of a tip, gratuity or gift which may
be made.

10. The Decor Consultant agrees that he shall be fully responsibility for any damage
that may be caused in the course of performing his duties at an appointment attended by
the Decor Consultant at the Customer’s premises. The Décor Consultant further
covenants and agrees that 3DIF may withhold commission otherwise payable to off-set
the cost of such damage. The Décor Consultant shall make every effort to avoid
damaging a Customer’s home, place of business, or the contents thereof, by being very
careful to place Samples and other materials on surfaces which are not subject to

scratching or any other damage. During the measuring process the Decor Consultant
shall request that the customer removes any valuable items in and around the area which
is being measured. In the event that large or heavy furniture is an impediment to the
Decor Consultant performing his measurements he shall explain to the Customer that he
is able to provide only a rough estimate and that the large or heavy furniture will need to
be moved prior to the authorized 3DIF Installer performing the definitive measurements
for the performance of the services or installation of the Product.

11. The Decor Consultant shall be fully responsible for all Sold Orders. If for any
reason, a Sold Order is terminated, cancelled or refunded, the Decor Consultant shall
forfeit any commissions earned on the relevant Sold Order(s). In the event that an
allowance, adjustment or refund is issued to a Customer due to an error, miscalculation or
the negligence of the Decor Consultant, the Decor Consultant agrees to forfeit a portion
of, the commission, or the entire commission, for Sold Order and the Decor Consultant
further acknowledges that he may be required to reimburse 3DIF for a portion, or all, of
the losses incurred by 3DIF as a result of any error, neglect, or miscalculation by the
Décor Consultant.

12. The Decor Consultant shall evidence or Sold Orders, including all required terms
and conditions thereof, upon the Home Depot Order Form from time to time provided to
him by 3DIF. The Decor Consultant shall adhere to the guidelines for acceptable forms
of payment including, Home Depot Credit Card, Home Depot Home Improvement Loan,
AMEX, Discover, MasterCard, VISA or Home Depot Gift Cards and personal cheques.
All payments shall be made, by whatever method, directly payable to Home Depot.

13. Provided that the Decor Consultant has received not less than fourteen (14) days
advance notice thereof the Decor Consultant agrees to attend local, or on-line, meetings
for training with representatives of 3DIF and/or Home Depot, as may be required, from
time to time, and without compensation,

14. Store(s) / Lead(s) Assignment

The Decor Consultant acknowledges and agrees that the assignment of the Decor
Consultant to any particular Home Depot store(s) for the giving of any Lead(s) to the
Decor Consultant shall be in the sole and absolute discretion of 3DIF and the local 3DIF
Manager (the “RSM”). It is further acknowledged and agreed by the Decor Consultant
that store assignment(s) may change at any time, and from time to time, and that 3DIF
makes no assurances or guarantees regarding which store(s) the Decor Consultant will be
assigned to at any time, or the number of Leads that a Decor Consultant may receive, or
the number of Sold Orders that will result from any Lead(s).

15. Time Off / Extended Absences

The Decor Consultant acknowledges and agrees that the proper discharge of his duties
pursuant to this Agreement, requires the Decor Consultant to be available to the assigned
store(s), and the catchment area(s) from which its Customers are drawn, in order to

provide services to the Customers. Therefore, in the event that the Decor Consultant takes
time off for any reason whatsoever, such Décor Consultant can place another Consultant
if approved by Home Depot to fill such vacancy as arises from the Décor Consultants
absence or such Décor Consultant may request 3DIF to supply a replacement Décor
Consultant for the time off chosen by this Décor Consultant.. If so, the Décor Consultant
further acknowledges and agrees that during his absence 3DIF may choose to reassign
stores and/or Leads to an alternate Decor Consultant, to assure that Customer
requirements are met and serviced in a timely manner.

16. Compensation

The Decor Consultant acknowledges and agrees that his sole compensation shall consist
of commissions for Sold Order(s) and shall be payable only after the Customer(s) has
acknowledged acceptance and satisfaction with the Products and services that were sold
by the Decor Consultant, including the installation thereof. Commissions shall be as
specified in Schedule A annexed hereto. Additional incentives, or promotional offerings,
may be made available to the Decor Consultant in the event that 3DIF and/or Home
Depot decide to make such benefits available.. The commissions payable to the Decor
Consultant that are listed on Schedule A may be revised in the sole discretion of 3DIF
with prior written notice of not less than fourteen (14) days to the Decor Consultant.
Provided, that all Sales Orders obtained by the Decor Consultant prior to the revision
becoming effective shall be paid to the Decor Consultant on the basis of the commission
schedule in force at the time the Sold Order(s) was obtained.

17. The payment frequency of commissions is at set forth on Schedule B hereto and
the Decor Consultant agrees that, due to operational or systems factors, the frequency or
schedule of payments, but not the amount thereof, may change without prior notice to the
Decor Consultant.

18. Taxes

The Decor Consultant shall directly and promptly pay, when due, all ad valorem,
occupation, income, sales (including HST) and any other taxes, imposts or licencing fees
of every nature or description whatsoever, currently, or hereinafter, imposed by any
governmental authority upon the Decor Consultant or upon the operation of the Decor
Consultant’s business, or which may be charged, levied, or assessed by reason of any act
performed pursuant this Agreement, and the Decor Consultant shall file in a timely
manner all reports and returns and shall secure all licences and permits with respect
thereto.

19. Separation of Businesses

(a) The Decor Consultant shall follow the policies of 3DIF and Home Depot on any
sales call, and identify themselves to the Customer by presenting his Authorized Service
Provider (Home Depot) business cards.

(b) It is understood and agreed by the parties that a Decor Consultant shall also be
entitled to operate other related business within the decorating industry but the Decor
Consultant acknowledges and agrees that any other business which he may own, or be in
any way involved in, shall not, in any way, be disclosed to a Customer of 3DIF or Home
Depot. Under no circumstances may the Decor Consultant advise, or give any indication,
of his independent business, nor may he direct any aspect of the product or services
contemplated to be provided by the Decor Consultant or an Installer to anyone not
authorized for the purpose by 3DIF. Home Depot business card shall be used by the
Decor Consultant in all his dealings with Customers. The Decor Consultant agrees not to
solicit additional work from Customer(s) or offer to perform work that would otherwise
be transacted by, or through, 3DIF and / or Home Depot. All future sales, or referrals, to
former or existing Leads or referrals must be made by the Decor Consultant through
3DIF or Home Depot. The Decor Consultant further covenants and agrees not to use any
Samples, product guides, price books, or Product names that have been provided by 3DIF
to the Decor Consultant for any purpose or business other than business properly
conducted pursuant to the provisions of this Agreement.

20. Failure by the Decor Consultant to comply to any of the requirements set forth
in this Agreement may result in the immediate suspension of the Decor Consultant until
an investigation has been conducted and may result in termination, and / or the
requirement that the Decor Consultant provide financial compensation to 3DIF, in the
event that evidence is found which, on the balance of probabilities, confirms the
suspected violations by the Decor Consultant.

21(a). Insurance

The Decor Consultant agrees to obtain and maintain at his own expense automobile and
liability insurance, workers compensation insurance (if required), for types and amounts
of coverage satisfactory to 3DIF. The Decor Consultant acknowledges that neither 3DIF
nor Home Depot is liable or responsible for accidents, injuries or losses of any nature
incurred by anyone while the Decor Consultant is on route, at the job site or otherwise
performing his duties under this Agreement. The Decor Consultant shall provide a
Certificate of Insurance confirming any insurance or other coverage hereinbefore
required within seven (7) business days of being requested by 3DIF.

21(b) The Décor Consultant covenants and agrees to apply for Independent Operator
status in such province as the Décor Consultant is in residence, and carries on business.
Where each provincial WSIB mandates Independent Operator status for the Décor
Consultant, each Consultant agrees to take out personal coverage under the existing
worker`s compensation scheme in such province and to report proof of such coverage to
3DIF.

21 (c) If the Décor Consultant employs workers , the Décor Consultant further covenants
and agrees to register as an Employer in the Province in which the Décor Consultants
business enterprise is carried on and provide WSIB Clearance Certificates to 3DIF upon

request and prior to payment issuing. The Décor Consultant further agrees that 3DIF may
pay as agent for the Décor Consultant any unpaid WSIB premiums from money owing by
3DIF to the Décor Consultant.

22. Indemnity

The Decor Consultant hereby covenants to indemnify, defend and save harmless 3DIF
and Home Depot from all claims, damages and liabilities arising from any acts or
omissions, injuries, damages or violation of any law attributable to the Decor Consultant.
The foregoing provision shall not be construed to make the Decor Consultant responsible
for loss, damage, liability or expense due to the acts or omissions of 3DIF or Home
Depot.

23. Confidentiality

3DIF will not release the Decor Consultant’s personal contact information to Customers
but may provide Customers with the Decor Consultant’s 3DIF e-mail and / or telephone
number, and / or will notify the Decor Consultant if a Customer needs to be contacted by
the Decor Consultant. The Decor Consultant shall contact and/or respond to the
Customer within twenty-four (24) hours of any such notification by 3DIF or enquiry by a
Customer.

24. 3DIF shall also be entitled to release the business contact information of the
Decor Consultant to Installers and Home Depot Installation Services associates as 3DIF
may deem necessary or appropriate for training or other purposes relevant to this
Agreement.

25. The Decor Consultant acknowledges and agrees that this Agreement creates a
confidential relationship between the Decor Consultant and 3DIF and the Decor
Consultant The Home Depot. All information concerning the business affairs of 3DIF
and/or Home Depot, Customers, finances, properties, pricing structures, methods of
operation, computer programs, forms, documentation, guidelines, policies, and other such
information, whether written, oral, or otherwise, relating to 3DIF or Home Depot is
confidential in nature (collectively “Confidential Information”) unless already in the
public domain through no act or omission of the Decor Consultant. The Decor Consultant
further acknowledges that his performance of this Agreement will result in the Decor
Consultant having access to confidential, proprietary and trade secret information of
3DIF or Home Depot. The Decor Consultant agrees that he will keep all Confidential
Information in strict confidence and not disclose or use any Confidential Information
other than is strictly necessary to fulfill his obligations under this Agreement.

26. Non- Disclosure

The Decor Consultant covenants that, except as expressly authorized and directed in
writing by 3DIF, he will not at any time during, or after, the term of this Agreement

disclose any Confidential Information to any person whatsoever and that upon the
termination of this Agreement he will turn over to 3DIF all documents, papers, and other
material in his possession or control that relate to 3DIF or Home Depot, all of which is
acknowledged to be the property of 3DIF or Home Depot, as the case may be. The Decor
Consultant further agrees to bind its employees and subcontractors to the terms and
conditions of this Agreement.

27. Customer Signature Policies

The Decor Consultant is not permitted to sign, or authorize, any document on behalf of a
Customer. All forms and documents intended to have contractual effect shall be signed
by the Customer personally and at no time is “per phone”, “signature on file”, or the
signature of the Decor Consultant an acceptable substitute for the signature of the
Customer. In the event that the Decor Consultant violates this requirement, immediate
suspension and / or termination of this Agreement will result and Commissions may be
withheld pending an investigation of service issues and loss of income to 3DIF and/or
Home Depot.

28. Termination Provisions

Either party may terminate this Agreement immediately, without cause or written notice.
Notice of any issue may be given to each party at the following communication point.

29. Legal Costs


In the event that 3DIF engages the services of a solicitor to enforce any of its rights under
this Agreement, or to recover any damages including, without limitation, lost income, and
the Decor Consultant shall pay 3DIF for all costs and expenses incurred, including
solicitor’s fees in such amount as may be determined by a Court of Competent
jurisdiction for such amount for which the Décor Consultant may be found liable to pay.
30. Governing Law

This Agreement shall be construed and enforced in accordance with the laws of the
Province of Ontario and the parties hereto hereby irrevocably attorn to the jurisdiction of
the Courts of Ontario.

31. Supersedes prior Agreements

This Agreement shall supercede and replace all prior agreements concerning the same, or
substantially the same, subject matter. Provided only that any amounts owing on account
of Commission to the Decor Consultant and all liabilities or obligations of the Decor
Consultant to Home Depot under such prior agreements shall survive and remain in full
force and effect notwithstanding the execution of this Agreement and the termination of
any former agreement.

32. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the
transactions contemplated in this Agreement and supersedes all prior agreements,
understandings, negotiations and discussions, whether oral or written, of the parties with
respect to such transactions. There are no representations, warranties, covenants,
conditions or other agreements, express or implied, collateral, statutory or otherwise,
between the parties in connection with the subject matter of this Agreement, except as
specifically set forth in this Agreement. The parties have not relied, and are not relying,
on any other information, discussion or understanding in entering into and completing the
transactions contemplated by this Agreement.

33. Further Assurances


The Decor Consultant covenants and agrees to do such things, to attend such meetings
and to execute such further conveyances, transfers, documents and assurances as may be
deemed necessary or advisable from time to time to give full effect to the terms,
conditions and spirit of this Agreement.

34. Assignment

The Decor Consultant shall not be permitted to sub contract, transfer or assign any of its
rights or obligations under this Agreement without the prior written consent of 3DIF,
which consent may be arbitrarily and unreasonably withheld.

35. Number, General, Persons

Words importing the singular number only shall include the plural and vice versa,
words importing the masculine general shall include the feminine and neuter genders and
vice versa, and words importing persons shall include individuals, partnerships,
associations, trusts, unincorporated organizations and corporations, and vice versa.

36. Notices

Notices, consents, demands and other communications required or permitted under this
Agreement will be given in writing, either by (i) personal delivery; (ii) nationally recognized
overnight courier services; or (iii) facsimile transmission with receipt confirmed; sent to the party
at the address specified above its signature to this Agreement, or to such other address as the
recipient may hereafter designate by notice in writing to the other party. A notice will be deemed
received on the actual date of delivery.

IN WITNESS WHEREOF, this Agreement has been duly executed, the parties intending to be

SOFT WINDOW PRODUCTS:

**Please note commission rates may or can change and any changes (increases or
decreases) are done so at the sole discretion of 3DIF. Should a change be implemented,
Décor Consultants will be provided a minimum of 2 weeks notice of any pending
change(s).

SCHEDULE B

Commission Payments Schedule:

1. Deposit Dates:

Direct deposit are made on the 1st and 18th days of every month. If either day (1st or 18th)
falls on a weekend or holiday, the next business day will be the deposit date.

2. Decor Consultant who prefer to be paid by cheque shall have their cheques mailed
by Canada Post so long as that service remains available, on the deposit dates set forth
above.

3. Commission Fulfillment Schedule:

(a) All Sold Orders that have successfully been released to “Manufacturing in OMIS”
with an Estimated Ship Date (ESD) and detailed in OMIS, will be considered ready for
the payment of commission thereon to the Decor Consultant.

(b) In the event that there are questions or holds pending on any Sold Order(s),
commissions thereon shall be held until the Sold Order is cleared of all pending
questions, holds or other issues. Once clearance occurred, the commission shall be
released for payment on the next ensuing payment date as per 3(a).

4. Incorrect or Missed Commissions / Payments:

Should a commission(s) be miscalculated or missed entirely on a cheque, it is the


responsibility of Decor Consultant to contact the RSM for the territory and / or
Accounting Manager at 3DIF headquarters.

5. Lost or Misplaced Cheques:

Should a commission cheque be lost in mail, or misplaced by the Decor Consultant, it is


the responsibility of the Decor Consultant to contact and advise the RSM for the territory
and / or Accounting Manager at 3DIF headquarters. Once contacted, 3DIF will cancel /
void the original cheque at the Bank and have a new one issued and mailed promptly.
Please note this process can take 48-72 hours or 2-3 business days, in addition to mail
time.

6. Payment Schedule in the event of Termination of Agreement:

Upon the termination of this Agreement by either party (the Decor Consultant or 3DIF),
the Decor Consultant confirms and agrees that Commission Fulfillment Schedule (3) will
be revised to the following:

Commissions will be released only upon the successful completion of Installed Orders
(Completed - Signed Waiver from Customer indicating satisfaction and acceptance of
products and services) in the Customer’s home with no outstanding Decor Consultant
issues. Should an issue arise during the installation which prevents a waiver from being
signed and the job being completed, 3DIF reserves the right to withhold all or part of the
commission until the issues are resolved to the satisfaction of the Customer.

Please note, due to varying factors in each orders installation lead times and product
deliveries, it is not unusual for outstanding commissions to be fulfilled over 2 - 4 cheque
dates.

Additionally the Decor Consultant acknowledges and agrees, that all Sample Books,
Selling Materials, Contracts, Photo ID Badge, business cards etc. (collectively
considered: 3DIF property), must be returned to 3DIF per the instructions provided by the
RSM within the assigned territory, prior to any commissions being released. Upon all
3DIF property being returned by the Decor Consultant, commission(s) will be released
per the above Termination of Agreement Schedule
