aLEAVE AND LICENSE AGREEMENT
THIS LEAVE AND LICENSE AGREEMENT (‘License Agreement’) is made on this
Monday, October 16, 2023
BY AND BETWEEN
M/s SAB PROPERTIES PRIVATE LIMITED, having its office at Sab House, 3/8, Asaf Ali
Road, New Delhi 110002, (hereinafter referred to as the “Licensor” which expression shall
unless it be repugnant to the context or meaning thereof be deemed to mean and include
its successors and permitted assigns)
M/S PREMA HARINAM FOUNDATION, a Section 8 Company Concern, having its office
at 1/22, ASAF ALI ROAD, NEW DELHI-110002 , through its Director, Mr. KEVADIYA
MEHUL POPATBHAI S/o Sh. POPATBHAl GANESHBHAI KEVADIYA, R/o S/o
POPATBHAI, SURNIVAS, SURNIVAS, BHAVNAGAR, GUJARAT-364505, Having Contact
Number 9265994268, Email ID mehulkevadiya9S@gmail.com (herein after referred to as
“Licensee”, which expression shall mean and include its successors and permitted
assigns.)
As the context may require, the Licensor and the Licensee shall individually be referred
to as a “PARTY” and collectively as the "PARTIES" in this License Agreement.
WHEREAS
A. Licensor is the absolute, legal and beneficial owner/ co-owner of the premises
bearing Property no. 1/22, 2nd and 3rd Floor, Asaf Ali Road, New Delhi 110002,
consisting of multiple offices hereinafter referred to as the “Said Property”, and has
full and unfettered rights to let out the same on such terms and conditions as he
may think fit.
B. The Licensee desire to take the Licensed Premises (as defined below) on license
basis for a period of 11 months.
C. Pursuant thereto, the Licensor has agreed to permit the Licensee to use and occupy
the Licensed Premises (as defined below) on a leave and license basis, and the
Licensee has agreed to take the Licensed Premises on license subject to the terms,
covenants, conditions and agreements hereinafter contained.
IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS: -
1, EFFECTIVE DATE
The License Agreement shall come into effect from 09-10-2023 (“Effective Date”).
2. LICENSED PREMISES
In consideration of the license fees hereinafter reserved and contained, and subject
to the terms and conditions hereinafter mentioned, the Licensor hereby gives
entitlement unto the Licensee to operate and have effective mechanism to receive
communications from the Said Property and have access to the services as agreed
upon between the parties. Herein after referred to as “Licensed Premises".
3. PURPOSE SARS

In consideration of the License Fees hereinafter reserved and contained, and
subject to the terms and conditions hereinafter mentioned, the Licensor hereby
gives entitlement unto the Licensee to operate and have effective mechanism to
receive communications from the Said Property and have access to the services as
agreed upon between the parties.
The Licensee may use the Licensed Premises address in its Business
correspondence, GST and other government registrations, websites, address for
communication ete.
‘The licensee agrees with Licensor not to carry on any business, which could be
construed illegal, defamatory, immoral or obscene and agrees not to use the
address of Licensor whether directly or indirectly for any such purpose or
purposes.
‘The current line of Business of the Licensor is “Social Welfare activity related to
education and poverty”.
If the Licensee changes the nature of business, it must notify the Licensor in
writing.
LEASE TERM AND LICENSE FEES
The License Agreement hereby granted by the Licensor to the Licensee for the
Licensed Premises shall come into effect from 09-10-2028 for a period of 11
months, until 08-09-2024 (“Lease Term”).
The Licensee shall in consideration of the grant of the license, pay to the Licensor
a fee of Rs. 12000/- per annum for the whole Lease Term annually in advance.
GST as applicable extra. (Herein after referred to as “License Fee").
The License Fee shall increase by 10% after completion of lease term. This license
arrangement in relation to the Licensed Premises may be renewed on such terms
and conditions as per the discretion of the Licensor and Licensee.
LOCK-IN AND NOTICE PERIOD
There shall be a Lock in Period of the whole Lease Term of 11 Months. Since the
whole Lease Term is Lock-in Period, there shall be no need for the notice period.
‘The Licensor shalll be entitled to terminate this License Agreement with immediate
effect during its entire License Agreement term in case of violation of the conditions
of this License Agreement by the Licensee, due to the non-fulfillment of any of the
conditions as mentioned in Clause 6 below.
On completion of the Lease Term, the contract shall automatically terminate. Post
termination consequences/ activities are detailed/ elaborated in clause 9 of this
agreement.
OBLIGATION OF Licensee
The Licensee further agrees and undertakes that it:
shall pay the License Fees timely and to observe and perform all the terms
contained herein.
shall use the Licensed Premises in accordance with the purpose as specified in this
License Agreement.
understand that this License Agreement does not constitute a Lease or sublease
but is only a license to use the Licensor’s Licensed Premises. It is made clear that
the Licensor shall always remain in actual physical control and possession of the
Licensed Premises and possession during this Lease term shall be that of the
Licensee. This Agreement is personal to Licensee and cannot be transferred/ sub-
let/ assigned to anyone else.
Understand that this agreement is mere entitling the licensee to have its business
registrations from the licensed premises and it shall not be construed to have a
physical right/ claim over the licensed premises/ said property.

shall not be allowed to store any type of goods in any manner what-so-ever, more
so, due to the fact it doesn’t hold any physical control or possession over the
licensed premises, and, if found to be showing the same with the government
departments etc., shall be considered wrong.
though Licensee is permitted to use the Licensed Premises as “Registered Office
Address” / “Principal Place of Business” with the government departments, the
responsibility for compliance with all the necessary statutes/ laws governing the
same shall be on the Licensee.
understand that there may be obligation on the licensee to maintain books of
accounts at the registered office address/ principal place of business. The
obligation of the same shall be on the licensee. The statues/ law governing various
registrations has various mechanisms to maintain the same in cloud manner. The
licensee shall maintain the same in online/ cloud manner.
shall indemnify and keep and hold licensor fully indemnified and harmless from
and against all claims, proceedings, damages, losses, actions, costs and expenses
arising as a consequence of or out of this agreement or arising from any breach of
rules and regulations of any applicable law/ statute.
understand that no signage shall be placed outside the licensed premises/ said
property in any manner what-so-ever. The facility of temporary signage for a limited
period shall be made available by the Licensor (subject to availability and on pre-
intimation by the Licensee). The signage shall be A4 Black and White paper
printout containing the Licensee details.
the Licensed Premises shall be used only for office purposes and not for any
unlawful or immoral purpose
shall not create any nuisance to other members/licensee/occupants of the Said
Property/ Licensed Premises.
shall not engage in any illegal activity in the Licensed Premises or in or around the
said building, including but not limited to drug use or illegal online activities.
shall get the couriers/ dak collected within 30 days of intimation by the licensor.
Where licensor wish to get the couriers/ dak couriered to their address, the cost of
the same shall be paid/ borne before any such delivery is initiated.
this License Agreement is non-transferable in nature. The licensee cannot transfer
or let any third party enjoy the benefits/ entitlements of this Agreement.
hereby covenant, and agree to indemnify, defend and hold harmless the Licensor,
from and against any and all liability, claims. charges, expenses (including counsel
fees}, damages and costs on account of or by reason of any injuries, liabilities,
claims, suits, or losses however occurring or damages growing out of the same,
arising out of Licensee’s use of the Licensed Premises.
understands that the Licensor reserves the right to terminate the service and this
agreement without notice where Licensee's activities are found to be adversely
affecting the Licensor’s reputation or Licensor’s normal operation or where the
Licensee's activities are reported to be fraudulent.
shall make available the presence of authorized representative at the Licensed
Premises where Licensor calls for. There may be need for representation in person
by the Licensor by government department. The Licensee shall be duly informed of
the same by the Licensor, and the Licensee shall make him/her self available at
the Licensed Premises either personally or through its authorized representative.
understand that there may be physical verifications by the government
departments/ private entities/ bankers from time to time, either informed or un-
informed and since this agreement doesn’t entitle any physical allocation/
presence of the licensee at the licensed premises/ said property, there may be
negative remarks/ reports by the said government departments/ private enti
bankers. The Licensee shall manage the same on its own. The licensor shall give

full support to the Licensee to facilitate such physical visit by such entities. In no
manner, the Licensor shall be help responsible for such act by such entities.
COURIERS/ CORRESPONDENCES/ PARCELS/ DAK/ VISITORS FACILITY
The Licensee shall collect couriers/ documents received from the Licensed
Premises in the name of the Licensee.
The collected courier details shall then be intimated to the Licensee at their contact
number / email address as mentioned above. The charges of courier forwarding
shall be borne by the Licensee.
Licensee may request Licensor to send the package/courier/letter to its physical
address. For that, Licensee will have to pay for shipping and handling fees. Licensor
will determine the shipping fees and send an invoice to the Licensee.
The Licensor shall not be responsible of any courier beyond one month of its
receipt.
The Licensor shall have no responsibility/liability of loss of any communication
after one month and it is the Licensee's responsibility to collect the same within
one month, Also, where the communication is lost in transit by the courier partner,
the same shall not be responsibility of the Licensor.
TERMINATION OF SERVICES
Services as stipulated in this Agreement will be automatically terminated on 08-
09-2024.
The Licensee has an option to Renew the Agreement at the renewed terms decided
‘upon at the time of renewal.
Where Licensee doesn't renew the Agreement within 10 days of the expiry of the
Agreement, the entitlements/ services shall be discontinued.
Upon Termination of the account, the Licensee must cease the use of Address
Immediately from all forums inchiding but not limited to ROC, GST, Banking
Records, Business cards, websites, stationary, advertising material, licenses,
certificates etc.
If the Licensee continues to use the Address for Registration with ROC, GST
Authority, Banks etc, Licensor reserves the right to take action against the Licensee
for illegitimate use of Address without permission.
NOTICES
‘That any notice required to be served upon the Licensor or the Licensee shall be
sufficiently served and given if delivered by Registered A.D. Post/courier at the
following addresses: -

‘The Parties may, from time to time by notice in writing to the other Parties, change
their respective address for service or any of the afore-mentioned details in relation
to service of notice.
Where the Registered A.D. Post/ Courier is not able to be serviced due to remarks
such as Incorrect Address, Address not found, person left without intimation, no
such person found, the intimation/ correspondence done via email shall be
sufficient for official communications.

No agency, partnership, joint venture, or employment is created as a result of this
Agreement. Further, there shall be no third-party beneficiaries to this Agreement,
save as expressly provided in accordance thereof.
This License Agreement may be amended, supplemented or modified only by the
mutual consent of the PARTIES expressed in writing and executed in the form of
Addendum to the Agreement.
Any provision of this License Agreement which is invalid or unenforceable shall be
ineffective to the extent of such invalidity or unenforceability, without affecting in
any way the validity, legality and enforceability of the remaining provisions hereof.
Should any provision of such document be or become ineffective for reasons
beyond the control of the Parties, the Parties shall use reasonable endeavours to
agree upon a new provision which shall as nearly as possible have the same
commercial effect as the ineffective provision.
Except as otherwise agreed between the Parties, this License Agreement
constitutes the whole License Agreement between the Parties relating to the subject
matter hereof and supersedes any and all prior understanding, arrangement, letter
of offer, letter of intent, agreements, memorandum of understanding of whatever
nature and by whatever name called, relating to such subject matter.
STAMPING AND REGISTRATION
This License Agreement shall be executed on a stamp paper of requisite value. All
stamping and registration charges shall be borne by the Licensee. The Licensor
shall retain the original of this License Agreement and handover to the Licensee a
photocopy thereof.
The Agreement may be signed either physically or electronically which shall be
binding on each other.
