AGREEMENT TO SELL

This agreement to sell is made and executed at Delhi on this 10 th day of


December, 2022 between MR. SANJAY KUMAR HAK (UID – 4840 5894
9914), (PAN NO. AABPH7070E), S/O LATE SH. SOM NATH HAK R/O
FLAT NO. 50, DESHBANDHU SOCIETY, PLOT NO. 15, I.P. EXTENSION,
PATPARGANJ, DELHI-110092, of the one part, hereinafter called the
SELLER.
AND

(1). MR. ANANT PRAKASH SAHAY S/O JUSTICE LATE SH. GIRIJA
NANDAN PRASAD R/O 24 ANKUR APARTMENT, 7 IP EXTENSION,
PATPARGANJ, DELHI-110096, (UID NO.-8561 7720 4655), (PAN NO.-
AGPPS2903P), AND
(2) MR. AJIT KUMAR S/O SH. ANANT PRAKASH SAHAY R/O R/O 24
ANKUR APARTMENT, 7 IP EXTENSION, PATPARGANJ, DELHI-110096, (UID
NO.-8046 8518 1115), (PAN NO.- AUDPK5762C), of the second part,
hereinafter called the BUYER.

(The expression and words of the “SELLER” and “BUYER” shall mean and
include their legal heirs, successors, nominees, executors, assignee,
administrators and legal representatives respectively).

WHERAS the SELLER aforesaid is the absolute owner of property bearing


FREEHOLD RESIDENTIAL BUILT-UP DUPLEX FLAT BEARING NO. 50, ON
GROUND FLOOR & FIRST FLOOR, COMPRISING OF THREE BEDROOMS,
ONE DRAWING CUM, DINING ROOM, ONE KITCHEN, THREE
TOILETS/BATHROOMS & TWO BALCONIES AND ONE OPEN DEDICATED
CAR PARKING IN THE COMPLEX KNOWN AS DESHBANDHU SOCIETY,
(FOUR STORIED BUILDING), SITUATED IN THE LAYOUT PLAN OF
“DESHBANDHU” CO-OPERATIVE GROUP HOUSING SOCIETY LTD,
KNOWN AS DESHBANDHU SOCIETY, BUILT ON PLOT NO. 15, I.P.
EXTENSION, PATPARGANJ, DELHI-110092, hereinafter referred to as the
‘said property.’

AND WHEREAS the SELLER aforesaid has agreed to sell the said property to
the BUYER for a total sale consideration of Rs.72,00,000/- (Rupees
Seventy Two Lakh only) and the BUYER has also agreed to purchase the
same for this very amount.

NOW THIS AGREEMENT TO SELL WITNESSETH AS UNDER:

1. That the total sale consideration of the said property bearing FREEHOLD
RESIDENTIAL BUILT-UP DUPLEX FLAT BEARING NO. 50, ON GROUND
FLOOR & FIRST FLOOR, COMPRISING OF THREE BEDROOMS, ONE
DRAWING CUM, DINING ROOM, ONE KITCHEN, THREE
TOILETS/BATHROOMS & TWO BALCONIES AND ONE OPEN
DEDICATED CAR PARKING IN THE COMPLEX KNOWN AS
DESHBANDHU SOCIETY, (FOUR STORIED BUILDING), SITUATED IN
THE LAYOUT PLAN OF “DESHBANDHU” CO-OPERATIVE GROUP
HOUSING SOCIETY LTD, KNOWN AS DESHBANDHU SOCIETY, BUILT
ON PLOT NO. 15, I.P. EXTENSION, PATPARGANJ, DELHI-110092 has
been settled at Rs.72,00,000/- (Rupees Seventy Two Lakh only).

2. That the SELLER has received a sum of Rs.10,90,000/- (Rupees Ten


Lakh Ninety Thousand only) of From the BUYER as an advance with
details as under the receipt of which the SELLER hereby acknowledges.

3. The amount of Rs.61,10,000/- (Rupees Sixty One Lakh Ten Thousand


only) shall be paid by the BUYER at the time of execution of Sale Deed in
the office of Sub-Registrar’s office on or before 75 days after deducting the
TDS @1% out of the total sale consideration as per Govt guidelines. The
Vendee shall provide the TDS certificate to the Vendor before/at the time
of execution of sale deed

4. That the SELLER has assured the BUYER that the said property is free
from all sorts of encumbrances such as sale, mortgage, lien, pledge,
dispute, injunction, litigation and decree of any Court of Law, and if
proved otherwise, the SELLER shall be liable and responsible for the same
and BUYER shall have the right to recover the entire amount with cost
and expenses from the movable and immovable properties of the SELLER.

5. That the expenses to be incurred for the execution of Sale Deed towards
stamp duty, registration fees and other legal expenses will be borne by
BUYER

6. That the SELLER shall be liable to pay all outstanding dues and demands
(house tax, electricity, gas, water and maintenance bills) in respect of the
said property up to date of execution of Sale Deed.

7. That this deal has been finalized through MR. SATBIR KASHYAP (NAVYUG
PROPERTIES) and SELLER are agreed to give 1% commission to MR.
SATBIR KASHYAP (NAVYUG PROPERTIES) and the BUYER also agreed to
give 1% commission to MR. SATBIR KASHYAP (NAVYUG PROPERTIES)
separately on the total selling price.

8. That the BUYER shall have the right to get the Sale Deed of the said
property executed in his/her favour or in favour of his/her nominee(s) for
which the SELLER has got no objection.

9. That the SELLER shall handover the vacant and peaceful possession of
said property alongwith all the original documents to the BUYER at the
time of execution of Sale Deed

10. That in case of breach of any clause by the SELLER aforesaid, the BUYER
shall have the right to get the Sale Deed registered through Specific
performance from the Court of Law after depositing the balance amount of
this Agreement to sell.

IN WITNESS WHEREOF, the SELLER and BUYER have got their respective
hands execute this Agreement to sell on the day, month and year first above
written in the presence of the following witnesses:
