INVITATION FOR EXPRESSION OF INTEREST (EOI) FOR THE GTS NODES


EXPANSION AND SAFETY UPGRADE PROJECT FOR NIGERIA LNG LIMITED

(1) INTRODUCTION

Nigeria LNG Limited (NLNG) plant complex located on Bonny Island, Rivers State, Nigeria, consists
of six natural gas liquefaction trains with a total capacity of 22 million tons of Liquefied Natural Gas
(LNG) and five (5) million tons of Natural Gas Liquids (NGL) per annum. To ensure full utilization
and continuous operation of the plant complex, the Gas Transmission System (GTS) comprising GTS
1 -5 pipelines are fully dedicated to providing feed gas to the plant.

The GTS-1 pipeline transports gas from the respective suppliers' fields in Obite, Obiafu and Soku to
Bonny where the LNG plant is located. It is made up of three spurlines and two trunklines with Nodes
junctions at Rumuji and Ubeta.

NLNG owns the land immediately surrounding the Rumuji and Ubeta Node Junctions which act as
Safety Buffer Zones, and intends to upgrade the civil infrastructures around the nodes by construction
and installation of buildings, internal roads, lightings and necessary appertunances.

Consequently, NLNG hereby invites reputable companies with vast experience in civil infrastructure
construction and installation works to submit an Expression of Interest (EOI) for the purpose of pre-
qualification for the project.

Companies that are considered to have met the pre-qualification requirements will subsequently
receive an invitation to Tender for the works.

Interested companies will provide evidence to demonstrate capacity to perform the following
activities/ scope:

· Construction and Execution Management

· HSE Co-ordination and Management

· Community Relations Management

· Quality Assurance and Control

· Contract Management and Project Control

· Follow on Engineering and Design Services

· Procurement Management

· Pre-commissioning and Commissioning.

(3.0) PRE-QUALIFICATION INFORMATION

To qualify for consideration, interested companies are required to respond to this invitation with the
following information/documents for consideration. Failure to submit any of the under-listed
documents may lead to disqualification.

(a) Respondent's confirmation of interest to participate in the pre-qualification exercise for the
GTS Nodes Expansion and Safety Upgrade project.

(b) Certificate of incorporation and all relevant Corporate Affairs Commission (CAC) documents
(forms C02 and C07).
(c) Current/Valid certificates to operate as an Engineering, Procurement, Construction company
and to do business in the Nigerian oil and gas industry as issued by the Nigerian Midstream and
Downstream Petroleum Regulatory Authority (NMDPRA), and Council for the Regulation of
Engineering in Nigeria (COREN)

(d) Health Safety & Environment Policy and Quality Policy.

(e) Company profile, organization, size and structure, including any parent, technical partnership,
alliance or joint venture of companies to whom they belong, together with CV and experience profile
of key management personnel;

(f) Detailed list of experience with evidence to demonstrate capability and experience in
undertaking procurement and construction of civil infrastructures within the last Five (5) years and
equipment/machinery resources available for the work, giving names of clients, locations and cost or
volume of services provided. These details should also indicate experience in the overall experience
of the company in managing partnerships and or subcontractors, specialist contractors and
procurement of Long Lead Items ('LLI') including managing relationships with Original Equipment
Manufacturers ('OEMs')

(g) Details of existing in-country facilities e.g. fabrication yards/workshops for different disciplines
owned/operated by vendor.

(h) Three (3) years accounts audited by a licensed accountancy firm which shall be a member of a
recognised institute of accountancy. Most recent accounts should not have an end of year date more
than 18 months before the time of EOI.

(i) Tax clearance certificate for the last three (3) years. Evidence and documentation supporting
compliance with the Nigerian Oil and Gas Industry Content Development ('NOGICD') Act 2010 See
Section 4: COMPLIANCE WITH NIGERIAN CONTENT (NOGICD ACT 2010).

(4.0) COMPLIANCE WITH NIGERIAN CONTENT (NOGICD ACT 2010)

The NOGICD Act 2010 supports and details expected Nigerian Content deliverables within contracts
and projects in the Nigerian Oil and Gas industry.

NLNG is committed to compliance with the NOGICD Act 2010 for Nigerian Content development.

Interested companies shall comply with the provisions of the NOGICD Act that relate to the
aforementioned scope of works and services and in particular comply with the minimum Nigerian
Content targets for the scope, which are covered in the Schedule of the Act.

Failure to comply with the Nigerian Content Act or to demonstrate commitment to Nigerian Content
Development shall result in disqualification from the process.

(4.1) General Nigerian Content Requirements

Companies responding to this advertisement are required to submit the following in compliance with
the NOGICD Act, 2010:

(a) Develop a Nigerian Content Execution Plan (NCEP) which shall explain the methodology of
how it intends to comply with the requirements of the NOGICD Act 2010 (Nigerian Content Plan)
and how to achieve the set target(s) in the schedule of the NOGICD Act and any targets set by the
Board.
(b) Provide documentation to demonstrate that the entity is a Nigerian-registered company by
submitting certified true copies of CAC forms 2A and 7A (or its equivalent), including company
Memorandum and Article of Association: All companies shall be Nigerian indigenous Service
Companies having 51% and above Nigerian equity in the shareholding and ownership structure of the
tenderer's legally registered entity in Nigeria by CAMA (Companies and Allied Matters Act)

(c) Provide details of the company's corporate organisational structure (management, supervisors,
senior and junior skilled officers, etc.), identifying positions manned or occupied by Nigerian
nationals and other nationalities with evidence of the type of employment. The proposed organogram
for this work scope should include the nationality, qualifications, and years of experience of personnel
on the job (attach CVs of key finance, operational, and technical personnel), including a succession
plan if other nationalities are involved.

(d) A detailed description of the location of the company's facilities and infrastructure (assets,
equipment, technical office, administrative space, storage, etc.) in Nigeria to support this contract,
evidence must be provided that 50% of all equipment deployed to work in Multinational and
international companies are owned by the local subsidiaries.

(e) The tenderer shall provide evidence of a valid Type 1-5 NCEC for Construction and Movable
Equipment (EC) and Procurement and Supplies (PS) categories of NCEC issued by NCDMB to be
able to participate in this service.

(f) Provide a subcontracting plan for the utilisation of only Nigerian companies for all third-party
services, not limited to QAQC inspection and testing, Electrical and Instrumentation, and non-
Destructive Testing/Non-Destructive Examination, Mechanical Laboratory test, freight forwarding,
pre-commissioning, catering and housekeeping services, and consumables etc.

(g) The tenderer shall demonstrate the willingness to carry out Human Capital Development (HCD)
in compliance with the Human Capacity Development Guidelines of NCDMB by providing an
undertaking letter to affirm commitment.

(h) The tenderer shall provide a procurement plan for all consumable goods and services to be
procured at the back of this service, with first consideration given to Nigerian goods and services in
line with the Nigerian Content Plan deliverables.

(i) The tenderer shall provide evidence of registration on the NCDMB NOGIC JQS.

(5.0) COMMENCEMENT AND DURATION

Award of the contract for the project is planned for Q1 2024, for a period of up to three (3) years.

(6.0) SUBMISSION OF RESPONSES

Submissions in response to the above requirements shall strictly be in accordance with the instructions
given in this publication, segregated and arranged in the order indicated.

The expression of interest documents/requirements should be submitted in electronic copy in PDF


format by e-mail to GTSNexpn.safupg@nlng.com with "CONFIDENTIAL - Expression of interest -
"GTS NODES EXPANSION AND SAFETY UPGRADE PROJECT" in the subject line.

The submission must be received by NLNG not later than 6 September, 2023.

(a) This is not an invitation to tender. The full tendering procedure will be provided to applicants
that are successful at this EOI stage, in accordance with NLNG's pre-qualification procedures.

(b) Notwithstanding the Submission of the documents for the expression of interest, NLNG is
neither committed nor obliged to include any company and/or their associated companies, agents or
sub-contractors on any bid list or to award any form of contract to any company and/or its associated
companies, agents or subcontractors.

(c) Please be aware that this invitation to express interest does not guarantee that any company will
be requested to submit an offer to NLNG; it does not constitute any form of agreement or contract
between LNG and company.

(d) NLNG shall not be responsible for any cost incurred in responding to this invitation.

(e) This advertisement for EOI shall not be construed as a commitment by NLNG, nor shall it
entitle respondents to claim any indemnity from NLNG and/or any of its shareholders by virtue of
having responded to this advertisement.

(f) This is a simple invitation for interested companies to express their interest in the indicated
work scopes and does not warrant any further feedback from NLNG hereafter. If you do not hear from
NLNG within three (3) months of submission of a response to this publication/ please assume that
your application was not successful.
