FESTIVAL REPRESENTATION CONTRACT

In Madrid, on [date] 2021.

THIS AGREEMENT is entered into by and between:

[CLIENT'S NAME], acting in his/her own name, of legal age, domiciled

at [ADDRESS] and with CIF [Passport] number [NUMBER].

And,

FRANC PLANAS GUILLOT, acting on behalf of PROMOFEST

DISTRIBUCIÓN SLU, with tax identification number B-85955466,
domiciled at Paseo Marques de afra 35, local La Grada 28028 Madrid and
with Spanish identity card number 46126988-M.

THEY DECLARE

I. That [NAME], hereinafter, the "Grantor", holds all legal rights to

the audiovisual work entitled [NAME OF WORK].

II. That FRANC PLANAS GUILLOT, hereinafter the "Agent", is

interested in obtaining partial transfer of the rights that the
Grantor holds, therefore the parties agree on entering into the
contract hereto, as established in the following

CLAUSES

First.- [NAME], grants (non-exclusively) to FRANC PLANAS

GUILLOT, who accepts, the international rights to
promote, distribute and represent the work cited above in
exhibit I at festivals.

"Festival" is defined as any type of competition, contest,

week, market and, in general, all similar types of
celebrations that are intended to promote and diffuse
audiovisual works, either films or videos. The grantor
compromises to avoid online festivals.
Second.- The Agent accepts the transfer, and hereby undertakes to
carry out the distribution of the work at festivals. The
Grantor hereby expresses that the right to transfer, as
well as the material to be promoted, are free of liens,
encumbrances, and withholdings. The Agent may exploit
the rights that have been transferred to him in any
promotional way that he deem necessary anywhere in the
world. The transfer includes that Grantor authorizes the
Agent to circulate fragments (never exceeding 10% of the
total duration of short-films or 3 minutes for full-length
films), documents and photographs of the work in
Internet or in the Agent's promotional material.

Third.- The transfer of rights is granted until the 50 tickets run

out, starting on the date of the signing of the present
contract.

Fourth.- The Agent will not receive any commission for any net
income that the work receives as a result of the
promotion of the transferred rights of the work at
festivals.

Fifth.- The Grantor will hand over to the Agent the following
material for the promotion of the work: digital file of the
film, fact sheet and abstract, photos of the work,
biography, filmography, a scanned copy of the Grantor's
identity card or passport, Photograph of the Director,
Declaration of Intentions, Press Kit, List of Dialog list,
Trailer, Making of, Sound-track and any other material
that could be used for promotional purposes.

Sixth.- The Agent hereby undertakes to send the work in a

discretional manner to all the appropriate festivals,
allowing the Grantor the right to be able to decide if
he/she would like to send his/her work to all possible
festivals, or to choose certain types of festivals that
he/she deems suitable.

Seventh.- The Agent will provide the Grantor with a user name and
password so that he/she may access in real time and
online all the administrative procedures that have been
carried out up to the moment, as well as the account
statements.

Eighth.- The agent hereby undertakes to promote the work in its

continuity and its original duration, and under no
circumstances may he cut, insert of modify the work in
any way, except with the express authorization of the
 Grantor. If any cuts, insertions or modifications are done
while the work is being exhibited at a festival, the Agent
will never be held responsible, and the responsible party
will be the Organizing Committee of said festival.

Ninth.- The Grantor hereby undertakes to never hold the Agent

liable for any claim made by third parties as a result of
the transferred rights. In the event that any claim is
made, including any extrajudicial claims, the Grantor will
be informed prior to any action being taken by the Agent.
Any expenses that are incurred by the Agent, even in the
event that his involvement were elective, including legal
costs, shall be paid in their entirety by the Grantor, in the
event that the courts judge against him.

Tenth.- The present contract includes and encompasses all the

agreements made between the parties, and may not be
altered or changed in anyway, except by means of a new
document signed by both parties.

Eleventh.- If any party reneges on the terms, conditions or

guarantees, or breaches the duties or obligations reflected
herein, or if any breach is not able to be repaired, or in
the event that the attempt to repair the breach fails
within twenty-one (21) days as from the date of notifying
the breach, the other party will automatically terminate
the present contract and will notify the other party in
writing via a letter sent by registered mail. In the event
that the Grantor decides to terminate the present
contract, the Grantor will grant the Agent a period of four
(4) months as from the date of termination, in order for
the Agent to finalize any negotiations, contracts or
agreements that the Agent may have begun prior to the
termination notification.

Both parties hereby grant and sign the present contract, after having
read the entire document, and both parties hereby declare to
understand and agree on the clauses contained herein.
