CONSULTING AGREEMENT

This Consulting Agreement (the “Agreement” or “Consulting Agreement”) states the terms and
conditions that govern the contractual agreement between [NAME] (“CONSULTANT”), with
address at [ADDRESS] and [COMPANY NAME], with business address at [ADDRESS]
represented herein by its Managing Director, [NAME] (“CLIENT”), who agrees to be bound by
this Agreement.

WHEREAS, the Consultant offers consulting services in the field of Property Management.

WHEREAS, the Client desires to retain the services of the Consultant to render consulting
services regarding Property Management according to the terms and conditions herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises made by the
parties hereto, the Consultant and the Client covenant and agree as follows:

1. Term

This Agreement shall be for 40 hours per week and for six (6) months and shall commence on
November 4, 2019. This may be extended upon the mutual agreement between the Consultant
and the Client.

The Client may terminate this Agreement for any reason upon fourteen (14) days prior written
notice to the Consultant.

The Consultant may terminate this Agreement upon one month prior written notice to the Client.

2. Consulting Services

The Consultant agrees that it shall provide its expertise to the Client for all things pertaining to
Property Management.

The Consultant shall be present at the Client’s place of business, Mondays to Thursdays, with the
option to work remotely on Fridays under the condition that the Consultant may be called upon
to render services if needed on the said day, including Saturdays and Sundays.

3. Compensation

In consideration for the Consulting Services, the Client shall pay the Consultant a consultancy
fee of Eighty Thousand Philippine Pesos (P80, 000.00) per month, net of all applicable taxes and
shall be paid to the Consultant on or before the 30th of the month.

4. Confidentiality/Non-Disclosure of Confidential Information

The Consultant shall not disclose to any third party (i) any details regarding the Client’s
business, including any information regarding any of the Client’s customer information, emails,
online files, documents, business plans, assets, or price points, (ii) make copies of any
confidential information or any proprietary business data, or (iii) use confidential information
other than solely for the benefit of the Client.

Unauthorized disclosure of any confidential information shall entitle the Client to claim damages
for a minimum amount of Five Hundred Thousand Philippine Pesos (P500,000).
5. Noncompetition

During the term of this Agreement, the Consultant shall not engage, directly or indirectly, as an
employee, officer, manager, partner, manager, consultant, agent, owner or in any other capacity,
in any competition with the Client or any of its subsidiaries, including any company engaged in
Architectural Design and Fitness Center.

6. Non-solicitation of Customers

During the term of this Agreement and for twelve months thereafter, the Consultant will not,
directly or indirectly, solicit or attempt to solicit any business from any of the Company’s clients,
prospects, employees or contractors.

7. Non-solicitation of Employees

During the term of this Agreement and twelve months thereafter, the Consultant will not, directly
or indirectly, recruit, solicit, or induce, or attempt to recruit, solicit, or induce, any of the
Company’s employees, or contractors for work at another company.

IN WITNESS WHEREOF, each of the Parties has executed this Consulting Agreement, both
Parties by its duly authorized officer, as of the day and year set forth below.
