What are the needed things to do for GMI to be accredited by SEC:

I.
AMENDMENT IN THE
“CERTIFICATE OF AMENDED
ARTICLES OF INCORPORATION” –
To State that FO GUANG SHAN
FOUNDATION INC., doing business II.
under the name and style of FO Once FGS amends the
GUANG SHAN, GUANG MING certificate, GMI can start
COLLEGE AND GUANG MING processing the other needed
INSTITUTE OF PERFORMING ARTS. requirements for SEC.

III.
After GMI applies for SEC and
is then duly accredited, GMI
can start processing the
accreditation for DepEd,
TESDA, Philhealth, Pag-ibig,
SSS, and other mandatory
government papers, and etc.,

For Guang Ming Institute to be accredited by Securities and Exchange Commission, the said
institution must go through these processes:

Request for Amendment to FGS foundation;

CERTIFICATE OF FILING OF AMENDED ARTICLES OF INCORPORATION

Recent:
“FO GUANG SHAN FOUNDATION INC., doing business under the name and style
of FO GUANG SHAN and GUANG MING COLLEGE.”

To Amend it to:
“FO GUANG SHAN FOUNDATION INC., doing business under the name and style
of FO GUANG SHAN, GUANG MING COLLEGE and GUANG MING INSTITUTE OF
PERFORMING ARTS.”

To Amend the certificate of articles of Incorporation below are the official requirements as per
SEC.

Latest Monitoring
1. Amended articles of Incorporation
a. Reproduce all the provision in the original, or latest approved amended articles of
incorporation, EXCEPT for the provisions you wish to change;
b. Underscore the changes and indicate in parenthesis, the date when the amendment
was approved by the affirmative vote of at least two-thirds of the members, thus (As
amended on ____________________)
 c. Do not sign, put (SGD) before the names of the original signatories.
2. Trustees’ Certificate (See Attached Sample Copy)
3. Secretary’s Certificate (All copies should have original signatories See Attached Sample Copy)
4. Coversheet (See Attached Sample Copy)
5. RESERVATION NOTICE and AFFIDAVIT UNDERTAKING TO CHANGE NAME, if
the corporate name is being amended. Application must be filed at least ten (10) more
days of reserved period.
6. PROOF OF COMPLIANCE of reportorial requirements (go to the records section and
request for monitoring; to request for monitoring, present latest GIS & FS already
stamped received by SEC).
7. Filing Fee: Php1030.00

Guang Ming Institute of Performing Arts will be launched this April 2019 and will open by June 2019 as operating
school under Fo Guang Shan Foundation Inc. In line with this, we are writing this letter to humbly ask you to help
us operate legally by allowing us to be one of your trade name in the Securities and Exchange Commission.

This process involves adding Guang Ming Institute of Performing Arts under Fo Guang Shan’s tradename in the
certificate of filing of amended articles of incorporation. Thus, making the name, “FO GUANG SHAN
FOUNDATION INC. doing business under the name and style of FO GUANG SHAN, GUANG MING
COLLEGE and GUANG MING INSTITUTE OF PERFORMING ARTS” we are hoping that you will help us in
this endeavor.
