MEMORANDUM OF AGREEMENT

KNOWN ALL BY THESE PRESENT:

These Memorandum of Agreement made and executed, by and between:

Universidad de Manila, a local university established and funded by the City


Government of Manila, located at One Mehan Gardens, Ermita, Manila, represented
herein by Dr. ELENA R. CERNIAS - Dean, College of Business Administration,
hereinafter referred to as the UNIVERSITY.

And

_UNISHIP INCORPORATED__a domestic corporation duly organized and existing


under Philippine Laws with office Business address at _ECJ Building Arzobispo St,
Intramuros, Manila, 1002 Metro Manila__ represented herein by _Ms. Neri
Villenas_ hereinafter referred to as the COMPANY.

Witnessed:

The parties hereby bind themselves to undertake a Memorandum of Agreement for the
purpose of supporting the University’s on-the-job training for student-trainees under the
following terms and conditions:

1. The University shall conduct the necessary briefing or orientation for qualified
student-trainees who will participate or undergo online practicum with the
COMPANY as part of the UNIVERSITY’S curriculum;

2. The orientation to be conducted by the UNIVERSITY shall include work


values, behavior, and discipline, and shall be mandatory before the student-
trainee is allowed to assume an on-the-job in order to ensure smooth
cooperation with the COMPANY;

3. The UNIVERSITY shall issue an official endorsement letter for the well-being
of the student-trainee which shall be used by the COMPANY for processing
the application of the on-site practicum;

4. The UNIVERSITY shall voluntarily withdraw a student-trainee who is found to


misbehave and/or act in defiance to existing standards, rules, and
regulations of the COMPANY and impose necessary University sanctions to
the said student-trainee;
5. The COMPANY may or may not grant allowance and/or adequate insurance
to student-trainee in accordance to the COMPANY’S existing rules and
regulations;

6. The COMPANY upon consultation with the UNIVERSITY, may require


qualified students to take written examinations, interviews, and submit
pertinent documents to support their applications;

7. The COMPANY may or may not oblige to employ the student-trainee upon
completion of the training;
8. Student-trainees shall be personally responsible for any and all liabilities
arising from negligence in the performance of his/her duties and functions
while under training;

9. There is no employer-employee relationship between the COMPANY and


student-trainees – including with the UNIVERSITY.

10. The duration of program shall be equivalent to _500_ working hours unless
otherwise agreed upon by the COMPANY and the UNIVERSITY;

11. Any violation of the foregoing covenants will warrant the cancellation of this
Memorandum of Agreement by the COMPANY within thirty (30) days upon
notice of the UNIVERSITY.

12. The COMPANY do have the right to require and/or remind student-trainees
to adhere to the standards and/or requirements for on-the-job training thru
the designated Coordinator of the UNIVERSITY and thru the designated OJT
Program Lead Person of the COMPANY.

13. The COMPANY can require the student-trainees to follow health and safety
protocols/measures during on-site OJT hours within COMPANY
premises/areas/locations.

14. The COMPANY may pre-terminate or cancel this Memorandum of


Agreement based on operational requirements, Company directions, and
health and safety reasons/measures – but notice will be made within thirty
(30) days prior to effectivity.
