Tata Consultancy Services is an IT services, consulting and business solutions organization

that has been partnering with many of the world’s largest businesses in their transformation

journeys for over 55 years (TCS, 2023).

Its consulting-led, cognitive powered, portfolio of business, technology and engineering

services and solutions is delivered through its unique Location Independent Agile delivery

model, recognized as a benchmark of excellence in software development (TCS, 2023).

A part of the Tata group, India’s largest multinational business group, TCS has over 614,000

TRAINING AND DEVELOPMENT

ONBOARDING AT TCS

[1.] A Joining Confirmation Email and maybe a Joining Preparedness Email start the process. To

advance, trainees must accept Next Step Portal offers. Open onboarding and FAQs (G, 2023).

[2.] Letter of Employment Acceptance: Specifies work or base location and training facility (G,

2023).

[3.] HR emails a 2-3-hour onboarding guide explains the method through complete email

correspondence and PDF files (G, 2023).

[4.] Onboarding documents and affidavits: Trainees must complete Provident Fund, Gratuity,

Superannuation (for eligible employees), Declaration Form, and Group Life Insurance to

comply with the law Ninja cadre trainees and academic in-actives may need affidavits (G,

2023).

[5.] BGC requires academic transcripts, IDs, birth certificates, and other important documents.

Each of the three document collections needs distinct documentation (G, 2023).

[6.] Trainees must have relevant team verify uploaded papers. Document re-uploads and third-

party background checks may be needed after failed verifications (G, 2023).

LEARNING AND DEVELOPMENT

[1.] TNA

TCS frequently assesses staff learning needs through training and need assessment (TNA). It

uses business goals, projects, and strategic directions to create learning needs questions for

firm personnel. To determine what corporate personnel need to learn to achieve company

goals, such assessment must be methodical (Dave, 2021).

[2.] PROGRAMME DESIGN FOR TRAINING

Open ignite: - Through its ignite programme, TCS, India's largest science graduate recruiter,

recruits about 100000 science graduates from over 6000 colleges in 700 locations. A state-of-

the-art 6-month study curriculum employing technology tools is offered to selected

individuals through an open learning platform. (myinmail, 2015).

TCS Initial Learning Program: - TCS's ILP educates new hires. Students from various fields

can use the ILP to enter software careers and TCS culture. The TCS Thiruvananthapuram ILP

encourages learning and teamwork. Business-ready ILP. Many technologies teach project

management, delivery, and business/life skills. Students must record daily learning activities

for periodic evaluation. Training needs initiative. Academic help is given to behinders.

Thiruvananthapuram's CLC increased ILP. Hyderabad, Chennai, Guwahati, Kolkata, China,

US, SA. (myinmail, 2015).

Aspire: -TCS has created Aspire, an e-learning package for new hires. The course covers

computer basics, programming, problem-solving, and databases in four modules. A soft skills

curriculum is also available for IT professionals. In fiscal 2013, 35,000 new TCS recruiters

used the training to improve their skills. Students in their last semester of the Undergraduate

Programme in Engineering can access the modules. Since the module is e-learning, students

can work at their own pace. (myinmail, 2015).

Building Enterprise Architects: - To train Enterprise Architects, TCS L&D and Technology

Excellence Group produced EA Star. The training addresses project assignments' growing

need for Enterprise Architects and TOGAF-certified personnel. The effort has helped over

700 people progress professionally, producing jobs and a strong TCS architect community

(CHAUHAN, 2019).

[3.] SELF LEARNING/ COMPETENCY MANAGEMENT TOOLS

iCALMS: - Competency Management platform iCALMS integrates skills and workforce at a

precise time. It bridges the gap between colleagues' existing ability and expected competency.

Then, learning modules tailored to the organization's needs and goals address these issues.

TCS V. EPIC SYSTEMS LAWSUIT

DISPUTE

[1.] DISPUTE

Parties involved: -

Epic Systems: - A renowned US electronic-health-record software company, consolidates

patient data like scheduling and billing data into a central repository to improve patient care.

Epic supplies several major US hospitals with software. Customers buy Epic licences for

software modules to match their needs. The end-user can then customise the software to

ensure maximum operation within the company (EPIC SYSTEMS CORP v. TATA

CONSULTANCY SERVICES LTD TCS , 2020).

TCS: - TCS offers IT services like software testing and consulting (EPIC SYSTEMS CORP

v. TATA CONSULTANCY SERVICES LTD TCS , 2020).

Kaiser Permanente: - The largest US healthcare organisation (EPIC SYSTEMS CORP v.

TATA CONSULTANCY SERVICES LTD TCS , 2020).

Background: -

Kaiser Permanente, the largest US healthcare organisation, licenced KP HealthConnect from

Epic in 2003. Kaiser-specific Epic EHR. Kaiser's size makes KP HealthConnect installation

problematic. Thus, system evaluation and refinement after upgrades is complicated and time-

consuming. (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS ,

2020).

Epic's complicated health-record system requires continuous updates and testing. Epic offers

"UserWeb." to ease this. UserWeb provides administrative tips, training, and programme

updates. It also maintains an online community where Epic clients may discuss crucial

information (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS ,

2020).

UserWeb includes confidential Epic health-record software data and other tools. Epic limits

UserWeb access to safeguard data. Epic clients must keep this information confidential and

grant "need-to-know" access (EPIC SYSTEMS CORP v. TATA CONSULTANCY

SERVICES LTD TCS , 2020).

Epic restricts UserWeb access to credentialed users for privacy. Users must prove client or

consultant status for credentials. Epic licensees get full module features and documentation.

Client-hired Epic implementation and evaluation consultants cannot utilise the discussion

forum or training resources (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES

LTD TCS , 2020).

Kaiser recruited TCS as a consultant in 2011 to fix their functioning issues. TCS’s developed

Med Mantra, an electronic-health-record programme, largely in India (EPIC SYSTEMS

CORP v. TATA CONSULTANCY SERVICES LTD TCS , 2020).

This conflict of interest concerns Epic about TCS's Kaiser relationship. However, Kaiser

tested KP HealthConnect with TCS. Kaiser gave TCS Epic confidentiality guidelines for

Kaiser's account (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS ,

2020).

TCS had to provide all KP HealthConnect services at Kaiser Offices in the U.S. or permitted

offshore centres using segregated workstations and firewalls to restricted internet and internal

network access (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS ,

2020).

However, with such rigorous constraints, personnel raised concerns about reduced efficiency

and requested Kaiser for full access to the “user web”. However, epic system refused Kaiser

access (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS , 2020).

TCS used Ramesh Gajaram to get full UserWeb access, dissatisfied with the restriction. TCS

hired Gajaram for Kaiser Chennai offshore development. Kaiser tested KP HealthConnect

with Gajaram's firm before TCS. Gajaram acquired full UserWeb access by falsifying his

Kaiser employment to Epic. (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES

LTD TCS , 2020).

Gajaram alerted TCS boss Mukesh Kumar that he still had UserWeb access. Gajaram visited

UserWeb at Kumar's request. Chennai offshore development centre colleagues received

Gajaram's login credentials. A few years later, Gajaram moved to TCS's Portland branch and

shared his UserWeb login (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES

LTD TCS , 2020).

Gajaram offered multiple TCS workers unauthorised UserWeb access. Through UserWeb,

TCS employees downloaded 6,000 articles comprising 150,000 pages thousands of times

from 2012 to 2014. These documents held Epic's trade secrets. Kaiser doesn't licence Epic's

medical-laboratory module, which TCS employees downloaded. (EPIC SYSTEMS CORP v.

TATA CONSULTANCY SERVICES LTD TCS , 2020).

Philip Guionnet, , detected this unlawful access to Med Mantra software sessions in early

2014. Kaiser management saw Med Mantra during the first meeting. He had watched Med

Mantra several times and thought it had improved. Guionnet was “astonished” (EPIC

SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS , 2020).

After the talk, Guionnet suspected “some of the information from Kaiser had been used to

improve Med Mantra.” Gionnet met Med Mantra's engineers. TCS sent Guionnet a

spreadsheet comparing Med Mantra to Epic's EHR during his visit. The spreadsheet has both

products' features. Guionnet said this spreadsheet showed Kaiser's Epic plan underlay Med

Mantra. Guionnet wanted spreadsheets. A quick “comparative analysis.” (EPIC SYSTEMS

CORP v. TATA CONSULTANCY SERVICES LTD TCS , 2020)

For US Med Mantra promotion, TCS's comparison study is used. TCS wanted to solve Epic's

"key gaps" before selling Med Mantra to Kaiser. TCS Med Mantra consultant compared

Epic's software. Epic "Subject Matter Experts" and this employee created the Guionnet

comparison. (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS ,

2020)

An 11-page spreadsheet compares Med Mantra with Epic. The first page provides 33 modules

and mentions if Med Mantra and Epic share them. Next 10 pages describe Med Mantra's

qualities and whether Epic has them. Multiple TCS employees verified this comparative

analysis used private data. (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES

LTD TCS , 2020)

In June 2014, Guionnet alerted TCS, Kaiser, and Epic of his concerns after attending these

meetings and reviewing the comparative studies. Epic and Kaiser quickly investigated

Guionnet's claims and confirmed TCS employees had accessed UserWeb without

authorization. investigators found many TCS employees lying about UserWeb access (EPIC

SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS , 2020).

Epic sued TCS a few months later for fraudulently taking Epic's trade secrets and other

sensitive data (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS ,

2020).

[2.] DISPUTE MANIFESTATION

Lost lawsuit: -

Epic discovered that TCS had lost relevant evidence after a heated year-and-a-half of

discovery. After TCS failed discovery, the district court gave the jury an adverse-inference

instruction (EPIC SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS ,

2020):

If Epic has proven TCS by a preponderance of evidence that (1) intentionally destroyed

evidence and (2) caused it to be destroyed in bad faith, then you may assume that this

evidence was harmful to TCS (EPIC SYSTEMS CORP v. TATA CONSULTANCY

SERVICES LTD TCS , 2020).

The jury ordered $940 million -- $140 million for comparative analysis, $100 million for

"other" unreported sensitive material, and $700 million for punitive damages. TCS cannot

use, hold, or maintain Epic's private knowledge or sensitive data, per the district court. (EPIC

SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS , 2020).

Warning issued from SEBI: -

Tata Consultancy Services Ltd. (TCS), a Mumbai-based global IT services provider, received

a cautionary notice from SEBI for failing to disclose damages connected to the 2016 Epic

Systems case to investors (Zachariah, 2020).

Tata Consultancy Services (TCS) received a letter from SEBI over investor disclosures,

which the company posted on stock exchanges. The disclosures relate to Epic Systems' US

court case against TCS (Zachariah, 2020).

In April 2016, TCS informed the exchanges that the jury's liability and damages judgements

were surprising because TCS believes they are unsupported by the trial evidence. The Jury's

verdict is unlikely to affect TCSQ4 and FY16 financial results, which will be released on

Monday, April 18, 2016 (Zachariah, 2020).

This violates the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015.

These requirements require listed corporations to provide investors with sufficient, precise,

clear, timely, and unambiguous disclosures (Zachariah, 2020).

The regulatory authority warned that material information disclosure in future cases must be

sufficient, explicit, unambiguous, and timely. SEBI stressed the need for extensive due

diligence to prevent future incidents (Zachariah, 2020).

$125 Million loss in Q3 2023: -

IT giant Tata Consultancy Services (TCS) announced on November 21 that it will include

$125 million as a ‘exceptional item’ in its third-quarter results for Epic Systems' trade secret

litigation (Shinde, 2023).

[3.] DISPUTE RESOLUTION

Adjudication/Appeal: -

Epic fined TCS $940 million in 2016 for Med Mantra trade secrets infringement.

TCS's comparison research, which included Epic's data, found the Wisconsin court upheld

the jury's responsibility decision and $140 million compensatory damages. Wisconsin law

capped Epic's $100 million compensatory award for “other uses” of sensitive information and

cut punitive fines to $280 million. (EPIC SYSTEMS CORP v. TATA CONSULTANCY

SERVICES LTD TCS , 2020).

Companies appealed to the Chicago-based 7th Circuit it upheld $140 million in

compensatory damages and $280 million in punitive fines against TCS in 2020. Punitive

damages of $280 million were “constitutionally excessive” by the trial court. (EPIC

SYSTEMS CORP v. TATA CONSULTANCY SERVICES LTD TCS , 2020).

The US District Court for Western District of Wisconsin lowered the TCS v. Epic Systems

decision to 140 million dollars in 2021 (Livemint, 2022).

GREVIENCE REDRESSAL

Tata Consultancy Services (TCS) has implemented a robust procedure for addressing

grievances.

1. TCS handles employee and value chain partner concerns with a clear policy. In 2022-23,

the company received 735 employee complaints, 11 of which were unresolved. The client

contracts specify value chain partner grievance escalation methods, which follow TCS's

Quality Policy. (TCS, 2021-2022).

2. Office of the Company Secretary: - Grievances may be effectively conveyed to the Office

of the Company Secretary via a prominently advertised communication channel. This process

guarantees the systematic monitoring and documentation of all grievances until their

successful resolution (TCS, 2021-2022).

3. The Stakeholders' Relationship Committee is responsible for complaint resolution,

ensuring that every issue receives appropriate attention and resolution (TCS, 2021-2022).

4. Board Oversight and Ethics Compliance: The non-executive Board Chairman differentiates

from the CEO and Managing Director. Ethics and conflict reduction are promoted by this

structure. personnel, including executive directors, cannot run another company without

written consent. The goal is to reduce conflicts of interest and grievances (TCS, 2021-2022).

5. The company TCS has a strong reputation for upholding principles, trust, and integrity

over the course of the last fifty years. This commitment is evident in grievances redressal

(TCS, 2021-2022).

This method exemplifies TCS's dedication to sustaining a transparent and accountable

framework for handling grievances, while prioritising integrity. It efficiently addresses the

concerns of employees and partners (TCS, 2021-2022).

CONCLUSION

TCS manages complicated technologies and customises IT solutions for global clients. After

55 years, TCS is a major consultancy and business solutions company. Cognitive services and

location-independent agile delivery stand out.

Training and development are TCS's strengths. TCS's rigorous onboarding and plethora of

training programs generated talent. The data show staff growth. Personnel development

ensures technical leadership.

The Epic Systems case illustrates TCS's issues. This incident stressed business ethics and

compliance. Through grievances, TCS resolved this ethically. These projects exhibit company

honesty, trust, and endurance.
