QUESTION 1 IS COMPULSORY, WRITE ANY FOUR OUT OF REST FIVE
Question 1
(i) Mr. S aged 58 years was employed in a Government Department. He was going to retire after two years. Mr.
D made a proposal to Mr. S to apply for voluntary retirement from his post so that Mr. D can be appointed in
his place. Mr. D offered a sum of `10 Lakhs as consideration to Mr. S in order to induce him to retire. Mr. S
refused at first instance but when he evaluated the amount offered as consideration is just double of his
cumulative remuneration to be received during the tenure of two years of employment, he agreed to receive the
consideration and accepted the above agreement to receive money to retire from his office.
Whether the above agreement is valid? Explain with reference to provision of Indian Contract Act, 1872.

(ii) Mr. Mohan had purchased some goods from Sunflower Limited on credit. A credit period of one month was
allowed to Mr. Mohan. Before the due date, Mr. Mohan went to the company and wanted to repay the amount
due from him. He found only Mr. Ramesh there, who was the factory supervisor of the company. Mr. Ramesh
told Mr. Mohan that the Accountant and the cashier are on leave, he is in-charge of receiving money and he
may pay the amount to him. Mr. Ramesh issued a money receipt under his signature. After two months,
Sunflower limited issued a notice to Mr. Mohan for non-payment of the dues within the stipulated period. Mr.
Mohan informed the company that he had already cleared the dues and he is no more responsible for the same.
He also contended that Mr. Ramesh is an employee of the company whom he had made the payment and being
an outsider, he trusted the words of Mr. Ramesh as duty distribution is a job of the internal management of the
company. Analyse the situation and decide whether Mr. Mohan is free from his liability.

(iii) Rachit arranges an auction to sale an antic wall clock. Megha, being one of the bidders, gives highest bid.
For announcing the completion of sale, the auctioneer fall the hammer on table but suddenly hammer brakes
and damages the watch. Megha wants to avoid the contract. Can she do so under the provisions of the Sale of
Goods Act, 1930? 11. X contracted to sell his car to Y. They did not discuss the price of the car at all. X later
refused to sell his car to Y on the ground that the agreement was void being uncertain about price. Can Y
demand the car under the Sale of Goods Act, 1930?

(i) Discuss the circumstances where Agreement or object shall be regarded as legal as per the provisions
of Indian Contract Act, 1872. (7 Marks)
(ii) “LLP is an alternative corporate business form that gives the benefits of limited liability of a
company and the flexibility of a partnership”. Explain. (5 Marks)
Question 3
(i) Discuss the circumstances where a firm can be dissolved by the order of cou rt under the provisions
of Indian Partnership Act, 1932. (7 Marks)
(ii) Mr. X a businessman has been fighting a long drawn litigation with Mr. Y an industrialist. To support
his legal campaign he enlists the services of Mr. C a Judicial officer stating that the amount of ₹ 10
lakhs would be paid to him if he does not take up the brief of Mr. Y. Mr. C agrees but, at the end of
the litigation Mr. X refuses to pay to Mr. C Decide whether Mr. C can recover the amount promised
by Mr. X under the provisions of the Indian Contract Act, 1872? (5 Marks)
Question 4
(i) Differentiate between Sale and Agreement to Sell. (6 Marks)
(ii) M, N and P were partners in a firm. The firm ordered JR Limited to supply the furniture. P dies, and
M and N continues the business in the firm’s name. the firm did not give any notice about P’s death
to the public or the persons dealing with the firm. The furniture was delivered to the firm after P’s
death, fact about his death was known to them at the time of delivery. Afterwards the firm became
insolvent and failed to pay the price of furniture to JR Limited. Explain with reasons:
(i) Whether P’s private estate is liable for the price of furniture purchased by the firm?
(ii) Whether does it make any difference if JR Limited supplied the furniture to the firm believing
that all the three partners are alive? (6 Marks)
Question 5
(i) Mr. T was a retail trader of fans of various kinds. Mr. M came to his shop and asked for an exhaust
fan for kitchen. Mr. T showed him different brands and Mr. M approved of a particular brand and
paid for it. Fan was delivered at Mr. M's house; at the time of opening the packet he found that it was
a table fan. He informed Mr. T about the delivery of the wrong fan. Mr. T refused to exchange the
same, saying that the contract was complete after the delivery of the fan and payment of price.
(i) Discuss whether Mr. T is right in refusing to exchange as per provisions of Sale of Goods Act,
1930?
(ii) What is the remedy available to Mr. M? (6 Marks)

(ii) Mr. Dhruv was appointed as an employee in Sunmoon Timber Private Limited on the condition that
if he was to leave his employment, he will not solicit customers of the company. After some time, he
was fired from company. He set up his own business under proprietorship and undercut Sunmoon
Timber Private Limited’s prices. On the legal advice from his legal consultant and to refrain from the
provisions of breach of contract, he formed a new company under the name Seven Stars Timbers
Private Limited. In this company, his wife and a friend of Mr. Dhruv were the sole shareholders and
directors. They took over Dhruv’s business and continued it. Sunmoon Timber Private Limited files
a suit against Seven Stars Timbers Private Limited for violation of contract. Seven Stars Timbers
Private Limited argued that the contract was entered between Mr. Dhruv and Sunmoon Timber
Private Limited and as company has separate legal entity, Seven Stars Timbers Private Limited has
not violated the terms of agreement. Explain with reasons, whether separate legal entity between Mr.
Dhruv and Seven Stars Timbers Private Limited will be disregarded? (6 Marks)
Question 6
(i) Differentiate between Coercion and Undue influence. (4 Marks)
(ii) Differentiate between Dissolution of Firm and Dissolution of Partnership. (4 Marks)
(iii) SK Infrastructure Limited has a paid up share capital divided into 6,00,000 equity shares of ` 100
each. 2,00,000 equity shares of the company are held by Central Government and 1,20,000 equity
shares are held by Government of Maharashtra. Explain with reference to relevant provisions of the
Companies Act, 2013, whether SK Infrastructure Limited can be treated as Government Company.

Once upon a time, a businessman named Ray Kroc discovered a restaurant owned by two brothers. The restaurant served just four
things: hamburgers, French Fries, milk shakes and coca cola. But it was clean and inexpensive, and the service was quick. Mr. Kroc liked it
so much that he paid the brother so that he could use their idea and their name: Mc Donald’s.

Beef, big business and fast service were the ingredients when Mr. Kroc opened his first McDonald’s in 1955. Four years later, there were
100 of them. Kroc knew Americans liked success. So he put signs saying how many millions of McDonald’s hamburgers people had bought. In
just four years, the number was one hundred million. Now there are more than 13,000 McDonald’s restaurants from Dallas to Paris and
from Moscow to Beijing.

Anyone who wants to open a McDonald’s must first work in one for a week. Then, they do a nine month training programmed, in t he
restaurants and at “McDonald’s University” in Chicago. There they learn the McDonald’s philosophy: quality control, service, cleanliness
and cheap prices. McDonald’s has strict rules, Hamburgers must be served before they are ten minutes old, and French fries, seven.

McDonald’s has never stopped looking for new methods to attract customers, from drive-in windows to birthday parties. Chicken, fish,
salad and, in some places, pizza are now on the menu. McDonald’s in Holland even sells a vegetarian burger. Their international popularity
shows they have found the recipe for success.

Friday the 13th is considered a day in which bad things occur. It is a superstition. A superstition is a belief of
something ominous without actual reason. The origin of this superstition is unclear. Both Friday and the number 13
have been considered unlucky for hundreds of years. Bad luck associated with the number 13 may have biblical
roots. Some believe Eve bit the apple from the Tree of Knowledge on the 13th day. Others point to the idea that
there were 13 people present for Jesus’s Last Supper, the day before Good Friday. The number 13 was considered so
unlucky, that many hotels and buildings were built without a 13th floor! It wasn’t until the 20th century, however,
that Friday and “13” were paired together in bad luck. In 1907, author Thomas Lawson wrote Friday, the Thirteenth.
The book was about a stock broker who purposely caused the stock market to crash on that day.
The Friday the 13th superstition, however, gained serious traction with the Friday the 13th horror film series.
Originally released in 1980, the story centers around the “ghost” of Jason Voorhees. In the movie, Jason, with his
iconic hockey mask, hunts the hapless characters who come to vacation at Crystal Lake – the lake he drowned in as a
child. Twelve movies later, the Friday the 13th series remains one of the most successful horror film franchises in
history.
Is Friday the 13th actually unlucky compared to other days? Not really. There is no actual evidence to suggest that
events that have occurred on Friday the 13th throughout history are worse than events that have occurred on other
days. Some studies have shown that Friday the 13th is actually safer than other days, because people are more
anxious and attentive. People may actually find Friday the 13th to be lucky. It is thought that air travel is cheaper and
booking a wedding is much cheaper on Friday the 13th than other days. It is clear, however, that Friday the 13th will
be around for a long time. Over the next 4,800 months, the 13th will occur on Friday more than any other day!

India's role on the international stage was moulded by history rather than by the pomp and circumstances of
war. As a separate entity of the British Empire, India became a founder member of the League of Nations in
the same Way as Australia and Canada, and thus acquired a somewhat unique international status long
before independence. During the days of the League when India's interests were affected, such as in matters
of trade or the position of Indians overseas, the Indian delegation did not hesitate to make known its
independent position, for what it was worth. Some Indian delegates were in demand for chairing meetings
riddled with contention and controversy, because of their reputation for impartiality and talent for
mediation.

These were the small beginnings of India's later entry into the United Nations in 1945, again as a founder
member before independence. The drafting of Chapter IX and X of the UN Charter, which deal with

Indian.It is important, however, to bear in mind that fact that the Government of independent India had no
