SUBJECT: Freelancer Agreement.

This agreement is entered into by Immiland Canada Inc. and Marian Rivas and supersedes any
prior agreements relating to the subject matter hereof. Any agreement entered into between the
parties hereto prior to the date hereof for the services described herein is hereby terminated by
Immiland Canada Inc. and Marian Rivas. The parties acknowledge that as of the date of
execution hereof, the document governing the terms and conditions of the relationship shall be
this document.

The parties hereby set forth the terms and conditions that will govern the business relationship
between Immiland Canada Inc (“Immiland”) and Marian Rivas (the “Freelancer”, also referred
to as “you”) .

Schedule A.

Feedback

We will be gathering feedback regularly and you can expect to receive overall feedback about
the service you are providing each month.

Remuneration

The remuneration for your service is CAD$10 / hour. Remuneration will be paid 2 times per
calendar month for your service. This hourly remuneration represents the complete
remuneration for the time and efforts you will have to deploy while carrying out your duties.

Every work day, after finalizing a shift, you must log in into your Bamboo account and submit
your timesheet. Note that payments will be made according to the hours they submitted,
therefore make sure to always keep it up to date.

You must submit an invoice to claim your pay two (2) business days before the end of the

month. We can provide you with an invoice template.

Services:

The Freelancer hereby undertakes to provide the following services in favor of Immiland

● Proofreading Blogs
● Write Summary Blogs
● Website Text Review
● Any extra duties your supervisor might assign.

The Freelancer understands that the provision of services is his/her sole and exclusive
responsibility and that such services are not provided under the supervision of Immiland
but must comply with the characteristics requested by Immiland.

To carry out the Freelancer’s duties, he/she must have a functional fast capacity laptop,
also have access to fast speed internet, webcam, microphone, headphones and have
access to a clean, tidy and bright room.

Freelancer AGREEMENT dated June 15, 2023

BETWEEN: Immiland Canada Inc. (the "Company"), a company duly incorporated at


the Canadian Federal and Provincial level.

AND: Marian Rivas, (the “Freelance”)

1. Terms and Conditions

1.1. Purpose. The Company hired the Freelance under the terms and conditions of this
Agreement and the following will govern the relationship between the two parties for the
duration of the services of the Freelance by the Company (the " Services Period").

1.2. Duties of Freelance. Without limitation and subject to modifications, the


description of Freelance’s services are as follow:

● Any extra duties your supervisor might assign.

1.3. Services Schedule. The Freelancer's schedule is flexible so that she is free to
plan her schedule in accordance with the clients’ needs, the Company’s needs and her
personal obligations. However, the deliverables requested by the Company shall be
delivered on the date and at the time agreed with the Company.

The Freelancer may be required to document the details of her service hours, for the
purpose of following up on current projects and/or to make a quality control over the
Freelancer's work.

To carry out the Freelancer’s duties, he/she must have a functional fast capacity laptop,
also have access to fast speed internet, webcam, microphone.

2. Remuneration.

2.1. Basic Remuneration.The Company shall pay to the Freelancer the remuneration
set forth in Schedule A, less applicable withholdings if applicable, and such
remuneration shall be paid two (2) times per month, on the 16th and the first of each
month. The payment dates may be changed and will be communicated accordingly.

Taxes and Benefits. Freelancer acknowledges and agrees that Freelancer is solely
responsible (a) for all tax liability associated with payments received from Immiland
Canada Inc. (the Company) and that the Company will not withhold any taxes from
payments to Freelancer; (b) to obtain any liability, health, workers’ compensation,
disability, unemployment, or other insurance needed, desired, or required by law,
and that Freelancer is not covered by or eligible for any insurance from the
Company; (c) for determining whether Freelancer is required by applicable law to

issue any particular invoices for the Freelancer Fees and for issuing any invoices so
requires; and (d) for determining whether Freelancer is required by applicable law to
remit to the appropriate authorities any sales tax or any other taxes or similar
charges applicable to the Freelancer Fees and remitting any such taxes or charges
to the appropriate authorities, as appropriate. In the event of an audit of the
Company, Freelancer agrees to promptly cooperate with the Company and provide
copies of Freelancer’s tax returns and other documents as may be reasonable
requested for purposes of such audit, including but no limited to records showing
Freelancer is engaging in an independent business as represented to the Company.

3. Intellectual Property

In the course of Frelance’s services, the Freelancer may be required to create, design
or participate in the creation or the design of processes, artworks, methodology, use of
social media, applications or any other material covered by intellectual property. The
Freelance acknowledges and agrees in advance that, in any of the above mentioned
cases, the Company is (or becomes by automatic rights transfer from Freelance to
Company) owner and holder of any right, title and/or interest related to any such
process, artwork, invention, drawing, source code, software, application or any other
material covered by intellectual property.

More specifically, and without limiting the generality of the above, the Freelance
transfers in advance to the Company any copyright he might have or may pretend to
have regarding any piece of work, literary or not, created by her alone or not in the
course of her duties.

The Freelancer recognizes that, during the term of this Agreement, he or she might
receive strategic information regarding the Company’s business and that, therefore, the
Company might provide ideas, plans, initiatives, among other information, that are the
property of the Company, any works, deliverables, campaigns, materials, or any other
idea developed based on the Company’s initiates, shall be property of the Company.

Freelancer acknowledges that the above-mentioned information is central to the


operation of Immiland and that any breach or misuse of such information even after the
termination of this contract could cause irreparable damage to Immiland, therefore
Freelancer agrees not to use Immiland's information, strategies and in general terms
know-how for its own or any third party's purposes, nor to disclose such information to
any third party.

4. Confidentiality

4.1. Freelance's Commitment. The Freelance acknowledges that: (i) during the
Services Period, the Freelance will have access to Confidential Information; (ii) the
public disclosure of such Confidential Information could have a negative effect on the
Company, its operations and its business; (iii) the provisions in this Section 4 are
reasonable and necessary to prevent the improper use or disclosure of Confidential
Information; and (v) the Company would suffer material damage if the Freelance was
to breach any of her obligations under Section 4.2.

4.2. Freelance's Acknowledgement. In consideration of the (i) remuneration to be

paid or given to the Freelance by the Company under this Agreement, and (ii) the
Freelancer's acknowledgement under Section 4.1, the Freelance agrees to the
following:

4.2.1 During and after the Services Period, the Freelancer commits: (i) to keep
all confidential information and all documents related to Company’s activities
absolutely confidential. The Freelancer also commits not to use or give out in
any way said confidential information and documents unless in the course of her
duties; (ii) to take all necessary measures and precautions to protect the
confidentiality of every information or document provided or made accessible in
any way by the Company to the Freelancer.

4.2.2. Unless in the course of her duties, the Freelancer may not make or keep
copy, photocopy, draft or any other reproduction of any confidential information
or document. The Freelance will not remove from the premises of the Company
any document, report, notes, plan, model, component part, element, computer
program, software or code, whether they would be on tangible media,
electronic or otherwise, allowing the recovery in perceivable form or any
property of the Company (collectively " Proprietary Items "), the Freelance
acknowledges that, in the same way as between the Company and the
Freelance, any Proprietary Item, whether it was developed by the Company or
not, is the exclusive property of the Company; and that upon the termination of
this Agreement by either of the parties or at the request of the Company during
the Services Period, the Freelance shall promptly return to the Company any
Proprietary Item that the Freelance has in her possession or is under her
control, and that the Freelance will retain no copies, plans, drawings or any
physical media of any Proprietary Item, regardless of its form.

4.2.3. For the purposes of this Agreement, the term "Confidential Information "
means (i) any type of documents in any type of format, that belong to clients
and are part or not of the application package. Documents also include emails
in exchange of information and conversations by phone or e-mail. (ii) projects
and marketing plans internally developed by Immiland, including topics for
YouTube videos and campaigns whether digital or not.

5. Conflict of Interest

5.1. The Freelance hereby agree to immediately notify the Company if any situation or
action that might be regarded as a potential conflict of interest arises. For the purposes
of this clause, a conflict of interest includes but is not limited to: (i) work directly or
indirectly for a direct or indirect competitor of the Company (including a competitor in
any of the secondary services offered by the Company), (ii) perform services directly or
indirectly in favor of a direct or indirect competitor of the Company (including a
competitor in any of the secondary services offered by the Company), (iii) give advice in
any way to direct or indirect competitor of the Company, (iv) perform the activities
mentioned in sections (i), (ii) and (iii) through a third person, or (v) any other activity that
might be regarded as a potential conflict of interest under regular market conditions.

5.2 If the Freelancer does not notify Immiland of a potential conflict of interest
immediately, Immiland will be entitled to request, before the Canadian courts, and as
the case might be, the payment of any damages or losses that it might had suffered as
a result of the Freelancer's breach.

6. Non-solicitation

6.1. Freelance’s Commitment. For good and valuable consideration, the Freelance
agrees not to solicit directly or indirectly the Company’s clients, except while in the
course of her or his services and for the Company’s benefit. Is designated as a
Company's client any buyer or tenant of merchandise and services offered by the
Company. Considering the specificity of the Company’s activities, this non solicitation
agreement applies to all clients known by the Freelance as being a Company's client
regardless of its location. This provision shall remain in force during the whole Services
Period and for a period of eight (8) months after the Termination Date.

6.2. The Freelance commits, whether on her or his behalf or on behalf of any other
person (i) at any time during the Services Period and the period of eight (8) months
commencing on the Termination Date, not to solicit, employ or engage in any way as
an freelancer, as an independent contractor, or otherwise, any person who is or was a
freelancer of the Company at any time during the Services n Period or in any way try to
ensure that a freelancer of the Company terminates his or her with the Company; or (ii)
at any time during the Services Period and during the period of eight (8) months
commencing on the Termination Date, solicit any person who, at any time during the
Services Period was an Freelance, contractor or supplier of the Company.

6.3. The Freelance commits, at all times during and after the Services Period, not to
discredit the Company or its affiliates, shareholders, directors, officers, Freelancer or
agents or services.

7. Termination

7.1. Termination on Notice. The Company may terminate this agreement for any
reason on 10 business days’ notice to the Freelance or effective immediately upon
written or verbal notice.

7.2. Return of Documents upon Termination of Position. Upon termination of


relation of the Freelance for any reason whatsoever, all documents, reports, folders,
and similar media containing Confidential Information or intellectual property, or any
Confidential Information, at the time in the possession of the Freelance or under his or
her control, including all copies, whether prepared by the Freelance or by others, shall
be promptly returned to the Company.

7.3. Termination of the Agreement If the Freelance wants to terminate the contract,
he or she shall give the Company a written notice of two (2) weeks before his/her
intended termination date, provided that all pending deliverables have been delivered
in a timely manner. .

8. General Provisions

8.1. Entire Agreement Modification. This Agreement represents the entire agreement
between the parties, and takes precedence over any oral or written agreements,
understandings, representations and warranties, or methods and relationships in this

regard between the parties.

8.2. Illegality. In case of illegality or nullity of an article, section, or disposition (or


portion of an article, section or disposition) of this Agreement, it would not affect in any
way the legality of the other articles, sections or dispositions, nor the rest of this article,
section or disposition, unless an obvious contrary intention in the text.

8.3. Schedules. The Schedules of this Agreement are an integral part of this
Agreement when duly initialized by the parties.

8.4. Governing Law and Jurisdiction. This Agreement shall be governed by the
applicable laws of the Province of Quebec and the parties agree to elect domicile in the
district of Montreal, Province of Quebec and choose this district as appropriate to hear
any reclamation resulting from the interpretation, application, accomplishment,
enforcement, validity or effects of the present Agreement. Any action or remedies in
order to enforce any provision whatsoever for, or based on any right whatsoever arising
from or related to this Agreement will be made before the courts of the Province of
Quebec.

9.5 Language of the Contract. The parties hereto have expressly agreed that this
Agreement as well as all other documents relating thereto be drawn up only in
English.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the
day and the date specified in this contract.
