Article 1: The delegated tasks for the Representative party

Party A delegates authority to Party B to act as a commercial representative for the purpose of
seeking buyers interested in importing products supplied by party A as the following:

Article 2: Scope of representation

 - Party B is authorised to act on behalf of party A in seeking buyers and promoting the
products supplied by party A based on the product images and samples provided by party
A.
- Party B is not permitted to represent party A beyond the scope of the activities authorised
in this contract.

Article 3: Promoting service charge:

- Party A agrees to pay party B a commission of: ….USD/ton

- In addition to the commission mentioned above, in the event that party B is able to sell
the products at a higher price than the price party A provides to party B, party B will be
entitled to the price difference.

Article 4: Payment method

- Party A will pay the commission to party B within 03 working days from the date of
receiving payment from the customers introduced by party B.
- Party A will make payment to party B through the following bank account details:

Article 5: Rights and Obligations

1. Party A:
- Request party B to provide complete information about the Buyers.
- Request party B to negotiate with customers on payment and delivery terms according to
party A’s regulation.
- Provide competitive pricing to party B compared to the market price.
- Assist party B in meeting with customers who have a need to visit and work directly at
the factory.
- Pay the commission to party B according to the terms of this contract.
 2. Party B:
- Request party A to provide product images and samples (if required by the Buyers)
- Request party A to regulary update product prices on weekly basis for proactive
communication with the customers.
- Search for customers within the scope of work specified in this contract.
- Communicate with customers based on the content proposed by party A.

Article 6: Other terms and conditions:

- Any modifications to this contract must be made in writing and agreed upon by both
parties.
- In the event of issues arising during the execution, both parties shall negotiate to resolve
them. In the two parties can not reach an agreement through negotiation, disputes shall be
settled in court. The court’s decision shall be final and all parties must comply. Court fees
shall be the responsibility of the party at fault according to the court’s decision.
- This contract is made in two copies in Vietnamese, with each party holding one copy and
both copies are equally valid.
