ECONOMIC CONTRACT

- Pursuant to Civil Code 2005.

After discussing the two parties have mutually agreed to enter into this
contract with the terms as follows:

Article I : Contents of contracts:

Party B agrees that Party A shall implement, installing execute
advertising framed pictures in restroom with details as follows:
Quantity: 300 framed pictures
Unit price: 200k VND/frame/month (VAT 10% not included). This cost
comprises contacting the location, asking for permission to install,
production, installing, maintenance and paying the bill for the location of
installation.
-Number of locations with frames: 100 locations
-Period of implement: 6 months
-Specification:
Size: 20cm x 30cm x 0.5 cm
Material: a frame of mica lined with a wooden-border carton
Lormide product’s 4-color picture.
Total contract value and payment method:
-Total contract value:
300 frames x 200.000 VND/frame x 6 months = 360.000.000 VND.
(In word: Tree hundred and sixty million Vietnam dongs).

 Payment method:

Payment of 35% of contract value right after signing the contract and Party
B receives a valid financial invoice of Party A.
Payment of 55% of the contract value immediately after Party A has
completed 300 frames at 100 locations and Party B receives the checking
reports as stated in Article II and the financial invoice of Party B.
The remaining (10%) will be paid after the expiration of mounting frames
for advertising framed pictures products of Party B
Article II: Responsibilities and powers of Party A
- Negotiating and installing the advertising frame pictures at the locations
that Party B has chosen (the list is enclosed in the contract appendix).
- Ensure construction time is 20 days since Party B selects the location
and approves the maquette.
- Report time after construction is 01 week from the date of completion of
construction.
- Prepare checking reports and send it to Party B right after completing
the construction of 100 locations. This report includes acceptance minutes
and photos of each advertising frame after being installed at each location.
- Ensure that the time limit for attached photo frames is 6 months from the
date of acceptance.
- Check the frame once a month to clean, clean, and check the presence
of advertising frames pictures
- Make sure that all frames at display locations are always in neatly and
clean situation during display time.
- During the validity of contract, if Party B find that Party A let advertising
frames in absent and broken situations at any 100 display locations, Party
A must have responsibility to fix, replace the new frames within 4 days
since Party B’s announcement. In case after 7-day-working, Party A hasn’t
fixed or replaced them, Party A will pay a fine which is equivalent 3 times
of frames price when Party A receives announcement.
- Party A should be responsible to replace new frames at new place in
case the old place meets the irresistible incidents.
- Have rights to full payment according to the agreed payment method.
Article III: Party B’s Responsibilities and Powers
- Settle for Party A full payment on time as mentioned in Article I
- Provide correctly advertising pictures for A to work and ensure that the
provided pictures don’t go backward of legal and social ethics.
- Construction acceptance:
 Acceptance content: products obtain specifications as agreed at
Article I and meet the locations of Party B’ requirements.

 Checking time-limit : 5 days from receiving of Party A’s checking

request.

- Have the right to choose or change the location to install advertising

framed pictures in Party A’s location data bank.
- Have the right to choose a location out of the data bank of Party A,
depending on the extent and condition, two sides will negotiate or
sign an additional contract annexes.
- Have the right to require Party A to adjust, change and fix the
advertising framed pictures in case they are not made as
negotiation.

Article IV : General terms:

Two sides commit to comply with agreements stated in the contract, in
case of disagreement, negotiation is the first solution that two sides must
choose. If after 15 days of negotiation, both two sides could not reach an
agreement, the two sides agree to bring to Vietnamese court for
arbitration.
In time of the contract in force, if any party unilaterally ends or violates the
terms of contract, the breaching party must bear the responsibility for
compensation the cost that opposite side spent and bear 20% of total cost
of contract.
The contract is made in 4 copies ( 2 in English and 2 in Vietnamese), each
party keeps 2 copies and are equally valid.
The contract is in force from the date of signing.
