Partnership contract
This agreement is between Solwave Energy Ltd represented by Mr.Tayyab pervaiz Ahmed
(Party A), at Place Rahim yar khan, on September 07-2021, with ZAK Engineering
represented by Mian Muhammad Kashif & Tahseen Mustafa (Party B) , on mutual
partnership. This contract defines the working process between two parties cited as above. In
the light of this contract the parties are agree to work on Mutual basis. Below are the Points of
this contract, & parties have agree to fulfill these agreement on honest and Mutual benefit
cause.

Definition of the work: The Parties are working in the field of Solar Energy. The parties are
involved in solar energy business on commercial and domestic Level.

1: Procurement
The Party A & Party B can Arrange the Procurement (solar Panels, Installation
Material) jointly or either by Party A or Party B. The parties are agreed to make
this process crystal clear regarding to the costing of that Material. In first Phase of
the contract, The Party B will arrange the Procurement of Solar Panels and Party A
will be doing Installations.

2: Profit & Loss

After making sure to true “Procurement price of Material” The Parties will share the profit on a
equal Percentage 50%, 50%. In case of Loss in a deal, an audit will be conducted by both sides
and facts finding will be done. If the reason of that loss is caused by Either by party A or Party
B, then Loss will be covered by the Party who will be responsible for the this loss. If the cause of
loss is due to both parties then loss amount will be covered by both ends on equal basis.

3: Quality of service

As solar service consists of two phases: 1: Procurement of PVs 2: installing and commissioning
the solar system. Both the parties will make sure quality control. Both parties have the right to
ask about the quality with each other. The contract will be terminated if any poor quality
material( PVs, Inverters, wires, structure,) will be used. As we are promoting clean energy in
Pakistan so our endless efforts should be not to compromised on Quality of the Material.
 4: Warranties & Claims

Each party is responsible by for the warranty of their purchased material within the duration of
this contract, as the PV modules have the 25 years of production warranty so still Parties will
bear this warranty even the contract duration expired.

5: Legal disputes related to business

Parties will handle the legal disputes if occurred, but first an audit will be conducted. As this is a
mutual Partnership, both the parties will support each other, but if any legal case file against this
joint venture, due to poor service, then the party who caused this shall be responsible for all
expenses of the court and will be responsible for the consequences.

6: Using the Name

As Party B will be working with a Company named as Solwave Energy Ltd, so in the light of
this contract Party B is freely allowed to use the Name of company on his Place or can open an
office, or can make a reference on the name of Company. Party A wishes that Party B use the
Solwave Energy name & will establish an office in Faisalabad, but it’s completely on the
decision and the will of Party B.

7: Marketing & Lead generation

Both the parties can make Marketing strategies & Party B can market on the name of Solwave
energy if required. However, the Party A will conducting marketing campaign time by time to
support its valuable partner party B.

8: Use of offices

Both of the Parties have right to use of the offices from both side, for the purpose of conducting
trainings, seminars, meeting with clients. As Party A is spreading out its Network all across the
Pakistan, So party B can also enjoy this service if needed regarding to the use of offices.

9: Other Clean Energy Products

Party A is spreading and supporting the clean energy in Pakistan, in the light of this contract
Party B can also Market, generate leads regarding to the other clean energy Products Like (
Electric cars, Wind Mills, Solar Lights and cameras ). This clause is also up to the will of Party B
if Party B wants to work on Clause 9. All the standards and quality controls will be observed if
Party B joins this clause.

Duration of This contract

Both of the parties will be joined by this contract for 5 years w.e.f the signing of this contract.

A copy of CNIC is attached by both of parties and witnesses. After the signing of this contract
Parties are bound to do the works according to the contract. The contract will be terminated and
legal actions would be taken if, any of the Party retaliates with the services and terms or found
dishonest while working jointly on the projects.
