About Nama Group

Nama Group (NG) was established as a result of the restructuring of the electricity and water sectors
in 2004 and commenced its commercial operations on 1 May 2005. NG’s operations are spread across
procurement, generation, transmission, distribution and supply of electricity and water services in the
Sultanate of Oman.
Oman Investment Authority is the shareholder of Nama Holding, which is the holding company of Nama
Group subsidiaries. Nama Group acts as the sole provider of electricity, water and wastewater services
(procurement, transmission, distribution and supply).

The Structure of Electricity, Water, and Wastewater Sectors


The electricity sector consists of three major organizations: the Ministry of Energy and Minerals, the
Authority for Public Services Regulation (APSR), and Nama Group. The Ministry of Energy and Minerals is
responsible for electricity policy overview, while the Authority for Public Services Regulation is in charge of
regulating the electricity sector.
On the other hand, the water and wastewater sector consists of three major entities, represented by the
Ministry of Agriculture, Fisheries and Water Resources, APSR and Nama Group. The Ministry is in charge
of supervising and reviewing the water and wastewater policy. Similar to the electricity operations, APSR
regulates the water and wastewater sector. The Group consists of the following companies:

ABOUT NAMA HOLDING


Nama Holding is a joint-stock company, registered in the Sultanate of Oman. The company commenced
its commercial operations on 16 September 2003 and holds the shares of the Government in subsidiary
companies. Nama Holding is responsible of implementing the Government’s policy on financing state-
owned companies in the electricity and related water sector, supporting and implementing government
privatization policies for the electricity, water and wastewater sector, drawing NG’ strategy which focusing
on developing its business and supervising all the key strategic projects implemented by the subsidiaries.

Electricity Sector Restructure Project


Based on the government directives in December 2021 to enhance efficiency and reduce operational
and administrative costs, Nama Group continues to implement the restructuring project of Distribution
and Supply (D&S) Companies. As a result, MEDC, MJEC, MZEC, and Tanweer will be merged into two
companies (a supply company and a distribution Company for all governorates except the Governorate
of Dhofar). The Group works closely with the Ministry of Energy and Minerals, OIA and APSR to ensure
meeting the project objectives. The D&S Restructuring Program will be completed in 2023.

Future Overview:
Nama Group works side by side with development institutions to enhance the utility sector in the Sultanate
of Oman. The Group intends to achieving the government goals and the objectives of Oman Vision 2040 to
enable the sustainable development. Nama Group also continues to translate the government directives
into reality through its programs and projects in the electricity, water and wastewater sectors.
Nama Group is developing many administrative and operational aspects to achieve integration between
the two sectors. Through restructuring programs, the Group will achieve more alignment between strategic
investments in the utility sector, improve shareholder value, enhance In-Country Value, and develop its
services to customers.
Nama Group is proud of the achievements and projects that have been completed since its establishment
in 2004, which had a major role in the national economy growth. The Group continues to conduct studies,
evaluate the impact of its implemented projects, and take the necessary actions to ensure the best results.
Nama Group also develops its subsidiaries performance and cooperates with concerned authorities and
stakeholders to improve customer experience, promote awareness about occupational health and safety,
and protect the environment.

GOVERNANCE
The Board of Directors of NH, abiding by the laws of the Sultanate of Oman, the Commercial Companies
Law, the Sector Law, and Nama Group Board Manual and Oman Investment Authority (OIA) Code of
Governance, recognizes the necessity for clarity in the roles, responsibilities and accountability of NH in
relation to its subsidiaries and Affiliates.
NH’s Board consists of four independent non-executive directors and one non-independent non-executive

Role of the Board of Directors and its Committees


Role of the NH Board
The NH Board is responsible for the operations of NH as a company and the Subsidiaries (100% or majority
owned) as a supervisor. The day-to-day operations of NH are conducted by its management, led by its
CEO, with oversight of the NH Board.
Sub Committees of the Board
The Board is responsible for the establishment and functioning of all Sub Committees, and the appointment
of members to these committees and their compensation. The Board has delegated responsibilities to
two Board sub committees namely Audit & Risk Committee and Group Human Resources Committee.
• Audit & Risk Committee (ARC)
The Audit & Risk Committee ensures that adequate processes are in place to maintain compliance with
regulatory requirements; enhance the effectiveness of internal and external auditors through coordination;
protect them from the management’s undue influence, and provide the Board with subject matter expertise
on governance and risk-related matters.
The Audit & Risk Committee has the following objectives:
1. Monitor the integrity and accuracy of the Company’s financial statements and any formal notes on the Company’s
financial performance and review significant financial reporting estimates contained therein;
2. Review the Company’s internal financial controls, internal performance controls and risk management systems;
3. Monitor and review the effectiveness of the Company’s internal audit function;
4. Monitor and guarantee the external auditor’s independence and objectivity and the effectiveness of the audit
process, taking into consideration relevant Capital Market Authority regulations, the Commercial Companies
Law, the Sector Law, and any other relevant laws; and
5. Adopt policies on the engagement of external auditors to supply non-audit services, taking into account the
relevant ethical rules on the provision of non-audit services by the external audit firm.
• Group Human Resources Committee (GHRC)
The GHRC is an NH Board-level committee that considers matters related to the nomination of candidates
to the boards and higher managements of both NH and its subsidiaries, as well as HR policies and other
significant HR matters that require the attention of the Board of Directors.
GHRC’s objectives are:
1. To assist the NH and NG subsidiary Boards in carrying out their oversight responsibilities, ensuring the
independence and integrity of the Directors and the adequacy of the salary and remuneration strategy at NH
and subsidiaries;
2. To assist NH and subsidiary Boards in identifying appropriate candidates for managerial positions at NH and
NG’s subsidiaries.

Board of Directors Composition


Being closed joint stock company, NH is subject to the provisions of the Commercial Companies Law No.
4/1974 (18/2019) as amended and NH’s Articles of Association. In this context, NH’s Board is composed
as follows:
1. NH’s Board is composed of 5 directors.
2. NH Board is composed of four independent non-executive directors and one non-independent non-executive
director.
3. Non-executive independent directors do not perform any function in NH for which they receive monthly or
annual remuneration.

Nomination and Election of Directors


On nominating and electing directors, the terms and conditions set out in the Sector Law, the Commercial
Companies Law , Nama Group Board Manual and OIA Code of Governance and its Implementing
Regulations are complied with.

the leadership of a complex and highly-regulated electricity sector.

Annual General Meeting (AGM)


Annual General Meeting (AGM) refers to the general meeting of the Company which is held annually.
Article No. 172 of the Commercial Companies Law mandates Nama Holding to hold an AGM within 90
days from the end of each financial year.
Communications with Shareholders and Investors:
Pursuant to Royal Decree No. 78/2004, the Company shall maintain close ties with the Oman Investment
Authority (OIA), in its capacity as the owner. The company’s annual report will be forwarded to the
shareholder OIA.
Distribution of Shares:
Being wholly-owned by the Government of the Sultanate of Oman, represented by OIA, NH directly reports to the
shareholder through OIA.
Statutory Auditors
Statutory auditors express an opinion on the fairness with which NH presents, in all material respects, its financial
position, operating results, and cash flows in line with internationally-recognized accounting standards.
EY were the statutory auditors of NH during 2022. EY is a global network of professional firms providing Audit,
Financial, Tax, Enterprise Risk Management and Advisory services to selected clients.
Code Of Ethics And Business Conduct
Code of Ethic and Business Conduct Policy was amended in line with OIA Communication Policy.
The Code of Ethics and Business Conduct (CEBC) applies to NG companies’ Boards of Directors and employees,
as well as all consultants, contractors, suppliers and persons representing NG in their commercial operations. The

Nama Holding Strategy has five focus areas including HSE, Service Reliability, Customer Experience,
Financial Sustainability and Divestment & Growth. The strategic focus areas are to be supported by four
horizontal strategies; Competent People, Digitalization, Robust Governance and Synergies & Efficiencies.

The above strategic focus areas and other financial and compliance objectives have been developed
to provide NG’s companies with a strategic direction to be followed when developing their respective
business plans. Furthermore, subsidiaries are encouraged to explore and identify additional strategies

Nama Group pays great attention to improving HSE aspects across its operations and services, and is
committed to achieving the best safety standards for customers, employees and contractors. Nama Group
continues to provide safe and sustainable electricity services to promote healthy environment by focusing
on HSE projects and initiatives. The application of HSE practices contributes to achieving remarkable
results within the Group business, reducing death accidents and lost time injuries, and preserving its assets
and property. The Group also continues to provide special awareness and training programs for employees
and contractors in the HSE fields to ensure business continuity and to enhance network reliability. It is
worth noting that the cumulative safe working hours in all the Group companies amounted to more than
85 million working hours in 2022.
Regarding the development of Human Resources, the Omanization percentage in the Group reached
97.96% of total employees. The Group is also working to increase this percentage in contractors offices, as
the Group seeks to Omanize emergency departments in these companies. Nama Group also contributes
to achieving a higher rate of Omanization by signing agreements with contractors to develop practical
skills in the fields related to providing cables, transformers, connectors and electrical switches. In addition,
Nama Group cooperates with many stakeholders, most notably APSR, in order to promote the In-Country

Sustainability is a fundamental value that supports our vision for a better future for generations to come. At
Nama Group, we are committed to upholding the principles and objectives of sustainability. We are proud
to align our projects and initiatives with the renewed renaissance and Oman Vision 2040. As a responsible
corporate citizen, we integrated sustainable development into all our activities since our launch in 2014.
The Group’s strategic initiatives are guided by its values namely Integrity, Respect and Professionalism.
The Group’s mission is to support Oman’s sustainable development by leading and enabling Nama Group
to provide safe, reliable and efficient electricity and water services. Nama Group is working towards this
mission through operations and services, and by involving stakeholders through shared objectives.

our social, economic, and environmental objectives. Last year, Nama Group contributed RO 500K to
sustainability projects and sponsorships benefiting various stakeholders and regions.
In this report, we are proud to introduce NG programs, initiatives and sponsorships such as The National
Electricity Conservation Campaign, the Communication and Sustainability Graduate Program, Wiyakum
Project, and Baiti Amin Campaign. Moreover, other key projects in the report played remarkable roles,
including; Nama Sustainability Week in Musandam Governorate, Solar Panel Project on building roof tops,
The National Initiative to Plant 10 Million Trees, and Naqla Program. Nama Group actively collaborated
with development institutions in Oman in 2022; for instance, the Environment Authority, Ministry of Energy
and Minerals for Oman Sustainability Week, Oman Charitable Organization, etc.
Also, Nama Group presented its GRI Report for the period 2019-2021, which highlighted results and key
achievements in accordance with the Group Sustainability Policy. Over these years, the Group witnessed

1. Naqla Program
As part of Naqla Program, Nama Group partnered with al Jabr, an Omani boutique consultancy firm,
to facilitate electricity services for residential customers in Oman. This initiative is part of Nama Group’s
commitment to enhance electricity services across the Sultanate of Oman.
Through this cooperation, Nama and al jabr aimed to identify and apply best practices to facilitate booking
processes for licensed electricians and make it easier for customers to find and hire electricians, whenever
needed.
This partnership will continue to drive the impact of “Naqla” program, launched in 2017 to achieve
economic objectives of Nama Group’s Sustainability Policy, by supporting Omani technicians. The program
will further hone their skills and capabilities through training and granting its graduates electrical licenses.
2. Communication and Sustainability Graduate Program
Nama Group set targets to improve skills and capabilities of Omani talents through internship opportunities.
Nama Group trained 3 fresh graduates in 2022 at Nama Holding Communication and Sustainability
Department.
The trainees obtained knowledge and techniques of handling projects and campaigns with a total of 5,940
training hours. Prior to the end of the one-year program, 2 trainees received job offers and were recruited
on a full time basis in other Government entities.

1. Musandam Sustainability Week Initiative
Nama Sustainability Week was a five-day event, represented by Majan Electricity Company, that took place
in Musandam, with the aim of promoting sustainable practices and raising awareness about eco-friendly
living. To comply with Oman Vision 2040 and translate the Government directives to extend development
campaigns across Oman, Majan took the initiative to promote Nama Group sustainability pillars and the
policy objectives.

A total of 18 trainees from the Naqla training program participated in the event, along with 220 volunteers
who took part in reef coral and beach cleaning activities. The volunteers also helped distribute 400
agricultural seedlings to students and the public to promote sustainable agriculture. The event was a great
success, with participants showing enthusiasm and passion towards creating a more sustainable future.
2. First Oman Change Management Forum
Nama Group sponsored the First Oman Change Management Forum as a strategic partner. The First Oman
Change Management Forum was a significant event that aimed to bring together experts from various
fields to discuss the latest trends, best practices, and challenges in change management. The Group
participated with a business paper, which indicated the transformation process from a current situation of
an organization or individuals to a desired position within a short period of time. Nama Group presented
its experience in change through establishing integrated methodology for change management and
worked to implement Government trends to restructure electricity and water companies.

Projects:
1. ‘Wiyakum’ Program
The Wiyakum program is a key corporate
social responsibility initiative of Nama
Group, which was added to the
Group's portfolio in 2014 and recently
completed its seventh edition. At the
core of this program is the volunteering
initiative, which aims to foster a culture
of volunteering among Omani youth
and the Group's employees at the local
community level to promote awareness
and responsibility.
As part of the program in 2021, the Group
called on employees to submit their ideas
on sustainability. The Group announced
the winners and extended support to
Al Oual Team to execute their respective
project “The Cycling and Hiking Path”
which aims to promote a healthy sustainable lifestyle among the society. Nama Group allocated an amount
of RO 6,860 to support the team and host their mountain sport competition. The event to be held in the
first quarter of 2023 in Al Ansab in Wilayat Bawshar, with the participation of 25 employees from the
Group. The project provides a natural outlet away from the city to make its visitors feel psychologically
comfortable and reduce stress and pressures.
2. ‘Baiti Amen’ Program (My Home is Safe)
The Nama Group's 'Baiti Amen' initiative, which is now in its fourth year, is a project designed to enhance
the social pillar by promoting safe practices in homes to reduce accidents. Initially, the program focused
on training housewives on first aid, but it has since expanded to target various segments of society to
achieve its corporate social responsibility objectives.
In 2022, Baiti Amen awareness campaign, which was led by Dhofar Integrated Services Company,reached
approximately 200,000 individuals from various segments of society through social media. Additionally,
810 Omanis from over 13 educational institutions benefited from educational workshops conducted as
part of this initiative. Nama Group launched an HSE game for young children, which was presented during
exhibitions to promote Health, Safety, and Environment (HSE) among the youth. Furthermore, the Group
participated in Salalah Tourism Festival through two exhibition stands and nine awareness site visits, which
attracted around 1693 visitors. These initiatives demonstrate Nama Group's commitment to promoting
HSE and its dedication to corporate social responsibility by engaging with different segments of society.

Nama Group is committed to supporting social projects and initiatives aimed at helping the underprivileged
segments of society. As part of this commitment, the Group supported Oman Charitable Organization
with an amount of RO 100,000 that provides assistance to those in need and promotes sustainable
contributions. Nama Group initiative was dedicated to support the Organization Social Responsibility
Program which includes 7 charitable projects. The allocated amount represents 20% of Nama Group
Sustainability overall budget, in line with the Oman Investment Authority's mandate to contribute to local
communities development plans.

delegates from the Group attended the event, making it a truly collaborative contribution.
3. Atheer Sponsorship
Nama Group decided to sponsor Atheer social media platform with an amount of RO 4,000. As per the
plan, three media materials will be created to increase awareness about electricity and water sectors, in
order to achieve a sustainable growth policy that enhances reputation based on economic, environmental,
and social aspects.
4. Sponsoring the Jurisprudence of Zakat and Fasting book
With an amount of RO 5,504, Nama Group participated to promote awareness about NG donation portal
with Dar Al Atta. The promotion will reach all of the major mosques in Oman.

The Environmental Pillar


Nama Group's Environmental Pillar plays a critical role in safeguarding the country's resources and
promoting the Group's mandate of delivering sustainable, safe, and reliable electricity. To this end, Nama
Group has set two long-term objectives under its Sustainability Policy for this pillar. The first is to decrease
the carbon footprint of every megawatt of electricity and water generated in line with international
standards. The second is to develop and implement annual energy conservation campaigns to raise
awareness among customers.
In 2022, Nama Group continued its efforts to deliver its environmental objectives by investing RO 261,075
in various projects and sponsorships. This amount constituted approximately 45% of the Sustainability
Budget which is the highest contribution from all three pillars.

1. The National Electricity Conservation Campaign
In line with its sustainability goals of conserving national resources and its role in delivering safe and
sustainable electricity, Nama Group continued working on the National Electricity Conservation Campaign.
The Group launched a comprehensive media campaign throughout the year to promote awareness on
energy conservation and encourage customers to reduce their electricity and water consumption.
The campaign comprised of 12 informative videos that showcased real-life customer experiences, alongside
more than 50 information posts that were shared across all customer service channels and social media
platforms. By providing practical tips and solutions, the campaign aimed to help customers make informed
decisions and take action to reduce their electricity and water bills. Additionally, all distribution companies
conducted awareness workshops in schools, helping to educate young minds on the importance of energy
conservation and sustainability.

2. Oman Sustainability Week (OSW) 2022 and 2023
Oman Sustainability Week (OSW) is a national event that showcases Oman's commitment to sustainability
leadership through innovative strategies that align with the UN Sustainable Development Goals (SDGs)
and Oman Vision 2040. As a company that is dedicated to sustainability, Nama Group was an active
participant in OSW in its first edition 2022, focusing on sustainable projects and sustainability initiatives.
During the OSW Awards, Nama Group was recognized for its efforts and achievements, receiving first
place in the Governance category and second place overall. To further highlight its commitment to
sustainability, Nama Group published its first sustainability magazine during the event, showcasing the
company's sustainability initiatives, progress, and future plans. In addition to the awards and publications,
Nama Group participated in the OSW conference with three expert speakers and 20 delegates from its
staff, reaching a social media audience of 1,861,888. Nama Group also organized two site visits to the Al-
Ansab Wetland and Darsit sewage treatment plant (STP), providing participants with a firsthand look at the
company's sustainability projects in action.
Further, Nama Group will participate in Oman Sustainability Week 2023, highlighting its commitment to
sustainability and its alignment with Oman's vision for a sustainable future. The Group will also present
business papers in the conference and the second version of “Sustainability and Prosperity” Magazine
during the event exhibition. By actively engaging in sustainability initiatives and sharing its progress,
Nama Group is setting an example for other companies to follow and helping to pave the way for a more
sustainable future for Oman.
3. The National Initiative to Plant 10 million Trees
In 2022, Nama Group continued to support the Environment Authority, for the second consecutive year,
in their development program entitled; The National Initiative to Plant 10 Million Trees. Nama Group
completed a large-scale plantation project in Oman, planting a total of 284,234 trees. In addition, there
are 55,604 balance trees planted, bringing the total number of trees planted to over 339,838. To support
the project, the Group established 16 nurseries across Oman to grow the trees, providing the necessary
support and resources to ensure the success of the project. As part of its commitment to the project,
OWWSC also provided Treated Effluent (TE) to the plantation projects, even for locations that were not
initially listed in the project plan. This support was provided for a period of three years as per the MOU.
OWWSC's commitment to the plantation project is reflected in its efforts to expand the project to additional
locations. The company has started plantation projects in three new locations, including Sur, Masirah,
and Nizwa, with approximately 1,500 trees planted in these areas. These contributions demonstrate NG
commitment to sustainability and its dedication to supporting projects that benefit the environment and
the local communities in Oman. With its extensive experience in saving the environment, the Group is
well-positioned to support similar projects in the future and to contribute to the sustainability of Oman.

1. IEEE Power Talks 2022
IEEE Power Talks featured power systems power generation, transmission and distribution as well as
sustainable energy applications such as hydrogen, wind and solar. The event brought together industry
stakeholders, partners, CEOs and young professionals from Oman and the region to share knowledge,
experiences and innovations.
As a strategic partner, Nama Group, represented by Majan Electricity Company, played a significant
role in the event by offering an opportunity for power and energy engineers. The Group, along with
key development institutions, discussed energy transition, technology and innovation and the role of all
energy sources in the greater energy systems.

12 expert speakers from OETC, OPWP, Tanweer, and MEDC, shared their knowledge and insights on
key topics such as energy transition and digitalization. In addition, 6 Nama Group speakers participated
in 6 panel discussions, covering important sustainability issues. More than 150 Nama Group delegates
attended the event, reflecting the company's dedication to sustainability and its desire to stay at the
forefront of the industry.
2. Distribution of Water Tanks
In a generous move to support the local communities of Al-Dakhiliya Governorate, Nama Group,
represented by OWWSC, distributed 1000 water tanks to the Social Security Families. This initiative was
aimed at providing these families with an essential resource to meet their basic needs and sustain their daily
lives. Furthermore, the Group also conducted awareness sessions about water conservation, emphasizing
the importance of preserving this precious resource for future generations. Through this initiative, Nama
Group has once again demonstrated its commitment to corporate social responsibility and its dedication
to making a positive impact on the communities it serves.
3. Solar Panel for Mosques
As aligned with NG sustainability policy and objectives, the Group intended to sponsor Nafath Renewable
Energy LLC to implement the installation of Solar Panel for Mosques in Oman. Nafath Renewable Energy
is a SME company, engaged in providing consultancy, project management and contracting for renewable
energy and energy efficiency solutions. The project collaboration between NG and Nafath represents
the design, supply, and commission independent 10 kW and 20 kW solar energy systems on roof top of
Mosque to reduce the high-cost of electricity bills and export the excess solar generated to the grid. The
project will solve an issue with the majority of the Mosques that confront high electricity bills due to limited
management of the electricity consumption. The benefits of this project include a better management of
electricity bill payments as well as supporting Nama Group in achieving net zero targets. Also, the project
will raise the awareness amongst the local communities on electricity and water conservation through
providing alternative energy solutions.
4. Daymah Campaign
Meeting the Oman vision 2040 objectives to protect the environment and ensure sustainability of
natural resources to support the national economy, OPWP has started executing studies and projects
to implement renewable projects. Believing in building the culture that aligned with the nation direction
toward renewables, where OPWP is launching the virtual campaign named “Daymah”.
OPWP collaborated with the Ministry of Education in launching the CSR initiative which aims at raising
awareness on sustainable and renewable energy resources among the youths in Oman. The sustainability
campaign invites children of grades 5 and 6 to take part in a series of interactive lessons, educating them
on renewable energy resources and the generation of electricity. The program, which was executed for
four days, was targeting to involve 100 students in its first phase in an engaging and fun experience for
children, incorporating various zones with different activities and experiments to enjoy.
