DEBT AGREEMENT

THIS DEBT AGREEMENT (THE "AGREEMENT") IS ENTERED INTO AS OF

NOVEMBER 25, 2023 (THE "EFFECTIVE DATE"), BY AND BETWEEN:

Loan Details:
1. The Lender agrees to lend to the Borrower the sum of P200,000.00.

2. The Borrower agrees to pay interest on the outstanding balance of the Loan Amount at a fixed
annual rate of 5%.

3. Payment Terms:
a. The Borrower agrees to commence repayment on January 25, 2024 (the "Start Date of
Payments").
b. The Borrower shall make the final payment on or before January 25, 2026.

4. Payment Schedule: The Borrower shall make monthly payments in the amount of P8,750.00
on or before the 25th day of each month.
5. Method of Payment: All payments shall be made via bank transfer to the Lender's designated
account at BPI, Bank of the Philippines Island, under the name Kirsten Turman:

6. Penalty for Non-payment: In case of failure to make a payment on time, the Interest Rate
shall increase by an additional 10% on the outstanding balance.

7. Governing Law: This Agreement shall be governed by and construed in accordance with the
laws of the Republic of the Philippines.

IN WITNESS WHEREOF, the parties hereto have executed this Debt Agreement as
of the Effective Date.
