MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (the “MOU”) is effective as of December 14, 2023 (the “Effective
Date”)

BETWEEN: COMPANY NAME !, a limited company incorporated in Bangladesh having its

office at ADDRESS (Hereinafter referred to as “COMPANY NAME !” which
expression, unless repugnant to the context shall include its successors-in-
interest, assignees, nominees, administrators, officers and legal representatives)
of the First PART.

AND: Company Name, a limited company incorporated in Bangladesh having its Head
Office at Address (Hereinafter referred to as the “Company name” which
expression, unless repugnant to the context shall include its successors-in-
interest, assignees, nominees, administrators, officers and legal representatives)
of the OTHER PART.

(Hereinafter collectively referred to as “Parties” and individually as “Party”)

RECITALS

The purpose of this Memorandum of Understanding is to define the Strategic affiliation between
COMPANY NAME ! and Company name. This agreement will clarify the collaborative roles and
responsibilities between COMPANY NAME ! and Company Name with desire that on the terms and
conditions set out herein, shall serve together on the scopes mentioned in the Clause II.

WHEREAS, COMPANY NAME ! and Company Name have agreed to enter into an understanding in
which COMPANY NAME ! and Company Name will work collaboratively on the mentioned areas for
executing responsibilities set out in this MOU;
AND WHEREAS, COMPANY NAME ! and Company Name desire to enter into this Memorandum, setting
out the terms, conditions and services to be provided by such understanding and collaboration on the
subject matter below;
NOW, THEREFORE, in consideration of the mutual covenants and understandings set forth herein and
other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the
parties agree as follows:

I. DEFINITIONS

a) “Memorandum of Understanding” means this Deed of Understanding for collaborating with

parties following the principles set out in this deed;

II. SERVICE SCOPE

Under MOU we expect that:

1. Payment Gateway (COMPANY NAME !COMMERZ): COMPANY NAME will acquire payment
gateway system of COMPANY NAME ! (COMPANY NAME !COMMERZ) and resell the same to
its clients/customers.
2. Push/Pull SMS Service: Company name will take Push-Pull SMS service from COMPANY NAME
! for reselling purpose.

 3. Musking/Non-Masking Push SMS: Company name will buy Musking/Non-Masking Push SMS
from COMPANY NAME !.
4. Other services & products as may be required by Company name from COMPANY NAME ! in
future.

III. RESPONSIBILITIES OF THE COMPANY NAME:

1. Shall provide Work Order for each service/product intended to avail by company name.
2. Sign Separate agreement for products/services where necessary.
3. Shall comply with all the instruction/standard inrespect of the taking services/product wich will be
provided/communicated by the COMPANY NAME !.

IV. GENERAL TERMS AND CONDITIONS

1. Effective Date: This MOU shall take effect upon the date of signing memorandum.

2. Modification: This MOU may be renegotiated, modified or amended at any time by mutual
agreements by COMPANY NAME ! and Company Name.

3. Renewal: This MOU will be automatically renewed for yearly basis unless otherwise notified by
the parties to each other.

4. Termination: This MOU shall remain in effect for a period of 3 (Three) years from the date of
signing. This MOU may be terminated either by COMPANY NAME ! or Company Name by
providing written notice and explanation to either Company Name or COMPANY NAME ! at least
30 (thirty) calendar days in advance of the effective date of termination. The termination of this
MOU shall not affect the validity or the duration of activities or agreements under this MOU which
are initiated prior to each termination.

5. Authority And Legal Status

This MOU will be governed by the laws of the People’s Republic of Bangladesh and each party
will hold the authority for its respective trademarks, logos, and other media.

6. Review: This MOU shall be reviewed annually at one of the regularly scheduled meetings to
determine continuing need and whether the agreement should be revised, renewed or cancelled.

effective as of the date first above written.
