SERVICE AGREEMENT

This Agreement is entered into 01st Jan 2023 ("Effective Date"), by and between:

SS Eduks Management Consultants Pvt. Ltd. a having registered office at , 1st Floor, Flat No. 101, B-
Wing, Renuka Corner Apartment, Takpir Chowk, Kalewadi, Thergaon, Pune-411033, represented by _ Mr.
Surendra Nagar__ (hereinafter referred to as “ SS Eduks”)

AND

AYM Syntex Ltd (Formerly known as Welspun Syntex) having its registered office at 9th Floor, Trade
World, B Wing, Kamala City, Senapati Bapat Marg, Lower Parel (W), Mumbai 400013, India , represented
by Mr. Mainak banerjee ( herein after referred to as “the Company”);

SS Eduks and “the Company” are each hereinafter sometimes individually referred to as the "Party" and
collectively as the "Parties".

In consideration of the mutual understanding and agreements contained in this Agreement, the receipt
and sufficiency of which are, hereby, acknowledged, both the Parties agree as follows:

1. DEFINITION

1.1 SS Eduks: SS Eduks means SS Eduks Management Consultants Pvt. Ltd.

1.2 “The Company”: “the Company” means a company interested in availing services of SS Eduks of
permanent staffing provided to “the Company” on the specification mentioned by “the Company”.
1.3 Services: Services means services provided by SS Eduks to “the Company” as specified in the scope
of the services.
1.4 CTC: CTC means Cost To Company incurred for employing the employee inclusive of basic salary,
bonus, incentives, employer’s provident fund contribution, gratuity, medical expenses and such
other expenses borne by “the Company”.
1.5 Screening: Screening is defined as having a background check performed to determine whether the
candidate is having experience and qualification as per the requirement placed by the company

2. PURPOSE

This Agreement is intended to set forth the terms and conditions applicable to services provided by
the SS Eduks and their usage by “the Company” and its designated affiliates and authority.

3. SCOPE OF THE SERVICES

3.1 “The Company” wishes to contract with SS Eduks for the services of SS Eduks in providing
professionals and skilled labour in the general fields as and when specified by “the Company”.
3.2 SS Eduks understands and agrees that services to be provided to “the Company” under and
pursuant to this agreement shall be so provided on, as and when required.

3.3 When requesting services, “the Company” shall specify the labour classification(s) required; the
applicable salary package for each specified labour classification; the maximum allowable cost for
each labour classification.
3.4 Resume referred to “the Company” by SS Eduks will be considered only for the requirement
proposed by SS Eduks. If the same resume is considered another requirement, the credit for the
same would be given to SS Eduks.
3.5 Validity of the profile sent by SS Eduks will be for the duration of 6 months if not duplicate.

4. SS Eduks’S OBLIGATION

4.1 To devote such time, attention, skill and ability to the performance of the Services and as specified
in the scope as “the Company” shall require for the proper performance of such services;.
4.2 It is the obligation of SS Eduks to “screen” applicants to determine whether a candidate’s resume is
a match for the job description.

5. The COMPANY’S OBLIGATION

5.1 “The Company” shall pay to SS Eduks based on the mutual agreed commercials.
5.2 “The Company” shall pay to SS Eduks agreed commercial on CTC of appointed candidate.

6. REPLACEMENT

SS Eduks undertakes to one time replace the vacancies caused due to resignation within a period of
3 Months from the commencement (for specific vacancies only). SS Eduks further undertakes to
replace the vacancy with a person of similar caliber and who confirms to the set objective standards
of “the Company”.

A .Payment: The “client” shall pay the agreed recruitment fee to the service provider as and when due
and subject to tax deduction as applicable within 45 days from the date of joining of the candidate.

7. COMMERCIAL
Costs and expenses relating to SS Eduks services shall be allocated as shall be determined by the
parties or as otherwise shall be mutually agreed by the parties as follows:

7.1 In the event if “the Company” hire SS Eduks proposed candidate then the service Fee for
Permanent Staffing: As per the below :

Candidates of all levels =8.33 % (on Annual CTC) + GST

7.2 All invoices generated by SS Eduks for the services rendered shall be exclusive of service tax and
shall be applicable if so required by the law. “the Company” shall honor the invoice within Four
weeks from the receipt of it.

8. DURATION AND TERMINATION

(i) That either party may terminate this Agreement in the event of a breach by the other party of
this Agreement if such breach continues uncured for a period of thirty (30) days after written
notice.
(ii) In the event of termination, “the Company” shall make payment within 10 days for the
services rendered under this Agreement.
(iii) That the agreement shall be in force for a period of 12 Months, from the date above
mentioned. It is however, agreed between the parties that at the end of 12 Months, the
agreement would be reviewed mutually by the parties. However, “the Company” reserves the
right to renew /otherwise the agreement after the period of 12 Months.

9. GENERAL

(i) This Agreement may be executed in one or more counterparts, each of which when so
executed and delivered will be an original and all of which together will constitute one and the
same instrument. Facsimile signatures and electronic signatures will be deemed to be
equivalent to original signatures for purposes of this Agreement.

(ii) This Agreement is the entire agreement of the Parties pertaining to the subject matter of this
Agreement and may be modified only by a writing signed by both Parties.

(iii) This Agreement supersedes any and all prior oral discussions and/or written correspondence
or agreements between the Parties with respect thereto, all of which are excluded. The failure
of a Party to enforce its rights in the case of any breach of this Agreement shall not be
construed to constitute a waiver of its rights with respect to any subsequent breach.

10. Jurisdiction: For all purposes, this agreement is subject to Pune Jurisdiction.

The Parties have executed this Agreement as of the date last written below.
