SECTION 04 - SALIENT FEATURES OF OUR OFFER:S

 Validity: This offer is valid for 07 working days from the quotation issue date and
thereafter subject to our re-confirmation.
The validity of the offer does not confirm the availability/delivery of solar equipment’s and
panels, which will only be confirmed once your firm order is received with advance
payment in accordance with the acceptance of listed terms and conditions.
 Taxes applicable as per federal government policies.
 Bi-Directional Charges will be paid to KE by client.
 Our technical team support all documentation regarding net metering of the
system. No payment will be with-held for net metering purposes.
 Project Timeline:
*Completion within 15 ,20 Working days.
*Project timeline is tentative, subject to project actual conditions. Project time line will
start after issuance of LOI, PO, advance Payment, kick off meeting and complete technical
submittal approval.
 Payment Terms: Our payment terms are as follows:
 90% advance payment is required.
 The remaining 10% is due after the installation process is completed.
 Price Flexibility: The prices are subject to change due to fluctuations in currency
exchange rates or local market price escalation.
 Payment Method: Payments should be made via cash /chq.
 Warranty: Our warranty coverage is as follows:
 12 years product warranty for solar panels
 25 years performance warranty for solar panels
 05 years warranty for inverters (Standard or OEM Specified)
 01-year warranty for the balance of the system
 Exemption: Renewable Energy products are exempted from With Holding Taxed (WHT)
{(S.R.O Ref # 575(I)}
 Amendment in Taxes & Duties: Changes in duties and taxes after the proposal date will
be the responsibility of the buyer.
 Duties / Taxes and Other Charges: Prices are based on the current duties and taxes
applicable at the date of Quotation / Proposal / Letter of Intent / Inquiry / Contract /
Agreement and thereafter any new/change in duties and taxes includes Customs Duty,
Regulatory Duty, Income Tax, Sales Tax, Service Tax, Cases/Duty, Charges, fees etc., as
applicable at the time of Invoice shall be passed on to the buyer.

 Prices for the Products exclude all sales, value added and other taxes and duties
imposed with respect to the sale, services, delivery, or use of any Products covered
hereby, all of which taxes and duties as applicable at the time delivery and/or
invoice whichever is later must be paid by Applicant. If Applicant claims any
exemption, it must provide a valid, signed certificate or letter of exemption for each
respective jurisdiction.
 Sales Tax however, shall be charged to Customer, at actual as per applicable laws
and regulations at the time of execution of Works/Supplies. In case of exemption
from Sales Tax, the Customer shall provide the exemption certificate to Contractor
before signing the Contract/Agreement.
 Prices exclude all applicable sales, value-added, and other taxes and duties.
 Solar Panel PV Size Flexibility: At the time of confirming your order, please note that the
size of the solar panel photovoltaic (PV) system may vary based on availability.
 Sanction Load Enhancement for Net Metering: To facilitate the net metering process,
the client may need to enhance the sanctioned load as per requirements.
 Net Metering Charges: Customers are responsible for NEPRA and KE charges related to
net metering and associated products and installation.
 Exchange Rate and Legislative Changes: Prices are based on the US Dollar parity rate
and applicable duties and taxes at the proposal date. Any subsequent fluctuations in
currency rates or changes in taxes will be passed on to the customer.
 Installation and Workmanship Warranty: We provide a 1-year installation warranty,
subject to certain conditions.
 Energy Generation: kWh / Year on an average is simulated on ideal conditions, subject
to:
 10% Variation ratio of energy generation.
 Irradiance, Temperature, system availability, load, weather conditions or soiling
losses.
 Shutdown of inverters due to any reasons, primary source cut off, maintenance and
inspection.
 Grid parameter like voltage, frequencies etc. are above and below the predefined
limits.
 Avoidance in proper daily or in alternate days cleaning.
 Solar power curtailment due to maintaining required genets’ efficiency.
 Due to scheduled or unscheduled inspection tangible or non-tangible assets which
can directly or indirectly impaired generation of PV system.
 Energy generation estimates are subject to various factors and may have a 10%
variation ratio.

 Transfer of Title: Title to goods remains with us until the full contract price is paid.
 Defect Liability Period: The defect liability period is 12 months from the date of
acceptance. Manpower services during this period are provided on a call basis.
 Deviation and Extra Works: Any type of modification/deviation and extra work if
requested by the Customer as a deviation to Contractor’s design/Scope of Work, the
same shall be charged additionally as per Contractor’s daily rates plus site overheads
or as per mutual agreement. Further any material required to execute such
modification shall be charged as per mutually agreed upon rates which shall be fair and
reasonable. Obligation of Contractor to start the job/work on Modification, Deviation,
and/or Extra Work shall be upon written agreement on price, scope of work and the
time schedule by both the Parties.
 Any requested modifications or extra work will be charged separately based on
mutual agreement.
 Consequential Losses or Indirect Damages: We are not liable for consequential losses
or indirect damages.
 Indemnity: The customer is responsible for indemnifying us against various claims.
 Approvals/Permissions: The customer is responsible for obtaining necessary approvals,
permits, and licenses at their cost.
 Force Majeure: This offer is subject to standard force majeure conditions that defines
occurrences that are outside and beyond the reasonable control of the either or both
of the parties including but not limited to; acts of God such as natural disasters,
threatening diseases, decrees of Government, strikes / labor disputes, earth quake,
flood, lightning, hurricane (Beaufort Force 12 and above), hostilities, sabotage, ionizing
radiation, contamination by radio-activity, pressure waves from aerial devices, or
maritime disasters, Acts of government and / or non- issuance of licenses, war (whether
it is declared or not) invasion, act of foreign enemies, rebellion, revolution, civil war,
insurrection or the uprising of power or riot commotion or disorder, famine and plague,
and allows relief for non-performance in delivery of materials, execution and project
handover in such an event. Industrial disputes and any other circumstances including,
but not by way limited to, fire, mobilization, legislation, embargo, port hold, the above
shall be considered as circumstances affording force majeure if they intervene after the
commencement of the contract and impede the successful bidder and / or the
purchaser in the performance / deliverables / milestones of the contract. A Party
seeking relief under this Clause shall notify the other Party forthwith of a circumstance
or event of Force Majeure and shall with diligence furnish such relevant information as
is available pertaining to such event. In case of Force Majeure Event Customer shall
pay to Maverick Energy for the Works/Job/Project already performed / executed /

completed, material already ordered out for execution of Works and shall also give
extension.
 Arbitration: Disputes will be resolved through arbitration according to the Arbitration
Act 1940, with proceedings conducted in English in Karachi.
