1.0SCOPE OF TECHNICAL PROPOSAL
BIDDER shall submit a Technical Proposal which clearly describes all non-commercial matters that
form part of BIDDER’s proposal. The Technical Proposal shall be prepared with the following Table
of Contents and as per the details mentioned in the preceding sections below:

1.1INTRODUCTION AND PURPOSE
BIDDER shall clearly state the intent and purpose of the BID
BIDDER shall also confirm that its proposal conforms in every way with the ITB.
1.2ACKNOWLEDGMENT OF RECEIPT OF ITB, ADDENDA AND CLARIFICATIONS
BIDDER shall acknowledge in writing receipt of the ITB and all addenda and clarifications. BIDDER
shall warrant that they have examined the ITB documents in their entirety and has no outstanding
matters requiring clarification.
1.3ACKNOWLEDGMENT OF INSPECTION OF SITE
1.4BIDDER PROFILE AND ORGANIZATION
1.4.1 BACKGROUND OF COMPANY
BIDDER is required to provide information about the company which shall include:

1.4.2 SUB-SUBCONTRACTORS
Subcontracting is not allowed.
1.4.3 ORGANIZATION CHART
BIDDER shall provide a chart showing the organization and lines of authority and communication
that are proposed for the execution of the Construction Service for Pipeline. SUBCONTRACTOR
representation in the organization chart shall also be shown. A full explanation of the lines of
authority and communication shall be provided.
1.4.4 KEY PERSONNEL
BIDDER shall provide resumes of key personnel it proposes to employ in the execution of the
Construction Service for Pipeline.
The resumes shall include but not limited to the following information:
1) Professional qualification (showing date of award and educational institution);
2) Date of birth and nationality (at birth and currently)
3) Education level;
4) Experience related to project scope; and
5) References
BIDDER is encouraged to submit other resumes that demonstrate special expertise or experience
that is relevant to the Construction Service for Pipeline.
1.5EXPERIENCE
Experience and capability must be sufficient in order that the objectives of the SUBCONTRACT are
achieved. BIDDER shall describe the experience in Oil, Gas and Petrochemical and other projects.
BIDDER shall emphasize on projects where BIDDER as a prime contractor, or as a significant joint-
venture partner, has successfully executed projects of similar nature. This information shall be
submitted by BIDDER in the format provided in Attachment 3-B.
1.6LICENSE
BIDDER is required to have and provide the necessary license to complete the Works in
accordance with the laws of the Mongolian Government.

1.7FINANCIAL CAPABILITIES
BIDDER and / or each member of its joint-venture /consortium shall submit the following:
(a) Audited financial statements for the last three (3) years;
(b) Credit references from banks and / or other credit references
BIDDER shall complete details of its financial status in Attachment 3-C.
1.8EXECUTION PLAN
1.8.1 GENERAL
BIDDER shall provide a detailed plan concerning all phases and aspects of the SUBCONTRACT.
The plan shall be in sufficient detail to ensure Contractor that BIDDER has the knowledge of the
scope of work and is capable of performing the Construction Service for Pipeline in accordance with
the requirements of the ITB. The plan shall contain detailed Deliverable List.
The plan shall clearly describe the roles and responsibilities at each of the above phases and in
addition, financial stake of the SUBCONTRACT.
The plan shall show how Bidder intend to function within the plan and achieve the objectives of the
SUBCONTRACT.
1.8.2 PROJECT CONTROLS
BIDDER shall provide a Project Control Plan detailing how the various project activities will be
planned and controlled. As a minimum, BIDDER shall address the development of project
baselines and control / reporting systems in the following areas:
1) Critical Path Network in diagrammatic network. This shall be the basis to generate data for all
bar chart.
2) Scheduling; Bar chart for every stage, Master Project Schedule.
3) Resource Management e.g. histogram showing direct and indirect manpower;
4) Progress Measurement showing physical progress measurement and must be auditable

method;
5) Cost and Milestone Payment schedule
6) Planned ‘S’ curve with weightage distribution
7) Level 3 schedule.
In particular, BIDDER’s scheduling methods and procedures shall include, as a minimum:
(a) A chart showing the hierarchy of schedules to be used during the execution of Construction
Service for Pipeline; a description of the contents of each of these schedules and their relationship
to one another and a sample of each schedule.
(b) A description of the procedures to be used for schedule development, monitoring and updating.

1.8.3 QUALITY MANAGEMENT PROGRAM
BIDDER shall submit a plan that provides an outline of the Quality Management Program to be
implemented under the SUBCONTRACT.
The outline should provide sufficient detail to describe the principles of the program and the various
procedures that will be implemented to complete the Construction Service for Pipeline and
implement those principles.
SUBCONTRACTOR shall provide verification in its BID that its quality system conforms with the
ISO 9000 or an equivalent standard approved by Contractor, by presentation of the results of an
independent audit, as performed by an accredited auditing organization.
1.8.4 OCCUPATIONAL HEALTH AND SAFETY
BIDDER shall provide a plan that outlines the Occupational Health and Safety Program to be
implemented under the SUBCONTRACT. The outline should provide sufficient detail to describe
the principles of the program and the activities that will be used to implement those principles.
1.9SUBCONTRACT EXECUTION SCHEDULE
BIDDER shall prepare and submit an overall SUBCONTRACT EXECUTION SCHEDULE in bar
chart form corresponding to the start and completion dates stipulated in Conditions of
SUBCONTRACT.
BIDDER shall also submit a PERT Chart showing the sequence, inter-relations and inter-
dependence of key activities relating to the Construction Service for Pipeline.
1.10 STATEMENT OF COMPLIANCE
BIDDER shall indicate compliance of its BID with the requirement of the ITB by completing the Form
of Compliance included as per, Attachment 3-M, “Form of Compliance”, without any qualification or
alteration.
BIDDER shall list out any deviations/exceptions to the ITB document, if any, using format provided
in, Attachment 3-N, which Contractor may or may not accept. BIDDER deviations/exceptions shall
be submitted in a similar manner as BIDDER Alternatives.
1.11 UNPRICED COMMERCIAL
BIDDER shall provide the UNPRICED COMMERCIAL PROPOSAL according to APPENDIX-7

SCHEDULE OF UNIT RATES, and the content shall exclude any price item.
1.12 LITIGATION
BIDDER shall declare if it is currently and / or in the last five years been involved in litigation. If so
involved, BIDDER shall submit details in the format provided in Attachment 3-O, “LITIGATION
DECLARATION”.
1.13 CONFIDENTIALITY AND SECRECY
SUBCONTRACTOR shall always treat the ITB documents and its contents as confidential and not
divulge any information to any other parties without Contractor’s approval. BIDDER shall execute
the form provided in Attachment 3-P “CONFIDENTIALITY AND SECRECY DECLARATION” to
indicate its compliance.

1.14 OTHER MATTERS (AT BIDDER’S DISCRETION)
BIDDER should include any other non-commercial information it feels will enable Contractor to
better understand or appreciate its proposal.
1.15 BUSINESS STANDARDS
All BIDDERs are entitled to receive equal opportunity to secure a contract. The offering or receiving
of gifts, entertainment, payments, loans or other favors for the purpose of being placed on the
BIDDER's list, obtaining a contract or purchase order, or favorable treatment under a contract or
purchase order, is prohibited. Furthermore, it is Contractor's policy, in the event that a BIDDER,
vendor or SUBCONTRACTOR is found to have offered or given a gratuity to obtain a contract or
order, or favorable treatment thereunder, to remove any and all companies involved from further bid
considerations. Contractor will also obtain those remedies available under the law and the
SUBCONTRACT or Purchase Order, including but not limited to termination for default. BIDDER's
attention is directed specifically to those articles in the terms of the SUBCONTRACT or Purchase
Order relating to the law and to default.

CONFIDENTIALITY AND SECRECY DECLARATION
Pursuant to the provisions of the SUBCONTRACT and BID documents (Invitation To BID dated …………………) between NORINCO INTL(referred to as
Contractor), and ……………………… (referred to as SUBCONTRACTOR), the Contractor hereby declares and agrees that:-
1. Without prior written agreement of Contractor in connection with any process, engineering, procurement, and / or construction work under the
SUBCONTRACT (hereinafter called the WORK), which Contractor may wish to entrust to the SUBCONTRACTOR from time to time, and / or in
connection with preparation by the SUBCONTRACTOR of a BID for the WORK or any part thereof, the SUBCONTRACTOR shall not at any time
and for any purpose other than the performance of the SUBCONTRACT WORK or the preparation of the said BID:
(a) disclose to any third party that the WORK, or any part thereof, may be or have been entrusted to the SUBCONTRACTOR and / or that the
SUBCONTRACTOR has been invited to submit a BID for the WORK, or any part thereof;
(b) reproduce, copy or use, disclose to, place at the disposal of or use on behalf of any third party or enable any third party to peruse copy or use any
documents, drawings, data or other information,
(i) placed or to be placed at the disposal of the SUBCONTRACTOR by or on behalf of Contractor for carrying out the WORK, or any part
thereof, and / or the preparation of the said BID,
(ii) which the SUBCONTRACTOR may in any other way require from Contractor and which are directly or indirectly related to the WORK,
or any part thereof, and / or the preparation of the said BID;
(iii) which the SUBCONTRACTOR has prepared or will prepare in connection with the WORK, or any part thereof, and / or the
preparation the said BID, insofar as such documents, drawings, data and other information contain any information placed at the
disposal of the SUBCONTRACTOR or acquired by the SUBCONTRACTOR as referred to in (i) and (ii) above.
2. The SUBCONTRACTOR, upon completion of the SUBCONTRACT WORK, or in the event that the WORK, or any part thereof, will not be entrusted
to the SUBCONTRACTOR, upon request, as the case may be, shall return to the Contractor all documents, drawings and data forming part of the
SUBCONTRACT and Contractor BID document.
3. The undertaking as contained in Item 1 hereinabove shall not apply:

a) if and insofar as the fact
and any of the documents, drawings, data and other information forming part of the SUBCONTRACT and Contractor BID document are part of
public knowledge or literature at the date of their receipt by the SUBCONTRACTOR as from such date;
b) if and insofar as such fact and documents, drawings, data and other information become part of public knowledge or literature at the date of their
receipt by the SUBCONTRACTOR as from such subsequent date;
c) if and insofar as documents, drawings, data and other information similar to such documents, drawings, data and information are already in the
possession of the SUBCONTRACTOR at the date of their receipt by the SUBCONTRACTOR as from such date;
d) if and insofar as documents, drawings, data and other information similar to such documents, drawings, data and information are subsequent to
the date of their receipt by the SUBCONTRACTOR disclosed to the SUBCONTRACTOR by a third party whose possession is lawful and is
under no obligation not to disclose as from such subsequent date.
e) if and insofar as documents, drawings, data and other information similar to such documents, drawings, data and information are developed by
the SUBCONTRACTOR independently of this SUBCONTRACT and BID document;
f) to use and disclosure made by the SUBCONTRACTOR five (5) years after the Effective Date of the SUBCONTRACT.
4. the SUBCONTRACTOR shall ensure that if under the terms of this Declaration any of the documents, drawings, data and other information (or the
facts contained therein) forming part of the SUBCONTRACT and CONTRACTOR BID document, come to the knowledge and/or in the possession of
any third party through the actions or fault of the SUBCONTRACTOR, then the SUBCONTRACTOR must inform Contractor accordingly and cause
such third party to be bound by the stipulations contained in this Declaration,
