LETTER OF APPOINT MENT AS SERVICE PROVIDER (BC Agent)

Dear Bijoy Halder

We wish to confirm your engagement as a 'Service Provider (BC Agent) ' wi th Manipal
Business
Solution Pvt. Ltd. (hereinafter referred to as "Compan y") at Kaina on the
following terms and
condition s:

The duration of this engagement shall be for a period of two (2) yea rs effective th
12 Decembe r 2022

l. Service Provider shall render services as per Annexure_l to this Agreemen t ("Services
") .

2. Either party may terminate this engageme nt before the expiry of the Term with or
without
cause by giving thirty (30) days' notice in writing to the other party. The Company
may
terminate the engagement forthwith in the event of Service Provider (BC Agent) is
involved
in any illegal activity or found guilty of fraud or misconduct or otherwise in material
breach of
this Agreement. Additionally, the Company reserves the right to initiate legal proceedin
g or
take such other action as may be appropriate.

3. Fees payable to Service Provider and the fee structure shall be as stated in Annexure
2, and
shall be subject to revision upon written intimation to the Service Provider. The fees
payable
shall also be subject to performance of the services by the Service Provider. The fees
shall be
remitted to Service Provider's (BC Agent) bank account registered w ith the Company
. Fees
so payable to the Service Provider cannot be claimed/adjusted from any other source
from
the Company by the Service Provider (BC Agent). ' .

4. Failure to render service shall lead to deduction of payment proportio nat e for the
days the
Service Provider (BC Agent) has failed to render the services and th~fService Provider
(BC
Agent) shall be liable for any damages levied on the Company as a co.nsequence
of his failure
to render the service as required. Continuous failure shall lead to terminati on
of services
forthwith .

5. Service Provider (BC Agent) shall maintain good conduct, discipline, punctuali
ty and show
courtesy and attention to all persons in his / her transactions or dealing with the
Company
and its customers.

6. Service Provider (BC Agent) shall display in his / her premises the marketin
g materials
provided by the Company, its Customer and Its Customers' Customer at no extra
cost.

7. Service Provider (BC Agent) will be required to comply with all such rules and
regulation s as
the Company may frame from time to time communi cate to him .

8. Service Provider (BC Agent) will be required to maintain utmost confidentiality in respect of
among other Project documents, commercial offer, design documents, Project cost &
Estimation, Technology, Software packages license, Company's polices, Company's patterns
& Trademark and company's Human assets profile.

9. Service Provider (BC Agent) shall comply with all the terms and conditions in respect of any
loan, adv;-;,;:~t~, or other banking facility granted by the Bank through Company.

10. Service Provider (BC Agent) shall not enter into any personal transactions with respect to
banking and financial services with customers or service providers (including contractors,
consultants, and vendors) of the Company which may result in undue pecuniary advantages.

11. Service Provider (BC Agent) will not render any financial services or act as agent or advisor to
any other company/person with respect to financial services or products except as required
by the Company.

12. Service Provider (BC Agent) will not (except in the normal course of the Company's business)
publish any article or statement, deliver any lecture, or broadcast or make any communication
to the press, including magazine publication relating to the products or service being offered
or to any matter with which the Company may be concerned, unless Service Provider (BC
Agent) has written permission from the Company.

13. Service Provider (BC Agent) shall not actively take part in political activities or contest for
election~.~.YrJ,n~ the period of engagement without the written consent of the Company.

14. Service Provider (BC Agent) shall not without intimation to the Company and written consent
of the company grant o~ behalf of any client bank of Company any loan or advance to:

a. a family member.
b. an individual who is the guarantor of a family member or an individual who Isa partner
in business of a family member.
c. a Joint Hindu Family In which a family member is a member.
d. a firm in which a family member is a partner, manager, or guarantor; and
e. a Company in which a family member holds substantial interest or is interestedas
director/ manager or guarantor. without prior permission of the Company.

15. Service Provider (BC Agent) shall not indulge in sexual harassment which includes such
unwelcome sexually determined behavior (whether directly or by implication) including but
not limited to:

f. physical contact and advances.


g. a demand or request for sexual favours.
h. sexually coloured remarks.
i. showing pornography, and
j. any other unwelcome physical, verbal, or non-verbal conduct of sexual nature.

26. Service Provider (BC Agent) hereby confirms that he or his representative shall not claim
employment with the Company or any of its Customers or its Customers' Customer. Service
Provider (BC Agent) shall not use his position or influence directly or indirectly, to secure
employment for himself or any other member of his family in any private undertaking having
official dealing with Company.

27. Service Provider agrees that he / she is providing Services under this Agreement as an
independent contractor and shall not claim any employment related benefits.

28. Service Provider (BC Agent) hereby confirms that he/she is not at any time convicted by a court
of law and that no criminal or other proceeding with respect to an offence is pending against
him in any court or tribunal or other judicial forum

29. Any dispute or claim whatsoever arising under this engagement shall be subjected to the
exclusive•jurlsdlction of the competent courts at Udupl, Karnataka.

16. Any of the Company's technical or other important in orma 10
Customers of the Company or its Customers' Customer, which might come into Service
Provider's (BC Agent) possession during the continuance of assignment or later shall be kept
confidential and shall not be disclosed, divulged, or made public by Service Provider (BC Agent)
even after termination of this Agreement.

17. If at ~ny time in the sole consideration of the of the Company, Service Provider (BC Agent) is
found to be non-performer or guilty of fraud, dishonest, disobedience, disorderly behavior,
negligence, indiscipline, absence from duty without permission or any other conduct
considered by the company as deterrent to its interest or of violation of one or more terms of
this engagement, Service Provider's (BC Agent) services may be terminated without notice and
on account of reason of any of the acts or omission thecompany shall be entitled to recover the
damages from Service Provider (BC Agent).

18. Service Provider (BC Agent) shall not accept any gift, commission, or any sort of gratification
in cash or kind from any person, party or firm or Company having deallrg with the Company
and if Service Provider (BC Agent) is offered any, Service Provider should immediately report
the same to the Company.

19. Service Provider (BC Agent) shall be responsible for safekeeping and return in good condition
and order all Company's property and equipment provided by bank, which may be in use,
custody, or charge. In cases of any damage or loss of equipment or documents / items made
by Service Provider (BC Agent), cost of equipment/ document/ item shall be recovered from
Service Provider (BC Agent}. An undertaking is attached in Annexure - 3.

20. Service Providers (BC Agent) who suspect violations of the letter or spirit of the Company's
laid down process, procedures, policies, or rules have an obligation to report their concerns
to the Company. ·

21. In case of theft/ loss or willful damage of equipment, Serv°ice Provider (BC Agent) shallbe
required to bear the cost of the same, and the same is subject to revision by the Company at
its sole discretion.

22. Service Provider (BC Agent) will not charge any fees other than as sp~tilied by Company or
the Bank from the Customers. In case it is found that Service Provider (BC Agent) has charged
any such fees from the Customer, the Agreement shall be terminated with immediate effect
and the company may take legal action.

23. All Transactions have to be done after the biometric verification of the Customer and as per
the process defined by the Bank. For any deviation, Service Provider shall be solely liable and
shall make good any such monetary. or other loss to the Company or to the Customer. In case it
is found that Service Provider has willfully deviated from the process, this engagement shall
be terminated with immediate effect and the Company may take legal action.

24. Failure to render service shall lead to loss of payment proportionate to such failure and any
damages arising out of such failure. Continuous fa'llure shall lead to termination of services.

25. Service Provider (BC Agent) shall provide such docum~nts or. details as may berequired by the
